Huawei Sold Honor: What Independence Changed for the Smartphone Brand

Yes. Huawei sold its entire Honor business in November 2020. Huawei announced on November 17 that Shenzhen Zhixin New Information Technology Co., Ltd. would acquire the business. Huawei said that, after completion, it would hold no Honor shares and take no part in management or decision-making. The purpose was to give Honor a chance to preserve its supply chain while Huawei faced severe restrictions on obtaining smartphone components.

The deal in brief

Question Documented answer
When was it announced? November 17, 2020; Huawei’s later reporting recorded the transfer on that date.
What was sold? The entire Honor business, including its brand, smartphone operations, research-and-development capabilities, channels and supply-chain operations.
Who bought it? Shenzhen Zhixin New Information Technology Co., Ltd., an acquisition vehicle associated with Honor agents, dealers and other industry participants.
Was the price disclosed? No. Reuters reported a possible valuation of about 100 billion yuan (approximately US$15 billion) before the announcement, but Huawei did not confirm that figure.
Did Huawei retain ownership? Huawei said it would retain no shares or management or decision-making role after completion.

Huawei’s official statement is available at Huawei’s November 17, 2020 announcement. Huawei’s 2020 annual report also recorded the transfer of the entire Honor business (annual report PDF).

Why Huawei sold Honor

The immediate problem was supply. Huawei said its consumer business was under “tremendous pressure” because technical components needed for mobile phones were persistently unavailable. U.S. export-control measures had restricted Huawei’s access to advanced chips, software and other supplier relationships.

Honor had been Huawei’s value-oriented brand, aimed especially at younger buyers. Keeping it inside Huawei meant that suppliers could face the same compliance constraints when dealing with Honor. Separating the business changed its ownership and compliance context, giving Honor a path to negotiate independently with component, software and manufacturing partners.

That explanation should not be overstated. The transaction was intended to protect Honor’s operations and supply chain; it was not a guaranteed exemption from every U.S. export-control rule, nor proof that the deal was solely designed to circumvent sanctions. The legal result depended on the particular company, technology and transaction.

Who actually bought Honor?

The formal purchaser was Shenzhen Zhixin New Information Technology Co., Ltd. Huawei said more than 30 Honor agents and dealers initiated the acquisition. Reuters described a public consortium statement signed by about 40 companies and reported expected participation by Digital China and Shenzhen-linked interests.

Calling this simply “a Chinese government purchase” is inaccurate. Government-backed or Shenzhen-associated entities were discussed in reporting, but the documented buyer was Shenzhen Zhixin, a consortium acquisition vehicle. The cited official announcement does not provide a complete, easily readable ownership table for every participant.

What “independent” meant

Ownership and control

Independence had a specific corporate meaning: Huawei said it would not own shares in the new Honor company and would not participate in its management or decisions. Honor therefore became separately owned and managed rather than a Huawei division or licensed label.

What independence did not prove

A corporate separation does not establish that every connection disappeared. Employees, executives, suppliers, retail relationships, engineering knowledge and design practices could continue across the transition. Those continuities do not, by themselves, show that Huawei retained ownership or control.

What was sold besides a name?

This was a transfer of a functioning business, not just a trademark license. The transaction covered the Honor brand and the capabilities needed to operate it: smartphone products, research and development, distribution channels, supplier relationships and related personnel and assets. That continuity allowed the new company to keep serving an established customer base rather than build a phone business from zero.

Honor was created in 2013. Huawei said it had reached annual shipments of more than 70 million units during its first seven years; that is a Huawei-reported figure, not an independently audited result in the announcement.

What changed for Honor phones?

Supplier access and hardware

The intended benefit was the ability to pursue component and manufacturing relationships outside Huawei’s restricted corporate structure. In practice, access still depended on each supplier, technology and transaction. Independence did not guarantee a particular chip, modem, operating system or market launch.

Google services and software

Do not apply one rule to every Honor phone. Devices launched while Honor was still part of Huawei should not be assumed to gain Google Mobile Services after the sale. For post-sale phones, Google services and app compatibility depend on the exact model, release date, country, certification and installed software. Many international post-sale models were marketed with Google-related services, but the Honor name alone is not proof.

Support, warranty and updates

Existing devices did not automatically become obsolete. Warranty handling, repair, accounts, updates and app compatibility depend on the model and market, and post-sale support may be administered by HONOR rather than Huawei. Verify the regional product page, seller and warranty provider before buying.

What changed slowly—or not at all?

Honor kept its brand recognition, much of its workforce and expertise, retail relationships and product know-how. Independence therefore did not mean an overnight strategy reset. It meant that those activities were now organized under a different owner with a different ability to negotiate with suppliers.

HONOR later described itself as operating as a fully independent brand in its domain announcement. Its current global site operates separately from Huawei and lists phones and other consumer products. The phone catalog includes Magic, N and X families, alongside tablets, laptops, wearables, audio products and other devices (HONOR phones).

The timeline

  1. October 14, 2020: Reuters reported that Huawei was discussing a possible sale of parts of Honor (timeline report).
  2. November 10, 2020: Reuters reported a possible 100-billion-yuan transaction involving Shenzhen-linked interests and Digital China (report).
  3. November 16–17, 2020: Huawei and the buyer consortium publicly announced the sale.
  4. November 17, 2020: Huawei’s official statement was dated November 17, and its later corporate reporting recorded the transfer on that date.

What the sale meant for each group

  • Huawei: It reduced the burden of supporting a large smartphone sub-business during a component crisis, but gave up ownership of a major consumer brand.
  • Honor: It gained separate management and a route to pursue suppliers and software partners independently, while losing direct backing from Huawei’s corporate structure.
  • Consumers: They gained access to newer products developed under the independent company, but had to distinguish Huawei-era devices from post-sale models and check regional support.

How to check whether a phone is truly suitable

  1. Find the exact model number, not just the Honor family name.
  2. Check the launch date and whether it was released before or after November 2020.
  3. Confirm the country or region of sale, certification and supported network bands.
  4. Verify whether the listing explicitly includes Google Mobile Services if that matters to you.
  5. Check the official seller, warranty provider, return policy and repair network.
  6. Read the update policy for that specific regional model.

HONOR’s global catalog is useful for identifying product families, but it does not establish U.S. availability or warranty coverage. Regional stores differ—for example, the UAE shop is at honor.com/ae-en/shop/buy/, while the Latin American catalog is at honor.com/latam/products.html. Do not infer local pricing, carrier compatibility or support from a page for another country.

Bottom line

Huawei’s Honor transaction was a real sale of an operating business, completed in November 2020—not a cosmetic rebrand. Shenzhen Zhixin acquired the business through a consortium, and Huawei said it retained no ownership or management role. The strategic goal was to give Honor a viable supply chain outside Huawei’s sanctions-related constraints. For buyers, the practical question is always the exact model and region: a Huawei-era Honor phone and a newer independent HONOR phone can have materially different software, supplier and support arrangements.
