How to Read Promoter and Public Shareholding Disclosures in Indian Listed Companies

An Indian company’s shareholding-pattern filing is a dated regulatory snapshot, not a permanent ownership label or an investment signal. To read it correctly, first verify the as-on date and whether the exchange has posted a revision; then identify the SEBI category and denominator, inspect promoter and public holders separately, and check dilution and encumbrances in their own fields.

The filing can show who is reported as holding shares, how much voting and economic ownership is disclosed, and what could change after conversion of securities. It cannot, by itself, prove promoter quality, effective control, liquidity, the reason for an ownership change, or the direction of the share price.

Where to find the filing and which version to read

SEBI’s Corporate Filings locator directs investors to the stock exchanges’ filing pages. On NSE’s Shareholding Patterns – Equity, SME page, search by company or symbol and select the relevant as-on date. The result includes filing status, submission date, revision date (where applicable), and an XBRL filing link.

Open the issuer’s most recent exchange filing, but do not assume the first result is final. A company can submit a corrected or revised filing. Record all three dates:

  • Revision date: when a corrected version was posted, if one exists.

NSE’s detail view separates the summary, promoter and promoter-group, public, non-promoter non-public, significant-beneficial-owner and foreign-ownership-limit sections. The summary is a useful orientation, but the detailed tables reveal the holders and securities behind each total. An example of the exchange’s XBRL presentation is available as on 17 March 2026.

Use the exchange-hosted filing as the operative document for the listed security. If the company’s investor-relations page contains a copy, compare it with the exchange record and make sure the security identifier and as-on date match. A downloaded file can be renamed or reposted, whereas the exchange page normally displays the submission and revision trail.

How often companies file

The timing below comes from the consolidated SEBI LODR text surfaced in April 2026. Regulations can be amended, so check the live rule before relying on a deadline for compliance or a dispute.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Situation Stated filing window Scope described in the SEBI text
Regular filing for specified securities Within 21 days after the end of each quarter Main-board, SME and Innovators Growth Platform listings
SME exchange-listed specified securities Within 21 days after each half-year Half-yearly cadence stated for the SME exception
Capital restructuring changing paid-up share capital by more than 2% Within 10 days after the restructuring Specified securities covered by the provision

The 21-day and 10-day figures are filing windows, not market-performance statistics. The source is SEBI’s consolidated LODR PDF dated April 2026: https://www.sebi.gov.in/sebi_data/attachdocs/apr-2026/1777351317428.pdf.

For an ownership comparison, the quarter or half-year end is usually more important than the upload date. A filing uploaded after a corporate action may still describe the position before that action if its as-on date predates the event. Conversely, a restructuring filing can be required outside the regular cycle when paid-up share capital changes by more than 2%.

SEBI’s categories and the denominator

The shareholding framework divides specified securities into three headline groups. The calculation is easy to misread because the non-promoter, non-public group has subcategories and one of them is treated differently in the percentage denominator.

Code Category What to look for
A Promoter and Promoter Group Promoter(s) and entities or persons classified in the promoter group
B Public Public shareholders, including disclosed holders meeting the applicable reporting threshold
C Non-Promoter Non-Public Includes C1 and C2 subcategories in the calculation framework
C1 Non-promoter, non-public subcategory Certain depository-receipt holders whose shares do not meet the public-shareholding conditions
C2 Employee-benefit-trust holdings Employee-benefit trust shares included in the specified denominator

Under SEBI’s specified method, the denominator for the headline percentages is A + B + C2. Promoter percentage is A ÷ (A + B + C2); public percentage is B ÷ (A + B + C2). C1 is not added to that denominator. Therefore, do not casually recompute the percentages with all visible rows, and do not assume that public ownership is always simply 100% minus the promoter percentage when additional categories are present.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

For a clean comparison, copy the denominator shown or implied by each filing rather than applying a spreadsheet formula to every row on the screen. If an employee-benefit trust appears or a depository-receipt category changes, a percentage can move even when the promoter’s share count does not. Explain that denominator effect separately from a genuine purchase or sale.

The category definitions and formulas are set out in SEBI’s July 2023 Master Circular for compliance with the LODR Regulations. That circular is the detailed calculation source; check later amendments before applying a formula to a current filing.

Read all six disclosure blocks

The format contains six related disclosures. Reading only the headline summary can hide the ownership structure.

  1. Summary: the high-level category totals and percentages.
  2. Promoter and promoter group: holder-level details for classified promoters and promoter-group entities.
  3. Public: public holders, including the names required to be disclosed at the applicable threshold.
  4. Non-promoter non-public: C1 and C2 holdings and their effect on the calculation.
  5. Significant beneficial owners (where applicable): a separate disclosure of ownership or influence interests under the relevant rules.
  6. Foreign ownership limits: information relevant to the permitted foreign investment capacity.

Use the summary to locate a change, then move to the detailed block that explains it. A large promoter total may consist of one individual, several family entities, or companies in the promoter group; those cases have different concentration and control implications.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The foreign-ownership-limit block is not a measure of how much foreign capital is currently invested. It addresses the permitted capacity and should be read with the issuer’s reported foreign holdings and any sector-specific limits. Likewise, an SBO disclosure is not an extra promoter row: it is a different disclosure layer that may reveal an ownership or influence interest behind a registered holder.

Promoter versus promoter-group holdings

SEBI requires promoter(s) to be segregated from promoter-group entities. Keep those rows separate when reading the filing. A promoter’s direct holding and a group company’s holding may both count in category A, but they identify different registered holders and may carry different pledge, voting-right and transfer information.

For each row, note the holder name, number of shares, percentage, voting rights, class of security and any encumbrance columns. If the same person or entity appears in multiple folios or accounts, the filing framework calls for consolidation using PAN and folio number so that one holder is not mistaken for several independent owners. The 2021 SEBI circular requiring segregation states: “In the interest of transparency to the investors, all listed entities shall now provide such shareholding, segregated into promoter(s) and promoter group.” Read the circular dated 13 August 2021 at https://www.sebi.gov.in/sebi_data/attachdocs/aug-2021/1628855990975.pdf.

Do not add a promoter-group company to the individual promoter’s direct holding when describing concentration unless you explicitly say you are presenting the combined category-A total. A group entity can have its own board, financing arrangements and encumbrances. The filing identifies the registered holder; it does not by itself establish the full chain of control among related entities.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Public shareholding and concentration

The public section is not just a residual percentage. Names of public shareholders holding 1% or more are disclosed, along with persons acting in concert when available. Start by listing those holders and adding their percentages on the same denominator. This shows disclosed concentration among large public accounts, but it does not describe every smaller shareholder.

Compare the largest public holders with one another and with the promoter and promoter-group rows. A falling number of large public holders can reflect a sale, transfer, reclassification or a filing correction; the shareholding table alone does not establish which event occurred. Check corporate-action records, allotment notices and exchange announcements for the explanation.

Holdings below the named-disclosure threshold can still be economically meaningful in aggregate, but the table will not identify every account. The disclosed 1% or more list is therefore a concentration indicator, not a complete shareholder register or a direct measure of trading liquidity. Also keep the security class constant: a percentage in one class cannot be compared with a percentage in another class without checking voting and conversion terms.

Do not treat a registered public holder as automatically equal to the ultimate beneficial owner. The significant-beneficial-owner (SBO) table is a separate layer that addresses ownership or influence interests under the applicable rules. Read it alongside, not instead of, the registered-holder tables.

Voting rights, current ownership and potential dilution

Shareholding filings can report more than the number of currently outstanding equity shares. Depending on the issuer and the applicable format, inspect these fields:

Field Question it answers
Shares held and ownership percentage What is reported as held on the as-on date?
Voting rights How much voting power is attached to the reported holding?
Partly paid shares Are any reported securities not fully paid?
Shares underlying depository receipts Are depositary-receipt interests represented in the structure?
Outstanding convertible securities Could conversion create additional equity?
Warrants Could exercise result in new shares?
ESOPs or employee options Could employee awards increase the share count?
Fully diluted share total and percentage What would ownership look like assuming the listed convertible instruments are fully converted?

When convertibles, warrants or ESOPs are outstanding, compare the current percentage with the full-conversion percentage. They answer different questions: the first describes ownership on the filing date; the second models the percentage after the securities represented in the table are converted. Confirm the heading and formula in the particular filing because field numbering and formats can be revised. The SEBI master circular and NSE’s example filing show the relevant presentation.

Potential dilution is not the same as an issued share. An instrument listed in the fully diluted section may never be converted, may convert in stages, or may have conditions. Use the company’s security terms, allotment filings and board or shareholder notices to determine what has actually happened. The shareholding pattern is the place to identify the potential; it is not a substitute for those transaction documents.

Also compare voting rights with economic ownership where the issuer has multiple classes or differential voting rights. A percentage of shares and a percentage of votes are not interchangeable. Record both columns when the format provides them, especially if a change in shares does not produce the same change in voting power.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

How to read pledges and other encumbrances

Encumbrance information should be read independently from the headline promoter percentage. Look for separate columns for:

  • pledged shares;
  • non-disposal undertakings (NDU);
  • other encumbrances;
  • total encumbered shares; and
  • dematerialized holdings.

For each relevant holder, compare the encumbered share count with that holder’s total shares and record the percentage on the same as-on date. Then compare each field across several filings. A rise in total encumbered shares can occur even if the promoter’s ownership percentage is unchanged, while a fall can reflect release, transfer or a change in the outstanding share count.

Keep the components separate. A pledge, an NDU and another encumbrance can have different legal effects, so one combined “encumbered” number can conceal a change in the underlying risk. Check whether the filing reports shares in dematerialized form and whether the holder’s total includes more than one account after PAN and folio consolidation.

A reported pledge is a disclosed encumbrance. It does not, by itself, prove that a lender has invoked the pledge, that shares were sold, or that a default occurred. Verify any alleged invocation, sale or default in separate company announcements and exchange notices. The field structure is illustrated in NSE’s example filing: https://nsearchives.nseindia.com/corporate/ixbrl/SHP_SDD_11183_17032026230426_iXBRL_WEB.html.

A practical extraction worksheet

For each filing, create one row in a worksheet before drawing conclusions. Capture the issuer, exchange, security class, as-on date, submission date and revision date. Then record the A, B, C1 and C2 share counts; the denominator used for the headline percentages; and the promoter and public percentages exactly as displayed.

For category A, keep one line for each direct promoter and each promoter-group entity. Add the number of shares, percentage, voting rights and every encumbrance field. For category B, copy all named holders at 1% or more and calculate their combined disclosed percentage without implying that unnamed holders have no shares. Add any persons acting in concert that the filing identifies.

Use a second block for instruments that can change the future share count: partly paid shares, depository-receipt shares, convertibles, warrants and ESOPs. Record the current and fully diluted totals separately. A final block should contain SBO names or interests, foreign-ownership-limit information, and links to corporate-action or exchange notices that explain a movement.

This worksheet prevents three common mistakes: comparing a revised filing with an unrevised one, mixing the denominator between periods, and treating a potential share as an issued share. It also leaves an audit trail for why a percentage changed.

A consistent method for comparing periods

Use the following sequence whenever you compare two or more quarters or half-years:

  1. Fix the dates. Write down each filing’s as-on date, submission date and revision date. Use the revised version when the exchange identifies one.
  2. Match the issuer and security. Confirm that every period refers to the same listed company, security class and exchange-listed instrument.
  3. Match the calculation basis. Use the filing’s stated A+B+C2 denominator and note any C1 or C2 holdings affecting the calculation.
  4. Compare promoter rows. Separate direct promoter holdings from promoter-group entities; compare both shares and percentages.
  5. Compare public concentration. Track the largest disclosed public holders and the combined share of those disclosed accounts.
  6. Check dilution. Compare current ownership with the fully diluted percentage where convertibles, warrants or ESOPs are listed.
  7. Check encumbrances separately. Track pledges, NDUs and other encumbrances rather than collapsing them into one unexplained number.
  8. Check voting rights. Compare votes with economic ownership where multiple classes or differential rights exist.
  9. Inspect special categories. Note employee-benefit trusts, depository-receipt holdings and other categories that affect the denominator.
  10. Find the event behind a change. Use allotment filings, corporate actions and exchange announcements to explain movements; do not infer a cause from the percentage alone.

When a share count rises but the percentage falls, test whether new shares were issued or whether the denominator changed. When both count and percentage fall, look for a sale, transfer, reclassification or cancellation. When only the percentage changes, check rounding, category movement and a revision before assuming a trade.

This produces a descriptive ownership history. It does not turn a rise or fall in promoter ownership into a forecast of returns or a judgment about management.

Common reading errors

  • Using the wrong date: a filing submitted in a later month can still describe an earlier as-on date.
  • Ignoring a revision: a corrected exchange filing can supersede the first submission.
  • Mixing denominators: calculating percentages with C1 included when the specified method uses A+B+C2 changes the result.
  • Combining promoter and promoter-group rows blindly: the categories are related but identify different holders.
  • Equating registered ownership with beneficial ownership: the SBO disclosure is a separate test of ownership or influence.
  • Reading only the headline percentage: potential conversion and encumbrance are disclosed in other fields.
  • Calling a pledge a default: an encumbrance disclosure does not establish invocation or sale.
  • Comparing unlike periods: a change in security class, capital structure or calculation format can make a simple percentage comparison misleading.
  • Inferring liquidity or control: a percentage alone does not show trading liquidity, effective control, promoter quality or future price direction.
  • Treating the 1% list as complete: it identifies disclosed large public holders, not every investor.
  • Calling fully diluted ownership current ownership: conversion instruments may be outstanding without having been exercised.
  • Adding all visible categories to the denominator: C1 is not included in the specified A+B+C2 calculation.

What the filing can and cannot establish

The filing can establish what the issuer reported to the exchange on a specified date: category totals, named holders subject to disclosure thresholds, voting rights, potential share issuance, and reported encumbrances. It is valuable for building a dated ownership record and for identifying questions that require further documents.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

It cannot independently establish why a holder’s stake changed, whether a promoter is trustworthy, whether a company has effective control by a particular person, whether a pledged share will be invoked, or whether the stock will rise or fall. Those questions require the relevant corporate actions, ownership disclosures, announcements, financial information and market data. Treat the shareholding pattern as the starting document for that investigation, not as a stand-alone verdict.

Frequently Asked Questions

Where can I check an Indian company’s promoter shareholding?

Use SEBI’s Corporate Filings locator to reach the NSE or BSE shareholding-pattern page. Search the company or symbol, select the as-on date, and open the latest exchange filing, checking whether a revision is listed.

What does the promoter percentage actually measure?

It is the reported category-A holding divided by SEBI’s specified A+B+C2 denominator. It describes the ownership snapshot for that filing date; it does not, by itself, measure promoter quality, effective control, liquidity or future returns.

Why does public shareholding not always equal 100% minus promoter shareholding?

The specified denominator is A+B+C2, and the filing can contain additional non-promoter, non-public categories. C1 is not included in that denominator, so subtracting a displayed promoter percentage from 100 can produce a misleading result.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

What is the difference between a promoter and a promoter-group holder?

The promoter is disclosed separately from entities or persons classified in the promoter group. Both can count in category A, but they are different registered holders and may have different voting, transfer and encumbrance details.

What does promoter pledge mean?

A pledge is a reported encumbrance over shares. It does not prove that a lender has invoked the pledge, that shares were sold, or that a default occurred. Check later company announcements and exchange notices for those events.

How do convertibles and warrants affect the reading?

Current ownership reflects the shares reported on the as-on date. Fully diluted ownership assumes the listed convertibles, warrants or ESOPs are converted. Compare both percentages and check the instrument terms; potential dilution is not the same as an issued share.

Who appears in the public-shareholder list?

The filing discloses public shareholders holding 1% or more, and persons acting in concert when available. Smaller holders may not be named, so the list indicates disclosed concentration rather than the complete shareholder base.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Does a registered holder identify the ultimate owner?

Not necessarily. The significant-beneficial-owner disclosure is a separate layer addressing ownership or influence interests under the applicable rules. Read it alongside the registered-holder tables.

How often is the shareholding pattern filed?

The consolidated SEBI LODR text cited here states quarterly filing within 21 days after quarter-end for specified securities on the main board, SME and Innovators Growth Platform, with a half-yearly 21-day cadence stated for the SME exception. A qualifying capital restructuring changing paid-up share capital by more than 2% has a stated 10-day filing window. Check the current rule for compliance use.

What should I record when comparing two filings?

Record the as-on, submission and revision dates; issuer and security class; A, B, C1 and C2 categories; promoter and promoter-group rows; named public holders; current and fully diluted percentages; voting rights; and each encumbrance type. Then use corporate-action documents to explain changes.

The Bottom Line

Read an Indian shareholding-pattern filing as a dated, revisable regulatory snapshot. Verify the exchange version and dates, use SEBI’s A+B+C2 denominator, keep promoter and promoter-group rows distinct, examine public concentration and SBO disclosures, and review dilution, voting rights and each encumbrance separately. The result is a more reliable ownership history—not a stand-alone verdict on management, liquidity, control or future share-price performance.
