Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Clear out junk files and repair common Windows errors3Scan for outdated or missing drivers - takes under a minuteShort answer: Treat a bank’s “noninterest income” as a collection of different businesses, not as one dependable revenue stream. Identify which fees come from continuing customer relationships, reconcile those amounts with the bank’s regulatory filings, remove acquisition-date accounting effects, and then test whether the deal improved earnings without weakening credit quality, capital, operations or service continuity.
Start with the question behind the headline number
A bank can report rising fee income while its underlying earnings become less predictable. Deposit-service charges, fiduciary fees, card interchange, payments, mortgage servicing, trading revenue and gains recorded during an acquisition may all appear in noninterest income, yet they have different customers, cost structures and sensitivities. A broad increase therefore does not prove diversification, recurring revenue or lower risk.

Your objective is to answer two separate questions:
- Fee quality: Which revenue streams are generated repeatedly by customer relationships, and which depend on markets, transaction volumes, one-time events or accounting estimates?
- Acquisition quality: Did the purchase add durable earning assets and capabilities, or did it introduce credit, valuation, goodwill, integration, capital and third-party risks that can obscure reported results?
Keep those questions separate until the final assessment. An acquisition can lift reported income through a bargain-purchase gain while the acquired business is still difficult to integrate. Conversely, a deal can produce little day-one accounting benefit but add stable service revenue over time.

Establish the reporting baseline before calculating trends
Identify the legal entity, period and applicable Call Report
Begin with the bank’s audited annual report, quarterly filing and regulatory report. Confirm whether the figures belong to the insured bank, a holding company or a consolidated group, and write down the fiscal period and acquisition dates. Mixing holding-company results with bank-only data can make a fee trend look larger or more diversified than it is.
For a U.S. bank, the FFIEC Call Report supplies a balance sheet, income statement and supporting schedules. FFIEC 051 is used by banks with domestic offices only and total assets below $5 billion, but you must verify the form that applies to the institution and report date because forms and instructions can change. The current FFIEC description is available at FFIEC’s FFIEC 051 reporting-forms page.
Use the Call Report as a standardized cross-check, not as your only source of detail. The bank’s revenue notes, management discussion and analysis (MD&A), and business-segment disclosures may explain a line that the regulatory form combines with several unrelated activities.

Use Schedule RI carefully
Schedule RI provides categories for the income statement. Its instructions group multiple services, commissions and fees under “other noninterest income,” so a single total can conceal very different drivers. The instructions linked here are for December 2024; check the instructions in force for the period you are analyzing at the FDIC’s Schedule RI instructions.
Create a source log with the exact form, filing date, period end, entity and line item. Note every reclassification, discontinued business, acquisition and change in segment presentation. Without that log, a multi-year chart can compare unlike definitions.
- Download the bank’s audited annual report and the relevant quarterly and Call Report filings.
- Record the reporting entity and period for each document.
- Map each noninterest-income line to the bank’s own note or segment description.
- Flag any line labelled “other,” “gain,” “fair value,” “trading,” “servicing” or “acquisition-related” for separate review.
- Reconcile totals to the income statement before calculating ratios.
Map every major fee source and its behavior
Build a several-period schedule rather than relying on the latest quarter. For each source, capture amount, growth, share of total noninterest income, stated volume or price driver, related expenses and any acquisition contribution. The categories below are analytical examples; a particular bank may combine or rename them.
| Revenue source | What can make it repeatable | What can make it volatile or risky | Questions to ask |
|---|---|---|---|
| Deposit service charges | Large, stable account relationships and transparent pricing | Regulatory or competitive pressure, overdraft changes, deposit attrition and customer complaints | Are balances and account counts stable? Did pricing or policy change? |
| Fiduciary and asset-management fees | Contractual fees tied to recurring mandates and diversified client relationships | Market declines, client withdrawals, performance-linked fees and concentration in a few mandates | How much growth came from assets under management versus market appreciation or new clients? |
| Card and interchange income | High transaction frequency across a broad customer base | Consumer spending cycles, network economics, fraud, rewards costs and rule changes | Are volumes, active cards and net revenue per transaction disclosed? |
| Mortgage or loan servicing | Long-lived servicing rights with predictable contractual fees | Prepayments, interest-rate shifts, servicing advances, delinquencies and fair-value changes | What portion is cash servicing income versus valuation movement? |
| Payments and other commissions | Recurring business-client usage and contractual arrangements | Volume concentration, pricing concessions, outages, compliance failures and vendor dependence | How concentrated are customers, products and processing partners? |
| Trading and transaction-related revenue | Some client-flow businesses can recur through cycles | Market prices, spreads, inventory, counterparty losses and quarter-to-quarter volatility | Does management describe client activity separately from mark-to-market gains? |
| Other noninterest income | Only after the bank identifies the underlying components | One-time gains, litigation recoveries, asset sales and acquisition accounting can be buried here | Can the amount be reconciled to note disclosures and prior periods? |
The Federal Reserve Bank of Minneapolis describes examples of noninterest income and discusses the possibility that diversification could reduce risk, while warning that some claims deserve skepticism. That 1999 article is historical context, not a current estimate of fee mix: Noninterest income: A potential for profits, risk reduction and some exaggerated claims.

Test whether fee income is genuinely recurring
Separate customer activity from market and accounting effects
For every material stream, classify the driver as one or more of the following:
- Relationship-based: A continuing customer contract or account produces fees as long as the relationship remains active.
- Volume-based: Revenue rises or falls with transactions, assets, loans, cards or payment activity.
- Price-based: Management changes fees, spreads or commissions; growth may reverse if customers resist.
- Market-based: Asset values, interest rates, credit spreads or trading conditions change the amount.
- Event-based: A sale, settlement, restructuring, acquisition or valuation adjustment creates income that is unlikely to repeat on the same schedule.
A useful analysis shows the mix of these drivers instead of labelling the entire total “recurring.” If the bank does not disclose enough to make the split, say so and apply a more conservative interpretation.
Examine the costs and obligations attached to revenue
Fee income is not high quality merely because it is labelled a fee. Compare the revenue with personnel, technology, rewards, fraud, servicing, compliance, litigation, remediation and customer-support costs. A payment stream that grows rapidly while outage, fraud or remediation costs rise may add less economic value than the headline suggests.
Read complaint, enforcement and litigation disclosures alongside the revenue note. Do not assume that a fee line is harmless because it is small relative to net interest income; a concentrated conduct issue can damage the franchise and require costly refunds.

Look for concentration and dependency
Ask whether a few customers, counterparties, products, geographies or vendors generate a disproportionate share. Concentration can make a stable-looking average fragile. A bank may also depend on a processor, core system, network or data provider that it does not control. Note the contract-renewal date, termination rights, resilience commitments and substitution difficulty when those facts are disclosed.
Reconcile management’s story with the filings
Management may present “adjusted,” “organic,” “recurring” or “pro forma” measures. These can be useful, but you should rebuild the bridge to reported GAAP and regulatory numbers.
| Reconciliation step | Evidence to collect | Warning sign |
|---|---|---|
| Reported total | Income statement and Schedule RI amount for the same entity and period | Total does not tie to the filing or uses a different perimeter |
| Source detail | Revenue note, segment table and MD&A explanation | “Other” grows while detail becomes less specific |
| Acquired contribution | Acquisition note, closing date and pro forma discussion | Growth is attributed to “new businesses” without separate amounts |
| Market or fair-value effect | Trading, servicing and fair-value footnotes | Income rises with asset prices but cash generation is unchanged |
| One-time items | Gain, sale, settlement, restructuring and purchase-accounting entries | Management includes the item in a recurring run rate |
| Costs | Noninterest expense, integration costs and remediation disclosures | Revenue is highlighted while directly related costs are excluded |
Use several periods and label the first period in which an acquired business appears. If classifications change, preserve the original reported series and provide a separately described normalized view; do not silently rewrite history.

Strip acquisition accounting out of ordinary fee analysis
Understand the acquisition method
The Office of the Comptroller of the Currency’s 2026 Bank Accounting Advisory Series explains that acquisitions are generally recorded using the acquisition method. Identifiable acquired assets and assumed liabilities are measured at fair value on the acquisition date. If consideration exceeds the fair value of identifiable net assets, the difference is goodwill. If the fair value of identifiable net assets exceeds consideration, the difference is a bargain-purchase gain.
Before recognizing a bargain gain, the acquirer should reassess whether it identified every acquired asset and assumed liability, whether the consideration is complete and whether fair-value estimates are appropriate. The OCC series is available at the 2026 Bank Accounting Advisory Series.
Track the measurement period and provisional amounts
The OCC series states that the acquisition measurement period cannot exceed 12 months (Office of the Comptroller of the Currency, 2026). The acquisition date is generally the date control is obtained, normally the closing or consummation date. Estimates can be provisional at closing; when an adjustment is identified during the measurement period, it is recorded in the period identified rather than by restating prior periods.
Build a timeline containing:
- Announcement and regulatory approval dates.
- Closing date and the first reporting period that includes the acquired business.
- Initial fair-value marks for loans, securities, deposits and other assets and liabilities.
- Goodwill or bargain-purchase gain recognized at closing.
- Each subsequent measurement-period adjustment and its effect on earnings or capital.
- Integration costs, planned savings and the date management says savings should be realized.
Do not count a bargain-purchase gain as recurring fee income. It is an acquisition-date accounting result. Likewise, a favorable adjustment to a provisional estimate is not evidence that the bank’s customer-service operation generated more fees.
Review FDIC assistance and loss-sharing arrangements
In an FDIC-assisted transaction or loss-sharing arrangement, inspect the agreement rather than assuming the accounting is ordinary purchase accounting. The OCC series says the transaction still uses the acquisition method and that a loss-sharing agreement may be accounted for as an indemnification asset or derivative measured at fair value on the acquisition date. The agreement’s economics and remaining term can affect how later changes are recognized. Identify who bears future credit losses, the covered assets, claim conditions and the period of coverage before judging the deal’s risk.

Goodwill is not a cash asset that can absorb losses. Compare goodwill created by the deal with the bank’s tangible common equity and regulatory capital disclosures, then monitor whether the acquired unit meets the assumptions that supported the valuation. A large goodwill balance can make a later impairment charge more consequential, even if no cash leaves the bank when the charge is recorded.
Assess the risks that accounting cannot show
Asset quality and credit marks
Acquisition-date fair values incorporate assumptions about expected cash flows and credit losses. Review delinquency, nonperforming assets, charge-offs, criticized and classified loans, concentration by borrower or industry, and the pace at which acquired marks accrete into income. A purchase discount can cushion early results while credit problems are still emerging; it does not eliminate the underlying risk.

Capital and funding
Estimate the effect of purchase consideration, fair-value marks, goodwill, deferred tax items, integration spending and future growth on regulatory capital. Check common-equity ratios, risk-weighted assets, liquidity, deposit retention and any planned capital raise. A deal that increases earnings but leaves less capital flexibility may be a poor trade for a smaller or concentrated bank.
Integration execution
Require a timetable for systems conversion, data migration, branch and product changes, employee retention, customer communications and removal of duplicate infrastructure. Compare realized savings with the original plan and identify which costs are genuinely one-time. Delayed conversion, duplicate systems and staff departures can erase the expected benefit while increasing operational risk.
Customer and service continuity
Track account closures, deposit outflows, loan-servicing errors, payment failures, complaint volumes and call-center performance after closing. A bank can lose the economic value of acquired relationships even when the general ledger records the acquisition correctly.
Critical third parties
If the acquired business adds vendors or depends on outside providers for payments, technology, servicing or data, perform a separate resilience review. The 2023 interagency guidance says oversight should be tailored to the relationship and to the bank’s size, complexity and risk profile. Its due-diligence factors include the provider’s financial condition, experience, risk management, information security and operational resilience. Read the guidance at Interagency Guidance on Third-Party Relationships.
Pay special attention to providers whose disruption could cause significant customer harm or prevent a critical banking activity. Review incident history, recovery objectives, subcontractors, testing evidence, audit rights and exit plans rather than relying on a generic vendor certification.

Common analytical mistakes and how to correct them
Calling all noninterest income “fees”
Why it fails: The category includes trading, transaction and other items with different risk profiles.
Correction: Use the most detailed disclosed categories and mark unknown components as unclassified rather than recurring.
Assuming a rising fee share means lower risk
Why it fails: Growth may reflect volatile markets, aggressive pricing, concentration or costs that are not shown in the headline.
Correction: Test the driver, sensitivity, concentration, expense and customer-outcome evidence for each stream. The Minneapolis Fed discussion supports skepticism about broad diversification claims.
Including a bargain gain in the earnings run rate
Why it fails: The gain results from acquisition-date valuation, not a continuing customer service.
Correction: Exclude it from recurring income and document the fair-value review, acquisition date and any later measurement-period adjustments.
Comparing unlike forms or entities
Why it fails: A bank-only Call Report, a holding-company annual report and a pro forma presentation may have different perimeters and definitions.
Correction: Match entity, form, period and instructions before calculating a ratio.
Counting announced synergies as realized savings
Why it fails: Savings can require spending, depend on staff retention or be offset by service failures and revenue attrition.
Correction: Compare the original timetable with actual expense, headcount, systems and customer metrics.
Ignoring vendors until a disruption occurs
Why it fails: A provider can be financially weak, insecure or impossible to replace even while service appears normal.
Correction: Apply the interagency due-diligence factors and require a tested continuity and exit plan for critical relationships.

- Record uncertainty: identify every material amount the bank does not disclose and avoid filling the gap with an assumption presented as fact.
The result should be two conclusions, not one: an evidence-based view of the bank’s recurring fee capacity and a separate judgment about whether acquisition risks are controlled. If the disclosures cannot support a clean conclusion, that lack of visibility is itself an investment risk.
What the official accounting guidance does—and does not—mean
The OCC’s 2026 Bank Accounting Advisory Series is interpretive material, not a new accounting rule. James M. Gallagher, Senior Deputy Comptroller and Chief National Bank Examiner, stated: "The BAAS does not represent rules or regulations of the OCC." The bulletin explains that the series provides Office of the Chief Accountant interpretations of GAAP and regulatory guidance based on the facts and circumstances presented. Read OCC Bulletin 2026-38 alongside the bank’s applicable accounting policies and filings.
The 12-month measurement-period limit is an accounting time limit, not a statistic about acquisition success. The available sources also do not establish a current market-wide percentage for fee-income share, acquisition success or acquisition losses. Do not substitute an undated industry average for bank-specific evidence.
