Donating appreciated shares directly to a qualified charity can be more tax-efficient than selling the shares first, but the result depends on who owns the stock, how long it has been held, the recipient’s status, the shares’ value, and the donor’s other charitable gifts. An individual who gives eligible shares held more than one year may generally claim a federal deduction based on fair market value without first recognizing the built-in gain personally. That deduction is subject to percentage limits, substantiation rules, and exceptions.
This guide covers federal U.S. rules reflected in IRS Publication 526 (2025), Publication 561 (December 2025), and the December 2025 Form 8283 instructions. It does not determine state tax treatment, whether a particular issuer permits a transfer, whether a company-owned position qualifies for a deduction, or whether a specific charity or donor-advised-fund sponsor accepts a security.

What happens when you donate appreciated stock instead of selling it?
Suppose you personally own shares that are worth more than your tax basis. If you sell them, the sale can create a capital gain. If you instead transfer eligible shares directly to a qualified charitable organization, you generally do not sell the shares first, so you do not personally realize that built-in gain through a sale. You may then be able to claim a charitable-contribution deduction, usually tied to fair market value for long-term capital-gain property, subject to the applicable limits.

A deduction is useful only to the extent you can claim it under the rules for your recipient, adjusted gross income (AGI), holding period, valuation, documentation, and other contributions. The charity generally receives the shares and, if it chooses, sells them; the tax treatment of that sale is not the same as a sale by you.

The first question is ownership. A shareholder giving personally owned shares is a different taxpayer from a corporation, partnership, trust, or other entity giving securities it owns. Do not report a company’s contribution as if it were your personal gift merely because you work for or own the company.
| Transaction | Typical federal consequence for the individual | Issues to verify |
|---|---|---|
| Sell shares, then donate cash | The sale can create a capital gain or loss; the cash gift is considered separately. | Sale date, basis, holding period, gain, and the cash contribution rules. |
| Transfer qualifying long-term appreciated shares directly to a qualified charity | A deduction may generally be based on fair market value, and you generally avoid personally realizing the built-in gain through a sale. | Recipient status, holding period, valuation, AGI limit, transfer completion, and substantiation. |
| Company transfers shares it owns | The owner is the company or other entity, not automatically its shareholder. | Entity-level tax rules, governing documents, authorization, accounting, and professional advice. |
The IRS cautions that appreciation can affect the deductible amount. In Publication 526, it states: “If you contribute property with an FMV that is more than your basis in it, you may have to reduce the FMV by the amount of appreciation (increase in value) when you figure your deduction.” Whether an exception permits full fair-market-value treatment depends on the property and contribution rules that apply to your facts.
Follow this decision sequence before initiating a transfer
1. Identify the donor and the legal owner
Review the brokerage account registration, equity-plan documents, trust or entity records, and any transfer restrictions. The shares must be owned by the person or entity claiming the contribution. Employer stock held in an individual brokerage account is not necessarily subject to the same restrictions as shares held by the employer itself, a retirement plan, or an entity.
For company-owned stock, obtain advice on the entity’s tax classification and authority to make a charitable contribution. The federal individual-contribution rules in Publication 526 do not by themselves establish the outcome for a particular company, partnership, limited liability company, trust, or other organization.
2. Establish the holding period and tax character
For charitable-contribution purposes, capital assets held one year or less are generally ordinary-income property. Assets held more than one year are generally capital-gain property. The date you acquired the shares and the date the charity receives them matter; do not rely only on the date you submitted a transfer request.
Short-term appreciated stock is generally subject to a reduction for the short-term gain, which can leave a deduction closer to basis rather than full fair market value. Long-term shares may qualify for fair-market-value treatment, subject to the special rules and percentage limits described below.
3. Confirm that the recipient is qualified
A deductible charitable contribution generally must go to a qualified organization. Use the Internal Revenue Service’s Tax Exempt Organization Search to check the organization’s status, and ask the organization which legal entity will receive the shares. A gift earmarked for a named individual is not generally a deductible charitable contribution simply because a charity is involved.
Do not assume that a nonprofit’s public-facing name identifies the legal recipient. Keep the organization’s legal name, address, and acknowledgment with your tax records.

4. Ask whether the organization can receive your exact shares
Before moving securities, contact the charity’s development or gift-processing office, your broker’s transfer department, and—if applicable—the sponsor of a donor-advised fund. Ask about ticker or security identifier, account-registration requirements, transfer instructions, minimum values, acceptance of restricted or privately issued stock, sale timing, and any fees. These policies vary by recipient and are not established by the IRS publications.
5. Estimate the deduction and AGI limits
Determine the shares’ fair market value under the applicable valuation rules, then combine the proposed gift with your other charitable contributions for the tax year. For many gifts of long-term capital-gain property to public charities, a 30%-of-AGI limit is the starting point when the deduction is claimed at fair market value. Other percentage limits can apply, and an election to reduce the claimed value may change the limit.
Publication 526 describes limits of 20%, 30%, 50%, or 60% of AGI depending on the property, recipient, and circumstances. These percentages are not interchangeable caps. Calculate the ordering of contributions and any available carryforward rather than assuming that the entire stock value is deductible in the year of transfer.
6. Arrange the transfer so delivery is complete
Obtain written delivery instructions from the recipient and your broker. A transfer that remains pending at year-end may not be a completed contribution for that tax year. Keep the transfer request, confirmation of delivery, account statements showing the shares and dates, and the recipient’s acknowledgment.
7. Collect the required acknowledgment and tax forms
For a contribution of $250 or more, obtain a contemporaneous written acknowledgment from the charity. The acknowledgment should describe the property and state whether you received goods or services in return; if you did, it must include a good-faith description and value of those benefits.
Form 8283 may be required with your federal return for noncash contributions. The applicable section, signature requirements, and appraisal rules depend on the property and claimed value. Review the current Instructions for Form 8283 for the tax year of the gift. The charity’s signature, when required, confirms receipt; it does not guarantee that the claimed value is correct.
How holding period changes the deduction
| Holding period when contributed | Federal character | General valuation effect | Questions to resolve |
|---|---|---|---|
| One year or less | Generally ordinary-income property | The deduction is generally reduced by the short-term gain; full fair market value is not usually available for appreciated shares. | Exact acquisition date, basis, and whether a special exception applies. |
| More than one year | Generally capital-gain property | A qualifying gift to many public charities may generally be deducted at fair market value, subject to limits and exceptions. | Recipient category, AGI ceiling, valuation support, and carryforward. |
The holding period is measured under federal tax rules and can be affected by how the shares were acquired. Shares from an employee plan, gifted shares, inherited shares, and replacement shares after certain transactions can have different basis and holding-period records. Ask the plan administrator or tax professional for the acquisition history when the account contains lots with different dates.

Understand the AGI percentage limits before choosing a gift size
Publication 526 says, “Your deduction for charitable contributions generally can’t be more than 60% of your AGI, but in some cases 20%, 30%, or 50% limits may apply.” The applicable limit depends on the type of property, the recipient organization, whether you claim fair market value or make an election to reduce the value, and your other contributions.

| Percentage mentioned by the IRS | How to interpret it |
|---|---|
| 60% of AGI | A general ceiling that can apply in some contribution situations; it is not a universal stock-gift limit. |
| 50% of AGI | Can apply to certain property and organizations under the contribution-limit framework. |
| 30% of AGI | Commonly relevant when long-term capital-gain property is contributed at fair market value to many public charities that fall within the 50%-limit organization category. |
| 20% of AGI | Can apply in specified situations, including certain recipients or property combinations. |
Unused deductible amounts may generally be carried forward under the applicable rules, but a carryforward does not eliminate the need for a timely, substantiated contribution. Track the year of the gift, the amount used, and the amount remaining. A tax professional can model the ordering when you are making both cash and noncash gifts or contributing to more than one type of organization.
Publication 526 also uses the term “qualified appreciated stock” for a particular private-foundation rule. In that context, a donor and family contribution exceeding more than 10% of the value of all outstanding stock can affect the deduction. This is a specialized threshold, not a general prohibition on donating more than 10% of a company’s shares to every charity.
Valuing publicly traded shares
Publicly traded shares normally have market quotations that help establish fair market value. The relevant value is not necessarily the price displayed when you first decide to give. Use the valuation method required for the contribution date and retain the quotation or statement that supports it.
The Tool Desk
Outbyte Driver Updater FREEFix the driver behind crashes, sound loss and screen glitchesFind Drivers →Outbyte PC Repair FREERepair Windows errors before they cause bigger problemsFix Now →Certain publicly traded securities are excepted from qualified-appraisal requirements. That exception does not remove the need to substantiate the contribution, determine the claimed value, obtain the charity’s acknowledgment, or complete Form 8283 when required. Publication 561 and the Form 8283 instructions explain the current documentation rules.
For a volatile stock, document the contribution date and the information used to determine value. If several lots are transferred, preserve the lot-level basis and acquisition dates even when the charity receives a single combined delivery.
Private-company, restricted, and closely held shares require separate diligence
A private or restricted share may not be transferable to a charity, may require issuer consent, or may have contractual rights that limit resale. The charity may decline the gift even if the shares have substantial paper value. Review shareholder agreements, right-of-first-refusal provisions, lockups, legends, securities-law restrictions, and the issuer’s approval process with qualified advisers.
Valuation is also more complex when there is no readily available market quotation. The gathered IRS guidance does not establish that a particular private share is transferable or prescribe a value for your issuer. A qualified appraisal may be needed, and the claimed value can trigger additional Form 8283 requirements. Do not treat a recent preferred financing, internal valuation, or employee-plan statement as automatically equal to deductible fair market value.
If a private foundation is involved, analyze the specialized qualified-appreciated-stock definition and the 10%-of-outstanding-stock threshold separately. That rule should not be generalized to all private-company gifts or all public charities.

Direct charity transfer or donor-advised fund?
A donor-advised fund can be a possible route when its sponsor accepts the security. You contribute shares to the sponsoring organization, receive the sponsor’s acknowledgment if the gift qualifies, and later recommend grants to eligible charities under the sponsor’s terms. The sponsor controls acceptance, liquidation timing, investment treatment, grant recommendations, fees, minimums, and administrative rules.
| Decision factor | Direct transfer to a charity | Transfer to a donor-advised-fund sponsor |
|---|---|---|
| Recipient acceptance | Confirm the charity can receive and sell or hold the shares. | Confirm the sponsor accepts that security and account type. |
| Grant flexibility | The gift goes to the named charity. | Later grant recommendations may provide more timing flexibility, subject to sponsor rules. |
| Timing and sale | Ask when the charity records receipt and whether it sells promptly. | Ask when the sponsor records receipt, liquidates, and makes assets available for recommendations. |
| Fees and minimums | Verify any transfer or liquidation charges. | Verify account minimums, administrative fees, and investment or liquidation charges. |
| Documentation | Obtain the charity’s acknowledgment and complete required reporting. | Retain the sponsor’s acknowledgment and complete the same federal noncash-reporting analysis. |
Neither route should be selected solely because someone promises a particular tax result. Provider-specific terms were not established here, so obtain the current written policy from the organization or sponsor before transferring shares.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. What changes when the company, not the shareholder, gives the stock?
“Company stock” can mean shares issued by your employer that you personally own, or shares held by the company itself. Those are different transactions. A personal shareholder’s charitable deduction belongs to the individual who owns and transfers the shares. A company’s contribution is considered under the rules applicable to that entity and its accounting and governance documents.
- Confirm whose brokerage or securities account holds the shares.
- Identify the person or entity authorized to approve the contribution.
- Determine whether the recipient’s acknowledgment names the correct donor.
- Ask how the contribution will be recorded for the entity and reported on its return.
- Do not use an employee’s personal AGI limits to analyze a company-owned position.
The IRS publications cited here principally address taxpayer contributions and do not settle the tax outcome for a particular entity, equity plan, or state. Company directors, officers, trustees, and owners should obtain entity-specific advice before treating a transfer as deductible.
Illustrative situations
Long-term publicly traded shares
You personally own publicly traded shares held for more than one year. The charity confirms it can receive the shares, your broker completes delivery before year-end, and the charity provides a contemporaneous acknowledgment. You may generally analyze a fair-market-value deduction, then apply the relevant AGI percentage limit and any carryforward rules. Your records should support the contribution date, quotation, basis, holding period, recipient, and transfer completion.
Short-term shares with a large unrealized gain
You bought shares eight months ago and their value has risen substantially. A direct gift can avoid a personal sale, but the short-term ordinary-income-property rules generally reduce the deduction by the appreciation. Selling and donating cash may produce a different result; compare the after-tax outcomes with a tax adviser rather than assuming that direct transfer is superior.
Restricted private shares
You hold unlisted shares subject to a right of first refusal. The charity is interested but has no process for accepting restricted securities. Until the issuer and charity approve a transfer and a defensible valuation, the proposed gift is not ready. A qualified appraisal and additional Form 8283 work may be necessary, and the charity can still decline the contribution.

Company-owned shares
Your corporation owns an investment account containing appreciated securities. A personal charitable deduction is not created when the corporation transfers those shares. The company must analyze authorization, entity-level tax treatment, accounting, and the recipient’s acknowledgment under the rules that apply to the company.

Documentation checklist
- Brokerage statement showing the owner, security, shares, and transfer date.
- Acquisition records showing basis and whether each lot was held more than one year.
- Issuer or plan documents identifying transfer restrictions and required approvals.
- Written acceptance and delivery instructions from the charity or donor-advised-fund sponsor.
- Transfer confirmation from the broker and recipient.
- Fair-market-value support, such as the applicable market quotation for publicly traded shares.
- Contemporaneous written acknowledgment for a contribution of $250 or more.
- Form 8283 and any required signatures or appraisal attachments.
- Records of other charitable gifts, AGI, deductions used, and any carryforward.
The $250 threshold concerns acknowledgment of a contribution. The $500 and $5,000 thresholds can affect different noncash-reporting and appraisal requirements. They are not one universal test. Publicly traded securities have specific appraisal exceptions, so use the current IRS Publication 561 and Form 8283 instructions for the tax year involved.
A $75 rule often appears in charity communications, but it is the IRS threshold for written disclosure of quid-pro-quo contributions—situations in which the donor receives goods or services in return. It is not the general substantiation threshold for a stock gift. The IRS explains that distinction on its substantiation and disclosure requirements page.
Common failure points and how to correct them
The transfer was requested but not completed
Ask the broker and recipient to confirm the date the charity actually received the shares. If delivery occurred in a different tax year, use the completed-transfer date when evaluating the contribution.
Quick wins for a faster PC:
Repair Windows errors before they cause bigger problemsFix Now →Scan for outdated or missing drivers - takes under a minuteDriver Scan →The recipient is not qualified
Verify the legal organization before transferring. If the intended beneficiary is an individual, a family member, or an informal project rather than a qualified organization, the general charitable deduction may not apply.
The stock was held for too little time
Separate lots by acquisition date. A single ticker can contain both short-term and long-term shares, and the tax character may differ lot by lot.
The donor used the wrong taxpayer’s information
Correct the acknowledgment and reporting records so they identify the actual owner and donor. For an entity-owned position, obtain entity-specific guidance rather than placing the gift on an individual return.
The value was assumed rather than supported
Use the appropriate valuation method and preserve the evidence. For private or restricted shares, consult a qualified appraiser and review the recipient’s acceptance decision before claiming a deduction.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problemsThe AGI limit was ignored
List all charitable contributions for the year, classify each property and recipient, and calculate the allowed amount and carryforward. A large stock gift can exceed the current-year limit even when the transfer itself is valid.
Federal rules are not the whole tax answer
The sources cited here describe federal rules. They do not establish state income-tax deductions, state capital-gain treatment, local credits, employer-plan restrictions, securities-law compliance, or the terms of a particular donor-advised-fund sponsor. Rules and forms can change, so use the instructions for the tax year in which the transfer occurs.
For a straightforward transfer of long-term publicly traded shares, your broker and the charity can usually explain their mechanics. For private-company or restricted stock, mixed holding periods, large gifts, private-foundation recipients, entity-owned securities, or significant carryforwards, obtain advice from a qualified tax professional and the issuer or plan administrator before signing transfer documents.
Quick Recap
A final pre-transfer checklist
- Confirm whether you or a company owns the shares.
- Document each lot’s acquisition date and basis.
- Classify the shares as short-term or long-term under federal rules.
- Verify the recipient’s qualified-organization status.
- Obtain written confirmation that the recipient accepts the exact security.
- Choose direct transfer or a donor-advised-fund sponsor only after reviewing acceptance, timing, fees, and grant terms.
- Estimate fair market value and apply the correct AGI percentage limit alongside your other gifts.
- Complete delivery before the intended tax-year deadline and retain proof.
- Obtain the required acknowledgment, appraisal support, and Form 8283 attachments.
- Review federal and state consequences with an adviser when the facts are complex.
