When the dividend becomes detachable from the share, the stock’s reference value is normally adjusted downward by the distribution, but the market price can move by more or less than that amount. Your economic result is the value of the remaining shares plus the cash received, not the price chart alone. For U.S. taxpayers, the word “special” does not determine whether the payment is qualified, ordinary, return of capital or tax-free; the issuer’s tax classification and your facts control.
What a special dividend is—and what it is not
A special dividend is an irregular cash distribution outside a company’s established normal payment pattern. S&P Dow Jones Indices (S&P DJI) uses that description in its index methodology. The label depends on the issuer’s announcement and payment history: a larger ordinary dividend may still be ordinary, and a recurring variable dividend can remain part of a normal policy.

That market or index label is not a tax category. A payment called “special” by an issuer or index provider is not automatically a qualified dividend, ordinary dividend, return of capital or tax-free distribution. Those outcomes depend on the payer’s tax reporting and the shareholder’s circumstances.

The mechanical adjustment
Before the ex-dividend date, a share generally trades with the right to the announced dividend. Once the share goes ex-dividend, that right belongs to the seller rather than a new buyer. Because cash is leaving the company, the share represents less cash on the balance sheet. Investor.gov explains that “with a significant dividend, the price of a stock may fall by that amount on the ex-dividend date.”

S&P DJI’s index methodology applies a mechanical special-dividend adjustment: at the opening of the effective date, the stock price used for the index is reduced by the payment amount. This is an accounting convention for maintaining a continuous index calculation, not a guarantee about the quote you will see in the market.
Why the traded price may not match the adjustment
Actual trading incorporates many other forces at the same time. Overnight company news, earnings expectations, market-wide moves, interest rates, order imbalances and taxes can push the stock up or down. A $10 special dividend does not ensure a $10 decline, and the stock can rise, fall by less, or fall by more. The ex-date adjustment removes the value of the distribution from a reference price; it does not predict supply and demand.
A simple cash-plus-share example
Assume you own one share worth $100 immediately before a $10 special dividend. If the share trades at $90 after the ex-date adjustment and you receive $10 in cash, you still have $100 before taxes, trading costs and subsequent market movement:

- Remaining share: $90
- Dividend cash: $10
- Combined pre-tax value: $100
This arithmetic illustrates the transfer of value; it is not a forecast or a typical market result. Your after-tax amount can be lower, and reinvestment decisions and later price changes determine the eventual return.

Price return versus total return
What each measure includes
A price-return chart follows only the quoted share price. It omits cash distributions, so a downward step on the ex-date can make performance look worse than the shareholder’s actual outcome. A total-return measure adds distributions to the share-price change, generally assuming a stated treatment such as reinvestment. A net-total-return measure additionally reflects specified withholding taxes.
S&P DJI states that ordinary dividends affect its total-return and net-total-return indices, not price-return indices. It treats special dividends as corporate actions that require price and divisor adjustments. Consequently, compare like with like: a price index against a price index, or a total-return index against a total-return index.
How to evaluate your own return
- Record the value of your position immediately before the share goes ex-dividend.
- Record the cash distribution actually credited to your account, including the number of shares and any withholding.
- Measure the post-ex-date market value of the shares you still own.
- Add cash and share value, then subtract taxes, commissions and other costs relevant to your account.
- For a multi-period result, include what happened to the cash after receipt and any later share-price movement.
Do not call the dividend a “free return.” The company’s assets decline when cash is distributed, and the market can revalue the business for reasons unrelated to the payment.
Ex-date, record date and the 25% timing rule
Who receives the dividend
Investor.gov’s ex-dividend guidance states that a buyer who purchases on or after the ex-dividend date does not receive the next dividend; the seller is entitled to it. A buyer before the ex-date generally receives the distribution, subject to the transaction and settlement rules in effect for that security. The issuer’s notice and your broker or exchange calendar are the authoritative sources for a particular payment.

When a very large dividend changes the calendar
For a dividend equal to 25% or more of the stock’s value, Investor.gov describes a special rule: the ex-dividend date is deferred until one business day after the payment date. This threshold is an administrative rule, not a statement about the investment’s quality or expected return. Because the timing affects entitlement, verify the dates for the specific distribution rather than relying on the ordinary pattern.
Dates to put on your checklist
- Declaration date: the company announces the amount and timetable.
- Record date: the issuer identifies shareholders entitled under its records.
- Ex-dividend date: the first date on which a buyer generally does not receive that dividend.
- Payment date: cash is distributed to entitled shareholders.
For an unusually large payment, the ex-date can be deferred under the 25% rule. A broker’s display may update as exchange and issuer information changes, so check the current notice.
U.S. federal tax treatment: “special” is not a tax answer
Start with the payer’s tax documents
For U.S. federal purposes, the issuer reports the distribution on Form 1099-DIV when applicable. The box and accompanying issuer information determine how you begin your tax reporting. IRS Publication 550 (2025) and the Instructions for Form 1099-DIV (01/2024) describe the relevant categories and exclusions. Do not assign a tax treatment merely because the announcement uses the word “special.”
When a dividend may be qualified
Qualified-dividend treatment generally requires all of the following:

- The payer is an eligible U.S. corporation or a qualified foreign corporation.
- The payment is not an excluded type of dividend under the applicable rules.
- You satisfy the holding-period test.
For common stock, Publication 550 (2025) generally requires that you hold the stock for more than 60 days during the 121-day period beginning 60 days before the ex-dividend date. The holding-period count can be affected by positions that reduce your risk of loss, such as certain options or short sales. The 60-day figure is a legal threshold for the 2025 guidance, not a recommendation to hold through a date.
Preferred-stock holding periods
A separate test applies when dividends relate to periods totaling more than 366 days for certain preferred stock. Publication 550 (2025) describes a requirement to hold the preferred stock for more than 90 days during the 181-day period beginning 90 days before the ex-dividend date. Confirm whether your security falls within that rule before applying it.
Other possible classifications
A distribution can be reported as an ordinary dividend, a nontaxable return of capital, or another category identified by the payer. A return of capital generally reduces your tax basis until basis reaches zero; amounts beyond basis can create a capital gain. The issuer’s final tax reporting, not the marketing language in a press release, controls the starting point for your return. If a corrected Form 1099-DIV arrives, use the corrected information.
Account type and taxpayer facts matter
Tax treatment can differ between taxable brokerage accounts and retirement accounts, and between individual, trust and business owners. State, local, foreign and treaty rules can differ from U.S. federal rules. The discussion here is limited to U.S. federal guidance and does not estimate your tax bill. Keep the trade confirmations, dividend statement, dates held and any records of hedging transactions.

A separate rule for corporate shareholders: IRC §1059
Internal Revenue Code §1059 addresses an “extraordinary dividend” received by certain corporate shareholders. If a corporation has not held the stock for more than two years before the announcement date, the nontaxed portion of an extraordinary dividend can reduce the corporation’s basis, subject to the section’s definitions and conditions. This is a corporate basis rule, not the ordinary individual-investor qualified-dividend test. An individual should not apply §1059 as a shortcut for deciding how a personal Form 1099-DIV is taxed.
How to analyze a special dividend before trading or filing
Step 1: Read the issuer’s announcement
Identify the amount per share, currency, declaration date, record date, ex-date, payment date and any statement about tax characterization. Check whether the company calls the payment special, supplemental, variable or part of a recurring policy.
Step 2: Confirm the exchange and broker dates
Use the current exchange or broker information for entitlement. If the distribution is at least 25% of the stock’s value, look for the deferred ex-date described by Investor.gov. Do not assume a normal quarterly calendar applies.
Quick wins for a faster PC:
Scan for outdated or missing drivers - takes under a minuteDriver Scan →Repair Windows errors before they cause bigger problemsFix Now →Step 3: Separate the three performance questions
- Price question: How did the quoted share price move after the ex-date?
- Total-return question: What are the shares plus cash, before and after costs?
- Tax question: How did the issuer classify the payment, and did your holding period and account qualify for the treatment?
Step 4: Preserve the right records
Save the issuer notice, broker transaction history, Form 1099-DIV and any corrected form. Note purchase dates for every lot, because selling some shares or using different tax lots can change the holding-period analysis.
Step 5: Avoid the ex-date “free money” trap
Buying immediately before an ex-date does not create a guaranteed gain. The share’s reference value normally adjusts for the cash, the market price is uncertain, and taxes and transaction costs can reduce the result. A trade should be evaluated on the company and the risk, not solely on the announced distribution.
Common mistakes and how to correct them
| Mistake | Why it is wrong | Better practice |
|---|---|---|
| “The stock always drops exactly by the dividend.” | The adjustment is mechanical; trading prices also reflect news and market conditions. | Describe the expected reference adjustment and then check the observed market move. |
| “A special dividend is automatically qualified.” | Qualified status depends on the payer, exclusions and holding period. | Use the issuer’s Form 1099-DIV information and Publication 550 (2025). |
| Judging performance from a price-only chart. | The chart omits cash received. | Use a total-return series or add distributions to the share value. |
| Using the ordinary ex-date calendar for a huge payment. | A dividend of at least 25% of stock value can defer the ex-date. | Verify the distribution-specific dates with the issuer, exchange and broker. |
| Applying individual rules to a company account. | IRC §1059 can affect corporate basis for extraordinary dividends. | Separate corporate tax analysis from individual qualified-dividend rules. |
| Estimating tax from the announcement headline. | State, foreign, account-type and issuer classifications can differ. | Wait for the payer’s tax documents and consult a qualified tax professional when needed. |
Bottom line for investors
A special dividend changes the form of your investment: some value leaves the company as cash, and the remaining share is adjusted to reflect that transfer. The ex-date quote alone is therefore an incomplete measure of your result. Compare cash plus shares for total return, verify the ex-date—especially for a distribution at least 25% of stock value—and use the issuer’s tax reporting with the correct U.S. federal holding-period rules. “Special” describes the payment’s place in the company’s distribution history; it does not settle your tax classification.
