No verified $1 billion offer or agreed deal is established by the public accounts. Action1 said it had received acquisition inquiries and would remain founder-led and independent. CrowdStrike corporate development vice president Gur Talpaz later described only one brief, surface-level conversation and denied that an offer or M&A process took place.

What sparked the Action1 acquisition rumors?

In early August 2024, CSO Online reported an account based on an anonymous source and an employee email attributed to Action1 CEO and co-founder Alex Vovk. As SecurityWeek reported, Action1 confirmed the email’s authenticity at the time. The email described CrowdStrike’s interest and an estimated transaction value close to $1 billion.

What did Action1 say?

On August 20, 2024, Action1 announced that it had received acquisition inquiries over the prior year, including from well-known industry players, but had decided to remain founder-led and independent. Action1 describes itself as a patch-management company; the statement did not identify a buyer or disclose transaction terms.

“We are honored by the interest we have received from major industry players, as it validates our strategy and leadership in the space,” said Alex Vovk, Action1’s CEO and co-founder. “However, after careful consideration, we have determined that remaining founder-led is the best path forward. While it is tough to turn away from significant financial opportunities, we believe our future is far brighter as an independent company.” Read Action1’s August 20 announcement.

How did CrowdStrike respond?

On August 21, SecurityWeek reported that CrowdStrike vice president of corporate development Gur Talpaz responded on LinkedIn. Talpaz said the companies had one 45-minute group conversation after RSA, without a CrowdStrike senior leader present; Action1 signed no NDA, CrowdStrike received no diligence materials, and CrowdStrike disengaged after the surface-level discussion.

“CrowdStrike had one, 45-minute group conversation following RSA with Action1. Not one single senior member of the CrowdStrike team was a part of this conversation – me included. Action1 signed no NDA. We did not receive a single diligence item of any kind and disengaged after a surface level conversation,” Talpaz said.

Talpaz also rejected the idea that an offer or M&A process existed, calling the reports false and saying the valuation had never been discussed. These are Talpaz’s statements as reported by SecurityWeek, not independently adjudicated findings.

Did CrowdStrike offer $1 billion for Action1?

The available reporting does not establish that CrowdStrike made a $1 billion offer, that the companies entered formal negotiations, or that a transaction was agreed. The near-$1 billion figure belongs to the reported employee email; Action1’s announcement confirms inquiries and its choice of independence, while Talpaz’s account disputes that there was an offer or M&A process.

This is a record of competing public accounts from August 2024, not evidence of a completed acquisition. The sources cited here do not establish what either company said or did after that reporting.
