Windstream announced its agreement to acquire Broadview Networks Holdings on April 13, 2017, in an all-cash transaction valued at $227.5 million. The deal was designed to strengthen Windstream’s cloud-based unified communications offering for small and midsize businesses (SMBs), while adding customers, fiber infrastructure, sales expertise, and channel relationships. The transaction closed on July 28, 2017.
What Windstream agreed to buy
Broadview was more than a traditional telecom customer-base acquisition. It brought Windstream a cloud communications platform, an established SMB business, operational expertise, and network assets that could complement Windstream’s existing connectivity portfolio.

The proposed transaction was unanimously approved by both companies’ boards. Windstream expected the acquisition to generate approximately $30 million in annual operating synergies within two years, although that figure was a management projection rather than a guaranteed or subsequently established result. The deal was subject to customary closing conditions and regulatory approvals, with closing initially expected during the third quarter of 2017.
Windstream’s announcement framed the acquisition as a way to improve its competitiveness in cloud communications and move business customers from legacy telecom services toward newer, higher-value products.

What Broadview added to Windstream
Broadview contributed several strategically important assets:
- OfficeSuite: a proprietary cloud-based unified communications platform.
- Approximately 20,000 SMB customers.
- More than 250,000 OfficeSuite users, according to Windstream’s August 2017 product announcement.
- Approximately 3,000 incremental route fiber miles, concentrated substantially in the Northeastern United States.
- Cloud operations and product-development expertise.
- A sales organization and channel-partner relationships that could expand Windstream’s route to SMB buyers.
- Broadview management personnel with experience operating and selling cloud communications services.
Contemporaneous industry coverage reported that Broadview generated approximately $289 million of revenue, $49 million of EBITDA, and $2.3 million of net profit in 2016. Those figures were reported at the time and should not be treated as current or independently revalidated financial data. The same coverage described the acquisition price as roughly 4.6 times 2016 OIBDA, or about 2.9 times OIBDA after the expected synergies. Windstream’s transaction presentation provides the company’s valuation discussion.
Why unified communications mattered
OfficeSuite gave Windstream a faster route into UCaaS—unified communications delivered as a cloud service—than building a comparable platform internally. Rather than selling only connectivity or legacy voice services, Windstream could offer business telephony, collaboration, contact-center functions, chat, and video through a cloud-delivered package.

That mattered particularly for SMBs. Smaller organizations often want business calling and collaboration without purchasing, maintaining, and upgrading a large on-premises phone system. They may also prefer one provider for connectivity, communications, implementation, and support.
For Windstream, the strategic opportunity was to cross-sell OfficeSuite to its existing business customers and use its broader footprint to distribute Broadview’s services beyond Broadview’s traditional regional presence. The company was also trying to create a migration path away from older telecom products whose long-term growth prospects were weaker.

How OfficeSuite fit with SD-WAN
The most important strategic connection was between Broadview’s UCaaS platform and Windstream’s SD-WAN offering.
OfficeSuite supplied the communications layer: business calling, collaboration, contact-center capabilities, and related controls. SD-WAN supplied a managed approach to network traffic and connectivity. In principle, the combination could help an organization prioritize voice and video traffic, manage multiple network paths, and administer branch connectivity more centrally.

The company said the package could be sold to SMB and enterprise customers across its national footprint. Its product announcement described OfficeSuite as supporting telephony, contact center, chat, video, collaboration, and user and administrator controls through MyOfficeSuite.
The commercial logic was straightforward: UCaaS is more valuable when the underlying network reliably carries real-time traffic, while SD-WAN becomes more valuable when customers have important cloud applications to manage. Selling both services could increase revenue per customer and give Windstream a stronger managed-connectivity proposition.
That combination did not guarantee perfect call quality or zero downtime. Actual performance would still depend on access type, broadband quality, Wi-Fi, firewall configuration, redundancy, power, network design, and the applicable service-level terms.

| Announced transaction value | $227.5 million, all cash |
| Later SEC-reported transaction value | Approximately $230 million |
| Cash paid to Broadview shareholders | $69.8 million |
| Broadview short-term debt assumed and repaid | Approximately $160.2 million |
| Projected annual operating synergies | Approximately $30 million within two years |
Windstream’s 2017 Form 10-K explains why the later figure was approximately $230 million: the economics included both the cash paid to equity holders and the assumption and repayment of Broadview obligations. Therefore, “$227 million” is reasonable shorthand for the announcement, but it should not be interpreted as the full amount of cash paid directly to shareholders.
The deal closed—and integration began
Windstream completed the acquisition on July 28, 2017. Broadview merged into a Windstream subsidiary and became an indirect wholly owned subsidiary. The surviving entity was renamed Windstream BV Holdings, Inc., according to Windstream’s completion announcement and SEC filing.
Several Broadview executives moved into Windstream leadership roles:
- Brian Crotty became president of Windstream’s mid-market and small-business division.
- Mario Deriggi became senior vice president of sales.
- Stephen Farkouh became senior vice president of cloud technology and platform development.
- Sanjay Patel became vice president of platform development.
- Tim Bell became vice president of integration management and Broadview operations.
Windstream later reported that it was offering OfficeSuite together with its SD-WAN Concierge service across its footprint. This separated the acquisition’s milestones into three distinct events: the April announcement, the July closing, and the August launch of the first prominently marketed combined product.

What Windstream expected to gain
Product expansion
Windstream acquired a mature UCaaS platform instead of developing an equivalent system from scratch. That shortened its path into cloud voice and collaboration and allowed it to package communications with connectivity.
Cross-selling and customer migration
The company could sell OfficeSuite to its existing business customers while offering Broadview customers additional network services. It also gained a platform for migrating customers from traditional voice and other legacy services to cloud-based offerings.
Channel leverage
Broadview’s partner relationships and sales capabilities could help Windstream reach SMBs through indirect channels, rather than depending entirely on direct sales.
Network-plus-application positioning
The acquisition supported a broader managed-services message: Windstream could position itself not just as a carrier, but as a provider of network access, application traffic management, cloud communications, and support.
The risks and limitations
The strategic rationale did not eliminate execution risk.
Best Value
- Coverage up to 2,000 sq. ft. for up to 25 devices
- Ultrafast AX3000 speeds up to 3Gbps with WiFi 6 technology for uninterrupted streaming, HD video gaming, and web conferencing
- This router does not include a built-in cable modem. A separate cable modem (with coax inputs) is required for internet service.
- Connects to your existing cable modem and replaces your WiFi router. Compatible with any internet service provider up to 1Gbps including cable, satellite, fiber, and DSL
- Plug in computers, game consoles, streaming players, and more with 4 x 1G Ethernet ports
- Integration risk: Windstream had to combine different sales channels, support processes, technology platforms, network footprints, and customer expectations.
- Balance-sheet pressure: The transaction involved assumed and repaid debt, not merely a payment to Broadview’s shareholders.
- Uncertain synergies: The $30 million annual figure was an expected benefit. The sources establishing the acquisition do not prove that Windstream ultimately achieved it.
- Access-network dependence: A cloud phone service can still perform poorly over congested broadband, weak Wi-Fi, inadequate redundancy, or poorly configured customer networks.
- Regional asset overlap: Broadview’s roughly 3,000 fiber route miles were concentrated in the Northeast. Their value depended on how much infrastructure was on-net, economically useful, and integrated with Windstream’s broader network.
- Potential vendor lock-in: Bundling voice, SD-WAN, connectivity, and support can simplify procurement but make it harder to change providers later.
For customers evaluating a similar bundled service, important questions would include who controls number porting, whether backup access is included, how emergency calling is handled, what the SLA excludes, how analog devices are supported, and what migration and cancellation fees apply.
What the acquisition did—and did not—prove
The acquisition demonstrated Windstream’s intended strategic direction: moving beyond legacy telecom services toward cloud communications and managed connectivity for SMB and mid-market customers.
It did not, by itself, prove that Windstream had improved its market position, achieved the projected synergies, retained all acquired customers, or delivered superior long-term financial performance. Those conclusions would require later-period operating and financial evidence beyond the announcement, closing release, and initial product launch.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Clear out junk files and repair common Windows errors3Fix the driver behind crashes, sound loss and screen glitchesIt is also important not to assume that the 2017 OfficeSuite branding, packaging, ownership, or availability remained unchanged. The cited sources establish the historical transaction and its initial integration strategy, not the current status of the product as of 2026.
What business buyers should learn from the deal
The Broadview transaction illustrates why a UCaaS acquisition can be strategically valuable to a network operator. The software is only one part of the proposition. Customer relationships, implementation expertise, channel access, network assets, and the ability to manage application traffic can be just as important.
It also illustrates the trade-off for buyers. A single provider may simplify purchasing and support, but the buyer should verify network resilience, service boundaries, integration quality, portability, security, compliance, and exit terms before combining communications and connectivity under one contract.
