Will vs. nomination: which one determines who inherits property in India?

Short answer: A valid will generally determines who should inherit the deceased person’s estate, subject to the succession law that applies to that person and to the asset. A nomination usually tells a bank, insurer, company or depository whom it may pay or transmit an asset to after the holder dies. It is not automatically a will and does not, by itself, make the nominee the ultimate beneficial owner against heirs or legatees.

The result still depends on the asset, its governing statute, ownership and survivorship arrangements, the validity and scope of any will, and the deceased’s applicable succession law. The Supreme Court decisions discussed here concern life insurance and shares or securities; Reserve Bank of India directions concern bank deposits. They do not decide every dispute over a house, land or other immovable property.

The rule in one sentence

Nomination is primarily an institution-facing mechanism for payment or transmission after death; inheritance is determined through testamentary succession under a valid will or, if there is no effective will, intestate succession under the law governing the deceased. A nominee may therefore receive an asset from an institution without being the person who ultimately owns it beneficially.

The distinction matters because two different questions are often confused:

  • Who can the institution deal with immediately? The institution may be permitted to pay or transmit the asset to a valid nominee or survivor after checking the death and the claimant.
  • Who is entitled to keep the value under succession law? That is determined by a valid will, the applicable intestate-succession rules, ownership arrangements and any asset-specific statute.

The Bombay High Court expressed the general principle in Hanuman Prasad Khemka v. State Bank of India (3 August 2021): “It is always held that the nomination does not override the law in relation to testamentary or intestate succession.” Read the judgment.

That statement is a starting point, not a substitute for checking the law governing the particular asset. Insurance, deposits and securities have different statutory schemes and administrative procedures.

Will and nomination compared

Question Will Nomination
What is it? A testamentary disposition that directs distribution of property on death, if valid and applicable under the governing succession law. An instruction or statutory mechanism identifying a person who may receive payment or transmission from an institution after the holder’s death.
Main purpose Determine testamentary distribution of the estate. Allow an institution to settle or transmit an account, policy or security after verifying the death and claimant.
Does it automatically create beneficial ownership? A valid will can confer the testamentary entitlement provided by the applicable law. No. Naming a nominee alone does not generally exclude heirs or legatees.
What if there is no will? Intestate succession rules apply. The nominee may still be paid or registered by the institution, while ultimate entitlement is worked out under intestate succession.
Who may challenge the result? Interested heirs or other affected persons may challenge validity, interpretation or applicability under the relevant law. Heirs or legatees may retain claims against the nominee even after an institution has paid or transmitted the asset.
Is the rule identical for every asset? No. The governing succession law and ownership documents still matter. No. The payment or transmission rule is asset-specific.

Why a nominee can receive money without inheriting it

A nomination can protect an institution from uncertainty about whom to deal with immediately after a customer, policyholder or security holder dies. The institution’s limited task is often to verify the death, confirm the claimant’s identity and check whether a court has restrained payment. Deciding the family’s final beneficial rights can require a succession proceeding or other legal process and is a different question.

The RBI’s directions on deceased depositors make this separation explicit. For a valid nominee or survivor in the specified circumstances, a bank can pay after the required verification and should not insist, as a condition of payment, on probate, letters of administration or a succession certificate. The bank must make clear that the recipient receives the money as trustee for the legal heirs and that payment does not extinguish another person’s claim against that recipient. See the RBI directions on settlement of claims.

Thus, a bank’s payment is evidence that the bank has discharged its operational liability; it is not necessarily a final adjudication that the nominee owns the funds beneficially. An heir who asserts a better succession-law entitlement may still pursue the appropriate claim against the person who received the money.

What the main asset-specific authorities say

Life-insurance proceeds: the Sarbati Devi rule

In Sarbati Devi v. Usha Devi, the Supreme Court considered the nomination provision then at issue in the life-insurance law. It held that the nominee was entitled to receive the policy amount from the insurer, but nomination did not give the nominee beneficial ownership to the exclusion of heirs. The proceeds remained subject to the succession law applicable to the deceased.

“The language of Section 39 of the Act is neither capable of altering the course of succession under law nor can be said to have equated a nominee to an heir or legatee.”

The Court also said:

“It is difficult to hold that section 39 of the Act was intended to act as a third mode of succession provided by the statute.”

You can read the Supreme Court judgment in the official judgment PDF or the judgment reproduced by Indian Kanoon. Those statements concern the provision and arrangement considered in that case. Current statutory wording, policy terms and any later legal changes must be checked before applying the rule to a particular policy.

Bank deposits: payment is not the same as final ownership

For a bank deposit, the RBI directions permit payment to a valid nominee or survivor in the prescribed situation once the bank verifies the death and claimant and finds no restraining court order. The directions are designed to let the bank settle its liability without first deciding a dispute among heirs.

The recipient’s position is therefore practical and fiduciary: the bank may release the balance, but the recipient is to hold it for the legal heirs where the succession law gives others an entitlement. A will or intestate-succession claim can still determine who should ultimately retain the money. If family members disagree, the bank’s payment does not itself resolve that dispute.

Shares and securities: the Supreme Court’s 14 December 2023 decision

In Shakti Yezdani v. Jayanand Jayant Salgaonkar, decided on 14 December 2023, the Supreme Court rejected the argument that nomination under the company and depository provisions at issue gave the nominee absolute ownership of shares or securities. The Court treated the vesting as serving the limited purpose of enabling the company or depository to deal with the securities after death; it did not exclude heirs’ succession-law claims.

“The use of the word ‘vest’ does not by itself, confer ownership of the shares/securities in question, to the nominee.”

The Court’s conclusion was:

“The upshot of the above discussion is that the non-obstante clause in both S. 109A(3) of the Companies Act, 1956 & Bye-law 9.11.7 of the Depositories Act, 1996 cannot be held to exclude the legal heirs from their rightful claim over the securities, against the nominee.”

Read Shakti Yezdani v. Jayanand Jayant Salgaonkar. The ruling addresses the specified securities nomination scheme. It should not be presented as a universal rule that overrides every asset-specific statute or ownership arrangement.

Homes, land and other immovable property

The authorities above do not decide a particular house or land dispute. For immovable property, first identify the registered ownership, co-ownership or survivorship arrangement, the applicable succession law, and the terms and validity of any will. A nomination entry, if one exists in a related account or institution record, does not by itself answer who owns the property under succession law.

Documents such as a sale deed, title record, release or partition instrument, and the deceased’s will may be relevant, but the controlling documents and procedure depend on the property and the facts. Do not assume that a bank, insurance or securities precedent automatically determines title to land.

How to work out who is entitled in a real case

  1. Identify the asset precisely. Is it a bank deposit, insurance policy, dematerialised or physical security, locker contents, a house, land, or another asset? Different statutes and institutional procedures may apply.
  2. Locate the governing documents. Collect the account or policy statement, nomination form and acknowledgement, share or depository records, title documents, co-ownership agreement, and any survivorship instruction.
  3. Find and preserve the latest will. Check whether a will exists, whether it covers this asset, and whether there is a later document that revokes or changes it. The will must be legally valid and applicable before it can control distribution.
  4. Determine the applicable succession law. The deceased’s personal and statutory circumstances can affect intestate succession. Do not assume that the rules for one family or asset apply to another.
  5. Separate institutional processing from beneficial entitlement. Ask what the institution needs to release or transmit the asset, then separately ask who is entitled to keep it under the will or intestate-succession rules.
  6. Check for a court order or pending proceeding. A restraining order, probate or other succession proceeding can affect what an institution may do and what evidence it requires.
  7. Compare competing claims in writing. Set out the nominee, each heir or legatee, the document supporting each claim, and whether the claim concerns receipt, management or ultimate ownership.
  8. Obtain India-qualified advice for a dispute. If the will is contested, title is unclear, or an heir objects to payment, a succession and property lawyer can identify the correct proceeding and preserve limitation-sensitive remedies.

Common scenarios and the likely legal question

There is a nominee but no will

The nominee may be able to receive payment or transmission under the relevant institutional rule. The final beneficial distribution then follows the applicable intestate-succession law, not the nomination alone.

There is a will naming someone other than the nominee

The institution may still pay or transmit to the nominee if its governing procedure permits. The person named in the will may then assert the testamentary entitlement against the nominee, subject to the will’s validity, scope and the governing statute.

The nominee is also an heir or legatee

That person may ultimately retain the asset, but the reason would be the person’s succession-law entitlement or valid bequest, not merely the nomination. Keep those two bases distinct when preparing a claim or settlement.

Several nominees or a survivor are recorded

Do not infer the final shares from the names on an account or form. Read the asset-specific rules, the account’s operating terms and any will, and confirm how the institution defines a nominee, survivor or joint holder.

The family wants the bank to stop payment

Promptly ask the bank what evidence it requires and whether a court order is needed. Under the RBI framework, the bank’s ability to pay a valid nominee is separate from the heirs’ claim to the money; an objection without the legally required restraint may not by itself decide the bank’s process.

Practical steps for families and account holders

If you are making an estate plan

  • Keep the will, nomination records and ownership documents consistent where possible, while recognizing that they perform different legal functions.
  • List each major asset separately instead of relying on a single general nomination.
  • Tell the person who will handle the estate where the original will and current account or policy records are kept.
  • Review nominations after marriage, divorce, a death in the family, a new joint holding, or a major purchase or sale.

If a family member has died

  • Notify each institution and obtain its current deceased-claim form and document list.
  • Provide the death certificate and identification requested by the institution.
  • Submit the will and any court order or succession document relevant to the asset.
  • Keep a written record of what was paid or transmitted, to whom, and on what stated basis.
  • Do not sign a release or family settlement without understanding whether it covers only receipt of funds or also final ownership.

What a nominee does not prove

  • That the nominee is the only heir.
  • That the nominee owns every asset listed in the deceased’s name.
  • That a will is invalid because an institution paid someone else first.
  • That payment by a bank, insurer or depository has adjudicated all family claims.
  • That a rule for insurance, deposits or securities automatically governs a house or parcel of land.

Conversely, the existence of a will does not mean an institution can ignore its own statutory payment or transmission procedure. The will’s effect must be applied through the law governing that asset and the deceased’s succession.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

When professional help is warranted

Get advice from a lawyer qualified in the relevant Indian succession and property law when the will is disputed, the asset is immovable property, ownership is joint or unclear, a nominee refuses to account to heirs, there are competing wills, or an institution demands documents you cannot obtain. The correct remedy may differ between an institutional claim, a succession proceeding, a title action and a family settlement.

The decisions and RBI directions cited here provide a framework for separating payment mechanics from inheritance rights. They cannot determine an individual family’s entitlement without the asset documents, ownership facts, will and applicable succession law.

The bottom line

A valid, applicable will generally governs testamentary inheritance; a nomination generally enables an institution to pay or transmit an asset after death. The nominee may receive the asset operationally, but that receipt alone does not usually defeat heirs’ or legatees’ claims. Always apply the asset-specific statute, the deceased’s succession law, ownership terms and the actual will before deciding who is entitled to keep the property or money.
