Why an ETF’s Price Can Differ From Its Net Asset Value—and What to Do

By TheFinanceBase Team 10 min read

An ETF can trade above or below its net asset value (NAV) because its shares trade continuously on an exchange while the fund usually calculates NAV only once each business day. A price above NAV is a premium; a price below NAV is a discount. The difference may reflect current supply and demand, stale prices for assets held by the fund, bond valuation conventions, bid-ask spreads, or real trading costs. It is not, by itself, proof that the ETF is overvalued, undervalued, or a bargain.

Before trading, compare the ETF’s official closing price with its NAV for the same date, examine its premium-and-discount history and spread, identify when and how its holdings are valued, and account for your actual execution price and brokerage charges.

What NAV and an ETF market price measure

NAV is an accounting measure of what one ETF share represents in the fund’s portfolio. The SEC defines NAV per share as the value of the fund’s assets minus its liabilities, divided by the number of shares outstanding. Registered ETFs calculate NAV at least once each business day, generally after the underlying markets have closed.

The exchange price is different. Investors submit buy and sell orders throughout the trading session, and the ETF’s market price is the price at which those orders meet. A retail investor normally buys or sells an ETF share from another market participant rather than redeeming that individual share with the fund. The exchange can therefore quote a price that is above or below the most recently calculated NAV.

Measure What it represents When it changes
NAV per share Portfolio assets minus liabilities, divided by shares outstanding Calculated by the fund at least once each business day
Market price The price buyers and sellers agree to on an exchange Moves whenever trades and orders change during market hours
Premium Market price is higher than NAV Can be temporary, persistent, or caused partly by stale NAV inputs
Discount Market price is lower than NAV Can be temporary, persistent, or caused partly by stale NAV inputs

The comparison is meaningful only when you know the date, time and source for both figures. Comparing a live quote with yesterday’s NAV can make an ordinary intraday move look like a premium or discount.

How authorized participants pull prices toward NAV

Most ETFs use large broker-dealers called authorized participants, or APs, to create and redeem shares in large blocks directly with the fund. This process gives professional traders an economic incentive to act when the exchange price departs from the value of the creation or redemption basket.

When the ETF trades above NAV

  1. An AP observes that ETF shares trade above the value of the securities or other assets needed to create new shares.
  2. The AP acquires the creation basket and delivers it to the fund in exchange for a large block of ETF shares.
  3. The AP sells those newly created shares in the market at the higher price.
  4. The additional supply and the AP’s buying of the underlying assets tend to push the ETF price down and the underlying value up.

When the ETF trades below NAV

  1. An AP buys ETF shares in the market at the lower price.
  2. The AP delivers the shares to the fund and receives the redemption basket.
  3. The AP sells or otherwise uses the basket at its underlying value.
  4. Removing ETF shares from circulation and buying them in the market tends to push the ETF price up toward the portfolio value.

The SEC describes this arbitrage as a force that tends to align market price and NAV, not as a guarantee of equality at every moment. Financing costs, market access, taxes, settlement, inventory risk and the difficulty of trading the underlying assets can make an apparent arbitrage unprofitable. Retail investors do not receive the AP’s creation or redemption mechanism when they trade a single share.

Why a premium or discount appears

Different update schedules

Market prices incorporate new orders and information continuously. Official NAV is usually a once-daily figure. If an index future, currency, company announcement or broad market move changes after the NAV calculation, the ETF can trade at a different price before the next NAV is published.

International holdings whose markets are closed

A U.S.-traded ETF may continue trading after the markets in which its international holdings are listed have closed. The fund’s NAV then uses the last observed prices in those markets, while the ETF price reflects news, currency movements and expectations that arrived later. A reported premium or discount in that situation may be an apparent timing difference rather than a readily collectible mispricing. SEC investor guidance and issuer explanations identify stale underlying prices as an important reason to interpret the number cautiously.

Less-liquid securities and transaction costs

Some portfolio assets do not trade frequently or cannot be bought and sold in the same size as a creation basket without moving the market. The cost of assembling or liquidating those assets, along with the risk of holding them while the trade settles, can justify a wider difference between the exchange price and the reported NAV. The more difficult the underlying portfolio is to trade, the less useful a simple premium-or-discount snapshot may be.

Bond valuation conventions

Bond ETFs can show a difference because bonds and ETF shares may be valued using different conventions. Vanguard explains a specific example in which a fixed-income ETF’s closing market price uses the bid-and-ask midpoint at 4 p.m. Eastern, while the bonds used for NAV are valued at bid prices. The midpoint is normally above the bid, so that convention can create an apparent premium even when the ETF and its holdings are being valued consistently under their respective rules. This is a provider-specific explanation, not a rule that applies to every issuer or bond ETF.

Volatility, supply and demand

During fast markets, buyers may urgently seek exposure or sellers may urgently seek liquidity. Their orders can move the ETF before every underlying security has traded or before the next NAV is calculated. A premium can therefore signal immediate demand, while a discount can reflect urgent selling, hedging or a shortage of buyers. Neither interpretation is reliable without looking at the fund’s holdings, trading conditions and history.

The bid-ask spread and the last trade

An ETF has a bid, the highest displayed price a buyer offers, and an ask, the lowest displayed price a seller requests. The difference is the bid-ask spread, an immediate trading cost. A chart’s last trade or a quoted midpoint is not necessarily the price at which your order will execute. More liquid ETFs typically have narrower spreads, according to the SEC, but liquidity can change sharply during market stress or outside the main trading session.

How to investigate a premium or discount before trading

  1. Match the timestamps. Find the ETF’s official closing market price and NAV for the same date. A live quote compared with a prior-day NAV is not a same-time comparison. Fund websites generally report the closing price, NAV, closing premium or discount, median bid-ask spread, holdings and historical data as of the previous business-day close.
  2. Review the historical range. Check the fund’s premium-and-discount history in its website disclosures or prospectus. A one-day reading can be ordinary for a fund whose holdings trade in different time zones; a sudden move outside its usual pattern deserves closer examination.
  3. Identify the underlying assets and their trading hours. Note whether the portfolio contains international shares, bonds, private or thinly traded instruments, or securities that stop trading before the ETF. Record the time zone and the valuation method used for NAV.
  4. Inspect the live bid and ask. Decide what price you could actually receive, not just what a screen labels as the current price. For a purchase, the ask is the relevant displayed offer; for a sale, the bid is the relevant displayed bid. A limit order can cap your purchase price or set the minimum sale price, but it cannot guarantee execution or a fill at NAV.
  5. Calculate all trading costs. Include the spread, any brokerage commission or other broker charge, and the possibility that the premium or discount changes before your order fills. The SEC notes that these costs are separate from the ETF’s stated operating expenses.
  6. Read the fund documents. Use the prospectus, current shareholder report and fund website to confirm the investment objective, holdings, risks, valuation practices and reported premium-and-discount methodology. Disclosures and broker charges can change, so verify the current versions when you trade.
  7. Judge the investment separately from the gap. Consider whether the fund’s objective, holdings, risk and fees fit your plan. A discount does not establish that the fund is cheap, and a premium does not establish that it is too expensive.

A concrete spread example

The SEC Office of Investor Education and Advocacy gives a hypothetical illustration with a $59.50 bid and a $60.00 ask. The spread is 50 cents per share. If an investor buys 200 shares at the $60.00 ask and immediately sells at the $59.50 bid, the spread alone produces a $100 loss. This is an instructional example from the SEC’s 2023 bulletin, not a typical ETF spread or a forecast of what any particular fund will cost.

The example also shows why a displayed price should not be confused with NAV. Even if NAV were exactly $59.75, a buyer lifting the ask and a seller hitting the bid would experience different prices because the spread sits around the midpoint.

How to compare two ETFs without overreading the number

If you are choosing between funds with similar objectives, compare each fund with its own history and valuation process rather than ranking the displayed premiums alone.

Comparison Questions to ask Why it matters
Premium or discount history Is today’s reading unusual for this fund, and does it coincide with a market event? Historical context distinguishes a routine pattern from an outlier.
Bid-ask spread What are the current bid, ask and reported median spread? A lower spread can reduce the cost of entering or exiting.
Underlying liquidity Do the holdings trade frequently, and are their markets open when you trade? Hard-to-trade or closed markets can make NAV less timely and arbitrage more expensive.
Valuation method Are bonds valued at bids, a midpoint or another disclosed convention? Different conventions can create an apparent gap without a change in economic exposure.
Portfolio and objective What does the fund own, what risks does it take and what index or strategy does it follow? A small premium is not compensation for owning an unsuitable portfolio.
Fees and other charges What are the stated operating expenses and what will your broker charge? Trading costs and fund expenses affect your result independently of NAV.

The SEC’s ETF guidance, Investor.gov fee information and fund disclosures provide the relevant categories. No single premium-or-discount threshold is normal for every ETF, and the official sources do not establish a universal percentage that should trigger a trade.

Common mistakes and better responses

Calling every discount a bargain

A discount may reflect stale NAV inputs, a difficult-to-trade portfolio, urgent selling or a genuine change in expected value. Check the holdings, trading hours and history before interpreting it.

Calling every premium a loss

A premium can occur because the ETF price incorporates current information while NAV still uses older prices. It can also reflect a bond midpoint compared with bid-based NAV. Determine whether the difference is timing-related and whether the fund’s exposure is what you want.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Comparing a live quote with yesterday’s NAV

This mixes two different moments. Use same-date closing figures for an apples-to-apples comparison, then use the live bid and ask to estimate your actual execution cost.

Assuming arbitrage makes equality certain

AP activity normally narrows gaps, but it cannot remove market frictions or guarantee a particular price. Retail orders remain subject to available liquidity and execution priority.

Ignoring the spread because the last trade looks favorable

The last trade may have occurred at a price that is no longer available. Check both sides of the quote and consider a limit order when controlling the maximum purchase price or minimum sale price matters. A limit order may remain unfilled.

What this guidance covers—and what it does not

The SEC Office of Investor Education and Advocacy’s Updated Investor Bulletin: Exchange-Traded Funds (ETFs), dated February 23, 2023, addresses ETFs registered as open-end investment companies or unit investment trusts under the Investment Company Act of 1940. It does not cover every exchange-traded product, including exchange-traded commodity funds and exchange-traded notes. Products outside that scope can have different structures, valuation rules and risks.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Issuer explanations, such as Vanguard’s description of fixed-income valuation, are useful for understanding a particular provider’s method but should not be generalized to all funds. Fund-specific data, prospectuses, shareholder reports and brokerage charges change; check the current disclosure for the ETF and date you are considering.

A practical decision checklist

  • Have you matched the NAV and market-price dates and times?
  • Do you know whether the holdings’ markets are open when the ETF is trading?
  • Have you read the stated NAV valuation method, especially for bonds?
  • Is the current premium or discount unusual compared with this fund’s own history?
  • What are the current bid, ask and median spread?
  • What price will your order accept, and are you prepared for it not to fill?
  • Have you included brokerage charges and the possibility that the gap changes before execution?
  • Does the fund’s objective, portfolio, risk and fee structure fit your reason for investing?

The useful conclusion is not that an ETF should always trade exactly at NAV. It is that NAV and market price answer different questions. Treat the gap as information about timing, liquidity, valuation and trading conditions, then decide using the fund’s full disclosures and your own investment objective.
