Usually, the shareholder is treated as receiving and taxed on a deemed dividend, but there is no worldwide rule. The answer depends on the jurisdiction, tax year and transaction. A company can still have separate withholding, remittance or reporting duties, and some systems have imposed a company-level dividend tax instead of (or in addition to) shareholder taxation. India, Canada and the United States illustrate why the facts and effective date must be identified before deciding who owes what.
What “deemed dividend” means
A deemed dividend is a tax-law characterization. The corporation may not have declared an ordinary cash dividend, yet legislation treats a distribution, loan, redemption, capital adjustment or other benefit as if a dividend had been paid. The statutory trigger is different in each country. The label alone does not tell you whether the company, the shareholder or both have a tax obligation.

In the official examples considered here, the shareholder is generally the person treated as receiving dividend income or a constructive distribution. That recipient-level result is separate from the company’s responsibilities. A corporation may have to withhold or remit tax, file information returns, or pay a special distribution tax even when the shareholder is the person whose income is assessed.

Before applying any rule, identify four facts:
- the country and, where relevant, state or province;
- the tax year and the date of the transaction;
- the transaction type (for example, loan, redemption, winding-up distribution or paid-up-capital change); and
- whether the recipient is an individual, another corporation, a trust or a non-resident.
Without those facts, a statement that “the company” or “the shareholder” is taxed is likely to be overbroad.

How the researched jurisdictions allocate the tax
| Jurisdiction and authority | Statutory trigger or terminology | Who is treated as receiving the dividend or distribution | Company-side duties established by the cited material | Effective-date or timing point |
|---|---|---|---|---|
| India — Income Tax Department guidance | Section 2(22) includes specified distributions and certain loans or advances to shareholders in the deemed-dividend definition. | The shareholder is taxable on dividends declared, distributed or paid on or after 1 April 2020. | The cited page establishes a historical company-paid dividend distribution tax regime and the current shareholder-tax treatment; it does not provide a complete list of present withholding or reporting duties. | For dividends before 1 April 2020, the department describes shareholders as exempt under section 10(34) and the company as liable for dividend distribution tax. The post-1 April 2020 treatment places tax on shareholders. |
| Canada — Canada Revenue Agency, Income Tax Folio S3-F2-C2 | Section 84 examples include specified paid-up-capital changes, winding-up distributions, and share redemptions, acquisitions or cancellations. Section 84.1 can also produce a deemed dividend in certain transactions. | The CRA says a deemed dividend receives the same treatment as a pro rata distribution by a corporation to its shareholders. | Not stated in the cited CRA passage; the folio excerpt does not settle every withholding, corporate-reporting or other company obligation. | The excerpt does not establish a single effective date; the transaction must be tested under the Act in force for the relevant year. |
| United States — Internal Revenue Service (IRS) | The IRS uses “constructive distribution” for certain benefits, including some below-market shareholder loans, forgiven shareholder debt and transfers of property for less than fair market value. | The shareholder is treated as receiving a distribution. The IRS also states that a distribution from earnings and profits is generally a dividend. | Not stated in the cited IRS passages; those materials explain characterization of the shareholder benefit, not every corporate withholding or reporting requirement. | The result depends on the facts, substance of the payment and the law applicable to the tax year; the cited guidance does not supply a universal date or rate. |
India: the 1 April 2020 dividing line
India’s treatment demonstrates why a tax year cannot be omitted. Section 2(22) covers specified distributions and certain loans or advances to shareholders as deemed dividends. The Income Tax Department states that dividends declared, distributed or paid on or after 1 April 2020 are taxable in the hands of shareholders.
The same department describes the earlier framework differently: for dividends before 1 April 2020, shareholders were exempt under section 10(34), while the company was liable for dividend distribution tax. That historical company-level regime should not be presented as the current rule for later dividends.
Thus, two economically similar payments can have different legal consequences solely because their declaration, distribution or payment date falls on opposite sides of 1 April 2020. A company reviewing an old transaction should preserve board resolutions, payment records and the applicable tax-year filings rather than applying today’s rule retrospectively.
What to check in an Indian shareholder-loan case
- Confirm that the payment is one of the loans or advances covered by section 2(22), rather than assuming every loan qualifies.
- Identify the date on which the dividend was declared, distributed or paid.
- Determine whether the shareholder is the person treated as receiving the income under the post-1 April 2020 framework.
- Review the company’s contemporaneous withholding, reporting and return obligations for that tax year. The effective-date statement alone does not answer every compliance question.
Canada: a deemed dividend follows the normal shareholder-distribution treatment
Canada Revenue Agency Income Tax Folio S3-F2-C2, paragraph 2.26, states: “A deemed dividend will receive the same tax treatment under the Act as a pro rata distribution by a corporation to its shareholders.” The sentence answers the recipient question: the shareholder is treated as receiving a dividend even though the corporation may have carried out a different legal transaction.

The folio identifies several section 84 situations. They include specified changes to paid-up capital, distributions on a winding-up, and redemptions, acquisitions or cancellations of shares. Section 84.1 is also identified as a source of deemed-dividend treatment in certain transactions. Each provision has its own conditions; listing the section does not mean every capital reduction or share transfer automatically creates income.
For a Canadian transaction, start by matching the legal steps to the relevant provision and then compute the amount treated as distributed under that provision. The cited CRA statement establishes the dividend treatment at the shareholder level, but it does not by itself determine withholding, information slips, corporate reporting or the treatment of every class of recipient.
United States: “constructive distribution” depends on substance
U.S. guidance often uses the term “constructive distribution” rather than relying on the phrase deemed dividend. IRS Publication 542 describes constructive distributions that can arise when a corporation provides a below-market loan benefit, forgives a shareholder’s debt or transfers property for less than fair market value. The shareholder receives an economic benefit even when no dividend check was issued.
The IRS’s “Paying yourself” guidance states: “Any distribution to shareholders from earnings and profits is generally a dividend.” That is a description of the ordinary dividend concept, not a rule that every corporate payment is taxable as a dividend. The source and substance of the payment still matter.

For a U.S. shareholder loan, the IRS explains that a loan carrying no interest or interest below the applicable federal rate may generate a deemed additional payment. Depending on the facts, that payment can be characterized as a dividend, gift, capital contribution, compensation or another type of payment. The mere word “loan” does not settle the result.
Features of an arm’s-length officer loan
IRS small-business guidance says an officer loan should have characteristics associated with an arm’s-length arrangement. Relevant evidence includes:
- a written contract;
- a stated interest rate;
- a defined repayment period;
- consequences for failing to repay; and
- potentially, collateral.
Actual repayment conduct matters as well. A document that calls an advance a loan may not control if the parties never observe the repayment terms. Conversely, the guidance does not say that every interest-free loan is automatically a dividend; characterization depends on the applicable rules and facts.

1Scan for outdated or missing drivers - takes under a minute2Repair Windows errors before they cause bigger problems3Fix the driver behind crashes, sound loss and screen glitchesCompany liability and shareholder liability are different questions
Keep these three issues separate:
- Shareholder income tax: Is the shareholder treated as receiving a dividend or constructive distribution, and is that amount included in the shareholder’s income?
- Company withholding or remittance: Must the corporation withhold tax from a payment, remit an amount to the tax authority or provide information to the recipient?
- Company-level distribution tax: Does the jurisdiction impose a separate tax on the corporation because it declared or paid a distribution?
India shows how these categories can change over time. The department’s description of the pre-1 April 2020 system places dividend distribution tax on the company and describes shareholder exemption under section 10(34). For dividends on or after that date, the department says the shareholder is taxed. That shift does not mean company compliance disappears; it means the principal dividend-income charge moved to the shareholder under the stated framework.

The Canadian and U.S. passages establish that the shareholder is treated as receiving a dividend or distribution. They do not provide a complete cross-country answer on withholding, reporting or corporate taxes. Those obligations must be checked in the current law for the transaction’s jurisdiction and year.

- Pin down the jurisdiction and tax period. Write the country, any relevant subnational jurisdiction and the transaction date at the top of the file. An India payment before 1 April 2020 cannot be analyzed by copying the post-2020 answer.
- Describe what actually happened. Record whether the corporation redeemed shares, reduced paid-up capital, distributed assets on a winding-up, advanced money to a shareholder, forgave debt, transferred property or made an ordinary dividend payment.
- Find the jurisdiction’s characterization rule. In the examples here, that means section 2(22) in India, sections 84 or 84.1 in Canada, or the U.S. constructive-distribution and below-market-loan rules described by the IRS.
- Identify the deemed recipient. The researched examples generally treat the shareholder as receiving the dividend or constructive distribution. Check whether the legal recipient is a shareholder, an intermediary entity or another person under the local statute.
- Test the amount and exceptions. Do not assume the amount equals the cash advanced or the asset’s face value. The governing provision may prescribe a different measure and may contain ownership, timing or transaction exceptions.
- Analyze the company separately. Check withholding, remittance, information reporting, corporate returns and any distribution-level tax. A shareholder-level conclusion does not answer these company obligations.
- Document the evidence. Keep contracts, board minutes, share registers, valuation material, interest calculations, repayment records and tax filings. These records help establish whether a purported loan or capital transaction had the substance claimed.
Common mistakes that produce the wrong answer
Applying one country’s rule worldwide
“Deemed dividend” is not a harmonized international category. India’s post-2020 shareholder taxation, Canada’s pro rata-distribution treatment and U.S. constructive-distribution terminology are examples, not a universal formula.
Ignoring the effective date
A date can change who bears the dividend-level tax. The India distinction at 1 April 2020 is explicit. Always match the payment, declaration or distribution date to the law in force for that period.

Confusing recipient taxation with corporate compliance
The shareholder may owe income tax while the company has a separate duty to withhold or report. Alternatively, a company-level distribution tax may exist in a particular regime. Treat each obligation as a separate workstream.
Quoting a rate without confirming the facts
The authorities cited here do not establish a single rate, filing deadline or universal exemption. Rates and deadlines can depend on residence, recipient type, tax year and the form of the distribution. Use current official materials or a qualified local adviser before filing.
Bottom line for a real transaction
Start with the jurisdiction, tax year and transaction type. In the India, Canada and U.S. examples, the shareholder is generally the person treated as receiving the deemed dividend or constructive distribution. That does not relieve the company of possible withholding, reporting or separate corporate-tax obligations, and India’s 1 April 2020 change shows that the answer can turn on timing. A shareholder loan, redemption or capital transaction should therefore be analyzed under the specific statutory provision and documented facts—not by the label used in the company’s books.
