The company whose premises or legal interests are searched is usually the clearest potential challenger. A director, employee, landlord or other owner of seized property may also have standing, but only by showing that the search, seizure or order affected that person’s own legally protected interests. The challenge must target a specific act—such as the authorization, the search, a seizure or retention decision, or a later assessment—and must be brought under the law that applied on the search-initiation date.
This explanation concerns India. The Income-tax Act, 2025 came into force on 1 April 2026; searches initiated under section 132 of the 1961 Act before that date generally remain governed by the former Act for connected proceedings under the transition rule.

First identify who is legally aggrieved
Indian judicial review is ordinarily available to an “aggrieved person.” That means a person whose own legal rights or interests are directly affected, not merely someone associated with the taxpayer. The identity of the proper challenger therefore depends on the authorization, the premises searched, the property taken or restrained, and the order now being questioned.

A company whose registered office, factory, branch, records or other premises were searched has the strongest initial basis to seek review. It can ask whether the authorizing officer had the statutory grounds and information required by the applicable Income-tax Act, whether the authorization was properly issued, and whether the search was carried out regularly.
#1 Best Overall
In a company matter, obtain the exact authorization and record which legal entity, premises and categories of material it covers. A group company, subsidiary or related business is not automatically entitled to challenge simply because it shares directors, staff or an address. Its standing must be tied to its own affected interests.
Directors and officers
A director may challenge an act that personally affects the director—for example, seizure of the director’s own property or an order directed to the director. Holding office, signing company documents or being present during a search does not, by itself, establish standing to attack the company’s authorization. The petition should explain the director’s individual legal interest and connect it to the act complained of.
Employees and other occupants
An employee or occupier may have a separate claim if personal property, personal records or another individual legal interest was affected. Employment alone is not enough. The relevant question is what happened to that person’s own rights, rather than the person’s job title or relationship with the company.

Landlords, custodians and property owners
A landlord or owner of premises may have an interest in the way the search was conducted, but ownership of the building does not automatically confer a right to invalidate the company’s authorization. A property owner’s stronger case concerns property belonging to that owner that was seized, restrained or retained, or another order that directly burdens the owner.
Owners of seized property and third parties
A third party whose documents, funds, devices or other property were taken can focus on that seizure or retention and explain why the item belongs to the third party. The third party should not assume that a challenge to the company’s search authorization will provide the correct remedy for every property dispute.

What exactly are you challenging?
“The search” can describe several legally distinct acts. Naming the act precisely prevents a challenge from being filed against the wrong decision or at the wrong procedural stage.
| Act or decision | Core question | Why the distinction matters |
|---|---|---|
| Authorization to search | Did the designated authority satisfy the statutory preconditions and issue the authorization regularly? | This is the principal judicial-review question and focuses on the decision to invoke search power. |
| Conduct of the search | Was the authorized officer acting within the authorization and applicable statutory powers? | Irregular execution may require a different factual record from a challenge to the original decision. |
| Seizure, restraint or retention | Was a particular item or property lawfully taken, restrained or kept, and under what order? | The affected owner may be someone other than the company named in the authorization. |
| Assessment, demand or penalty after the search | Is the later tax determination correct and legally sustainable? | An assessment appeal is not automatically a challenge to the search itself; it has its own procedure, forum and limitation rules. |
Do not assume that success on one issue automatically decides the others. A court may examine an authorization while a separate statutory process addresses a seizure, retention decision or assessment. The remedy sought should match the act being challenged.

The Supreme Court of India has described the limits of review in search matters. A court can examine whether the officer acted regularly, whether statutory conditions were met, and whether the power was used maliciously or for a collateral purpose. It does not ordinarily replace the officer’s bona fide statutory judgment with the court’s own view of how the power should have been exercised.
Failure of statutory preconditions
The applicable Act sets conditions for issuing a search authorization. For a search initiated under the Income-tax Act, 1961, section 132 required specified senior authorities to act on the statutory grounds and information described in that provision. For a search initiated on or after 1 April 2026, check section 247 of the Income-tax Act, 2025 and the text in force on that date.
A challenge should identify the missing or legally defective condition, not merely assert that the search seemed unnecessary. The authorization, recorded reasons or information to the extent lawfully disclosable, and the surrounding file may be important to showing whether the statutory threshold was addressed.

Irregular action by the authorizing or designated officer
The Supreme Court has said that, when an officer’s action is challenged, the officer must satisfy the court about the regularity of the action. Questions can include whether the authorized officer was empowered to act, whether the authorization identified the relevant place or person, and whether the search stayed within the authority granted. The precise issue depends on the documents and events in the individual case.

Malice is more than an allegation that officials were mistaken, inconvenient or aggressive. The challenger must set out facts capable of showing that the power was used in bad faith. Unsupported conclusions are unlikely to establish this ground; preserve contemporaneous communications, inventories, notices and other objective material that bears on the allegation.
Collateral purpose
A search power cannot lawfully be used for a purpose unrelated to the statutory function. A collateral-purpose argument should explain what the alleged ulterior purpose was and how the authorization or execution reflects it. The mere fact that a search produces embarrassing, commercially damaging or unexpected material does not itself prove a collateral purpose.
Bona fide error is treated differently
The Supreme Court’s formulation is deliberately limited: where officers act bona fide in furtherance of statutory duties, an error of judgment does not automatically invalidate the exercise of power. A court is not an appellate authority substituting its assessment of the intelligence or necessity for that of the designated officer. The pleading must therefore distinguish a legal failure, irregularity or bad-faith use of power from a good-faith decision with which the taxpayer disagrees.
Which statute applies after the 2026 change?
Search initiated before 1 April 2026
The Income-tax Act, 2025 took effect on 1 April 2026. Its transition provision states that where a search was initiated under section 132 of the 1961 Act before commencement, connected proceedings continue under the repealed Act as though the new Act had not been enacted. The initiation date—not simply the date on which a later notice, assessment or retention order was issued—must be established from the record.

Search initiated on or after 1 April 2026
For a later search, examine section 247 of the 2025 Act and the version in force when the authorization was issued and the search began. Confirm whether subsequent amendments or transitional provisions affect the particular proceeding. Do not cite section 132 for a post-commencement search without checking the governing text.
Build a date-and-document timeline
At the outset, record the date and time of authorization, the date the search began, the premises entered, seizure or restraint dates, retention decisions, assessment notices and any orders already passed. This timeline helps counsel select the correct statute and identify whether a proposed remedy is directed at a live decision or a later consequence.
How to prepare a challenge: a practical sequence
- Secure the core documents. Keep copies of the authorization, search panchnama or inventory, seizure and restraint records, retention or release communications, notices, assessment orders and correspondence. Record which authority issued each document and when it was served.
- Map each affected person and property. List the company, directors, employees, landlords and third-party owners involved. For every seized or restrained item, identify its owner, location and connection to the authorization. This prevents a company petition from being used to assert someone else’s unparticularized claim.
- Choose the decision under attack. State whether the relief concerns the authorization, execution of the search, a particular seizure or retention order, or a later assessment. If more than one act is challenged, separate the grounds and requested relief for each.
- Test the statutory preconditions. Compare the authorization and record with the conditions in section 132 of the 1961 Act or section 247 of the 2025 Act, as applicable. Identify a concrete omission, lack of authority or departure from the statutory procedure.
- Separate legal grounds from disagreement. Explain facts supporting irregularity, unmet statutory conditions, malice or collateral purpose. Do not rely only on the assertion that officials reached the wrong factual conclusion; bona fide judgment errors are generally not enough.
- Check parallel procedures. Determine whether a statutory mechanism addresses the specific seizure, retention or assessment order. A judicial-review petition aimed at the authorization may not replace an objection or appeal required for a later tax determination.
- Confirm forum and limitation before filing. The reviewed authorities do not establish one universal deadline or filing forum for every search-related challenge. The correct route depends on the order, procedural stage, applicable Act and current procedural law. Obtain advice from a tax-litigation lawyer or chartered accountant experienced in search matters before allowing a limitation period to expire.
- Define the remedy precisely. Possible relief may include review or quashing of an unlawful authorization or proceeding, directions concerning a particular seizure or retention decision, or relief in the separate assessment process. The requested order should correspond to the legal defect proved.
Evidence that makes the legal theory testable
A strong case turns on a documented connection between the legal ground and the record. Organize evidence in a chronology rather than sending an undifferentiated file.
- Authority and scope: authorization number, issuing officer, named entity or person, premises, dates and categories of material covered.
- Execution: entry and exit times, officers present, inventories, acknowledgments, objections recorded at the site and any correspondence about access or copying.
- Ownership: invoices, ledgers, custody records or other documents showing whether seized property belonged to the company or a third party.
- Subsequent orders: retention, release, restraint, assessment, demand or penalty documents, with service dates.
- Bad-faith or collateral-purpose facts: contemporaneous communications or conduct that objectively supports the allegation, rather than assumptions about motive.
Preserve originals and maintain a versioned copy of electronic records. Do not alter a file merely to make it easier to read; keep metadata and note who collected each item. Counsel can then decide what may properly be placed before the reviewing court or authority.
Common mistakes and how to avoid them
Filing as a representative of everyone connected to the company
A director or employee should not present company and personal claims as if they were interchangeable. Identify the claimant for each relief and show that claimant’s own interest.

Attacking an assessment when the complaint is about the search
An assessment appeal may challenge the tax computation, additions or demand. It does not automatically invalidate the search authorization. Conversely, a search challenge may not resolve every issue in the assessment. Keep the two procedural tracks distinct.
Using the wrong version of the Act
Citing section 132 for a search that began after 1 April 2026, or section 247 for a pre-commencement search that remains under the transition rule, can distort the analysis. Verify the initiation date and statutory text before drafting.
Assuming there is one universal deadline
Search authorization, seizure or retention orders and assessments can have different procedures and limitation periods. The absence of a single deadline in the general explanation is not permission to wait; obtain case-specific advice immediately.

Arguing only that the officer was wrong
Judicial review is not a general appeal on the merits of the intelligence or judgment behind a bona fide statutory decision. Tie the facts to a statutory precondition, procedural irregularity, bad faith or collateral purpose.
What the Supreme Court has said
“If the action of the officer issuing the authorization, or of the designated officer is challenged the officer concerned must satisfy the Court about the regularity of his action. If the action is maliciously taken or power under the section is exercised for a collateral purpose, it is liable to be struck down by the Court. If the conditions for exercise of the power are not satisfied the proceeding is liable to be quashed. But where power is exercised bona fide, and in furtherance of the statutory duties of the tax officers any error of judgment on the part of the Officers will not vitiate the exercise of the power.”
The statement comes from a Supreme Court of India judgment dated 13 July 2022. It captures the central balance: legality and good faith are reviewable, while a court does not simply substitute its view for a bona fide statutory judgment.
