Check the issuer’s corporate-announcement records on both BSE and NSE, open the original attachment, and identify the precise procedural stage. An announcement saying that a promoter reclassification application was submitted proves an application—not exchange approval. Confirm the later acceptance or rejection record, then compare the next available shareholding pattern with the decision.
What a verified reclassification record must show
Promoter or promoter-group reclassification is documented through a sequence of filings rather than one universal announcement. Depending on the case, the record may show a request from a promoter, a board decision, shareholder action where applicable, submission of an application to an exchange, an exchange decision, and a later shareholding-pattern filing.

These events answer different questions. A request can show that a holder wants to move to the public category. A board resolution can show the company’s position. An application-submission notice can show that papers were sent to an exchange. Only the exchange’s acceptance or rejection record establishes the exchange outcome. The subsequent shareholding pattern is a useful consistency check, but it can appear later than the decision.

Use both exchanges when the company is dual-listed
Start by confirming the issuer’s exact legal name, NSE symbol and BSE security code. A company listed on both exchanges can have records with different titles, attachments or timestamps. Treat the two portals as corroborating records, not as guaranteed duplicate copies.

The labels and filters can change, so rely on the live exchange pages when conducting a case review.
How to search NSE filings
1. Open Corporate Filings Announcements
Go to NSE’s Corporate Filings Announcements page and select or search for the issuer by symbol. Search a date range wide enough to include the initial request, board consideration, any shareholder process, application submission and the eventual decision.

Use combinations of “reclassification,” “promoter,” “promoter group,” “public category,” “application,” “approval,” “rejection” and “status of promoter reclassification.” An issuer may use a different title at each stage. NSE records can show a request-receipt entry followed later by an approval-related filing; do not assume the first result is the final status.
3. Open every relevant attachment
Read the original letter or disclosure attached to the announcement. Record the applicants’ names and categories, the issuer’s stated event date, the exact stage described, and any conditions. The headline may say only that a filing was made, while the attachment identifies whether the document concerns a request, a board action or an exchange outcome.

4. Check the issuer’s Shareholding Pattern page
After locating a reported decision, inspect the next available quarterly shareholding-pattern filing on NSE. The page separates promoter/promoter-group holdings from public holdings. A later filing may be the first place where the changed category appears, so its timing should not be used to infer that approval happened on the filing date.
5. Download the current compliance checklist
NSE’s Compliance Information Checklist page provides a downloadable “Re-classification of Promoters” checklist. The page was marked updated on 25 August 2026. Use the live version to understand documentary requirements; do not rely on an old copy or an unofficial checklist.

1. Search Corporate Announcements
Use the listed company name or BSE security code in the Corporate Announcements search. A surfaced BSE record for The Hi-Tech Gears Ltd, for example, displays the security code, company name, received time, dissemination time, announcement title and an attachment. Its title describes submission of a reclassification application, illustrating why a title alone cannot establish approval.
2. Read the attachment and timing fields
Open the attached issuer document and note the exact description, applicants, document date and procedural stage. Preserve the received and dissemination timestamps in your notes. The exchange-received time shows when BSE received the disclosure; the dissemination time shows when it was published for the market.
3. Understand the application route
BSE’s filing guidance identifies Listing Centre → Listing Module → Reclassification of Promoters as the route for submitting an application. The guidance also states that physical filings are not accepted through that process. It describes separate disclosures for the application and the subsequent exchange decision.

As BSE’s guidance puts it: “The Reclassification of Promoters application can be filed through the Listing Module – Reclassification of Promoters.” This describes the filing channel, not an approval outcome.
Classify each record by the stage it actually proves
Use a neutral label in your chronology rather than upgrading a preliminary event into a conclusion.
- Holder request: a promoter or promoter-group member asks to be moved to the public category.
- Board consideration: the company records its decision or views on the request.
- Shareholder process: a resolution or other shareholder step is disclosed where the case requires it.
- Application submitted: the company reports that papers were filed with an exchange.
- Exchange outcome: the exchange issues an acceptance, approval, rejection or other decision notice.
- Post-decision shareholding filing: a later periodic filing shows the holder in a category that can be compared with the decision.
These labels are evidentiary stages, not interchangeable synonyms. An issuer’s statement that an application was submitted does not establish that the exchange accepted it.
A repeatable verification workflow
- Identify the issuer precisely. Write down the legal company name, NSE symbol, BSE security code and every exchange on which it is listed.
- Set a broad search window. Include the period before the request and enough time afterward to capture board or shareholder actions, application submission, exchange decision and the next periodic shareholding filing.
- Search NSE and BSE separately. Use each portal’s own announcement page and search terms. Save every potentially relevant result instead of relying on a single headline.
- Open the original attachment. Capture applicants’ names, the category they seek, the event date, the document date, the stated stage and any conditions or qualifications.
- Separate the timestamps. Record exchange-received time and dissemination time independently from the issuer’s event date and the date printed on the attachment.
- Find the actual outcome. Search later announcements for an acceptance or approval letter, or for a rejection or other decision notice. On BSE, the filing guidance says the exchange issues a letter of acceptance subject to compliance and calls for disclosure after approval or rejection.
- Cross-check the next shareholding pattern. Compare the relevant holders’ names and categories in the next available filing with the exchange decision. Note any mismatch rather than silently resolving it.
- Check the rule in force for the relevant date. Read the current SEBI Listing Obligations and Disclosure Requirements Regulations, especially Regulation 31A, together with applicable amendments and circulars.
- Build a dated evidence trail. Keep the filing title, URL or portal reference, attachment, event date, received time, dissemination time and status supported by each document.
How Regulation 31A fits into the record
SEBI’s Listing Obligations and Disclosure Requirements Regulations, Regulation 31A, is the core regulatory provision for promoter and promoter-group reclassification. The consolidated text dated 2025 reflects amendments through its consolidation date and notes that the 2024 amendment took effect on 13 December 2024.
Do not apply a historical version mechanically to a later case. Eligibility conditions, procedural requirements and the documents needed can depend on the date and facts. For a specific issuer, read the current Regulation 31A text, relevant circulars, board and shareholder materials where applicable, and the exchange’s decision.

The regulation explains the legal framework; the exchange record establishes what happened in that issuer’s case. A shareholding pattern by itself cannot replace an exchange acceptance or rejection record.

An issuer filing hosted by NSE through CAMS illustrates the type of material that may accompany a real application. The papers include the applicant’s request and rationale, a board resolution and board views, company confirmation, pre- and post-reclassification shareholding patterns, and a chronology of disclosures.
This is an example of one case, not a universal document list. The live NSE checklist and the current regulation control. When reviewing an attachment, check whether it identifies the applicants, explains the rationale, records the company’s position and distinguishes pre-application holdings from the proposed post-reclassification position.
How to tell whether an exchange has approved
Evidence that is not enough
- A promoter’s request or declaration.
- A board approval or recommendation.
- A shareholder resolution, where one is required.
- An issuer notice saying that an application was submitted or received.
- A proposed post-reclassification shareholding table.
Evidence that supports approval
- An exchange acceptance, approval or decision letter disclosed in a later filing.
- A filing that explicitly states the exchange’s decision and identifies the affected holders.
- A subsequent shareholding pattern consistent with that decision.
The strongest practical conclusion comes from the decision record plus the later shareholding-pattern check. If only an application notice is available, describe the status as “application submitted” or “pending in the available record,” not approved.
Resolving common discrepancies
Different dates on BSE and NSE
First determine whether you are comparing the issuer’s event date with an exchange-received timestamp or a dissemination timestamp. The records may have been submitted to each exchange at different times. Preserve both records and explain the distinction.

One exchange shows approval and the other does not
Search both portals again using the company symbol, security code and the names of the affected holders. Check attachments and later filings, not only search-result titles. Report the missing or inconsistent record as unresolved until the second exchange publishes a decision or the issuer provides a clear cross-reference.
The shareholding pattern still lists the holder as a promoter
Confirm the quarter covered by the filing and whether it is the first filing after the decision. A periodic filing can lag an exchange decision. If the next available filing still conflicts with an acceptance letter, preserve both documents and flag the discrepancy for clarification.
The attachment is unavailable
Do not infer the stage from the title alone. Save the announcement metadata, check later issuer and exchange entries for a duplicate or decision document, and mark the status as unverified until the underlying document is available.
Maintain a compact evidence log
A spreadsheet or note should contain one row per document and these fields:
- Issuer legal name, NSE symbol and BSE security code.
- Exchange and portal section.
- Announcement title and category.
- Attachment file name or document identifier.
- Issuer event date and attachment date.
- Exchange-received timestamp.
- Dissemination timestamp.
- Applicants and their stated current and proposed categories.
- Stage supported: request, board action, application, decision or later shareholding filing.
- Conditions, qualifications and unresolved discrepancies.
This log prevents a later approval notice from being confused with the original request and makes it easier to compare dual-listed records.
Final verification checklist
- Correct company name, symbol and security code are confirmed.
- Both exchanges were searched when the issuer is dual-listed.
- Search terms covered reclassification, promoter, promoter group, public category, application, approval and rejection.
- Original attachments were opened and retained.
- Event, received and dissemination times remain distinct.
- The record is labelled by the stage it actually proves.
- An exchange acceptance or rejection record was located, or its absence is clearly stated.
- The next available shareholding pattern was compared with the decision.
- The Regulation 31A version and amendments applicable to the relevant date were checked.
- Any disagreement among exchange pages, issuer disclosures and shareholding data remains explicitly unresolved.
Exchange interfaces and filing status can change. This workflow reflects the official BSE, NSE and SEBI material available through 13 October 2026; revisit the live portals and current regulation whenever you verify a new case.
