Yes, a business in India can deduct a genuine payment to a spouse’s business, but marriage does not make the expense deductible. For a period governed by the Income-tax Act, 1961, the payment must be laid out wholly and exclusively for the payer’s business or profession. The Assessing Officer can disallow the part considered excessive or unreasonable compared with fair market value, legitimate business needs or the benefit received. A separate question is whether remuneration or another form of income is attributed to the other spouse under the clubbing rules. For tax year 2026–27, the Income-tax Act, 2025 applies, so confirm the corresponding new-Act provisions before relying on the older section numbers.
The three questions that decide the tax result
A payment from one spouse’s business to the other spouse’s business should be analysed in three separate stages:
As an Amazon Associate I earn from qualifying purchases.
- Is there a real business expense? Under section 37(1) of the Income-tax Act, 1961, expenditure must be incurred wholly and exclusively for business or profession, subject to the section’s exclusions. A family relationship is neither proof of business purpose nor, by itself, a reason for denial. The statutory text is available in the Income-tax Act, 1961 as amended by Finance Act 2025.
- Is the amount commercially reasonable? Section 40A(2) allows the Assessing Officer to disallow the portion of a payment to a specified related person that is excessive or unreasonable when measured against fair market value, legitimate business needs or the benefit derived by the payer. The department’s section page is at section 40A.
- Does an income-clubbing rule apply separately? Section 64(1)(ii) addresses certain remuneration paid to a spouse by a concern in which the other spouse has substantial interest. Its technical or professional qualification exception can keep income out of the other spouse’s total income when the statutory conditions are met. Read the department’s section 64 guidance.
Passing one test does not automatically pass the others. A properly priced invoice can still fail the business-purpose test, and a deductible expense can still lead to a clubbing question for the recipient’s income.
How the ordinary business-purpose test works
The service or goods must be identifiable
Start by describing exactly what the spouse’s business supplied: for example, a defined professional service, specified goods or another documented business deliverable. The payer should be able to explain what was received, when it was received and how it was used in earning business or professional income. A vague description such as “family support” does not establish a business expenditure.

The payer must show why the business needed it
For periods governed by the 1961 Act, section 37(1) asks whether the outlay was wholly and exclusively for business or profession. The relationship cannot substitute for that explanation. The stronger file is one that connects the deliverable to an operational requirement, a client engagement, production, administration or another identifiable business activity.
Payment evidence must match the commercial story
Keep records that allow the transaction to be traced from agreement to payment. Practical documentation guidance includes:
- a written contract or engagement letter identifying the parties, scope, timing and fee;
- invoices that describe the goods or services with enough detail to identify the deliverable;
- delivery records, work papers, reports, timesheets or other evidence that the work was actually performed;
- bank or other payment evidence showing the amount, date and recipient; and
- internal approval or accounting records explaining the business need.
These are documentation practices that connect facts to the statutory test; they are not a verbatim checklist prescribed by section 37(1).

Even where a service is real and business-related, the amount claimed can be challenged. Section 40A(2)(a) of the 1961 Act states: “so much of the expenditure as is so considered by him to be excessive or unreasonable shall not be allowed as a deduction”. In practical terms, the issue is the portion regarded as excessive or unreasonable, not an automatic disallowance of every payment involving a relative.

Fair market value
Retain material showing how the fee was set. Depending on the transaction, that may include quotations, published rate cards, comparable third-party invoices, prior contracts or a documented rate calculation. Comparisons should be for a genuinely similar service, scope, location, timing and level of expertise; a superficial comparison can be less persuasive than a clear explanation of differences.
Legitimate business needs
The Assessing Officer may consider whether the business actually needed the quantity, frequency or level of service purchased. A fee can be challenged if the payer cannot explain why the work was required or why the selected scope was proportionate to operations.
Benefit derived by the payer
Show the business outcome or use of the deliverable. The test is not simply whether money left the bank account. Link the service or goods to the payer’s activities and retain evidence that the business, rather than the household, received the relevant benefit.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Scan for outdated or missing drivers - takes under a minute3Clear out junk files and repair common Windows errorsSpecified-person relationship
Relatives are among the specified persons covered by the related-party payment rule. Identify the ownership and control relationship in the payer and the spouse’s concern, and preserve the relevant declarations or corporate records. This lets the accounts and tax return apply the related-party analysis deliberately instead of treating the payment as an ordinary unrelated-vendor purchase.

Deduction and spouse-income clubbing are different analyses
When section 64(1)(ii) is relevant
Section 64(1)(ii) concerns remuneration paid to a spouse by a concern in which the individual has substantial interest. The provision is aimed at attributing specified spouse remuneration to the spouse with the substantial interest when its conditions are met. It is not a general rule that every invoice issued by a spouse’s business is automatically clubbed.
The qualification-and-application exception
The section contains an exception where the income is solely attributable to the spouse’s technical or professional qualifications and to applying that knowledge and experience. “Solely attributable” matters: the records should show that the remuneration arose from the spouse’s own qualifying expertise and its application, rather than merely from the marital relationship or access to the other spouse’s business.
Income from transferred assets is another issue
Section 64 also deals with income arising from assets transferred to a spouse without adequate consideration. That rule is conceptually different from payment for goods or services. If one spouse funded or transferred an asset used by the other spouse, analyse the asset-transfer conditions separately instead of assuming the invoice analysis resolves the income attribution.

Why the distinction matters
The payer’s deduction and the recipient’s tax treatment can move in different directions. A payment may satisfy the business-purpose and reasonableness tests while the recipient’s income still requires a section 64 analysis. Conversely, a clubbing issue does not cure a weak business-purpose file or justify an inflated fee.

A practical review process before claiming the deduction
- Describe the transaction. State the exact goods or services, the period supplied and the business activity that used them.
- Map the parties. Record the legal names, business forms, ownership interests and control links for both concerns. Note whether the payer has substantial interest in the relevant concern.
- Document the commercial terms. Sign a contract or engagement letter before or when work begins. Set out scope, milestones, price, taxes, payment dates and responsibility for expenses.
- Verify performance. Match invoices to delivery notes, reports, timesheets, correspondence, acceptance records or other contemporaneous evidence.
- Support the price. Keep comparable market information or a written calculation explaining the fee, including differences in complexity, urgency, volume or specialist expertise.
- Trace payment. Reconcile the invoice, ledger entry, bank transfer and withholding or other payment records that apply to the relevant period.
- Run the clubbing check separately. Ask whether the payment is remuneration of the type covered by section 64(1)(ii), whether the substantial-interest condition exists and whether the technical or professional qualification exception is genuinely satisfied.
- Check for asset transfers. If funds or assets moved between spouses, examine the separate section 64 rules for income from transferred assets.
- Confirm the governing Act. Use the section numbers and wording for the tax year in question, not simply the numbers used in an older return or contract.
Illustrative outcomes
Documented specialist work at a supportable rate
A spouse’s professional concern performs a defined project, supplies reports and work records, and charges a rate supported by comparable engagements. The payer can explain the business need and show payment through the banking system. For a year governed by the 1961 Act, those facts support the ordinary deduction analysis, while the recipient’s remuneration and any substantial-interest relationship still require a separate section 64 review.
Real work but an inflated fee
The spouse actually performs the work, but the invoice is materially above comparable market prices and the payer has no explanation for the premium. The business-purpose requirement may be met, yet section 40A(2) permits the excessive or unreasonable portion to be disallowed.
Invoice without evidence of supply
An invoice is issued, but there is no contract, deliverable, correspondence, work paper or payment trail showing what the business received. The family relationship and the invoice alone do not establish that the amount was laid out wholly and exclusively for business.
Payment linked to an asset funded by the other spouse
The operating payment appears commercial, but the spouse’s business uses an asset transferred or funded by the other spouse without adequate consideration. The expense question and the possible income attribution from the asset must be tested independently under the applicable section 64 conditions.

Tax-year transition: 2026–27 and later
The Income Tax Department’s transition FAQ states that income for tax year 2026–27 is governed by the Income-tax Act, 2025. It also explains that payments or credits on or after 1 April 2026 use corresponding withholding provisions under the new Act. Read the transition material at the department’s Tax Payments FAQ.
The section references discussed above—37(1), 40A(2) and 64—are references to the 1961 Act. The transition FAQ does not itself establish the exact new-Act section mapping for the general deduction test or the excessive-payment rule. For a tax year governed by the 2025 Act, verify the enacted text and numbering in the Income-tax Act, 2025 before preparing the return, contract, invoice policy or withholding process. Do not carry an old section number forward merely because the commercial facts are unchanged.
Common mistakes and how to correct them
- “It is deductible because the supplier is my spouse.” Correct the reasoning: establish the business purpose and evidence first.
- “Any amount is acceptable if work was done.” Correct the pricing file with fair-market comparisons, business-need analysis and proof of the benefit received.
- “Clubbing means the payer cannot deduct it.” Correct the analysis by testing deductibility and income attribution as separate questions.
- “A spouse’s separate business can never be covered by section 64.” Correct the assumption by checking whether the payment is remuneration from a concern in which the other spouse has substantial interest and whether the statutory conditions apply.
- “The 1961 Act sections can be used for every current return.” Correct the process by identifying the tax year first and confirming the governing Act and corresponding provision.
- “A year-end invoice is enough.” Correct the record by retaining contemporaneous scope, performance and payment evidence rather than relying on a retrospective description.
Bottom line for the payer
For a period governed by the Income-tax Act, 1961, a payment to a spouse’s business is generally defensible only when the payer can prove a genuine business purpose and a commercially supportable amount. Section 40A(2) permits the excessive or unreasonable part to be denied, and section 64 may attribute certain spouse remuneration or asset-related income separately. For tax year 2026–27, use the Income-tax Act, 2025 and verify its exact provisions before applying the older section numbers.
