Employer stock still inside a 401(k), profit-sharing plan or another qualified retirement plan may qualify for the net unrealized appreciation (NUA) rules when distributed under specific conditions. Shares already in a taxable brokerage account generally follow ordinary basis and holding-period rules instead; the qualified-plan NUA framework does not automatically apply.
From a qualified plan, compare two separate choices before requesting a distribution: an NUA distribution, which can preserve special future capital-gain treatment for qualifying appreciation, and a rollover, which can generally defer current tax but usually gives up that NUA treatment. Then evaluate whether keeping any distributed shares leaves too much of your household wealth tied to one former employer. Tax timing, withholding, plan mechanics, liquidity and concentration all matter.

Start with the account that actually holds the shares
Employer stock still in a qualified retirement plan
NUA is a tax treatment for employer securities distributed from a qualified plan under applicable lump-sum conditions. It is not an automatic election available for every former-employee stock position. The plan administrator must be able to process the distribution, and the distribution facts must satisfy the Internal Revenue Service rules.
The relevant account could be a 401(k), profit-sharing plan or another qualified employer plan. Ask the administrator what type of plan holds the shares, whether the plan reports an NUA amount, and which distribution forms are available. The plan’s records, rather than a brokerage screen showing a current price, determine the historical basis and NUA figures used for tax reporting.

Shares already in a taxable brokerage account
If the shares were distributed previously or purchased outside the retirement plan and are now in a taxable account, establish the cost basis and acquisition dates first. A sale is then evaluated under the taxable-account rules that apply to that basis and holding period. The NUA discussion in this article concerns employer securities distributed from a qualified plan; do not assume it can be recreated after the shares are already in a taxable account.
Gather trade confirmations, transfer statements and any prior Form 1099 information. If records are incomplete, ask the brokerage how it calculated basis and have a tax professional reconcile the account before selling.
How NUA treatment works
What “net unrealized appreciation” means
The IRS defines NUA as the increase in value of employer securities while they were held in the plan trust. Under qualifying treatment, tax on that appreciation can generally be deferred until you sell or exchange the stock. The rules are described in IRS Publication 575 (2025), Pension and Annuity Income and summarized in IRS Topic no. 412, Lump-sum distributions.

The amount of NUA reported by the plan, the stock’s basis, the date of distribution and the date of a later sale all affect the result.

Conditions for a qualifying lump-sum distribution
Publication 575 describes a qualifying lump-sum distribution as the participant’s entire balance from all of the employer’s qualified plans of one kind during one tax year. The distribution must follow a qualifying event, such as:
- Death.
- Attaining age 59½.
- Separation from service.
- A qualifying disability for a self-employed participant.
These conditions are fact-specific. A partial withdrawal, a distribution spread across tax years or a transaction that does not include the required plan balances may not meet the definition. Confirm the conditions against the current IRS publication and your plan’s actual distribution procedure before electing anything.
Which part is taxed when
Under NUA treatment, the NUA portion is generally not taxed when the qualifying distribution occurs. When you later sell the stock, gain up to the reported NUA amount generally receives long-term capital-gain treatment. Any appreciation above the NUA amount is treated according to how long you held the shares after distribution: it can be long-term or short-term under the applicable holding-period rules.

NUA distribution versus rollover
A rollover and an NUA distribution solve different problems. A rollover generally postpones current tax on the eligible taxable amount. An NUA distribution can preserve special treatment for qualifying appreciation but may create current ordinary-income tax on the plan basis and requires you to keep the employer shares outside the plan.
| Issue | NUA distribution | Rollover |
|---|---|---|
| Current tax timing | NUA is generally deferred until a later sale; the basis component may be included in ordinary income at distribution. | A direct rollover to a receiving qualified plan or traditional IRA can generally defer tax on the eligible taxable amount. |
| Future gain character | Gain up to the NUA amount is generally long-term capital gain when sold; appreciation after distribution follows the post-distribution holding period. | Rolled assets generally no longer receive the special NUA treatment when later paid from the IRA or receiving plan. |
| Withholding | A distribution paid to you can be subject to mandatory federal withholding on the taxable portion in many eligible-rollover cases. | A direct rollover is distinct from receiving the money personally and generally avoids participant-paid withholding mechanics. |
| Investment exposure | You hold the employer shares in a taxable account after distribution unless you sell them. | The assets remain tax-deferred in the receiving plan or IRA, subject to that account’s investment menu and rules. |
Direct rollover is not the same as a 60-day rollover
With a direct rollover, the plan sends eligible assets to the receiving qualified plan or traditional IRA. With a participant-paid distribution, the money is paid to you first. Many eligible rollover distributions paid to the participant are subject to 20% federal withholding on the taxable portion, even if you intend to complete a rollover within 60 days. Exceptions and distribution classifications matter, so verify the form with the plan administrator.
If withholding applies and you want to roll over the full eligible amount, you may need to replace the withheld amount with other cash; the plan does not automatically restore it. A 60-day rollover also carries timing and eligibility requirements. Do not request a participant-paid check merely because you plan to redeposit it.

A decision process before you elect a distribution
- Inventory every employer plan. List the former employer’s 401(k), profit-sharing and other qualified plans, plus any employer shares already outside the plan. Determine whether the distribution would include the balances required for a qualifying lump sum in one tax year.
- Request the plan’s NUA and basis figures. Ask for the number of shares, current value, plan basis, reported NUA, distribution date and the Form 1099-R information the plan expects to issue. Compare those records with your own statements.
- Model the tax-year impact. Estimate how the basis component could affect ordinary income in the distribution year. Include other wages, pension income, required distributions and gains that may place you in a different federal tax bracket. The NUA amount is not itself a promise of a particular tax rate.
- Compare the sale horizon. NUA usually matters most when you expect to hold and eventually sell the shares under the capital-gain treatment described above. If you need the money immediately, a sale soon after distribution may produce a different result than a long holding period. Ask your tax professional to model both timing paths.
- Compare the rollover mechanics. Confirm whether your plan permits an in-kind distribution of employer shares, a cash distribution, a direct rollover, or a combination. The plan’s available choices can determine whether an NUA strategy is practical.
- Decide how much company exposure you can afford. Review the shares alongside your IRA, taxable investments, cash reserve, real estate, pension, deferred compensation and other benefits tied to the former employer. Do not evaluate the stock in isolation.
- Document the election. Keep the distribution statement, Form 1099-R, box 6 NUA amount, basis calculation, share count, transfer confirmations and later sale confirmations. These records support the split between basis, NUA and post-distribution appreciation.
Keeping the shares creates concentration risk
NUA treatment answers how parts of the gain may be taxed; it does not answer whether the stock belongs in your retirement portfolio. FINRA defines concentration risk as amplified loss risk when a large portion of holdings sits in one investment, asset class or market segment. Its investor guidance recommends diversification across and within asset classes and periodic rebalancing. See FINRA’s concentration-risk guidance.

The SEC’s Investor.gov guide states: “The practice of spreading money among different investments to reduce risk is known as diversification.” Its discussion of asset allocation and rebalancing emphasizes matching investments to financial goals and risk tolerance. Read the SEC Investor.gov beginners’ guide.
Apply those principles to total household exposure. A former employer may already account for part of your income through a pension, deferred compensation, retiree health benefit or severance arrangement. A large stock position can therefore create overlapping employment, income and investment risk. There is no universal “safe” percentage for employer stock in retirement; the available guidance supplies general risk principles, not an individualized threshold.
Reasons someone might retain some shares
- They want continued exposure to a company they understand and can tolerate the associated volatility.
- They have sufficient diversified assets and cash for near-term spending without selling during a downturn.
- They have reviewed the tax cost of selling now versus later and accept the concentration risk.
Reasons someone might sell or reduce the position
- The shares represent a large share of household investments or are correlated with other former-employer benefits.
- Retirement withdrawals require predictable liquidity that a single stock cannot provide.
- The investor’s risk tolerance, time horizon or financial plan has changed since the shares were earned.
A partial sale can reduce concentration without requiring an all-or-nothing decision, but the tax lots and sale timing still need to be documented. Selling everything is not automatically correct, and keeping everything is not automatically prudent.
Plan and tax-administration details that can change the outcome
Distribution form and share delivery
Ask whether the plan can distribute shares in kind, cash, or both. An in-kind transfer may preserve the individual shares for later sale, while a cash distribution may not provide the same NUA mechanics. The plan administrator should explain the election deadlines, valuation date and treatment of fractional shares.

Reporting and recordkeeping
Review Form 1099-R when it arrives. If NUA applies, check box 6 and reconcile the amount with the plan statement. Keep the original basis and NUA calculation permanently with your tax records, because the later sale may occur years after retirement and after the plan’s online history has changed.
Federal versus state tax
The rules summarized here are general U.S. federal tax concepts. State taxation was not established by the available sources and can differ. A tax professional familiar with NUA can coordinate federal reporting with the rules in your state of residence.
Common mistakes and how to avoid them
- Assuming every employer-stock account qualifies. NUA concerns qualifying distributions of employer securities from a qualified plan. Taxable-account shares are a separate analysis.
- Rolling over before comparing alternatives. A rollover can defer current tax but generally removes the special NUA treatment for the rolled assets.
- Confusing a direct rollover with a participant-paid check. The latter can trigger 20% withholding on the taxable portion in many cases and creates a 60-day rollover deadline.
- Ignoring the lump-sum conditions. Confirm the one-tax-year, entire-balance and qualifying-event requirements with the current IRS guidance and your plan.
- Losing the basis records. Without the plan’s basis and NUA figures, the later sale may be reported incorrectly.
- Treating tax savings as a reason to ignore risk. A favorable gain character does not protect against a concentrated stock decline.
- Using a generic allocation rule. No source cited here establishes a universal employer-stock percentage for retirees.
Questions to ask before signing the paperwork
- Does this distribution include the entire balance from all of this employer’s qualified plans of the relevant type in one tax year?
- Which qualifying event supports the distribution?
- What are the plan basis and NUA amounts, and where will they appear on Form 1099-R?
- Can the plan distribute shares in kind, cash, or both?
- What amount would be subject to ordinary-income tax in the distribution year?
- Would a direct rollover to my chosen plan or traditional IRA eliminate NUA treatment?
- If the check is paid to me, what withholding applies and what amount would have to be replaced for a full rollover?
- How does the proposed holding compare with my total household exposure, spending needs and risk tolerance?
Use the current IRS publications, the plan administrator’s written instructions and a tax professional who regularly handles NUA transactions before making an irrevocable election. This article is general education, not individualized tax or investment advice.
