There is no universal percentage that makes employer stock “too much.” The practical test is whether a decline in one company’s shares could materially damage your portfolio, retirement plan, or ability to meet goals—especially when your paycheck and job security depend on that same company. Start by measuring every form of exposure, then check the account and award rules before choosing how to diversify.
Your choices may include redirecting future contributions, selling vested shares in a taxable account, changing investments inside a workplace plan, or reviewing an upcoming vest, exercise, or employee stock purchase. Each route has different trading restrictions and tax consequences, so confirm plan terms and tax treatment before placing an order.

Why employer-stock concentration is unusually risky
A broad fund can spread company-specific problems across hundreds or thousands of businesses. A large holding in your employer does the opposite: your investment value, earned income, and sometimes future equity awards all depend on one company. A product failure, regulatory action, litigation, earnings miss, acquisition, or industry downturn can affect both your job and your portfolio at the same time.

Do not treat an unvested award as equivalent to cash or owned shares. Its value depends on continued employment, vesting conditions, the share price at vesting, and the award agreement. It still matters for planning because future vesting can increase your concentration unless you decide in advance what you will do when shares become available.
Step 1: Measure your entire employer exposure
Make one inventory before deciding whether to sell. FINRA says to evaluate total holdings, explicitly including company stock accumulated in a 401(k). Include accounts you manage separately and awards that have not yet vested.
- List taxable holdings. Record employer shares in brokerage accounts, including shares retained after prior vesting, option exercises, or employee stock purchase transactions.
- List workplace-plan holdings. Record employer securities in a 401(k), profit-sharing plan, or other defined-contribution account. Note whether shares came from your own deferrals, employee contributions, or employer contributions.
- List each award account. Separate vested and unvested RSUs, statutory options, nonstatutory options, and employee stock purchase plan shares. Record the number of shares, exercise price where applicable, vesting dates, purchase dates, and expiration dates.
- Record values and basis. Capture the current share price, number of shares, account value, and available cost-basis records. Keep grant confirmations, exercise statements, purchase records, and prior sale confirmations together.
- Model future vesting. Add scheduled vesting or purchase events to a calendar. Show the estimated share count separately from shares you already own; the future value is uncertain and contingent.
Then compare the employer position with your whole portfolio, not just one account. A 20% position in a taxable account may become a much larger economic exposure after adding a 401(k) holding and a large award scheduled to vest. Also consider your dependence on the employer for salary, bonus, health coverage, pension benefits, or future grants. This “human capital” exposure is a planning factor, not a measured percentage supplied by federal guidance.

Step 2: Identify where the shares are held
The account determines what you can trade, when you can trade it, and which tax rules may apply. Ask the plan administrator or broker for the summary plan description, investment menu, trading procedures, fees, blackout periods, and distribution paperwork.

| Holding location | What to verify | Potential diversification route |
|---|---|---|
| Taxable brokerage account | Cost basis, holding period, settlement process, and any employer trading policy | Sell eligible vested shares and choose a diversified investment that fits your allocation and tax plan |
| Defined-contribution plan with publicly traded employer securities | Whether section 401(a)(35) applies, which shares are eligible, trading frequency, and available investment options | Divest eligible shares and reinvest proceeds in other plan options when the plan permits |
| ESOP | Plan design, participant age, years of participation, election period, and distribution rules | Use the plan’s applicable diversification election or distribution process |
| Vested stock award account | Award type, tax withholding, sale restrictions, and basis reporting | Sell some or all eligible shares after vesting, subject to the award and trading policy |
| Unvested award | Vesting conditions, forfeiture provisions, expiration, and future tax event | Plan a decision for the vesting or exercise date rather than treating the award as current cash |
What 401(k) diversification rules generally provide
For an applicable defined-contribution plan holding publicly traded employer securities, section 401(a)(35) generally gives participants rights to divest certain eligible employer shares and reinvest the proceeds in other plan investments. The final regulations distinguish shares attributable to elective deferrals and employee contributions from shares attributable to employer nonelective contributions. A plan may set periodic, reasonable opportunities, but those opportunities generally must occur at least quarterly.
Applicable plans must offer at least three investment options that are diversified and have materially different risk and return characteristics. These are legal requirements with definitions and exceptions, not a promise that every employer-stock account can be traded immediately or that every share is eligible. The plan document controls the details. IRS guidance also explains that employer-stock limits vary by plan type and that ERISA rules cover many private-sector plans.
Why an ESOP needs separate treatment
An ESOP is not interchangeable with an ordinary 401(k) brokerage window. IRS guidance describes a diversification election period in the six-plan-year period beginning with the first plan year in which a participant both reaches age 55 and completes 10 years of plan participation. The exact election right, number of shares, and method depend on the governing ESOP rules and plan design. Ask the administrator which plan year starts your window and how to make the election.
Step 3: Choose a way to reduce future concentration
Redirect new retirement contributions
If your plan allows you to choose investments for each payroll contribution, direct new money to diversified options instead of adding to the employer-stock fund. This changes future purchases without requiring an immediate sale, although it does not reduce shares you already hold.

Review what happens when awards vest
Some systems automatically withhold shares or cash for taxes and leave the remainder in your account. Read the award and brokerage instructions so you know whether shares are retained automatically. Decide in advance whether you will keep, sell, or use a staged approach for the net shares, subject to trading windows and any company policy.
Set a written reduction schedule
A written schedule can prevent an emotional decision after a sharp price move. It might specify the percentage of newly vested shares to sell, dates when eligible holdings will be reviewed, or a target range for total employer exposure. The evidence does not establish a universally correct cadence or target, so the schedule should reflect your taxes, cash needs, risk tolerance, and restrictions rather than a rule copied from another investor.
Consider a faster reduction when the risk is unacceptable
A quicker sale may be appropriate for someone whose job, emergency reserve, and retirement assets are all tied to the employer. A slower approach may be easier to implement when selling creates a large tax bill, a short holding period, or a restricted trading window. Compare the consequences using your complete inventory, not the percentage in a single account.

Step 4: Separate diversification from tax timing
The same sale can have very different tax results depending on how you acquired the shares. Before selling, identify the award type and the basis shown by your broker or plan administrator. Employer withholding is not proof that your final tax liability has been fully covered.

| Equity type | General federal tax event described by IRS guidance | Questions to confirm |
|---|---|---|
| Restricted stock units and other restricted property | Income is generally included when the property becomes substantially vested, subject to exceptions | What amount was included as compensation, what basis was reported, and when did the holding period begin? |
| Nonstatutory option | When the option lacks readily determinable fair market value, exercise generally creates compensation income based on value received minus the amount paid | What was the exercise price, fair market value, withholding, and basis after exercise? |
| Statutory option, including an incentive stock option | Different rules apply; an incentive stock option can create an alternative minimum tax issue | Was the option an ISO or another statutory option, and were the required holding periods met? |
| Employee stock purchase plan shares | Tax timing and reporting depend on the plan terms and holding period | What were the purchase price, discount, purchase date, and sale date? |
Do not assume that all options or all RSUs are taxed at the same time. FINRA advises employees to understand the tax implications of stock awards and to consult a tax professional when needed. A tax adviser can also check state treatment, estimated payments, and whether a proposed sale is likely to create a short-term or long-term capital gain.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. Before rolling over employer stock, investigate NUA
Net unrealized appreciation (NUA) is a specialized rule for certain employer securities distributed under qualifying lump-sum distribution requirements. IRS guidance generally treats the reported NUA as not taxed until the securities are sold, while other parts of the distribution can have different treatment. Eligibility depends on the distribution and rollover conditions.
A rollover can change or eliminate access to that treatment. Therefore, do not roll employer shares into an IRA or another plan automatically before comparing the consequences of an in-kind distribution, a rollover, and a later sale. Ask a tax professional to determine whether the NUA rules apply to your facts and whether the administrative steps must occur in a particular order. NUA is a tax question, not a reason by itself to keep a concentrated position.
Use these decision questions before placing a trade
- Total exposure: What percentage of your investable assets will remain in employer shares after the transaction, including scheduled vesting?
- Account rules: Is the holding in a taxable account, a defined-contribution plan, an ESOP, or an award account, and what restrictions apply?
- Tax basis: What compensation income has already been recognized, what basis will be reported, and what holding period applies?
- Timing: Is a vest, option exercise, purchase date, distribution, or trading blackout approaching?
- Income dependence: How much of your salary, bonus, benefits, and future financial security comes from the same employer?
- Cash needs: Would a sale fund an emergency reserve, a tax bill, debt repayment, or a near-term goal, or would the proceeds simply be reinvested?
- Implementation: Which diversified options are available, what are their expenses and risk characteristics, and when will the transaction settle?
These questions support a decision without pretending that one percentage fits everyone. The available guidance does not set a universal employer-stock cap or a personalized sell schedule.

A practical pre-trade checklist
- Download statements from every taxable, retirement, and award account.
- Reconcile share counts with grant, vesting, exercise, and purchase records.
- Mark vested shares separately from unvested awards.
- Read the summary plan description and ask the administrator about diversification rights, quarterly windows, fees, and restrictions.
- Confirm whether the account is an ESOP and whether a diversification election period applies.
- Ask the broker how basis and holding periods will be reported for each lot.
- Estimate federal and state tax consequences, including possible alternative minimum tax or NUA issues.
- Check the employer’s insider-trading policy, blackout calendar, and pre-clearance requirements.
- Write down the investment destination for sale proceeds and the conditions that would trigger a later review.
- Have an investment professional review portfolio diversification and a tax professional review award, sale, distribution, or rollover consequences when the facts are complicated.
Common mistakes and how to correct them
Looking only at the brokerage account
Problem: A 401(k) balance or vested award is omitted, understating concentration. Correction: Rebuild the inventory across all accounts and include future vesting as a separate, contingent exposure.
Treating “vested” as “safe to sell anytime”
Problem: Vesting may still be followed by a trading blackout, company policy restriction, or settlement delay. Correction: Confirm the first date and method for a permitted sale with the plan or broker.
Assuming a rollover is automatically tax-neutral
Problem: Moving employer shares without checking NUA eligibility can remove a potentially relevant tax treatment. Correction: Compare distribution and rollover paths with a tax professional before moving the assets.

Problem: RSUs, statutory options, nonstatutory options, and ESPP shares have different timing and reporting rules. Correction: Identify each award from its agreement and verify basis and withholding separately.
Waiting for a “perfect” price
Problem: A decision based only on predicting the next price can leave the portfolio exposed indefinitely. Correction: Set a documented process based on exposure, taxes, restrictions, and goals rather than a forecast you cannot verify.
What the available evidence does—and does not—show
An IRS report found that 98% of the 79 section 401(k) plans in its 2006–2008 sample that invested in employer stock offered participants diversification rights. That is a historical survey result, not a current estimate, and it does not show how many participants used those rights. Current access depends on your plan’s design, documents, and applicable law.
Federal retirement and tax rules provide a framework, but they do not decide how much employer stock is appropriate for you. FINRA recommends discussing overall diversification and possible reallocation with an investment professional, while award and rollover questions may warrant a tax professional. Confirm the current plan terms before acting.
