What’s actually slowing this PC down?

First, preserve the denial or revised offer, ask the lender for the principal reasons, check the credit and business records behind the decision, and then choose among correcting and resubmitting, negotiating the counteroffer, or applying elsewhere. Do not accept a higher-cost loan merely because the lender changed the terms.
A denial or unfavorable change is a decision to diagnose, not a verdict on your business. The right next step depends on whether the problem is eligibility, credit information, cash flow, collateral, time in business, the requested amount or use, or missing documentation.

Do these four things before you apply anywhere else
- Save every document. Keep the application, term sheet, denial message, emails, lender notes, requested financial statements, and the date you received each communication. Do not rely on a phone conversation you cannot later reconstruct.
- Ask for specific reasons. Say: “What were the principal reasons for declining my requested amount or changing the terms? Which factors were specific to this product, and which reflect the business’s general risk profile?” Ask the lender to distinguish a program-eligibility issue from an underwriting judgment.
- Identify the information used. Ask whether the lender relied on a business credit report, a personal credit report, a score, tax returns, bank statements, cash-flow projections, collateral values, or a verification service. Request the reporting agency’s name and the score or factors used when applicable.
- Choose a remedy only after you know the cause. A factual error may justify a correction and later resubmission. A cash-flow shortfall may call for a smaller amount or longer maturity. A counteroffer may be workable, but only after you calculate its total cost and payment risk.
Do not submit a series of applications before fixing a documented problem. Multiple inquiries, inconsistent figures, or rushed explanations can make a later review harder. Never hide liabilities, inflate revenue, or alter business records to fit a lender’s requirements.

What notice and explanation rights may apply
Federal Regulation B treats adverse action broadly. Depending on the facts, it can include a denial, termination of credit, an unfavorable change to an existing account’s terms, or refusal to increase a credit limit. A first-time repricing or counteroffer is not automatically classified the same way in every situation; the product, timing, and lender’s action matter.

Business-credit notice rules also vary by applicant category. For certain business applicants, including applicants whose preceding-year gross revenue exceeded $1 million and specified types of credit, the creditor must communicate its action within a reasonable time. If the applicant makes a written request within 60 days, the creditor must provide a written statement of reasons and the applicable Equal Credit Opportunity Act notice. Other business applicants can fall under different provisions. Review the current Regulation B text and official interpretations for your revenue, credit type, lender, state, and contract rather than assuming that every small business receives an automatic written denial letter on the same schedule.
When a specific-reasons requirement applies, “internal policy” alone is not a meaningful explanation. The disclosed reasons should identify the principal factors actually considered, such as insufficient debt-service coverage, delinquent obligations, or inadequate collateral. Send a written request promptly, keep proof of delivery, and retain the response.
If a credit report influenced the decision
A lender that used a credit report must provide the reporting agency’s contact details and related score disclosures in the adverse-action information required for that decision. The report’s presence does not prove it was the sole reason for the denial or repricing.
Review both business and personal files
- Confirm that names, addresses, tax identification details, and ownership information identify the correct business and person.
- Look for duplicate accounts, accounts belonging to another company, stale balances, incorrect payment status, or debts shown as open after they were paid.
- Compare reported balances and limits with current lender statements and accounting records.
- Check inquiries and public-record information for items you did not authorize or that were reported inaccurately.
Dispute factual errors
Use the reporting agency’s dispute process and attach documents that prove the correction. Keep copies of the dispute, evidence, and outcome. Correcting an error does not guarantee approval; it removes one inaccurate input that a lender may have considered. Ask the original creditor to correct information it supplied when that is the source of the mistake.

Find the actual reason instead of guessing
Lenders often evaluate several risk dimensions at once. Ask which one was decisive and what evidence would change the assessment.
| Possible issue | What it can look like | Useful follow-up question |
|---|---|---|
| Program eligibility | The business, ownership, use of proceeds, industry, or loan purpose does not fit the product. | “Is this a product-rule issue, and which requirement was not met?” |
| Credit information | Low score, recent delinquency, high utilization, thin history, identity mismatch, or an incorrect account. | “Which report, score, and factors were used?” |
| Cash flow and repayment ability | Revenue is volatile, operating cash flow is insufficient, debt-service coverage is weak, or projections are unsupported. | “What payment or coverage level would make the request workable?” |
| Collateral or guarantees | Assets are insufficient, difficult to value, already pledged, or the lender requires a personal guarantee. | “Would different collateral, more equity, or a lower amount change the structure?” |
| Time in business | The lender requires a longer operating history or more filed tax returns. | “What operating period or records are required for reconsideration?” |
| Amount or use of funds | The requested amount exceeds demonstrated need or the proposed use is ineligible or unclear. | “Would a smaller amount or a revised use-of-proceeds schedule fit the program?” |
| Documentation | Missing tax returns, bank statements, ownership documents, licenses, debt schedules, or contracts. | “Which exact documents are missing, and is the file otherwise underwritten?” |
These questions invite the lender to explain its decision; they do not promise that a smaller amount, extra collateral, or more paperwork will result in approval. Get any proposed change in writing.
Choose among correction, negotiation, and a new lender
Correct and resubmit
Resubmission makes sense when the lender identifies a fixable factual or documentation problem and confirms that it will reconsider a new file. Correct the report or records, update the debt schedule, reconcile every figure to your accounting system, and provide a concise explanation of what changed. Ask how long the correction must be reflected before a new application is useful.
Negotiate the counteroffer
A counteroffer is neither a clean approval nor an outright denial. It may change the amount, price, maturity, collateral, guarantees, or other conditions. Request an itemized written offer and a list of conditions still required before funding. You can ask whether a lower amount, additional equity, different collateral, a shorter term, or more documentation would improve the structure, but treat each as a negotiation question rather than a guaranteed fix.

Approach another lender
Another lender may use a different product, risk model, collateral policy, or industry appetite. Give the next lender a consistent explanation of the first decision and disclose existing applications and obligations when asked. Comparing lenders is useful only when you compare complete offers, not headline rates.
How to evaluate a repriced offer or counteroffer
Build a side-by-side worksheet before signing. Include the lender’s exact assumptions, whether a rate is fixed or variable, and every condition that could change the amount you actually receive.
| Item | What to compare | Why it matters |
|---|---|---|
| Amount funded | Gross approval minus origination, underwriting, broker, or other fees withheld at closing. | A smaller net advance may not cover the stated business need. |
| Interest rate | Annual rate, fixed or variable status, index and margin if variable, and reset rules. | A low initial rate can rise; a quoted rate without its calculation method is incomplete. |
| Total repayment | All scheduled principal, interest, and mandatory charges over the full term. | The smallest periodic payment is not necessarily the cheapest borrowing. |
| Payment | Amount, frequency, first due date, and whether payments are amortizing, interest-only, or irregular. | Match the schedule to actual collection timing and seasonal revenue. |
| Term and maturity | Length of repayment and any balloon or final lump-sum payment. | A short maturity can create a cash crunch even with a lower total cost. |
| Security | Collateral description, lien priority, personal guarantees, and insurance requirements. | Default can put business and personal assets at risk. |
| Flexibility | Prepayment penalties, grace periods, covenants, reporting duties, and events that trigger acceleration. | These terms affect whether you can adapt when revenue changes. |
| Funding certainty | Remaining conditions, verification steps, closing deadlines, and the lender’s right to withdraw. | An approval conditioned on unresolved items is not cash in hand. |
Model the payment against a conservative cash-flow forecast, not your best month. Include payroll, taxes, existing debt, owner draws, inventory, rent, and seasonal swings. Test a downside case in which sales arrive late or fall below plan. Read the default and full-repayment provisions; a lender may be able to demand accelerated repayment after a specified breach.

An SBA 7(a) borrower applies through a participating lender rather than directly to the SBA. SBA eligibility includes creditworthiness and a reasonable ability to repay, along with program requirements concerning the business, ownership, use of proceeds, and other conditions. An eligible business is not entitled to approval: the lender still applies its own underwriting standards and credit judgment.

Ask the lender whether the problem was SBA eligibility, the lender’s policy, or both. If the lender says the request is ineligible, ask which requirement failed and whether a different use of proceeds or structure would fit. If the lender says repayment ability or creditworthiness was insufficient, request the specific factors and documentation it relied on.

SBA Lender Match is a matching service, not a loan application and not a guarantee of a match, eligibility, or approval. A business describes its needs, may receive contact from interested lenders, discusses the request, and then applies with a lender. Prepare the information the service and lenders commonly request:
- A clear amount and use-of-funds schedule.
- A business plan, especially for a startup or a major expansion.
- Business and personal credit history details.
- Recent tax returns, financial statements, and bank statements.
- An existing-debt schedule, ownership information, licenses, leases, contracts, and collateral details where relevant.
Contact several matched lenders only after you can state the requested amount, purpose, repayment source, and changes made since the earlier decision. Ask each one for rates, terms, fees, prepayment treatment, grace periods, collateral, guarantees, and acceleration rights in writing.

- Reconcile the numbers. Make revenue, expenses, debt balances, bank deposits, tax returns, and projections tell the same story. Explain legitimate differences, such as cash-versus-accrual timing.
- Show repayment capacity. Map the proposed payment to monthly cash flow and identify the source of repayment. Separate recurring operating cash from one-time sales or owner contributions.
- Right-size the request. Tie each dollar to an invoice, project phase, inventory cycle, or other documented need. A smaller request can reduce payment pressure, but it can also leave the business underfunded; calculate the full project budget.
- Address credit issues openly. Attach dispute results, payoff confirmations, or a short explanation of an isolated event. Do not omit debts or recent applications.
- Prepare collateral and ownership records. Gather titles, valuations, lien information, guarantees, organizational documents, and beneficial-owner identification before the lender asks.
- Ask for a reconsideration path. Confirm the waiting period, required documents, and whether the same lender will review a corrected file or expects a new application.
Common mistakes after a denial or repricing
- Chasing the lowest payment. Extending the term can reduce the payment while increasing total repayment or creating a balloon balance.
- Accepting urgency as proof of affordability. A lender’s deadline does not replace your cash-flow analysis or document review.
- Ignoring personal exposure. A personal guarantee or broad lien can materially change the risk even when the borrowing is for the company.
- Applying repeatedly with inconsistent figures. Update the file once, document the changes, and submit a coherent package.
- Treating an SBA match as an approval. Matching only opens a conversation; the lender still decides whether to lend.
- Using expensive short-term credit as an automatic substitute. Frequent payments, factor-like charges, confession-of-judgment language where permitted, and renewal dependence can create a faster repayment crisis. Compare the all-in cost and default consequences with the business’s actual cash cycle.
