What to Do When a Specialised Investment Fund’s Lock-In or Redemption Terms Don’t Fit Your Needs

Do not assume that a fund described as “locked in” is impossible to exit—or that an apparently open-ended fund can pay you immediately. First identify the exact legal product, jurisdiction and governing document. Then determine whether the obstacle is a true lock-in, an exit load, notice period, dealing-frequency window, minimum-investment rule, NAV cut-off, settlement delay, exceptional redemption gate or an operational account block. Those are different restrictions with different remedies. Obtain the calculation and permitted next step from the fund manager or registrar in writing before submitting an order.

Start with the document that legally controls your investment

“Specialised investment fund” is not one universal legal category. Rules vary by country, fund structure, strategy and edition of the offer documents. Your answer comes from the documents governing your specific holding, not from a general description on an app or a comparison article.

Collect the following details before calling the fund or intermediary:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Legal fund category and jurisdiction.
  • Strategy or scheme name and the account or folio number.
  • Purchase or allotment date, including each subsequent purchase if units have different terms.
  • Current strategy information document, scheme information document, trust deed and every applicable addendum, with their issue dates.
  • The name of the asset-management company (AMC), registrar and transfer agent (RTA), and the intermediary through which you invested.

Ask the AMC or RTA to identify the clause that governs your request. If a document has been replaced, ask which version applies to units bought on your date. Keep a copy of the document and the response.

Identify the restriction instead of calling everything a “lock-in”

Use the precise term because it determines what you can do and what it will cost.

Restriction What it means in practice Question to ask
Contractual lock-in Redemption is prohibited until a stated date or event, except for any narrowly disclosed exception. What is the first date and process on which a redemption request is legally accepted?
Exit load Redemption is allowed, but a percentage or other charge is deducted under the stated schedule. What charge applies to my units on the proposed redemption date?
Notice period You must submit a request a specified number of days before the dealing or payment date. When must notice arrive, and which NAV or dealing date will be used?
Dealing-frequency window Requests are accepted only on scheduled dates, such as weekly, monthly or quarterly windows. What is the next permitted dealing date and cut-off?
Minimum holding or aggregate threshold Your account or all holdings covered by the rules must stay above a stated amount, or a partial redemption may be restricted. Would this withdrawal breach the threshold, and what happens if it does?
NAV cut-off The time your valid request is received determines which valuation date applies. What receipt time and NAV date will be recorded?
Settlement or payment delay The redemption is accepted, but proceeds arrive later under the document’s timetable. What is the stated payment date and are there exceptions?
Exceptional restriction or suspension Redemptions may be limited or paused during specified market, liquidity, operational or regulatory events. Which exceptional provision has been invoked, by whom and for how long?
Operational block An account, KYC, demat or authorization problem prevents processing even though the fund terms permit redemption. What exact rejection code or missing action must be fixed?

Calculate the earliest practical exit before you act

Build a written timeline rather than relying on an estimate shown on a screen. Include each of these points:

  1. Earliest valid submission: the first date on which the fund will accept your request under the lock-in, notice and dealing-frequency rules.
  2. Receipt and cut-off: the channel, business-day definition and daily cut-off. A request submitted before the cut-off may receive a different NAV from one submitted later.
  3. Applicable NAV: whether the price is based on the same day, the next business day or a scheduled dealing date.
  4. Charges: exit load, transaction charge or other deduction stated in the governing document.
  5. Threshold effect: the balance that would remain, including all holdings aggregated under the rules, and whether a partial withdrawal is permitted.
  6. Payment date: the stated dispatch or settlement period, plus exceptions for unusual conditions.

Send the AMC or RTA your proposed amount and date and ask it to confirm this calculation in writing. Save the request timestamp, reference number and the reply. A written calculation helps distinguish a contractual restriction from an avoidable processing error.

What the Indian SIF documents illustrate

The following figures are examples from particular SEBI-hosted strategy information documents, not universal rules for every Indian SIF or for funds in other jurisdictions.

An open-ended strategy with no stated notice period

One strategy information document issued in August 2025 states “Notice Period Not Applicable” and describes the strategy as open-ended. It sets a 3 p.m. redemption cut-off: a valid request received by 3 p.m. uses that day’s closing NAV, while a later request uses the next business day’s closing NAV. The document says redemption proceeds are dispatched within three working days from redemption, subject to the exceptions it lists. Treat those as that strategy’s terms only; check the current document for your strategy before relying on any of them.

An aggregate INR 10 lakh threshold

The same document says an investor’s aggregate SIF investment at PAN level must generally remain at least INR 10 lakh. It separates two situations:

  • Passive breach: the value falls below the threshold because NAV declines. The document permits redemption of the entire remaining SIF investment, rather than a small partial withdrawal.
  • Active breach: the investor’s own transaction takes the aggregate below INR 10 lakh. The document describes debit-freezing of units and a 30-calendar-day notice to rebalance. If the account is not rebalanced, the AMC automatically redeems at the applicable NAV of the next business day after the notice period.

These are document-specific consequences. Confirm that the current strategy information document and current rules still use the same threshold, aggregation method, notice and NAV treatment.

Exceptional redemption restrictions

Another SEBI-hosted SIF strategy document gives the fund power to restrict or suspend redemptions in exceptional circumstances, including broad liquidity problems, market failures or exchange closures, operational issues, or a direction from SEBI. It states that the AMC board and trustees must approve such restrictions and that SEBI must be informed immediately. It also warns that ordinary processing timelines may not apply in exceptional conditions. Ask whether the fund is operating under its ordinary schedule or an invoked exceptional provision.

Check whether a partial redemption creates a bigger problem

A partial withdrawal is not always the safest compromise. Before placing one, calculate the post-redemption balance under every aggregation rule in the governing document. Include units held through different folios or platforms if the rules aggregate them by PAN or another investor identifier.

  • Ask whether the minimum applies per scheme, per strategy, per folio or across all SIF holdings.
  • Ask whether a market-value fall is treated differently from an investor-initiated withdrawal.
  • Confirm whether units become debit-frozen while you receive a rebalance notice.
  • Find out whether failure to restore the threshold causes an automatic full redemption, and which NAV would be used.
  • Request the fund’s written calculation for the exact amount you propose to withdraw.

If the amount needed for an emergency would breach the threshold, compare the permitted full-exit consequence with other sources of liquidity. Do not assume you can sell just enough to cover a bill.

If your order is rejected, separate a process problem from a fund rule

An order can fail for an operational reason even when no lock-in applies. A support page from Zerodha lists incomplete CDSL authorization, lock-in, a frozen demat account and KYC non-compliance among possible rejection causes. That list is an illustration of intermediary-level causes, not a diagnosis of your account.

  1. Request the exact rejection reason, code and time from the servicing intermediary.
  2. Ask what action clears it: authorization, KYC update, account unfreezing or a different submission channel.
  3. Check the answer against your statement, demat status, KYC records and the fund’s governing clause.
  4. Resubmit only after the intermediary confirms that the defect is corrected, and retain the new reference number.

If the response does not identify a clause or operational remedy, ask the AMC or RTA to escalate it to its complaints team. The intermediary’s support material links to SEBI’s SCORES system and an online dispute-resolution mechanism; confirm which route applies to your intermediary and complaint before filing.

When hardship or urgency does not create an exception

Needing money for a medical bill, tax payment or other emergency may explain your situation, but it does not normally override a contractual lock-in, minimum threshold or statutory process. Ask whether the governing documents disclose any hardship, transfer or other liquidity facility. If they do not, plan around the permitted date rather than assuming the AMC can make an informal exception.

Some funds may disclose a transfer facility, but a transfer is not the same as a redemption: it may require an eligible transferee, documentation, valuation process and its own timing. Obtain the full conditions and costs in writing before treating it as a solution.

Compare permitted routes on the factors that actually matter

If you have more than one permitted route—waiting for the next window, redeeming now with a charge, using a disclosed transfer facility or arranging outside liquidity—compare them consistently.

Decision factor What to verify
Access to cash Earliest date funds can be submitted, valued and paid.
Certainty Whether the dealing and NAV date is fixed or can be delayed by conditions.
Total cost Exit load, other stated charges, financing cost and any tax consequences you must evaluate separately.
Threshold impact Whether the route leaves you below a minimum or triggers a rebalance or full-exit process.
Settlement risk Payment timetable, weekends and holidays, and exceptions for liquidity or operational events.
Operational burden Forms, authorization, KYC, demat status, notice method and evidence you must retain.
Suitability Whether the alternative fits your risk tolerance, tax position and time horizon; liquidity alone is not a reason to replace one investment with another.

A SEBI-registered investment adviser or financial planner can help with a personalised liquidity and portfolio decision. An adviser cannot override the fund’s contractual terms, and the fund’s own documents still govern processing.

A practical record-keeping and escalation checklist

  • Current offer document and every relevant addendum.
  • Statement showing units, dates, folios and aggregate holdings.
  • Copy of your redemption or transfer request exactly as submitted.
  • Submission timestamp, cut-off applicable and request reference.
  • Written NAV, charge, threshold and payment calculation.
  • Any rejection code, call reference and correspondence.
  • Names or ticket numbers for AMC, RTA and intermediary complaints.

If the published procedure appears not to have been followed, ask the AMC or RTA to identify the precise clause and explain the variance. Use the fund’s formal grievance channel first, then the regulator or dispute process applicable to your jurisdiction and intermediary. Keep the complaint factual and attach the timeline rather than relying on a verbal account.

Before you submit: a final decision sequence

  1. Confirm the product, jurisdiction, strategy and document version.
  2. Label the obstacle precisely: lock-in, load, notice, window, threshold, cut-off, settlement, exceptional restriction or account block.
  3. Obtain the earliest date, NAV basis, charges, threshold effect and payment date in writing.
  4. Check whether a partial withdrawal causes a freeze, rebalance notice or automatic full redemption.
  5. Choose only a route the governing documents permit, and evaluate outside liquidity without assuming it is cheaper or safer.
  6. Submit through the correct channel before the stated cut-off and retain proof.
  7. Escalate a rejection or delay through the formal process, identifying the clause and attaching your records.
