What to do if your mutual fund distributor’s advice is conflicted (India)

If a mutual fund distributor recommends a scheme that appears to benefit them, pause before investing or adding money. Ask whether the person is acting as a distributor or as a SEBI-registered investment adviser, request a written explanation of every direct or indirect incentive, and test the recommendation against your goals, time horizon, liquidity needs and risk tolerance. Preserve the messages and transaction records. If the explanation remains unsatisfactory, complain first to the mutual fund or its Investor Service Centre, then use the available AMFI and SEBI escalation routes.

A commission, by itself, is not proof of misconduct. The important question is whether the recommendation appears unsuitable, misleading, pressure-driven or influenced by an extra incentive. This guidance applies to India, where AMFI, SEBI and the term mutual fund distributor have specific regulatory meanings.

Start with a pause and a paper trail

Do not sign an application, switch scheme, redeem units or increase a systematic investment solely because a distributor says an opportunity is urgent. A pause gives you time to identify the product, understand the compensation arrangement and obtain a second view without losing evidence.

Preserve the relevant records

  • Save emails, chat messages, call summaries, presentations and advertisements containing the recommendation.
  • Record the mutual fund name, scheme name, plan (Direct or Regular), option (such as growth or income distribution), proposed amount and date.
  • Keep application forms, transaction confirmations, account statements, risk-profile forms and any disclosure of commissions or relationships.
  • Write a dated chronology while events are fresh. Separate what was said from what you infer; describe a concern as a concern, not as a proven rule breach.

This file will help you ask precise questions and, if necessary, show a fund, AMFI or SEBI exactly what happened.

Confirm who is advising you

The same person may use everyday language such as “advisor” while operating as a commission-paid distributor. Ask for the person’s legal role and registration details in writing. A distributor generally receives compensation from the asset management company or mutual fund when an investment is routed through that distributor. A SEBI-registered investment adviser operates under a different compensation model and, according to SEBI’s investor education material, cannot receive commissions from product issuers.

Questions that clarify the relationship

  • Are you acting as a mutual fund distributor, a SEBI-registered investment adviser, or both through separate entities?
  • If you are a distributor, what is your ARN and which entity receives compensation?
  • Do you, your employer or a group company have a direct or indirect financial interest in this scheme, fund house or product category?
  • Will you receive commission, a transaction-related payment, a reward, a trip, event sponsorship or another non-cash benefit?
  • If you are an adviser, what is your current SEBI registration number, fee schedule, service scope and conflict-disclosure policy?

Check any registration independently through SEBI’s current public records rather than relying only on a screenshot or a number supplied in a message. Registration does not guarantee that a recommendation is suitable; it identifies the regulatory category and the obligations attached to it.

Ask for a written suitability explanation

A credible recommendation should connect the scheme to your circumstances, not just to recent returns, a “new” launch or a commission ranking. Send focused questions by email or another durable channel and ask for a reply before you invest.

Use these questions

  1. What specific goal does this investment serve, and what is the expected time horizon?
  2. How does the scheme’s risk level fit my stated risk tolerance and ability to absorb losses?
  3. How much liquidity might I need, and what exit conditions, exit load or other restrictions apply?
  4. What are the scheme’s costs, including the expense ratio and any applicable transaction charges?
  5. What comparable schemes or plan types did you consider, and why did you reject them?
  6. What compensation or non-cash benefit could you receive from this recommendation, directly or through an affiliate?
  7. What could cause this investment to underperform or lose value, and what would make you change the recommendation?

Ask the distributor to identify assumptions, such as your income stability, emergency-fund position, debt, tax bracket and intended holding period. If the person cannot explain the downside in plain language or refuses to put the rationale and incentives in writing, treat that as a reason to stop and obtain independent help.

Check the scheme’s primary documents

Compare the sales explanation with the scheme’s Scheme Information Document, key information memorandum, current factsheet, portfolio disclosure and plan-level expense information. These documents describe the investment objective, asset allocation, risks, charges, liquidity terms and operational features that a presentation may simplify.

Look for omissions and overstatements

  • Returns presented without a comparable period, benchmark or risk context.
  • Statements that capital is “safe,” “guaranteed” or effectively risk-free when the documents do not make that promise.
  • Claims that a recent performer will continue to outperform.
  • Failure to distinguish a Direct Plan from a Regular Plan or to explain the recurring expense difference.
  • Pressure to switch repeatedly, invest immediately or use a complex product that does not match your stated objective.

SEBI’s distributor conduct provisions require current scheme information, an explanation of risks, avoidance of misrepresentation and disclosure of material scheme or plan information. A document review cannot determine intent, but it can reveal whether the recommendation conflicts with the scheme’s stated mandate or your own requirements.

Find the commission reported for your account

AMFI says the half-yearly Consolidated Account Statement (CAS) for the half-year ended March or September reports the actual commission paid by asset management companies or mutual funds against your holdings in each scheme. The figure is shown in absolute terms for the relevant period.

What the disclosure includes

AMFI describes the reported commission as including direct monetary payments and other benefits such as gifts, rewards, trips and event sponsorships. It is a gross commission disclosure; it does not subtract the distributor’s own operating costs. Compare the amount and scheme name in your CAS with the distributor’s written explanation and with the plan recorded in your account.

What the CAS cannot establish

A commission figure shows that compensation was reported, not that a recommendation was unsuitable or unlawful. A higher amount may reflect the size or duration of your holding, while a lower amount does not prove that advice was independent. Use the CAS as one piece of evidence alongside your records, the scheme documents and the suitability discussion.

Understand Direct and Regular Plans before changing anything

AMFI describes Direct and Regular Plans as variants of the same scheme: they have the same portfolio and fund manager. The Direct Plan has a lower expense ratio because it does not include the distribution costs or commission paid to a distributor. The Regular Plan includes that distribution arrangement and may provide ongoing assistance.

Issue Direct Plan Regular Plan
Underlying scheme Same scheme portfolio and fund manager as the corresponding Regular Plan. Same scheme portfolio and fund manager as the corresponding Direct Plan.
Distribution compensation No distributor commission is included in the plan’s distribution cost. Distributor compensation is included within the scheme’s regulated expense structure.
Recurring cost Lower expense ratio than the corresponding Regular Plan, according to AMFI. Higher expense ratio may reflect distribution and servicing costs.
Investor support You must select, monitor and maintain the portfolio or arrange separate advice. A distributor may provide transaction help, explanations and ongoing servicing.
Who may prefer it An investor able and willing to choose and maintain investments, or one using separately paid advice. An investor who values distributor support and understands the cost and conflict disclosures.

Lower expenses do not automatically make a switch appropriate. Before moving an existing folio, check whether the transaction creates an exit load, tax consequence, loss of a service arrangement or an unintended change in asset allocation. The available official material does not determine the tax or exit result for an individual investor, so obtain qualified tax or transaction advice for your specific folio.

Recognize conduct that may warrant escalation

SEBI’s circular of June 26, 2002 directs mutual funds to monitor distributors and report noncompliant intermediaries to AMFI and SEBI. Its conduct provisions put client interest and suitability first. The circular states:

“When marketing various schemes, remember that a client’s interest and suitability to their financial needs is paramount, and that extra commission or incentive earned should never form the basis for recommending a scheme to the client.”

It also identifies commission-driven malpractices:

“Avoid commission driven malpractices such as: (a) recommending inappropriate products solely because the intermediary is getting higher commissions therefrom. (b) encouraging over transacting and churning of mutual fund investments to earn higher commissions, even if they mean higher transaction costs and tax for investors.”

These examples help you describe a concern, but they do not establish that a particular distributor violated the code. Evidence is stronger when the recommendation was plainly inconsistent with your recorded risk profile, the person concealed a material incentive, made a false or guaranteed-return claim, or urged repeated transactions that increased your costs without a documented investment reason.

Complain in the right order

1. Contact the mutual fund or Investor Service Centre

For a complaint about a mutual fund transaction, disclosure or servicing, first write to the concerned mutual fund or its Investor Service Centre. AMFI identifies the fund’s Investor Relations Officer or contact person in scheme documents and on the fund’s website. Include your account or folio details, a factual timeline, copies of the recommendation and the remedy you seek. Keep the acknowledgement and every response.

2. Use AMFI’s distributor-conduct route

AMFI describes an ARN Committee that reviews investor complaints about distributors, particularly alleged breaches of the distributor code. It may recommend disciplinary action, with possible outcomes described by AMFI ranging from a warning to permanent debarment. These are available processes and possible outcomes, not guaranteed remedies. Provide the committee with the written recommendation, compensation disclosure, scheme documents and the fund’s response where relevant.

3. Escalate an unresolved grievance through SEBI SCORES

If the mutual fund complaint remains unresolved after the fund’s process, AMFI directs investors to raise it with SEBI through SCORES. State what you submitted to the fund, when you submitted it, what response you received and why the response did not resolve the issue. Do not exaggerate losses or label a suspicion as a finding; a clear chronology is easier for a regulator to assess.

Consider independent advice when you need portfolio help

A SEBI-registered investment adviser can be an alternative when you want personalized advice under a fee-based model rather than distributor commission. SEBI’s investor education material says investment advisers cannot receive commissions from product issuers and may suggest Direct Mutual Fund Plans.

That distinction does not make every adviser conflict-free or automatically suitable. Before signing an agreement, verify the adviser’s live SEBI registration, services covered, fee basis and frequency, limitations on implementation help, conflict disclosures, complaint process and termination terms. Ask whether the adviser will advise on your whole portfolio or only selected products. If the adviser also has another business, obtain a written explanation of how that business is separated from the advice.

A practical decision path

  1. Pause: Do not execute the disputed recommendation while material questions remain unanswered.
  2. Document: Preserve the recommendation, scheme details, plan, amounts, dates and disclosures.
  3. Identify the role: Confirm whether the person is a distributor or a SEBI-registered investment adviser and who is paid.
  4. Test suitability: Request a written link between the scheme and your goals, horizon, liquidity and risk tolerance.
  5. Verify: Read the current scheme documents and compare the plan and costs with what you were told.
  6. Check the CAS: Review the March- or September-half-year commission disclosure and ask about any discrepancy.
  7. Choose deliberately: Keep, reject or reconsider the investment only after weighing support, costs, taxes, transaction effects and your ability to manage it.
  8. Escalate: Contact the fund or Investor Service Centre, then use AMFI’s distributor-conduct channel and SEBI SCORES where appropriate.
  9. Get a second opinion: If the decision is complex or the conflict persists, consult a verified, independently paid professional.

Common mistakes to avoid

  • Assuming every commission is improper: Commission is part of the distributor model; suitability and disclosure determine whether the conduct is concerning.
  • Switching every holding to Direct automatically: The lower expense ratio is relevant, but service needs, taxes, exit conditions and portfolio-management ability also matter.
  • Relying on a verbal assurance: Written answers create a record and expose unexplained changes in the story.
  • Complaining without documents: A dated chronology and scheme evidence are more useful than general allegations.
  • Using past performance as the sole test: Match objective, risk, liquidity and costs before comparing returns.
  • Treating registration as a guarantee: Verify the current status and read the actual service and fee agreement.
