Start with the documents, not a buyer. Find the signed agreement and account records for your investment, then ask the issuer, fund administrator or platform—in writing—whether an early redemption, repurchase, tender offer or approved transfer is currently available. A private investment is not one standardized product. Your actual exit rights depend on whether you hold private-company shares, a fund interest, a non-traded business development company (BDC) interest, a private note, a loan or another contract, as well as the governing terms and applicable securities laws.
Do not assume that a stated maturity creates a right to cash out early, that an advertised secondary market will close a transaction, or that a future initial public offering (IPO) or acquisition will arrive when you need the money. The Securities and Exchange Commission (SEC) warns that private placements can be highly illiquid and may have to be held indefinitely.

First, identify exactly what you own
“Private investment” describes several legally different arrangements. Before evaluating an exit, identify the instrument, issuer, account holder and jurisdiction. The answer may be different for restricted shares in a startup, a limited-partnership interest in a private fund, a non-traded BDC, a private note or a direct loan.
Collect the controlling records
- Signed subscription, purchase or loan agreement.
- Promissory note and any amendments or side letters.
- Limited-partnership agreement, LLC agreement or fund offering memorandum.
- Account statements, capital-account statements and tax forms.
- Any transfer certificates, restrictive legends, investor questionnaires or platform terms.
Search those records for transfer, assignment, consent, redemption, repurchase, withdrawal, tender offer, maturity, default and early payment. Note who must approve a transaction, when requests may be made, how value is calculated, whether only part of the position can be sold and what happens if the issuer lacks cash.

Ask the issuer or administrator for current rules
Send a written request to the issuer, fund administrator, transfer agent or investment platform. Ask whether there is an open early-redemption or repurchase program, tender window, approved assignment procedure or planned liquidity event. Request the current eligibility rules, submission deadline, pricing method, fees, paperwork, settlement date, investor-qualification requirements and any amount limits or waiting list.
Words such as “may,” “at our discretion” or “subject to available cash” describe a possibility, not a guaranteed exit. Ask whether the program is operating now and whether the issuer has accepted similar requests recently; do not treat a policy that exists on paper as a firm commitment.
The three ways an early exit can happen
1. Contractual redemption or issuer repurchase
Some funds, notes or private companies give the issuer a right—or occasionally an investor a right—to redeem, repurchase or pay out an interest before the stated maturity. The governing agreement controls. It may impose a notice period, quarterly or annual window, minimum holding period, maximum percentage, valuation date, discount, gate, pro-rata allocation or suspension right.

Confirm whether the price is based on net asset value, an appraisal, a formula, a board determination or a negotiated offer. Ask when the value is fixed and when cash is actually delivered. A program can be delayed or limited if the issuer does not have sufficient cash, even when you are otherwise eligible.
2. Transfer to another investor
A private secondary sale requires both a willing buyer and a legally permitted transfer. Finding someone interested is only the beginning. The instrument may be a restricted security, and the purchase agreement or fund documents may prohibit assignment without issuer or general-partner consent. A transfer can also require a legal opinion, a new investor questionnaire, a qualified purchaser or accredited-investor determination, and transfer-agent or custodian processing.
Federal securities-law pathways can include Section 4(a)(1), Rule 144, Section 4(a)(4) and Section 4(a)(7), but each has conditions and none is blanket permission for every sale. State securities laws may add requirements. The SEC’s private-secondary-markets guidance describes these pathways while emphasizing that the facts of the security, seller, buyer and transaction matter.

3. A company or fund liquidity event
An issuer may eventually create liquidity through a public offering, acquisition, portfolio sale, winding-down or another transaction. Those events are strategic decisions by the company or fund, not rights an individual holder can demand. A listing can include a lockup that prevents immediate selling. An acquisition may deliver cash, stock or a combination, and the consideration may not match the value or timing you need.
For non-publicly traded BDCs, the SEC notes that investors may be able to sell only when the BDC offers repurchases. Without such a program, an investor may have to wait for the BDC to go public, sell its portfolio, wind down or complete another transaction. That BDC-specific description should not be generalized to every private fund.
How to evaluate a secondary sale
Check the contract before contacting buyers
Look for an outright prohibition, a right of first refusal, a permitted-transferee list, issuer consent, a minimum block size or a requirement that the buyer meet particular standards. Determine whether the issuer can reject a buyer for any reason and whether the seller remains liable for capital calls, indemnities or other obligations after assignment.

Determine whether resale rules fit your facts
Restricted securities often carry a legend limiting resale. The SEC’s Rule 144 investor overview describes a commonly used safe harbor: its summary says a one-year holding period generally applies to restricted securities of a non-reporting issuer and six months to those of a reporting issuer, with additional conditions depending on the holder and issuer. These are legal holding periods in that SEC guidance, not a promise that a buyer will be available when the period ends.
A legend may still need to be removed. The SEC overview says issuer consent, often supported by counsel’s opinion letter, is generally needed. The issuer’s reporting status, your affiliate or control status, how you acquired the security, current information about the issuer and the size and manner of the sale can all affect the analysis. Have a securities attorney or another suitably qualified professional review the facts when the route or documentation is unclear.
Do not mistake a listing for permission
A broker, online bulletin or private marketplace may advertise interest in a security. That does not establish that your contract permits a transfer, that a federal or state exemption is available, or that the buyer will complete settlement. Do not send confidential documents or pay a fee until you know who the counterparty is, what approval is required and how the transaction will close.

Compare exit routes by the questions that determine risk
| Question | Issuer redemption or repurchase | Secondary transfer | Future liquidity event |
|---|---|---|---|
| Permission | Must be authorized by the governing terms and current program. | Must satisfy the contract, federal resale rules and applicable state law; issuer consent may be required. | Depends on an event the company or fund chooses to pursue. |
| Timing and certainty | May have a defined window, queue, cap or cash-availability condition. | Depends on finding a qualified buyer and completing approvals and settlement. | Unknown; a listing, acquisition or wind-down may never occur or may be delayed. |
| Price | Could use a stated formula, valuation date or discount. | Usually a bid or negotiated price, potentially below an estimated value. | Consideration may be cash, stock or both and can include a lockup. |
| Costs and paperwork | Program fees, forms and administrator processing may apply. | Legal opinion, transfer-agent, custodian, consent and tax-reporting steps may apply. | Transaction documents and tax reporting follow the event’s terms. |
| Amount and eligibility | May impose minimums, maximums, partial-redemption limits or investor qualifications. | Buyer qualification, minimum blocks and transfer restrictions may limit the sale. | All holders may be affected, but the result depends on the transaction and any lockup. |
| Risk retained | Check whether redemption is final and when your obligation ends. | Confirm whether restrictions, liabilities or capital-call obligations follow the interest. | You retain the investment risk until the event closes and consideration is delivered. |
A practical sequence for requesting an early exit
- Inventory the position. Record the legal name of the issuer, instrument type, units or principal amount, purchase date, stated maturity, account registration and the documents that govern it.
- Mark every restriction. Note transfer-consent clauses, redemption windows, notice periods, gates, valuation provisions, legends, right-of-first-refusal language and any continuing obligations.
- Write to the correct party. Ask the issuer, administrator, general partner, trustee, transfer agent or platform to identify every currently available exit route.
- Demand operational details. Get the deadline, eligibility test, pricing date and formula, fees, forms, required legal opinion, buyer standards, settlement mechanics and expected payment date in writing.
- Obtain a transaction-specific review. Use qualified legal or tax advice if the security is restricted, the issuer is private or reporting status is uncertain, you may be an affiliate, or the agreement is ambiguous.
- Verify the counterparty. For a secondary sale, confirm the buyer’s qualification, funds, custody arrangements and willingness to accept the same restrictions before sharing sensitive information.
- Accept only after reconciling the economics. Compare the price with the stated valuation method, deduct every fee, identify who pays legal and transfer costs, and calculate the cash date rather than relying on a headline offer.
- Keep a closing file. Retain consent letters, executed assignment or redemption documents, settlement confirmation and tax reporting information.
What to do when you need a fixed amount by a fixed date
Build your cash plan on the assumption that the private investment may not be sellable in time. The SEC’s updated Regulation D investor bulletin says private placements are highly illiquid, commonly involve restricted securities, may have limited disclosure and can require indefinite holding. It states: “You should not expect to be able to easily and quickly resell your restricted securities.” The bulletin was updated September 21, 2026, and the SEC notes that it represents staff views and has no legal force or effect.
Do not base a rent, tuition, debt or emergency-fund deadline on a hoped-for secondary buyer, IPO or acquisition. Ask the issuer about the realistic settlement range, but keep a separate funding plan for the possibility that no route is open. Selling another liquid asset, adjusting the timing of the expense or discussing financing with a qualified adviser may be more reliable than accepting an unverified private-market offer.
Questions to resolve before signing or transferring
- What is the exact legal instrument, and which document controls if records conflict?
- Is early redemption, repurchase, withdrawal or assignment actually permitted now?
- Who must consent, and can that party refuse for reasons unrelated to the buyer’s qualifications?
- What federal exemption or registration path supports the transfer, and do state rules add conditions?
- Is the price based on a current bid, an independent valuation, a formula, net asset value or a discount?
- What fees, legal opinions, transfer-agent steps, custody charges and tax forms apply?
- When does the buyer receive the interest and when do you receive cleared funds?
- Does the buyer assume all restrictions and obligations, or do any liabilities remain with you?
- If the issuer has no program, what event—if any—could create liquidity, and is its timing wholly uncertain?
If you cannot answer these questions from the documents and the issuer’s written response, you do not yet know that you have a saleable position. Get transaction-specific advice before signing an assignment, accepting a discount or representing to a buyer that the transfer is permitted.
