What to do if a home purchase is delayed or blocked by Canada’s foreign buyer rules

If your Canadian home purchase is delayed or refused because of the federal foreign-buyer prohibition, stop before changing the buyer, title, ownership structure or closing terms. A Canadian real-estate lawyer should review the buyer’s status, the property’s unit count and location, the ownership structure and the signed agreement. A delay by itself does not create an exception.

The federal framework is the Prohibition on the Purchase of Residential Property by Non-Canadians Act and its regulations. The buyer remains responsible for compliance, and a prohibited purchase can lead to a fine of up to $10,000 and a court-ordered sale after conviction. Provincial taxes, contract rules, lender requirements and closing practices are separate questions.

Start by finding out exactly what is blocked

Ask the seller, brokerage, lender or closing professional to identify the concern in writing. Preserve every email, notice, amendment and deadline. The issue may be the buyer’s immigration or citizenship status, control of a company, the property’s unit count, its Census Metropolitan Area (CMA) or Census Agglomeration (CA) location, missing documents, or the date and legal effect of the purchase agreement.

Federal sources do not decide whether a seller must extend closing, whether a deposit can be recovered, or whether a buyer can terminate under provincial law. Those are transaction-specific questions for counsel in the province where the property is located.

Understand what the federal prohibition covers

Who is a non-Canadian

The Act generally excludes Canadian citizens, permanent residents and people registered under the Indian Act. It prohibits a non-Canadian from directly or indirectly purchasing covered residential property unless an exception applies. The statute and regulations are available from the Department of Justice and the consolidated regulations.

A Canadian-incorporated company is not automatically outside the rules. The regulations can treat a privately held Canadian or provincial entity as controlled by non-Canadians when a non-Canadian directly or indirectly owns at least 10% of its equity or voting rights, or exercises control in fact. Review the complete ownership chain, shareholder agreements, voting arrangements and practical control rather than relying on the company’s place of incorporation.

Which properties are covered

Coverage generally includes a residential building with up to three dwelling units, or a part of such a building, such as a condominium unit. A building with four or more dwelling units is outside the prohibition according to CMHC’s guidance. Recreational property follows the same location distinction.

The geographic exception is based on whether the property is outside a CMA or CA under Statistics Canada’s Standard Geographical Classification 2021. Do not rely on a listing that calls a property “rural.” Have counsel or the closing team check the exact address against the applicable official geography and regulation.

What the rules do not automatically permit

The regulations contain specific exceptions for matters such as vacant land, property purchased for development, certain acquisitions caused by death, divorce, separation or gift, a secured creditor’s exercise of security rights, and renting a dwelling for the buyer’s own occupation. These provisions are fact-specific. They are not a general licence to buy an occupied home as an investment rental or to use a nominal development purpose. CMHC’s FAQ says a purchase for rental use remains within the prohibition when the other coverage conditions are met.

A practical response when closing is delayed or refused

  1. Obtain the written reason. Ask which element is disputed and what document is missing. A precise request prevents a generic “foreign buyer” label from obscuring a unit-count, geography or contract-date issue.
  2. Send the complete file to a Canadian real-estate lawyer promptly. Include the signed offer, every amendment, the scheduled closing date, identification and immigration documents, corporate records, the complete property address and unit details, and all refusal or delay notices. Ask counsel to assess both federal eligibility and the provincial contract consequences.
  3. Test federal coverage before testing an exception. Confirm whether the buyer is a non-Canadian; whether the purchase is direct or indirect; whether the building or unit fits the statutory residential-property definition; and whether the address is in a CMA or CA. Only after those questions are answered should you analyze an exception.
  4. Build an evidence file for every condition. Keep permits, IRCC status verification, tax returns, enrolment records, rental agreements, utility bills, travel history and purchase-history evidence in an organized timeline. A single qualifying fact does not prove that every regulatory condition is met.
  5. Check the agreement’s date and binding effect. A binding agreement entered before January 1, 2023 is treated differently from a later offer. Give counsel the signed contract and amendments so they can determine whether it became binding before the Act came into force and whether later changes affect that analysis.
  6. Do not improvise a workaround. Do not assign the contract, substitute a buyer, add a nominee, create a corporation, transfer title or place the property in a trust to evade the prohibition without legal advice. The Act reaches indirect purchases and controlled entities, and it can apply to someone who knowingly counsels, induces, aids or abets a prohibited purchase.
  7. Separate the transaction question from immigration advice. The Act does not provide Canadian immigration status. If a work permit, study permit or other status is disputed, obtain advice from an appropriately qualified immigration professional as well as real-estate counsel.

Use a coverage checklist before relying on an exception

Checkpoint What to verify Useful records
Buyer status Citizenship, permanent-resident or Indian Act registration status; otherwise whether the person is a non-Canadian Passport or status documents and IRCC verification where applicable
Ownership structure Direct or indirect ownership, at least 10% equity or voting rights, and control in fact Corporate registry records, share registers, shareholder agreements and trust documents
Property type Whether the building has up to three dwelling units or the purchase is a part such as a condominium unit Listing and title information, plans, condominium documents and municipal records
Location Whether the exact address is inside a CMA or CA under the 2021 classification Official geography or map result tied to the property address
Agreement timing Whether a binding purchase-and-sale agreement existed before January 1, 2023 Signed offer, acceptance, amendments and proof of when obligations became binding

CMHC’s official material emphasizes that the buyer must make this assessment. Its FAQ states: “It’s the responsibility of the person buying the home to make sure they respect the Act.” That responsibility does not disappear because a broker, lawyer or lender requests documents or because a professional initially accepted the file.

Personal exceptions are conditional, not automatic

Match every proposed exception to the current regulation and document every element. The following routes are the principal personal pathways described by CMHC and the regulations.

Study-permit pathway

CMHC describes a student exception requiring all of these conditions: enrolment in an authorized program at a designated learning institution; income-tax returns for each of the five preceding taxation years; physical presence in Canada for at least 244 days in each of the five preceding calendar years; no prior residential purchase in Canada during the prohibition; and a purchase price of no more than $500,000.

Prepare the evidence year by year. That normally means proof of enrolment, copies of each required tax return, travel and residence records, a purchase-history declaration or records, and the agreement showing the price. Rental agreements, utility bills and travel records can help establish residence and duration, but counsel should determine whether the particular documents prove the regulatory test.

Work-permit pathway

A qualifying worker must have a valid work permit or other authorization with at least 183 days remaining on the purchase date and must not have previously purchased a residential property in Canada during the prohibition. Preserve the permit, authorization details, the exact purchase date and evidence of purchase history. A permit that expires shortly after closing may not satisfy the condition if fewer than 183 days remain on the relevant date.

Protected persons, joint purchases and diplomatic classes

Protected persons are excepted. A non-Canadian may also purchase jointly with a Canadian citizen, a person registered under the Indian Act, a permanent resident, or another non-Canadian to whom the prohibition does not apply. The joint ownership and signing arrangements still need legal review; adding a qualifying person after a problem arises is not a safe substitute for checking the original transaction.

A prescribed diplomatic or consular acceptance can also qualify. Confirm that the buyer fits the specific class in the regulation and obtain the official documentation rather than relying on a job title or informal diplomatic status.

Property and transaction exceptions

Other regulatory exceptions can cover vacant land, a purchase for development, certain transfers resulting from death, divorce, separation or gift, and a secured creditor’s exercise of a security right. Each has its own wording and factual limits. A stated intention to develop, a later plan to subdivide, or a nominal transfer between related people does not establish eligibility.

Can you close if you signed before the ban?

The Act exempts a person who became liable under an agreement of purchase and sale before it came into force. CMHC says a binding offer entered before January 1, 2023 can close during the prohibition period. A later closing date alone is not enough: the key questions are whether the agreement was binding before that date, what obligations the amendments created, and whether the buyer and property remain within the exemption.

Give counsel the complete contractual history, including counteroffers, conditions, waivers, extensions and assignments. Do not assume that an accepted email, an unsigned form, or an agreement later replaced with a new contract has the same treatment as an executed binding agreement.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

What happens if the purchase is prohibited?

The Act makes a prohibited purchase a summary-conviction offence punishable by a fine of up to $10,000. The knowing-assistance provisions can also apply to a person or entity that counsels, induces, aids or abets the purchase.

After a conviction, a superior court may order the property sold. The statute provides that the non-Canadian is not to receive more than the purchase price from the proceeds of that court-ordered sale. CMHC says local law enforcement decides whether to investigate complaints and lay charges, while prosecution proceeds through the Attorney General’s office.

These consequences are why a rushed closing, a nominee arrangement or a last-minute title change can create more risk than a negotiated delay. Obtain advice before signing a replacement agreement or releasing conditions.

What the federal sources do not decide

The federal Act does not answer every practical closing question. Provincial and municipal rules may impose foreign-buyer taxes, land-transfer requirements or additional declarations. Lenders may apply their own underwriting and documentation standards. Provincial contract law determines issues such as extension rights, default, rescission, deposit claims and damages. A municipal address may also require a separate planning or zoning analysis.

Ask your lawyer to separate the federal eligibility opinion from advice on the contract and local charges. If the lender or closing professional has paused the transaction, ask what evidence would satisfy that institution, while remembering that an institution’s acceptance is not a federal legal determination.

Check the law in force and the date before relying on a deadline

The Act and regulations came into force on January 1, 2023. The Justice Department pages identify consolidated versions current to September 21, 2026; the Act page lists a last amendment of January 1, 2023, and the regulations page lists a last amendment of March 27, 2023. CMHC reports that the government announced on February 4, 2024 an intention to extend the prohibition to January 1, 2027.

That announcement should not be described as the statutory end date unless the current consolidated Act and any amending legislation confirm it. Before committing to a closing date, have counsel check the law then in force and the current regulations. CMHC also cautions that its material is general guidance, not legal or professional advice.

Documents to assemble for your lawyer

  • Signed purchase agreement, counteroffers, amendments, waivers, assignments and closing notices.
  • Buyer identification, citizenship or permanent-resident evidence, and any IRCC status verification.
  • Work permit or authorization showing the issue date and expiry date, if relying on a worker exception.
  • Study-permit, designated-institution enrolment, tax-return and travel or residence records, if relying on a student exception.
  • Corporate registers, ownership charts, voting agreements, trust records and beneficial-owner information for any entity or nominee.
  • Property address, unit count, condominium documents, title information and the official CMA or CA geography result.
  • Evidence of prior residential purchases or non-purchases where an exception requires that history.
  • The written explanation from the seller, broker, lender or closing professional identifying the delay or refusal.

Keep copies of the originals and a dated chronology. Do not alter records or backdate an agreement to fit an exception.
