What to Do If a Company Does Not Pay You After Delisting

If a company has delisted and you have not received money, first verify that the delisting created a payment right at all. Removal from a stock exchange is not, by itself, a promise to buy your shares. Cash may be due after a merger, tender offer, reverse-split cash-out, or a jurisdiction-specific voluntary-delisting process, but the transaction documents and applicable law control.

Work through the transaction, ownership records, and payment trail in that order. Identify what happened, find the closing and payment documents, determine whether your shares were held through a broker or directly, then contact the issuer or surviving company and the relevant paying or transfer agent in writing. If a payment is old, search official state unclaimed-property records. Bankruptcy, cancellation of old shares, and cross-border rules require a separate analysis.

1. Confirm what event actually happened

“Delisted” can describe several very different events. A stock can be removed from one exchange while the company continues operating and, in some cases, trading over the counter. A completed acquisition can end the old listing and replace your shares with cash or new securities. A reverse split can cash out holders who own fewer shares than the number needed to receive a whole new share. Bankruptcy can leave common stock worthless or cancel it under a court-approved plan.

Event What it may mean for your shares First document to locate
Exchange delisting or removal No automatic cash entitlement. Shares may continue elsewhere, be suspended, or remain outstanding. Exchange notice, issuer announcement, and current corporate-status information
Merger or acquisition Cash, replacement shares, or a mixture may be payable under the merger agreement. Merger agreement, proxy or information statement, closing announcement, and paying-agent instructions
Tender offer or going-private transaction Only shares validly tendered, or shares covered by a later compulsory transaction, receive the stated consideration. Tender-offer materials and any Schedule 13E-3 filed for an applicable going-private transaction
Reverse split with a cash-out Holders below the threshold for a whole new share may receive cash instead of a fractional share. Reverse-split resolution, proxy materials, and fractional-share payment terms
Voluntary delisting Some countries provide a statutory or regulatory exit opportunity; terms depend on local rules and the offer. Issuer notice and the current rules of the relevant securities regulator
Bankruptcy or reorganization Common equity is last after creditors. Old shares may be cancelled with no recovery. Bankruptcy docket, plan of reorganization, disclosure statement, and distribution notices

Write down the former ticker, legal issuer name, exchange, delisting date, reason given, and any later transaction or bankruptcy date. Do not treat the delisting date as a payment deadline. The controlling date may instead be the merger’s effective date, the tender-offer expiration, a paying-agent cutoff, a state’s dormancy period, or a court-plan deadline.

2. Find the transaction and payment documents

Start with the company’s investor-relations archive and regulator filings. Search by the legal company name and former ticker, not just the ticker, which may have been reused. Your goal is to find the document that says whether consideration was owed, to whom, when, and through which channel.

  • Look for the merger agreement, proxy or information statement, tender-offer materials, delisting notice, reverse-split materials, and transaction-closing announcement.
  • Find the name of the exchange agent or paying agent and the address or portal used for claims.
  • Check whether a letter of transmittal was required. This document commonly asks a holder to surrender a certificate or provide transfer details before consideration is released.
  • Read provisions covering unclaimed, returned, or uncashed consideration. Some agreements move unpaid money from the agent back to the surviving company after a stated period, after which the holder must claim from that company.
  • Check whether the documents say that no interest accrues. Do not assume a delayed payment earns interest unless the governing agreement or law provides it.

In an applicable going-private transaction, a Schedule 13E-3 can explain the purpose of the transaction, alternatives considered, and the fairness discussion for unaffiliated shareholders. It is evidence about the transaction structure, not a guarantee that every former holder is entitled to cash.

3. Determine how you owned the shares

The same transaction can require different steps depending on whether you held the position through a brokerage account or directly in your own name.

Ownership form Likely first contact Records to gather
Brokerage or “street-name” holding Your broker’s corporate-actions or reorganizations department Account statements, old account number, quantity held on the relevant record date, and the broker’s transaction reference
Direct registration or book-entry account The issuer’s transfer agent or the paying agent named in the transaction documents Registered name, address, holder or account number, tax forms, and transaction correspondence
Paper certificate Transfer agent or paying agent Certificate number, exact registered name, endorsements, and evidence of ownership
Shares held through an intermediary outside your country Your intermediary first, then the issuer’s agent if the intermediary cannot resolve it Custody statements, beneficial-owner identification, withholding records, and applicable country information

A broker may have received consideration in bulk and posted it under a corporate-action code rather than mailing a check. Conversely, a directly registered holder may need to submit a letter of transmittal before anything is issued. Ask the issuer to identify the transfer agent or paying agent if you cannot find the name; Investor.gov says it is often listed in the company’s Investor Relations section.

4. Contact the issuer, surviving company, and agent in writing

Begin with the issuer’s investor-relations contact. If a merger closed, use the surviving company’s legal name. Send a concise written request through a traceable channel and keep a copy. A written record makes it easier to correct a misspelled name, prove that a check was returned, and escalate a missing payment.

Include:

  • Your name exactly as it appeared on the registration or brokerage account.
  • Former ticker, legal issuer name, and approximate share quantity.
  • Former address and current mailing address, email, and telephone number.
  • Certificate number, direct-registration account number, or broker account details, while withholding passwords and unnecessary identity data.
  • The transaction name, effective or closing date, and the date you expected consideration.
  • Copies of statements, notices, returned mail, or tax forms that establish ownership.

Ask these specific questions:

  1. Did this transaction create consideration for my position, and what amount or number of replacement securities was due?
  2. Who was the paying or exchange agent, and what is the current claim address?
  3. Was consideration issued, returned as undeliverable, deposited, or transferred to a state?
  4. Was a check negotiated? If not, what is the procedure for stopping and reissuing it?
  5. What documents are required now, and is there a case or reference number for this inquiry?

Request a written response even if an employee answers by telephone. A response stating that no consideration was due is important too: ask which document and provision supports that conclusion.

5. Fix common documentation problems

Missing letter of transmittal

A merger agreement may require a completed letter of transmittal, tax certification, or transfer instructions. Obtain the current form from the paying agent, not from an unverified third party. Follow the agent’s delivery instructions and retain proof of delivery.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Lost certificate

If the shares were certificated, the agent may require an affidavit of loss and an indemnity bond. The bond requirement, fee, and acceptable alternatives are transaction-specific; they are not universal rules. Ask whether a surety bond, notarized statement, or other evidence is required before paying any fee.

Changed name or address

Provide legal name-change evidence and a continuous address trail when requested. Returned mail can explain why a check was never received even though the issuer shows it as issued.

Broker records do not match

Ask the broker for the position on the transaction’s record date, the corporate-action event number, and the disposition of any cash or replacement shares. If the broker says the position was removed, ask whether it was exchanged, cancelled, transferred to an agent, or written off under a bankruptcy plan.

6. Search official unclaimed-property records

When a check was never cashed, an address changed, or the payment remained with an intermediary, the funds may eventually be reported as abandoned property. Investor.gov explains that states set their own dormancy periods, often around five years, but the period varies by state and property type. Five years is not a universal deadline and does not tell you when your particular claim became payable.

Search the official unclaimed-property office for every state reasonably connected to the payment, including:

  • The state of your last known address in the issuer’s or agent’s records.
  • A state associated with the issuer, paying agent, broker, or holder’s records, where applicable.
  • States where you previously lived if the payment could have been reported under an older address.

Use the government claim process rather than paying a claims-finder at the outset. The state may ask for identity documents, proof of the former address, brokerage statements, a certificate, or evidence linking you to the listed property. If a claim is approved, the state generally returns the property or its cash value under its own procedures.

Federal notice rules for certain sent but unnegotiated checks do not replace state escheatment law. A check may therefore require both an issuer or agent inquiry and a state claim.

7. Treat bankruptcy as a separate path

If the issuer entered bankruptcy, do not assume that a delisting-related payment is still available. Common shareholders rank behind secured and unsecured creditors and other priority claims. In a reorganization, old shares may be cancelled and replaced, or they may receive nothing.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Find the bankruptcy court docket and read the plan, disclosure statement, confirmation order, and notices sent to equity holders. These documents identify whether old shares were cancelled, whether a claims process existed, and whether a distribution date or bar date applied. A broker’s statement showing a zero balance does not, by itself, explain the legal outcome; the court plan does.

8. Apply the correct jurisdiction’s rules

Payment rights and deadlines depend on the law governing the transaction and the location of the holder, issuer, and intermediary. An India-specific SEBI FAQ describes delisting and an exit mechanism for certain voluntary delistings, but that older FAQ should not be treated as current law without checking present SEBI rules and obtaining local advice. The same caution applies to state unclaimed-property statutes and to transactions governed by another country’s company law.

For a cross-border holding, ask who withheld tax, whether currency conversion affected the amount, and which country’s form or identification requirements apply. Do not assume that a U.S. broker process or state claim procedure governs a foreign issuer.

9. Escalate when the paper trail does not resolve the issue

Keep a chronology containing every call, letter, email, reference number, statement, returned envelope, and filing. Escalation is more effective when you can show the transaction, your ownership, the amount expected, and the exact unanswered question.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. Send a final written request to the issuer or surviving company and the identified agent, setting out the missing response and attaching only relevant evidence.
  2. Ask your broker’s corporate-actions or complaints team to review the event if the position was held in street name.
  3. For a U.S. securities issue, consider contacting the appropriate securities regulator with the transaction documents and your correspondence. A regulator may explain its jurisdiction, but it cannot guarantee payment.
  4. Consult a qualified securities or insolvency lawyer in the governing jurisdiction when the amount is substantial, a claim deadline is near, ownership is disputed, or the company is in bankruptcy.

There is no single universal complaint channel, recovery guarantee, or deadline for every delisted company. The documents and law for the specific event determine those points.

Practical checklist

  • Record the legal issuer, former ticker, exchange, delisting date, and reason.
  • Classify the event: exchange removal, merger, tender offer, reverse split, voluntary delisting, or bankruptcy.
  • Locate the closing documents, payment instructions, agent details, and any applicable Schedule 13E-3.
  • Confirm whether the shares were broker-held, directly registered, or certificated.
  • Ask in writing whether consideration was due, issued, returned, negotiated, or escheated.
  • Complete any required transmittal, lost-certificate affidavit, tax form, or address correction.
  • Search official unclaimed-property offices when the payment is old or the holder’s address changed.
  • Review the bankruptcy plan and court notices if the issuer entered insolvency proceedings.
  • Preserve every record before escalating to a regulator or local lawyer.

The Bottom Line

Delisting alone does not prove that cash is owed. Identify the transaction that ended or changed your ownership, follow its payment instructions, trace the position through your broker or transfer agent, and check official unclaimed-property records before deciding that the money is gone.
