A change in an overnight fund’s named portfolio manager does not, by itself, mean the scheme’s mandate changed or that you must redeem. First establish whether the notice covers only personnel, or also the asset management company (AMC), its ownership or control, or the scheme’s fundamental attributes. Then compare the current official documents, portfolio, costs and redemption terms before deciding whether the fund still fits your cash-management need.
Start by identifying exactly what changed
Fund notices can use similar language for events with very different consequences. Read the announcement word for word and record the effective date, the outgoing and incoming names, and whether the person is a sole manager, co-manager or part of a wider investment team.

SEBI’s current Mutual Funds Regulations are the 2026 regulations, effective April 1, 2026, and the listed text was amended through July 7, 2026. Their treatment of a change in the appointment of an AMC is a distinct regulatory matter requiring prior Board approval. That provision should not be paraphrased as a requirement applying automatically to a routine named portfolio-manager change.
Collect the documents that control the decision
Use the AMC’s investor-communication page and the notice sent to unitholders. Download dated copies rather than relying on a summary in an app or a third-party listing. Assemble the latest versions of:

- the manager-change notice or addendum;
- the scheme information document (SID);
- the statement of additional information (SAI);
- the latest factsheet;
- the most recent portfolio disclosure; and
- any revised fee, benchmark or redemption communication.
Keep the document date and version beside each file. Read the new documents alongside the immediately preceding versions. A published SBI Overnight Fund SID illustrates where the scheme objective, asset-allocation limits, fundamental attributes and fund-manager information may appear. It is only an example of document structure; it does not establish the terms of another AMC’s scheme.
Check whether the investment mandate actually changed
Objective and eligible securities
Confirm the exact wording of the investment objective and the securities the scheme may hold. In the SBI example, the fund is an open-ended debt scheme investing in overnight securities that mature on the next business day. Your fund’s current SID controls, not the category label or a description copied from an older factsheet.
Asset allocation and portfolio
Compare the permitted allocation ranges with the latest disclosed holdings. Look for changes in the types of instruments, maturity profile, counterparties, concentration limits or use of derivatives. A portfolio that remains within the same overnight mandate can still change from one reporting period to the next; the question is whether it remains within the stated rules and suits your purpose.

Benchmark, costs and expenses
Check the benchmark name and methodology, the total expense ratio or other disclosed charges, and any change in fee limits. A manager’s replacement is not evidence that costs or the benchmark changed, so verify both documents rather than inferring a change from the headline.
Redemption and liquidity terms
Read the current redemption provisions, cut-off rules, settlement timing, exit-load language and any restrictions. An overnight fund is designed for very short maturity instruments, but that does not turn every redemption into an instant or guaranteed payment. The scheme’s own terms and applicable operational cut-offs determine how an order is processed.
Understand what an overnight-fund label does—and does not—promise
“Overnight” describes a category and stated investment approach, not a guaranteed return or a risk-free deposit. The SBI SID expressly states: “The scheme doesn’t assure or guarantee any returns.” Attribute that wording to the SBI document; it is not a universal quotation from SEBI and should not be presented as wording used in every scheme.

Short maturities can reduce interest-rate exposure, but the scheme remains a mutual-fund investment with market, credit, liquidity, operational and settlement risks described in its current documents. Check the riskometer, portfolio disclosures and scheme-specific risk factors before treating the fund as a substitute for a bank balance or a guaranteed cash reserve.

Read the notice for legal and investor-rights language
Search the announcement and addenda for phrases such as “fundamental attributes,” “change in fees,” “change in control,” “unitholder interest,” “exit option,” “record date” and “effective date.” If the communication says that a fundamental attribute or another specified term affecting investors has changed, find the exact provision it cites and the deadline and process it provides.
An older SEBI regulatory text from 1996 contains notice and exit-at-prevailing-NAV-without-exit-load provisions for specified changes affecting fundamental attributes or unitholders’ interests, plus separate provisions for a change in the AMC’s controlling interest. That historical text is not the current legal source. The applicable rule is the SEBI Mutual Funds Regulations, 2026 and the exact notice for your scheme. Never claim that a no-load exit right follows merely because a portfolio manager left.

A practical before-and-after comparison
Create a two-column comparison using the previous and current documents. Record “not stated” where a document does not provide a comparable value, rather than guessing.

Decide based on fit, not the headline
Reasons to continue monitoring
If the objective, allocation limits, costs, redemption terms and risk disclosures remain suitable, a personnel change alone does not establish a reason to redeem. Continue to review the next portfolio and factsheet on their normal schedule, and keep the notice for your records.

Ask the AMC for clarification when the notice is vague, the effective date is missing, the manager disclosure conflicts across documents, or the portfolio appears inconsistent with the stated mandate. Escalate through the AMC’s investor-grievance channel if you cannot obtain a coherent answer, and retain copies of your correspondence.

When an alternative comparison is reasonable
Compare another overnight fund only if your current scheme no longer fits your cash need, its current terms are less acceptable, or a comparable alternative is materially better on documented criteria. Use the same facts for each candidate:

A manager’s name, reputation or tenure is not enough to rank funds. The available scheme and regulatory materials do not establish that a manager switch predicts better or worse future returns.
Tax and transaction checks before redeeming
Redemption can have tax consequences that depend on your circumstances and the law in force when you sell. A 2019 Invesco scheme document warns that redemption may entail tax consequences, but that dated, scheme-specific caution is not personalized or current tax advice. Before placing an order, check the current tax treatment, the holding-period rules that apply to your investment, and the records you will need for your return. Consult a qualified tax professional when the amount, account structure or transaction history makes the result uncertain.

Also check practical costs: any exit load, the applicable NAV cut-off, settlement date and whether redeeming would leave you without the cash buffer the fund was meant to provide.
Decision checklist
- Save the notice. Record the exact change, names, effective date and whether the notice mentions a co-manager, AMC appointment, control change or revised scheme terms.
- Download current documents. Obtain the latest SID, SAI, addenda, factsheet and portfolio disclosure from the AMC.
- Compare the mandate. Check objective, eligible securities, allocation limits, benchmark, fees, risks and redemption conditions against the previous versions.
- Verify the portfolio. Confirm that current holdings and maturities remain consistent with the stated overnight strategy.
- Locate investor rights. If a fundamental attribute, fee, control or other specified term changed, follow the exact current notice and applicable 2026 regulation.
- Assess fit. Decide whether the fund still serves your cash need and whether its costs, liquidity and disclosures remain acceptable.
- Check tax and execution details. Establish the tax consequences, exit load, cut-off and settlement before redeeming.
- Document your decision. Keep the notice, comparisons and confirmations so you can revisit the decision without relying on memory.
Common mistakes to avoid
- Assuming every manager departure is a scheme merger, mandate change or AMC change.
- Applying an old 1996 regulatory excerpt as if it were the current law.
- Calling an overnight fund risk-free or treating its category name as a return guarantee.
- Choosing an alternative solely because its manager has a longer tenure or a better past record.
- Redeeming before checking the current notice, tax position, exit load and settlement timing.
- Comparing a new factsheet with an outdated SID and concluding that the documents conflict.
Bottom line for an investor who receives the notice
Separate the personnel event from any change to the AMC, its control or the scheme’s fundamental attributes. Confirm the current mandate and portfolio in official documents, read the notice for precise investor-rights language, and check taxes and redemption mechanics before acting. If those terms still fit your cash need, the manager announcement alone does not prove that redemption is required or that future performance will change.
