Before signing an NBFC loan agreement, reconcile the Key Facts Statement (KFS), sanction letter, repayment schedule and final contract line by line. Verify who is lending, how much you will actually receive, the APR and total repayment, every fee, rate-reset risk, prepayment terms, default consequences, security enforcement and the lender’s complaint process. Do not rely on an app screen, agent’s explanation or oral promise that is absent from the documents.
Collect the complete loan file before you sign
Ask for a readable copy of every document early enough to review it, not only the signature pages. Your file should include the KFS, sanction letter, final loan agreement, repayment or amortisation schedule, all annexures and referenced terms, insurance papers, mandate details and any security or valuation documents. Check that page numbers, annexure names and versions match across the set.

For a meaningful comparison, the lender should disclose key terms in a language you understand. The Reserve Bank of India (RBI) states in its 2025 Handbook that loan terms and charges must be transparently disclosed in the vernacular language or another language understood by the borrower so an informed decision can be made. Keep the signed copy and proof of delivery; a document you cannot later produce is difficult to enforce or dispute.

Identify the regulated lender
- Write down the NBFC’s exact legal name, registered address, official contact details and the loan-account number.
- Confirm that the contracting party is the regulated lender named in the offer and KFS, rather than only a sourcing agent, broker or technology platform.
- Check the name and authority of every authorised signatory. Keep the lender’s acceptance of your offer or sanction terms.
Check every borrower and representation
Verify the spelling, address, PAN or other KYC identifiers and notice channels for the borrower, co-borrower, guarantor and any authorised representative. Correct errors before signing. Read the stated purpose of the loan, permitted-use restrictions, representations and warranties, and the events that the agreement treats as misrepresentation. A broad statement that any change in your circumstances is a breach can have consequences very different from a simple missed instalment.

2. Reconcile the sanctioned amount with the money you receive
The sanctioned amount is not necessarily the amount credited to you. Compare the sanction letter with the net disbursement shown in the agreement and bank-credit instruction.
| Item to record | What to verify | Why it matters |
|---|---|---|
| Sanctioned principal | The approved loan amount and currency | It is the base against which interest and repayment are calculated. |
| Net disbursement | The amount expected to reach your account | Upfront deductions can make the effective cost higher than the headline rate suggests. |
| Disbursement deductions | Processing, insurance, legal or technical verification, stamp duty, membership, broker and collection fees | Each deduction reduces usable funds and should appear in the KFS or agreement. |
| Interest start date | Whether interest begins on actual disbursement or an earlier contractual date | An earlier start date can create interest before you receive the money. |
| Staged release | Conditions for each tranche and the revised repayment schedule after each release | Partial disbursements can change both the interest period and instalment pattern. |
| Undisbursed amount | Whether the lender may cancel or reduce an unused portion and on what conditions | You need to know whether an approval is a commitment or only a conditional limit. |
List the documents required before each tranche and the lender’s right to withhold funds. If the agreement lets the lender cancel undisbursed amounts at its discretion, ask for the trigger and notice method in writing.
3. Work out the real cost: APR, instalments and total repayment
Use APR, not just the advertised interest rate
RBI defines the annual percentage rate (APR) as the annual cost of credit, including interest and associated charges. A loan with a low nominal rate can therefore cost more overall when fees, insurance or other compulsory charges are included. Record the APR shown in the KFS and check that the stated principal, instalments and total repayment are arithmetically consistent with the schedule.
Recommended Free Tools
Read the repayment schedule completely
- Confirm the EMI amount, due date, number of instalments, first-payment date and any grace period.
- Check the final instalment separately. Look for a balloon payment, residual value or other large amount due at maturity.
- Identify whether the schedule uses a reducing-balance or flat-rate method, and whether interest is calculated with daily or monthly rests.
- Compare the total of all instalments plus disclosed fees with the total repayment in the KFS.
Do not sign a schedule with blank amounts or a statement that the lender may fill in the repayment figures later. Ask for a corrected, dated schedule if any amount differs between the KFS, sanction communication and agreement.
4. Understand whether the rate and EMI can change
Fixed, floating and hybrid pricing
The contract should clearly identify whether pricing is fixed, floating or hybrid, including the date on which a fixed period ends. For a floating rate, record the benchmark, the lender’s spread, reset frequency, any floor or cap and the way you will be notified of a change.

Find the adjustment mechanism
Read what happens after a reset: does the lender change the EMI, extend the tenure, or apply another stated method? Check whether you can choose between a higher instalment and a longer term. A clause allowing a rate change “from time to time” without a benchmark, formula or notice process leaves the financial impact unclear; ask for precise wording before signing.
Make sure the annualisation method used for the rate is stated. A monthly rate, daily rest or flat-rate quote should not be compared with another offer until both are expressed on the same basis through the disclosed APR and repayment total.

Copy every charge into your own table with its amount or calculation, tax treatment, trigger, frequency and recipient. Match each entry against the KFS and the agreement rather than accepting a general reference to a tariff that you have not received.
| Charge category | Questions to answer in the documents |
|---|---|
| Upfront charges | What are the processing, documentation, valuation, legal, technical, stamp-duty, insurance, membership, broker and collection amounts, and are they deducted before disbursement? |
| Recurring service charges | Is there a periodic account, statement, mandate or document-retrieval fee, and when is it collected? |
| Payment-failure charges | What is charged for a bounced mandate, failed debit or late instalment, and is each trigger distinct? |
| Penal charges | What breach triggers the charge, how much is it, and where are the amount and reason disclosed? |
| Restructuring or tenure-change charges | What is payable if the lender changes the schedule or approves a repayment modification? |
| Part-prepayment and foreclosure | What formula, minimum amount, notice period, lock-in or annual limit applies? |
| Release charges | What will you pay to obtain closure documents, release a lien or collect original security papers? |
RBI’s consumer FAQ identifies processing, documentation, late-payment, tenure-change, legal, technical-inspection, recurring-service, document-retrieval and prepayment charges as examples borrowers may encounter. The exact amount and applicability remain product-specific, so use the current KFS and agreement.
RBI’s 2023 directions require the quantum and reason for penal charges to be clearly disclosed in the loan agreement and, where applicable, the KFS. Penal charges should relate to a material breach and should not be hidden in an unprovided schedule. Reject blank schedules, undefined “other expenses,” and wording that lets the lender revise charges without a stated method or notice.

6. Check prepayment, foreclosure and transfer rights
Part-prepayment
Ask whether you may make a partial payment, the minimum amount, required notice, lock-in period and any annual limit. Confirm how the payment is applied: to principal, accrued interest, fees or a combination. Obtain the resulting EMI or tenure calculation in writing.
Foreclosure
Request a sample or current foreclosure statement showing outstanding principal, accrued interest, applicable fee, taxes, rebate and the date through which the quote is valid. Check the deadline for receiving a closure letter, no-dues confirmation and release of security after payment.
Do not assume a rule that applies to a bank automatically applies to every NBFC product. Ask the lender to state which prepayment provisions apply to your borrower category, loan purpose and rate type.
Moving the account
RBI fair-practices guidance says an NBFC should respond to a request to transfer a borrowal account, including consent or objection, within 21 days. Keep your written request and the lender’s response. The agreement should also explain any information or consent needed for a transfer.
7. Examine collateral, insurance and repossession language
Security package
Identify the collateral, valuation, margin or loan-to-value requirement, title documents, hypothecation or mortgage registration, guarantor obligations and the conditions for releasing security. Check who pays registration and renewal costs and whether the lender may take additional security after a valuation change.

Insurance
Record the insurer, coverage, premium payer, lender’s beneficiary status, renewal duty and claim process. The agreement should say what happens after a claim, total loss or policy lapse and whether insurance proceeds reduce the loan balance.
Vehicle repossession
For a vehicle loan, the repossession clause should be legally enforceable and should specify notice before possession, circumstances in which notice may be waived, the possession procedure, a final opportunity to repay before sale or auction, the procedure for returning the vehicle after repossession and the sale or auction process. These disclosures are required by an RBI repossession notification.
Also check how sale proceeds are applied, when any surplus is returned and whether you remain liable for a shortfall. A clause that permits immediate sale without a clear notice and final-payment process deserves clarification before signature.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.8. Define default and collection powers precisely
Read the definition of default rather than assuming it means only a missed EMI. It may include a failed mandate, covenant breach, insolvency, insurance lapse, change of employment or cross-default under another facility. For each event, identify the cure period, notice method and whether the lender can accelerate the entire balance.
- Check which collection agents may contact you and what authority they must show.
- Look for stated contact hours, field-visit rules and the costs that can be added after default.
- Find the process for disputing an incorrect demand or correcting a payment that was misapplied.
- Read set-off, lien, credit-bureau reporting, disclosure to third parties and data-use clauses.
If the agreement permits the lender to debit another account or apply a deposit, understand the notice and dispute provisions. Keep payment receipts and mandate confirmations so an alleged default can be checked against your records.

9. Preserve documents and escalation details
| Document or record | Keep these details |
|---|---|
| KFS and sanction letter | Version date, APR, principal, fees, conditions and your acceptance |
| Signed agreement and annexures | Complete pages, referenced schedules, signatures and page numbering |
| Repayment schedule | EMI dates, instalment count, final payment and any reset revisions |
| Payment evidence | Disbursement credit, receipts, mandate confirmation and bank statements |
| Security and insurance records | Valuation, registration proof, policy, beneficiary details and release terms |
| Communications | Emails, SMS messages, notices, call references and written fee quotations |
| Complaint contacts | Branch or service channel, grievance officer, escalation timeline and the RBI route stated by the lender |
RBI’s fair-practices guidance emphasizes that borrowers should receive enough information for meaningful comparison. If a key term is available only through a verbal explanation, ask the lender to insert it into the KFS or agreement before signing.
10. Compare two NBFC offers on the same basis
Put both offers side by side using the same loan amount and term. Compare:
- APR and total repayment, not only the nominal interest rate;
- net disbursement after every deduction;
- fixed, floating or hybrid pricing, benchmark, spread and reset exposure;
- EMI, tenure, first and final payment, and any balloon amount;
- upfront, recurring, penal, bounce, restructuring and document-release charges;
- part-prepayment and foreclosure flexibility;
- collateral, insurance, repossession and shortfall treatment;
- document completeness and the quality of the grievance process.
A lower headline rate is not necessarily cheaper if the offer deducts more at disbursement, carries higher recurring charges or allows a costly rate reset.
11. A signing-day procedure
- Read the KFS, sanction letter, agreement and repayment schedule in the same sitting, with all annexures open.
- Highlight every number: sanctioned amount, net credit, APR, rate, EMI, instalment count, fees, penalties and final payment.
- Match each highlighted number across the documents and obtain a corrected version for every mismatch.
- Ask the lender to explain rate resets, default, repossession, prepayment and document-release steps in writing.
- Check that no page, schedule or signature block is blank and that all referenced enclosures are attached.
- Sign only the final dated version, obtain a complete copy immediately and save it in more than one secure location.
When to pause instead of signing
- The legal lender’s name, address or authority does not match the KFS or sanction letter.
- The net disbursement cannot be reconciled with listed deductions.
- The APR, total repayment, EMI schedule or final payment is missing or inconsistent.
- A floating-rate clause lacks a benchmark, spread, reset method or notice process.
- Penal, foreclosure or repossession terms are blank, discretionary or hidden in an unavailable schedule.
- The lender refuses to provide the signed agreement, KFS or referenced annexures.
For a disputed agreement, threatened enforcement or litigation, obtain advice from a qualified legal or financial professional. This checklist helps you identify questions; it does not replace advice tailored to your loan type and circumstances. Rules can differ for personal, vehicle, home, MSME and microfinance loans, so verify the provisions that apply to your product and borrower category.
