Before buying a Bitcoin miner’s bond, note, preferred stock or common shares, identify the exact security and rebuild the business from audited filings and governing documents. The critical questions are whether power contracts support profitable operations, whether the reported hashrate is actually running, how much cash is needed to replace equipment and service debt, and what claim your security has if Bitcoin prices or network economics deteriorate. Issuer examples below are dated illustrations, not sector benchmarks or recommendations.
Start with the exact issuer and security
“A Bitcoin mining company” is not an investable description by itself. The legal issuer, subsidiary, security series and offering terms determine what you own and what can be recovered in a downside case.

Record the instrument’s identity
- Legal issuer and, for a subsidiary-issued instrument, the parent guarantee (if any).
- Security type: common stock, preferred stock, convertible note, senior secured note, unsecured note, revolving facility or another form of debt.
- Exchange, private-placement venue or other trading venue, currency and governing law.
- For debt, the indenture or note-purchase agreement, every amendment, maturity date, interest schedule, collateral documents and trustee.
- For equity, voting rights, liquidation preference, conversion provisions, warrants, registration rights and the number of authorized but unissued shares.
A company announcement that it “raised debt” or “issued equity” does not disclose the terms of every security outstanding. Read the document governing the particular series you are considering.

Test the quality of the company’s reporting
Use the latest audited annual report together with every subsequent quarterly filing and material-event filing. Reconcile the balance sheet to the cash-flow statement and footnotes rather than relying on a presentation headline.

Checks that should tie out
- Cash, restricted cash and available revolver capacity against debt maturities, interest, payroll, hosting invoices and committed capital spending.
- Bitcoin holdings, custody accounts, pledges, loans and sales during the period.
- Property, plant and equipment additions, miner purchases, deposits and depreciation.
- Operating cash flow after working-capital movements, not just adjusted EBITDA or a mining “margin.”
- Debt shown at the parent and each operating subsidiary, including lease liabilities and equipment financing.
Read the auditor’s opinion, internal-control report and any material-weakness disclosure. Going-concern language, qualified opinions, unresolved litigation, contingent obligations, related-party transactions and events after the balance-sheet date can change the risk picture even when the income statement looks strong.
Match liquidity to the calendar
Build a month-by-month schedule for at least the next 24 months. Include scheduled principal, cash and payment-in-kind interest, collateral top-ups, hosting and power commitments, payroll, taxes, maintenance capex and deposits for new miners. Compare that schedule with unrestricted cash and realistic operating cash flow under a stressed Bitcoin price. A large year-end cash balance is not protection if most of it is restricted, pledged or needed for contracted equipment.
Reconstruct the power economics site by site
Electricity is often the largest variable cost and the main source of operating leverage. A portfolio average can conceal an unprofitable site, an expiring contract or exposure to volatile wholesale prices.
What to obtain for each facility
- Owned versus hosted status and the legal counterparty.
- Fixed, indexed, pass-through or wholesale pricing; demand, transmission and capacity charges; and the time period covered.
- Contract duration, renewal and termination rights, minimum-take obligations, deposits and credit-support requirements.
- Rights to curtail during high-price or grid-stress periods, and how curtailment payments are calculated.
- Historical uptime, outage responsibility, interconnection limits, cooling and water availability, and permitting or environmental constraints.
- Counterparty credit quality and the consequences if a utility, host or power trader fails.
Compare the accounting perimeter before comparing a cost figure. A direct electricity rate may exclude hosting, demand charges, repairs, corporate overhead or curtailment revenue. A “cost to mine one Bitcoin” measure may include depreciation and all overhead, or only direct power; ask for the reconciliation.
Issuer figures illustrate the questions, not a benchmark

Energy prices can vary by location and hour. A miner may rationally turn machines off when power prices rise, but curtailment reduces Bitcoin production and may carry contractual or debt-service consequences. Extreme weather, grid congestion, cooling failures and water shortages can produce downtime even when the nominal energy rate is attractive.

Separate energized, deployed and operating hashrate
Hashrate is useful only when you know what is being counted. “Energized” can mean machines have power available; “deployed” can include equipment installed but not fully commissioned; “operating” should represent machines actually hashing during the stated measurement period. Ask for the definition, timestamp, pool data and uptime behind every number.
Metrics to compare on matching dates
- Operating, deployed and energized exahash, with the percentage difference among them.
- Joules per terahash, model mix, average miner age and the number of machines awaiting repair or replacement.
- Uptime, curtailment hours, cooling-related outages and delivery or energization schedules.
- Pool fees, payout method, minimum payout, settlement timing and any temporary pool disruption.
- Whether the figure includes hosted machines, machines owned by a joint venture or capacity not yet commercially usable.
As a dated example, MARA reported 66.4 EH/s of energized hashrate and miner efficiency of 18.6 joules per terahash as of December 31, 2025. Those are company figures for that date, not directly comparable with a peer using operating hashrate, a different timestamp or a different efficiency calculation. Fleet aging matters: a newer, more efficient machine can remain viable at a lower Bitcoin price than an older unit even when both companies advertise similar exahash.

Mining revenue depends on the company’s share of the network, not its hashrate in isolation. Model a range of Bitcoin prices and network conditions instead of using management’s base case.
Build a scenario grid

Include pool fees, payout rules, rejected shares, downtime and the timing of reward receipts. A pool’s payout basis can differ from simple blocks found multiplied by the Bitcoin price, and a disruption or inaccurate allocation can affect cash receipts. Revenue growth from more machines is not necessarily value creation if the machines require expensive debt or earn less per unit than the equipment they replace.
Account separately for mined Bitcoin and other businesses
Bitcoin exposure can enter the financial statements through current mining revenue, coins retained on the balance sheet and mark-to-market movements in digital assets. It may also come from hosting, data-center or other non-mining operations. Separate each stream.

Questions for retained coins
- How many coins are held, where are they custodied and who can move them?
- Are any coins pledged, loaned, rehypothecated or subject to a borrowing-base requirement?
- What is the stated sale policy, and were coins sold to fund operating costs, capex or debt service?
- Which accounting rules govern unrealized gains and losses, and how do those entries differ from cash proceeds?
Core Scientific’s fiscal 2024 disclosures and MARA’s fiscal 2025 disclosures show why Bitcoin-price movements can materially affect reported revenue or results, but the amounts and accounting treatment are issuer-specific. Do not add the market value of retained coins to enterprise value without checking liens, custody restrictions, taxes, operating needs and whether the coins are actually available to the security holder.

Debt holders normally have a contractual claim ahead of common equity, but priority depends on the documents and corporate structure. A “senior” label does not by itself establish first-priority collateral or a parent guarantee.
Read the debt documents for these terms
- Final maturity, amortization, mandatory prepayments and any maturity wall concentrated in one year.
- Cash versus payment-in-kind interest, fixed versus floating rates, benchmark spread and interest-rate caps.
- Collateral description, lien priority, excluded assets, intellectual-property or Bitcoin pledges, and release provisions.
- Guarantees, guarantor coverage, subsidiary debt baskets and structural subordination to operating-site creditors.
- Financial and incurrence covenants, minimum liquidity, leverage tests, restricted payments, investments and additional-debt capacity.
- Asset-sale, change-of-control and merger provisions, events of default, cure periods, acceleration rights and cross-defaults.
- Refinancing conditions, call premiums, make-whole amounts, exchange offers and amendment thresholds.
Map where cash is generated and where the debt sits. A parent note may be structurally junior to secured lenders at a mining subsidiary even if the parent owns valuable equipment. Conversely, a subsidiary guarantee may be limited or released after an asset sale. Ask whether stressed operating cash flow covers interest, required principal, maintenance investment and collateral top-ups without relying on a favorable Bitcoin price or new financing.
TeraWulf’s fiscal 2025 filing identifies corporate-level debt as a funding source, but that disclosure does not establish the terms or priority of any particular note. Only the applicable indenture, credit agreement and current debt footnote can answer those questions.
Analyze equity ownership and dilution
Common shares are residual claims. They can benefit from growth after all obligations are paid, but they absorb operating losses first and may be diluted repeatedly while a miner funds expansion.

Build a fully diluted share count
- Basic shares outstanding and restricted stock or other employee awards.
- In-the-money and out-of-the-money options, warrants and contingent consideration.
- Convertible notes, preferred shares and their conversion prices or ratios.
- At-the-market programs, shelf registrations and authorized but unissued shares.
- Shares reserved for acquisitions, earn-outs or strategic financings.
Then estimate the capital needed for replacement miners, site construction, deposits, grid upgrades and working capital. Compare that need with operating cash flow and existing borrowing capacity. A plan that requires continual equity issuance can increase total hashrate while reducing each existing share’s claim on the business. Evaluate enterprise value as operating assets plus debt, cash, Bitcoin and other digital assets, while identifying non-mining businesses separately. Revenue or exahash growth does not prove per-share value creation.

When comparing two securities, use the same period, accounting boundary and definitions. The following framework prevents a low energy rate or high hashrate headline from dominating the decision.

A practical due-diligence workflow
- Identify the instrument. Save the current prospectus, indenture or note agreement, exchange listing, capitalization table and all amendments.
- Collect filings. Download the latest audited annual report, subsequent quarters, material-event filings and debt footnotes. Note the filing dates so later events are not missed.
- Reconcile liquidity. Tie cash and restricted cash to the statements, list every maturity and commitment, and calculate months of liquidity under a conservative operating case.
- Build the site map. For every facility, record ownership, host, power formula, term, curtailment rights, capacity, cooling, water, permits and recent uptime.
- Normalize production data. Put operating, deployed and energized hashrate, efficiency, fleet age, Bitcoin produced, Bitcoin sold and pool fees into a common period.
- Rebuild unit economics. Separate direct electricity, hosting, other operating costs, depreciation, corporate overhead, curtailment proceeds and capital spending. Document every inclusion.
- Run scenarios. Vary Bitcoin price, network difficulty, fees, power, uptime, reward levels and replacement capex. Record when cash flow fails to cover interest and maintenance.
- Map claims. For debt, trace collateral and guarantees through each subsidiary. For equity, calculate basic, diluted and post-financing ownership.
- Verify digital assets. Reconcile coin balances, custody, liens, loans, sale history and accounting entries to the footnotes.
- Write an investment condition. State the price, yield or valuation at which the security would meet your required return, and list the facts that would invalidate the thesis. Do not proceed when a missing document controls the downside outcome.
Warning signs that require a pause
- Management highlights energized capacity while operating hashrate, uptime or commissioning dates are unavailable.
- Power cost percentages change because hosted sites, curtailment revenue or corporate overhead moved in or out of the calculation.
- Near-term maturities exceed unrestricted cash and credible operating cash flow, with refinancing treated as automatic.
- Bitcoin is described as an asset but pledges, custody controls or sale restrictions are unclear.
- Growth depends on repeated equity issuance, yet the filing presents only total hashrate and not per-share economics.
- Auditor material weaknesses, related-party arrangements, covenant waivers or subsequent events are buried in footnotes.
- Peer comparisons use different dates, fleet definitions, electricity perimeters or accounting policies.
Each warning sign calls for a specific document or reconciliation, not a generic assumption that management will solve it. If the missing information concerns collateral priority, a maturity or the cash cost of power, treat the uncertainty as a risk to the security rather than as an optimistic forecast.
How to keep the analysis current
Mining conditions change faster than annual reporting. Recheck quarterly production, network difficulty, Bitcoin prices, power contracts, curtailment results, machine deliveries, new liens, equity programs and debt amendments before placing an order. Annual reports from MARA, Riot Platforms and TeraWulf for fiscal 2025, and Core Scientific for fiscal 2024, provide dated examples of the disclosures to inspect; newer quarters, amendments and subsequent events can supersede them.

The final decision should rest on the exact security’s documented claim and a cash-flow model that survives adverse power, network and Bitcoin assumptions. If you cannot explain who gets paid first, which assets are encumbered, how many shares could be issued and when the company runs out of liquidity, you have not yet completed the purchase analysis.

Frequently Asked Questions
Are Bitcoin mining bonds safer than the company’s shares?
Not automatically. Debt usually has contractual priority, but the actual result depends on collateral, guarantees, subsidiary debt, covenants, maturity and default remedies. A structurally junior or unsecured note can face substantial loss even while the company continues operating.
Can a high hashrate prove that a miner is profitable?
No. Confirm whether the figure is energized, deployed or operating, then model efficiency, uptime, pool fees, network growth, power pricing, curtailment and replacement capex. Hashrate without those variables does not establish cash profitability.
Should retained Bitcoin be deducted from a mining company’s enterprise value?
Only after checking custody, pledges, loans, taxes, sale restrictions and the accounting treatment. Coins that are encumbered or needed for operations are not equivalent to unrestricted cash.
What is the most important document for a mining-company debt purchase?
The governing indenture or credit agreement, including amendments and collateral documents. It establishes maturity, interest, ranking, guarantees, covenants, permitted additional debt and the remedies available after a default.
