Before you share an ESOP statement or authorize any recommendation, require clear written answers about eight things: the adviser’s fiduciary capacity for your specific question, ESOP experience, service limits, every form of compensation, conflicts, registration and disciplinary history, review process, and any rollover analysis. A polished title or broad claim such as “fiduciary” is not enough; ask which legal or professional capacity applies to this recommendation and obtain the answer in your engagement documents.
Your plan’s distribution rules, investment menu, valuation history and tax consequences are personal to you. An adviser can help analyze those facts, but neither a generic ESOP credential nor a standard rollover script establishes what you should do.

Why ESOP advice requires more diligence than a normal investment conversation
An employee stock ownership plan combines retirement savings, employer stock and plan rules that can materially affect when and how you receive value. The adviser may need to understand your account balance, diversification options, distribution triggers, age, employment status, cash needs, tax basis and other assets. The answer that fits one participant may be unsuitable for another.
Several professionals may be involved, and they do not have interchangeable duties. Your personal financial adviser might model cash flow or investment risk. The ESOP trustee or another plan fiduciary may be responsible for decisions made for the plan. A valuation adviser may estimate the value of privately held employer stock in a transaction. Ask each professional to identify the role they are performing rather than assuming that one person is responsible for every ESOP decision.

The U.S. Securities and Exchange Commission (SEC) Investor.gov guidance says, “Investment advisers are required to act in your best interest and not put their interest ahead of yours.” That principle is useful, but you still need to establish whether the person is acting as an investment adviser fiduciary, an ERISA fiduciary for a particular service, a broker or in another capacity for the work you are discussing.
Prepare before the first adviser meeting
Collect the plan and account information
- Summary plan description and any amendments explaining distribution, diversification, vesting and repurchase provisions.
- Your latest ESOP account statement, contribution and allocation history, and any notice about a distribution, tender, diversification election or transaction.
- The plan’s investment menu and restrictions on moving money inside or outside the ESOP.
- Information about your employment status, expected retirement or separation date, age, cash needs and other retirement accounts.
- Tax documents or prior advice that may affect basis, withholding or the timing of a distribution.
Bring copies with sensitive account numbers redacted until you have verified the adviser and agreed on a secure document-sharing method. Mark questions directly on the plan documents; a competent adviser should be willing to distinguish what the document says from what requires legal or tax advice.
Write down your decision and constraints
State whether you are evaluating diversification, a distribution, a rollover, an investment allocation, retirement income or a transaction involving the company. Note your time horizon, emergency-reserve needs, debt, insurance, tax bracket if known and tolerance for a concentrated employer-stock position. This gives the adviser a defined assignment and makes it harder to steer the meeting toward an unrelated product.

1. “For this specific recommendation, are you acting as an ERISA fiduciary, another kind of fiduciary, or in another capacity? Can you put that in writing?”
Ask the question for each material service, not just once at the start of a relationship. Request the capacity, applicable standard of conduct, scope of the advice and effective date in the engagement agreement or a written follow-up. A firm may use a fiduciary label in marketing while a particular representative or service is governed by different obligations. If the answer changes when you ask about a distribution, rollover or products outside the plan, ask why.

2. “What ESOP participant situations have you advised on, and what parts of my decision can you handle?”
Look for specific, relevant work: helping participants interpret distribution provisions, evaluating diversification, modeling retirement income around employer-stock concentration or coordinating with a tax professional. Ask how many years the adviser has worked with ESOP participants, whether the experience involves plans similar to yours and what the adviser personally did. Request references or anonymized examples where appropriate. There is no universally established ESOP credential that proves competence, so treat designations as one data point rather than a substitute for verifiable experience.
3. “What services are included, what is excluded, and what investment or account options can you recommend?”
Get a list of deliverables. It should say whether the adviser will analyze the ESOP decision, review plan documents, coordinate with a tax or estate professional, prepare a cash-flow projection, recommend investments in an IRA or other account, or provide ongoing monitoring. It should also identify exclusions, such as legal opinions, tax-return preparation, valuation work or trustee decisions.
Ask whether recommendations are limited to the plan’s menu, can include accounts at other custodians, or are restricted by the adviser’s platform. A recommendation that appears to be an investment choice may actually be constrained by the firm’s product shelf. Ask who is responsible for confirming plan rules when the document is ambiguous.

Request every payment method in dollars or a clear calculation: hourly charges, flat project fees, assets-under-management fees, commissions, markups, referral payments, revenue sharing, bonuses, trails and payments from a fund sponsor, recordkeeper, custodian or another party. Ask when each fee is charged, whether it recurs, whether it applies to employer-stock or cash in the plan, and what happens if you do not implement the recommendation.

The Department of Labor’s April 2021 retirement-investor guidance states: “You deserve to receive investment advice that is in your best interest, and fiduciary investment advice providers deserve to be paid a fair and reasonable fee for their advice.” A reasonable fee cannot be evaluated without knowing the service you receive and all direct and indirect compensation. Require a written fee schedule and an example using your expected account size.
5. “What conflicts could arise, how do you address them, and what written disclosures can I review?”
Ask about relationships with your employer, ESOP trustee, plan recordkeeper, custodian, broker-dealer, fund providers and any firm that could benefit from a rollover or product sale. Ask whether the adviser or firm has an incentive to recommend a particular account, proprietary investment, insurance product, lending arrangement or transaction service.
Do not accept “we manage conflicts” without details. Ask what recommendation would change if the adviser received no referral payment, how conflicts are avoided or mitigated, and where the arrangement is disclosed. Obtain the firm’s written conflict disclosures and compare them with the proposed engagement and fee schedule.

6. “Are you registered with the SEC, a state, or the Financial Industry Regulatory Authority (FINRA)?”
This is one of the SEC Investor.gov sample questions. Ask for the legal name of the person and firm, registration jurisdiction, business model and the latest Form ADV. If the firm is an investment adviser, request the relevant Form ADV brochure; if it provides brokerage services, request the applicable relationship summary and disclosures. Ask the adviser to explain any difference between the individual’s registration and the firm’s registration.

Search current official regulatory records using the exact legal names. Review reported disciplinary events, customer complaints, arbitration or civil proceedings, and the outcome or status of each item. Then ask the adviser to explain anything you found. A clean search is not proof of suitability, and a disclosed event is not automatically disqualifying; the quality and candor of the explanation matter.
7. “How often will you review the advice, and what events trigger another review?”
Specify whether the service is one-time or ongoing. Ask who monitors the plan and your outside accounts, how often you meet, whether the adviser reviews distribution eligibility and tax-law changes, and what happens after a job change, company transaction, large price movement, health event or change in household income. Ask whether monitoring has a separate fee and what you receive after each review. DOL provider checklists treat monitoring as a question for the engagement, not as an automatic promise.
8. “Why would a rollover be appropriate for my situation, what would it cost, and what plan features or protections would I give up?”
Require a written comparison of leaving assets in the plan, taking a distribution, rolling to an IRA or using another permitted option. The analysis should identify one-time and ongoing costs, investment expenses, available services, creditor or distribution protections where applicable, tax withholding, required distribution rules, liquidity and the loss of any plan-specific feature. Ask what facts would make the recommendation change.

Use a side-by-side scorecard when comparing advisers
Interview at least two candidates when practical and record answers in the same format. “Not stated” is a useful result: it identifies information you still need rather than filling the gap with an assumption.
| Comparison area | Evidence to request | Why it matters |
|---|---|---|
| ESOP participant experience | Examples of comparable participant work, years of experience and the adviser’s actual role | ESOP questions involve plan rules and concentrated employer stock, not just generic portfolio selection |
| Fiduciary capacity | Written capacity and standard for the specific recommendation | A broad fiduciary label may not cover every service or transaction |
| Service scope | Engagement agreement listing included work, exclusions and investment/account limits | Prevents assumptions about tax, legal, valuation or trustee responsibilities |
| Total compensation | Fee schedule plus commissions, referral payments, revenue sharing and other indirect payments | Shows the economic incentives attached to advice |
| Conflicts and mitigation | Written disclosures and a description of how conflicts are handled | Lets you judge whether incentives could influence a recommendation |
| Review process | Meeting cadence, monitoring duties, triggers and additional charges | Clarifies what happens after a job, plan or market change |
| Registration and history | Current registration, Form ADV or relationship summary, discipline and complaint explanations | Verifies identity, regulatory status and candor |
| Written terms | Signed engagement, termination terms, privacy and document-delivery process | Creates an enforceable record of what you are buying |
Keep personal advice separate from ESOP transaction and valuation work
If your employer is selling, buying or restructuring shares, ask who serves as trustee, plan fiduciary and valuation adviser. Your personal adviser does not automatically perform those roles, and a personal investment recommendation does not replace the trustee’s duties.
Department of Labor process agreements concerning certain transactions in nonpublic employer securities describe diligence such as investigating the valuation adviser’s qualifications, providing complete, accurate and current information, examining conflicts, considering prior work for transaction parties and deciding whether reliance on the valuation is reasonable. One agreement states that fiduciaries should “Prudently determine that its reliance on the valuation advisor’s advice is reasonable before entering into any transaction in reliance on the advice.” This language belongs to the fiduciary transaction context. Use it as a prompt when asking how a transaction process was overseen, not as a claim that your personal adviser must perform the trustee’s valuation review.
Verify the answers before signing
- Identify the legal entity. Match the adviser’s name, firm name and registration details across the proposal, Form ADV, relationship summary and regulatory records.
- Read the disclosures. Compare compensation and conflicts in the disclosures with what the adviser said. Ask about every mismatch in writing.
- Test the scope. Give the adviser a hypothetical ESOP decision and ask which parts are covered, which are excluded and which professional would handle the rest.
- Request a written recommendation. It should state the facts relied on, alternatives considered, costs, risks, tax assumptions and circumstances that would change the conclusion.
- Check the plan documents. Confirm that any proposed distribution, diversification or rollover is permitted under your plan and obtain tax advice for tax-sensitive steps.
- Allow time to decide. Do not sign a transfer form or move assets during a first meeting because of a “limited-time” offer. Ask for a copy of every document and a contact for follow-up questions.
Warning signs and positive signals
Warning signs
- The adviser will not state in writing whether the specific advice is fiduciary advice.
- Fees are described as “free,” “standard” or “built in” without a complete payment explanation.
- The adviser pushes a rollover before reviewing plan features, costs, tax facts and alternatives.
- ESOP experience is asserted through a badge or slogan but no concrete participant work can be described.
- Questions about registration, complaints or lawsuits are dismissed rather than answered.
- The proposal promises valuation, legal or tax results outside the adviser’s stated qualifications.
- You are pressured to transfer documents or assets before receiving an engagement agreement.
Positive signals
- The adviser narrows the assignment, identifies missing plan information and distinguishes advice from legal or tax services.
- Compensation, conflicts, registration and disciplinary history are disclosed before you ask twice.
- The adviser compares staying in the plan, distributing and rolling over rather than assuming one path.
- Recommendations show assumptions, costs, alternatives and a process for updating the analysis.
- The adviser welcomes a second opinion and gives you time to review documents.
Document the decision and the next review
Keep the signed engagement, fee schedule, disclosures, Form ADV or relationship summary, plan documents supplied to the adviser, written recommendation and your notes from the interview. Record which questions were unanswered and who will obtain the missing information. Set a calendar date for the next review and list the events that require an earlier call, such as separation from service, a plan amendment, a company transaction, a major change in household finances or a proposed rollover.
The best adviser choice is not a universal ranking. It is the candidate who can explain the capacity in which they are acting, demonstrate relevant participant experience, disclose the full economics of the relationship, address conflicts plainly, stay within a defined scope and support recommendations with plan-specific analysis. Review the documents and your circumstances before making any ESOP distribution, diversification or rollover decision.
