What Tax Records Should a Small-Business Owner Save?

Save the source documents that prove your business income, expenses, credits, payroll taxes, and asset basis—not just a completed tax return. There is no single federal retention period for every file. Keep each record for the period of limitations that applies to the income, deduction, credit, employment tax, or property transaction it supports, then check for longer state, local, industry, insurance, lender, or contractual requirements before destroying it.

The Internal Revenue Service’s current guidance gives three years as the usual federal period for ordinary return-support records, but important cases require six years, seven years, indefinite retention, at least four years for employment-tax records, or retention through the eventual disposition of property. The practical system below separates those categories so an owner can decide what to keep and when.

The governing rule: keep records for what they prove

The IRS defines the period of limitations as the time in which you may amend a return to claim a credit or refund or the IRS may assess additional tax. The relevant clock generally runs from when the return was filed. A return filed before its due date is treated as filed on the due date for these purposes.

— Internal Revenue Service, “How long should I keep records?” (current guidance accessed 2026)

That rule means a single “keep everything three years” policy can fail. A receipt supporting an ordinary expense, a payroll tax deposit record, and the purchase file for a building can have different retention lives. Tie every document to the return line, tax, credit, or asset that it supports.

Federal retention periods at a glance

Record situation Federal retention guidance Why the period applies
Ordinary records supporting income, deductions, or credits Generally 3 years This is the usual period when none of the listed exceptions applies.
Refund or credit claim filed after the original return 3 years from the original filing date or 2 years from the date the tax was paid, whichever is later The later date controls for the claim.
Claim for a loss from worthless securities or a bad-debt deduction 7 years The IRS lists these claims as an extended-period exception.
Income omitted by more than 25% of gross income shown on the return 6 years The longer period gives the IRS additional assessment time in this situation.
No return filed or a fraudulent return filed Indefinitely The IRS does not set an ending period for these records.
Employment tax records At least 4 years after the tax becomes due or is paid, whichever is later This is a separate employment-tax minimum, not the ordinary income-tax period.
Records relating to property Through the period of limitations for the year the property is disposed of The file supports depreciation, basis, and gain-or-loss calculations over the asset’s life.

These are federal IRS guidelines. They do not replace a longer retention period required by a state or locality, an industry regulator, an insurer, a creditor, or a contract.

What records a small business should save

Income and gross-receipt records

Keep documents that show both the amount and source of gross receipts. Depending on how you operate, that can include cash-register tapes, deposit information, receipt books, invoices, and applicable Forms 1099. Preserve enough detail to connect deposits and sales records to the gross-income figures reported on the return.

  • Sales invoices and receipt books for goods or services.
  • Cash-register or point-of-sale summaries.
  • Deposit slips and other deposit information.
  • Forms 1099 received when they apply to your business income.

A bank statement can corroborate a deposit, but it may not explain which customer, invoice, or revenue stream produced it. Keep the underlying sales documents as well.

Purchases and operating expenses

For each deduction, retain the invoice, paid bill, receipt, deposit slip, canceled check, account statement, credit-card receipt or statement, or other proof of payment. Supporting documents should identify the payee, amount, payment evidence, date incurred, and the item or service. The description should make the business purpose apparent. One expense may require several documents—for example, an invoice plus a payment record and a written explanation of the business purpose.

  • Who was paid: the vendor or service provider.
  • How much: the amount, including the detail needed to explain taxes or adjustments.
  • When: the date the expense was incurred and, where useful, the payment date.
  • What was purchased: a description specific enough to identify the goods or service.
  • How it was paid: check, card, transfer, cash, or another method, with proof of payment.

Do not rely on a bookkeeping category alone. The source document is what substantiates the entry if the return is examined.

Books, journals, ledgers, and transaction summaries

Maintain a system that clearly shows gross income, deductions, and credits. The IRS says business transactions are ordinarily summarized in journals and ledgers, but it does not generally require one particular bookkeeping format. A paper journal or ledger is acceptable; an electronic accounting system or another electronic record system is also acceptable.

Your summary records should reconcile to the source documents and to the amounts entered on the filed return. Keep the chart of accounts, year-end summaries, and workpapers that explain how totals were calculated, not merely an exported profit-and-loss report with no supporting detail.

Business property and other assets

Asset records must establish when and how property was acquired, its purchase price, improvements, depreciation or other relevant deductions, business use, disposition date and method, selling price, and sale expenses. Keep purchase and sales invoices, real-estate closing statements, and related documents together. These records support basis, depreciation, and gain-or-loss calculations.

Property documentation often outlives several ordinary tax-return cycles. If you discard the purchase price or improvement records before the asset is sold, you may be unable to substantiate basis when calculating the taxable gain or loss. Keep the file until the period of limitations for the year of disposition has ended.

Payroll and employment taxes

Maintain a dedicated employment-tax file. It should include wages and other payments, employee identifying and employment information, withholding certificates, tax deposits, filed employment-tax returns, fringe benefits, reimbursements, and documents substantiating employment-related credits.

The federal minimum for these records is at least four years after the tax becomes due or is paid, whichever is later. Because the later date controls, retain records long enough to cover the payment date even when the associated return was filed earlier.

Filed returns and amendments

Keep a complete copy of every filed federal return and its schedules. Returns help prepare future filings, support carry-forward calculations, and provide the starting point for an amended return or a refund claim. Preserve the electronic filing confirmation or signed paper filing evidence with the return when available.

Property records: follow the asset, not the calendar

For equipment, vehicles, buildings, land, or other business property, create one file that follows the asset from acquisition to disposition. Include the original invoice or closing statement, financing or settlement information that establishes cost, records of improvements, depreciation schedules, business-use information, and the final sale or transfer documents.

When property is sold or otherwise disposed of

Keep the complete property file through the period of limitations for the tax year in which the property is disposed of. The disposition file should show the date and method of sale or transfer, selling price, sale expenses, and the calculation that reconciles original cost and improvements to adjusted basis.

When property is exchanged without current tax

If property is received in a nontaxable exchange, retain records for both the old and new property. The IRS says to keep them through the period of limitations for the year the new property is disposed of in a taxable disposition. The old-property records can affect the basis of the replacement property, so filing the exchange paperwork separately is not enough.

How to organize records so they remain usable

  1. Choose a format. Use orderly paper files, an electronic accounting system, or a combination. The IRS applies the same substantiation expectations to electronic records as to hard-copy records.
  2. Create a year-and-category structure. Within each tax year, separate income, purchases and expenses, payroll, assets, credits, and filed returns. Give asset files an identifier that remains unchanged until disposition.
  3. Capture source documents promptly. Scan or upload invoices, receipts, statements, deposit information, and payment evidence when received. Record the business purpose while the transaction is still familiar.
  4. Reconcile summaries. Periodically compare journals or ledgers with bank and card statements, deposits, payroll records, and source documents. Correct discrepancies before preparing the return.
  5. Preserve an examination-ready copy. Keep records readable, searchable, and available for examination. Maintain reliable backups of electronic files and protect paper originals from loss, damage, or unauthorized access.
  6. Attach retention dates. Label ordinary files with the applicable return year and expected federal end date. Mark exception files—such as a bad-debt claim, omitted-income issue, employment taxes, or property disposition—for their longer period.

A paper ledger can be useful when you want a physical transaction summary, but it is optional. Electronic records are permitted when they preserve the same information and remain available to substantiate the return.

Before destroying anything, run this checklist

  • Identify the return, tax, credit, or asset that each file supports.
  • Confirm that the applicable federal period of limitations has ended, including any exception that extends it.
  • For a refund or credit claim, use the later of the two IRS dates rather than the ordinary period.
  • For payroll files, calculate from the later of the tax due date or payment date.
  • For property files, confirm that the period for the year of disposition has ended; do not use the purchase date as the disposal date.
  • Check state and local tax rules, industry requirements, insurance policies, loan covenants, grants, contracts, and litigation-related holds for longer obligations.
  • Preserve filed returns and any records still needed for an amended return, unresolved examination, or continuing basis calculation.
  • Destroy records securely only after the checks are complete, and document what was destroyed and why.

Common recordkeeping mistakes and the fix

Keeping only the tax return

A return reports totals but usually does not prove each receipt, payment, or credit. Keep the invoices, receipts, deposit information, payment evidence, and workpapers behind every material figure.

Applying three years to every file

The ordinary period is not a universal rule. Use the exception table for extended claims, omitted income, missing or fraudulent returns, employment taxes, and property.

Discarding asset records after depreciation is complete

Depreciation history is only part of the basis calculation. Purchase cost, improvements, business use, and disposition details can remain relevant when property is sold.

Saving a statement without identifying the transaction

A card or bank statement may show payment but not the payee, item, business purpose, or connection to an invoice. Pair statements with the underlying source document.

Assuming electronic files are exempt from substantiation rules

Digital storage changes the format, not the obligation. Electronic records must remain complete, readable, and available for examination just like paper records.

Examples of applying the rules

An ordinary operating expense

An invoice, proof of payment, and business-purpose explanation for an ordinary expense belong with the return year they support. If no exception applies, the general federal period in the table governs that file.

A bad-debt deduction

Documentation supporting a bad-debt deduction belongs in the seven-year category, including the records that establish the debt, the business transaction that created it, and the deduction claimed.

Equipment sold after several years

Keep the equipment’s acquisition, improvement, depreciation, and sale records until the limitation period for the year of sale ends. The sale year, not the purchase year, determines when the property file can normally be evaluated for disposal.

Payroll paid after the reporting period

For employment-tax records, compare the date the tax became due with the date it was paid and retain the file for at least four years after whichever date is later.

Bottom line

Save source documents, not just summaries; organize them by tax year and transaction type; and assign retention based on what each file proves. Use the IRS’s ordinary period only when no exception applies, keep payroll records for the separate later-of-due-or-paid minimum, and carry property records through disposition. Before deleting anything, confirm that every federal, state, local, contractual, insurance, and creditor requirement has been satisfied.
