Before buying an international or mining share, identify exactly what you own, what information is available, how currency and market rules affect the investment, and whether the company can finance its plan. A foreign listing can add disclosure, tax, liquidity and legal complications. A mining issuer adds geological uncertainty: an exploration result or mineral resource is not the same as an economically viable mine.
The checks below are designed for individual investors. The regulatory examples are U.S.-focused; protections, filings and remedies differ by country and exchange.

First decide how you will obtain international exposure
You do not have to buy an individual share directly on a foreign exchange. SEC Investor.gov identifies several routes: American Depositary Receipts (ADRs), country or regional funds, international mutual funds and exchange-traded funds (ETFs), foreign companies listed on U.S. markets, and shares that trade only in another country. Each route changes your access to information, costs, trading mechanics and legal protections.

A pooled fund can provide diversification that is difficult to reproduce with a few individual foreign companies. An ETF also has an intraday market price, so the price you receive may move materially during the session. The route does not eliminate the underlying country’s, currency’s or industry’s risks.

What risks come with international shares?
Currency can reverse a good local-market result
Your return in your home currency combines the security’s local performance with the exchange-rate movement. A share can rise in its home market yet be worth less in U.S.-dollar terms if that currency falls. Ask which currency the company earns, borrows and pays dividends in, not merely the currency of the listing. Conversion spreads, banking charges, exchange controls and delays can further reduce what you receive.
Information may be less complete or less accessible
Foreign companies can report less often, publish in a language you cannot evaluate, or use accounting standards and audit oversight that differ from those familiar to you. Companies trading only abroad are less likely to file SEC reports, according to the SEC’s Investor Bulletin. Locate the issuer’s primary filings, annual and interim reports, material-event notices and auditor’s report before committing money. Determine whether the numbers are consolidated, which accounting framework is used, and whether the auditor is subject to oversight you understand.
Trading, custody and liquidity are not uniform
Check normal trading hours, holidays, volume, bid-ask spreads, settlement cycle, share registration and custody chain. Thin trading can make a limit order difficult to fill and a large order expensive to exit. Some markets restrict foreign ownership or require a local account, tax registration or special instrument. Your broker’s advertised access does not by itself establish that you have the same shareholder rights as a domestic investor.

Fees and taxes can be hidden in the transaction
Build a complete cost estimate that includes commission, broker or custody charges, currency conversion, exchange and transaction taxes, fund expenses, depositary-receipt fees, and withholding tax on dividends. Tax treaties and reclaim procedures vary by country. Ask your broker which tax forms and records it supplies and whether a foreign tax credit may be available in your jurisdiction; obtain tax advice for your circumstances.
Legal remedies may be harder to use
Identify the issuer’s incorporation country, the exchange’s regulator and the regulator overseeing your intermediary. A U.S. court judgment may be difficult to enforce against a foreign company, and shareholder-rights procedures can differ sharply. Read the offering document and account agreement for governing law, dispute forum, voting mechanics and depositary arrangements. Diversification helps, but is not a guarantee
Investor.gov says, “International investing may help U.S. investors to spread their investment risk among foreign companies and markets in addition to U.S. companies and markets.” The SEC also cautions that diversification does not always reduce risk. Markets can fall together during a global shock, and a concentrated country, commodity or company position can remain volatile. Treat international exposure as one part of an allocation, not as insurance against loss.

A practical due-diligence sequence for any foreign share
- Map the instrument. Record the legal issuer, listing venue, home currency, depositary (if it is an ADR), share ratio, voting rights and settlement location.
- Find primary information. Download the latest annual report, interim report, material-event filings, prospectus and audited financial statements from the issuer, exchange or regulator. Note the publication language, accounting basis and auditor.
- Reconcile the economics. Separate revenue, costs, debt and dividends by currency and geography. Test how a plausible currency move would affect earnings, cash flow and your home-currency return.
- Price every friction. Obtain written figures for commissions, spreads, custody, conversion, withholding, local transaction taxes and fund or depositary expenses.
- Check exit conditions. Review average volume, order types, trading suspensions, settlement time, foreign-ownership limits and what happens if the security is delisted.
- Verify the intermediary. Investors using a broker or adviser should check whether the professional is registered with the SEC or, where applicable, the appropriate state regulator. Confirm where client assets are held and what investor-compensation or insolvency protections actually apply.
What should I check before investing in a mining company?
A mining share is a claim on a company, not a direct claim on metal or minerals in the ground. The value depends on the property’s geology, the company’s ability to build and operate a mine, commodity prices, permits, financing and the jurisdiction. Promotional maps and discovery headlines cannot substitute for current technical reports and regulatory filings.

Under U.S. Regulation S-K Item 1300, an exploration-stage issuer has no material property for which mineral reserves are disclosed. That definition is a stage distinction, not a prediction about what exploration will find. Read the issuer’s current disclosure to determine whether it is exploring, delineating a resource, completing a study, building a mine or producing.
Keep exploration results, resources and reserves separate
- Exploration results are observations from drilling, sampling or other work. They can indicate mineralization but do not establish the size, continuity or economics of a deposit.
- A mineral resource is an estimate of material with reasonable prospects for eventual economic extraction under stated technical and economic conditions.
- A mineral reserve is a more advanced category tied to the economic viability of extraction and applicable modifying factors.
- A feasibility study tests a proposed mine using engineering, operating and financial assumptions; its conclusion can change when those assumptions change.
Consequently, a resource estimate, exploration target or discovery announcement is not proof of a producing or profitable mine. The controlling definitions are in 17 CFR § 229.1300, Item 1300 Definitions. A cross-listed issuer may also refer to Canada’s NI 43-101 regime; establish which disclosure rule applies to the company and listing rather than assuming the labels are interchangeable.

Read the technical report, not only the presentation
Find the technical report summary or other applicable technical report and its effective date. Check the preparer’s relevant qualifications, site visits and responsibility, the data sources, sampling and quality controls, estimation method, and any limitations. A report that is old relative to drilling, permitting, ownership or commodity-price changes may no longer describe the investable case.
Stress the mine’s assumptions
Extract the assumptions that drive the model:
- mine design, production schedule and throughput;
- ore grade, dilution, metallurgical recovery and processing method;
- commodity prices, exchange rates and by-product credits;
- initial capital, sustaining capital, operating costs and closure obligations;
- power, water, roads, ports and other infrastructure;
- permits, royalties, taxes, reclamation and community agreements.
Ask what happens if grade or recovery is lower, construction costs rise, the commodity price falls, the schedule slips or a permit is delayed. A feasibility-study net-present-value or internal-rate-of-return figure is conditional on its stated inputs; it is not a guaranteed future return.

Check cash, debt and dilution before believing the timeline
Compare cash on hand with the next twelve months of exploration, development, sustaining and corporate spending. Read debt maturities, covenants, required joint-venture contributions and the funding plan for the next project stage. A company may issue common shares or convertible securities to raise capital, reducing an existing holder’s percentage ownership. This is an issuer-specific risk described in a U.S. filing, not a prediction that every mining company will dilute shareholders. Review the current filing, including the example risk discussion in Western Uranium & Vanadium Corp.’s Form 10-K, for the particular issuer’s disclosures.

Evaluate the country and operating setting
For an overseas project, investigate political stability, title to the concession, permitting and tax law, royalties, labor availability, infrastructure, power and water, currency convertibility, security, environmental obligations and relationships with affected communities. These are lines of inquiry, not quantified probabilities for any specific country. Verify them against current local filings, permits and credible official records.
Red flags that deserve a pause
- The only technical evidence is a marketing presentation, with no current report or effective date.
- The issuer uses “discovery,” “target” or “resource” language without explaining category, confidence level, cutoff grade or economic assumptions.
- Results are quoted without the sample length, grade, true width, recovery method or quality-control context needed to interpret them.
- The project timetable omits permits, infrastructure, closure costs or a credible funding source.
- Cash is inadequate for the stated work program and the filing does not explain likely financing or dilution.
- Trading volume is so low that the quoted price may not represent an executable exit.
- You cannot obtain primary filings in a language or accounting format you can competently assess.
Make the decision at the level of risk you can actually bear
Write down the maximum amount you could lose, the holding period, the currency you ultimately need, and the event that would make you sell. Use a position size that leaves room for a total loss in a speculative exploration company, and do not let a diversified fund become a disguised concentration in one country or commodity. Recheck filings, technical reports, cash and permits after purchase; facts that justified the investment can change long before a headline does.
The sound process is deliberately unglamorous: verify the instrument, read primary disclosure, model currency and costs, distinguish geological evidence from economic viability, and confirm how the company will fund the next milestone. If any of those answers remains unknowable, the uncertainty itself is a reason to reduce the position or wait.
