What Should First-Time Property Investors Check Before Signing a Sale Agreement?

By TheFinanceBase Team 9 min read

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Before signing a property sale agreement, have a qualified conveyancer, solicitor or property lawyer in the property’s jurisdiction review the complete contract and disclosure pack. At the same time, verify the title, boundaries, rights, planning position, physical condition, financing, deadlines, taxes, recurring costs and your legal ability to use the property as planned.

The moment you become legally committed is not universal. It depends on the country or state, sale method, property type, buyer status and contract wording. For example, an offer is generally not legally binding in England and Wales until contracts are exchanged, while an Australian auction purchase has no cooling-off period and is not conditional on finance or a building or pest inspection. Treat the following as a due-diligence framework, not a substitute for advice on the actual agreement.

Start with the legal point of commitment

Do not assume that signing, paying a holding deposit, exchanging contracts or winning an auction has the same effect everywhere. Ask your local property lawyer, before you sign or bid, to identify the exact event that makes you bound, the deposit consequences, available cancellation rights and the remedies if either party defaults.

Situation What official guidance says Practical implication
England and Wales GOV.UK says an offer is not legally binding until contracts are exchanged. You still need legal and financial checks before exchange. After exchange, the agreement is legally binding and usually neither party can withdraw without compensation.
Australian auction Moneysmart says there is no cooling-off period and the purchase is not subject to finance or a building or pest inspection. Complete lender, inspection and contract checks before bidding. Winning can leave you committed immediately under the auction terms.
Other jurisdictions and sale methods Cooling-off rights, disclosure rules, searches, tax and contract formation vary. Have local counsel confirm the rule for your state or country and the specific sale method.

GOV.UK states: “An offer is not legally binding in England and Wales until you exchange contracts.” That sentence applies to England and Wales; it is not a global rule.

Assemble the right review team before signing

Property lawyer or conveyancer

Ask for a written review of the sale agreement, seller disclosures, title documents, special conditions, annexes and any amendments. The adviser should explain what you are buying, when risk and possession pass, what happens if a deadline is missed, and which clauses protect or expose you. Request a list of unresolved questions rather than a generic statement that the contract is “standard.”

Independent building surveyor or inspector

Choose an inspection suited to the building’s age, construction and location. A general condition survey may not cover termites, drainage, structural movement, asbestos, flood exposure or specialist systems. Ask what is excluded, whether invasive testing is needed and how long the report remains useful. If the contract has an inspection condition, confirm the deadline and the precise rights it gives you: cancellation, renegotiation, a repair obligation or no remedy at all.

Lender and tax professionals

Have the lender confirm that the actual property, valuation and proposed ownership structure meet its requirements. A mortgage pre-approval is not the same as final approval for this address. A tax adviser can identify transfer or stamp taxes, land taxes, rental-income treatment, capital-gains consequences and rules affecting non-resident or foreign buyers.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Confirm exactly what the agreement transfers

Compare the contract with the property you inspected and the investment you intend to make. Resolve discrepancies before signing; a verbal assurance from an agent is not a reliable substitute for written terms.

  • Legal identity: Match the address, lot or parcel number, title reference, plan, tenure and ownership interest. Check whether the sale is freehold, leasehold, strata, cooperative or another form of title.
  • Boundaries and land: Confirm the plan, boundaries, access to driveways or common areas, parking spaces, storage areas and any water or mineral rights that matter locally.
  • Included items: List fixtures, appliances, plant, solar equipment, keys, remotes and tenant-installed items that are included or excluded. Put any promised removal or repair in a special condition.
  • Price and deposit: Check the purchase price, deposit amount, payment date, escrow or trust arrangements, interest on late payment and the consequences of forfeiture.
  • Completion or settlement: Identify the exact date, adjustment process for rates and levies, possession time, vacant-possession promise and what happens if the seller cannot complete.
  • Occupancy: Establish whether the property is vacant, owner-occupied or tenanted; obtain the lease, bond or deposit records, rent ledger and notices required to end or continue the tenancy.
  • Special conditions: Read every condition on finance, inspection, planning, repairs, access, seller disclosure, development approvals and release of deposits. Handwritten or amended wording deserves particular scrutiny.

Investigate title, restrictions and public records

Ownership and encumbrances

Your conveyancer should verify that the seller owns the stated interest and identify mortgages, caveats, liens, easements, covenants, rights of way, leases, options and other restrictions. Ask how each item affects access, development, financing, resale and your proposed rental use. Confirm how existing security interests will be discharged at settlement.

Planning and local-authority matters

Search for planning permissions, enforcement notices, zoning, heritage controls, building approvals, outstanding works, road widening, compulsory acquisition proposals and planned infrastructure. A property can look suitable for conversion, extension or short-term letting while local rules prohibit that use. Obtain written confirmation of the permissions relevant to your strategy rather than relying on an agent’s description.

Environmental, drainage and service checks

Order the searches customary for the location, which may include flood or drainage information, contaminated-land records, environmental constraints, mining or subsidence data, utility connections and public-authority interests. Determine whether the property has lawful water, sewer, electricity, gas, telecommunications and road access, and who pays to repair shared infrastructure.

Strata, condominium or owners-corporation records

For shared-property purchases, review the declaration or bylaws, current budget, financial statements, insurance, meeting minutes, reserve or sinking-fund position, fee arrears, planned major works, litigation and rules on leasing, pets, renovations and use of common areas. Ask whether a special levy has been approved or is being considered. Recurring levies can materially change the investment’s cash flow even when the purchase price appears attractive.

Test the property’s physical condition independently

A viewing is not a condition assessment. Commission the appropriate survey before the contract’s inspection deadline, or before bidding where no inspection condition will be available. Review the report with the inspector, concentrating on defects that affect safety, habitability, insurability, financing and future rentability.

Match inspection scope to risk

  • Use a building or homebuyer survey for visible structure, roof, walls, damp, windows, services and significant defects.
  • Add pest, termite, asbestos, pool, septic, drainage, electrical, plumbing or geological checks when the property or location warrants them.
  • For older or altered buildings, verify that extensions, conversions and installations have approvals and certificates where required.
  • Obtain insurance indications early; an insurer’s exclusions can reveal risks not obvious during a viewing.

Turn findings into contract decisions

For each material defect, decide whether you need a price adjustment, a repair obligation before completion, a retention of money, an insurance solution or a right to terminate. Ensure the agreed remedy is drafted into the contract with an inspection standard, deadline and evidence requirement. A report alone does not oblige the seller to fix anything.

Make financing and deadlines workable

Build a dated transaction schedule before signing. Include loan application and valuation, finance approval, deposit payment, searches, inspection, disclosure review, cooling-off expiry if any, exchange, settlement and registration. Give every deadline to your lender and conveyancer; missing a short notice period can remove a right you thought you had.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Check the finance condition

Read whether finance approval is a condition of the contract, what loan amount and terms qualify, who must give notice, and whether the condition allows an extension or termination. Confirm the lender has received the final contract, valuation instructions, strata information and any lease. Budget for valuation, lender, mortgage-registration and settlement charges in addition to the deposit.

Do not rely on assumed withdrawal rights

Some private sales provide a statutory or contractual cooling-off period; others shorten it, exclude it or impose a fee. Auctions may remove it entirely. Ask your lawyer to state the last date and method for exercising any right to withdraw and the exact amount at risk if you do not complete.

Calculate the full acquisition cost

Evaluate the transaction using total cash required at completion and ongoing ownership cost, not just the advertised price.

Cost area What to verify before signing Why it matters to an investor
Purchase and transfer taxes Current transfer, stamp, registration or similar charges; exemptions and surcharges based on location and buyer status. These are payable in addition to the price and can change the cash needed on completion.
Professional and search fees Legal, conveyancing, title, local-authority, environmental and registration charges. Some are fixed, while others depend on searches, property type or complexity.
Inspection and survey Base survey plus specialist reports, follow-up testing and certificates. Skipping a report can leave you with repair or safety costs that exceed the fee.
Finance and insurance Valuation, lender, mortgage, insurance, interest and foreign-exchange costs where applicable. Loan approval can fail if these costs are omitted from the affordability calculation.
Adjustments and outgoings Rates, utilities, rent, deposits, service charges, strata or owners-corporation levies and special levies adjusted at settlement. These affect both completion funds and the first months of operating cash flow.
Immediate works Repairs, compliance certificates, furnishing, safety upgrades and vacant-possession costs. Required work can delay letting and reduce the return assumed in your plan.

Ask for a settlement statement or completion estimate showing each known charge and adjustment. Where an amount depends on a local authority, lender or tax rule, obtain the current figure for your property and buyer status rather than using an old estimate.

Confirm investor eligibility and intended use

Your investment plan must be legally achievable. Check whether zoning, planning consent, lease terms, bylaws or licensing rules permit long-term renting, short-term accommodation, subdivision, renovation, home occupation or the number of occupants you expect. Confirm who is responsible for compliance work and whether a lender or insurer imposes additional restrictions.

Ownership structure also matters. Buying personally, jointly, through a company, trust or another vehicle can affect liability, tax, lender approval, reporting and future transfer costs. Have local legal and tax advisers assess the structure before the contract names the buyer. Changing the purchaser after signing may require consent, incur tax or breach the agreement.

In Australia, foreign persons must obtain the required approval or exemption certificate before entering into a residential-property contract. The relevant rule depends on buyer status and property type, so obtain confirmation before signing or bidding. Other countries have their own eligibility, registration or currency-control rules.

Use a pre-signing decision gate

Proceed only when your advisers can answer these questions in writing:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. What document creates the binding obligation, and when does that happen?
  2. What exactly is included, and does the legal description match the inspected property?
  3. Are title, access, planning, environmental, drainage and service issues acceptable?
  4. Are strata or shared-property finances, rules, insurance and future works understood?
  5. Has an independent inspection identified defects that require a contractual remedy?
  6. Is final finance available for this property, price, valuation and ownership structure?
  7. Can every deposit, tax, legal, inspection, lender, insurance, levy and repair cost be funded on time?
  8. Is the planned use lawful and permitted by the contract, title, planning rules and bylaws?
  9. Are all conditions, deadlines, notices and default consequences clear to you?
  10. Has local counsel confirmed that your buyer status does not require an approval or exemption before commitment?

If any answer is unresolved, ask for an extension, a protective condition or a revised agreement. If the seller will not allow reasonable due diligence and the risk cannot be priced or insured, walking away may be safer than relying on an assumption.

Red flags that warrant a pause

  • Pressure to sign immediately without giving the full contract or disclosure documents.
  • Different addresses, parcel numbers, boundaries or included items across the listing, contract and title.
  • Unexplained easements, caveats, liens, access arrangements or unapproved alterations.
  • Promises about repairs, approvals, rental income or vacant possession that are absent from the written agreement.
  • Inspection, finance or cooling-off clauses that are missing, unusually short or impossible to exercise in practice.
  • Large arrears, special levies, litigation or major works in strata or owners-corporation records.
  • A lender valuation, insurance quote or foreign-investment approval that is still outstanding.
  • A proposed ownership structure that your lender or tax adviser has not approved.

What to do immediately before signing

  1. Send the complete, latest contract and all attachments to your local conveyancer or property lawyer.
  2. Provide the adviser with your intended use, financing, buyer status and any promises made by the seller or agent.
  3. Order title, planning, local-authority, environmental, drainage and shared-property searches appropriate to the property.
  4. Complete the independent building and specialist inspections within the available timeframe.
  5. Obtain final lender confirmation, valuation status and a dated funds schedule.
  6. Calculate taxes, professional charges, inspections, insurance, levies, adjustments and immediate works.
  7. Resolve defects and risks through written conditions, price changes, repairs, retention arrangements or termination rights.
  8. Read the execution page, notice provisions, deposit instructions and every special condition once more before signing.
  9. Sign only the version your adviser reviewed, keep a complete copy and diarise every post-signing deadline.
