Before a firm writes a check, it should classify every entity, screen prohibited sources, determine how a contribution is attributed to partners, obtain approval, and document the transaction. Federal campaign-finance rules may permit one route while investment-adviser pay-to-play rules or state law still prohibit it.

Start with the payer: entity and tax classification
The same business can have a management company, one or more funds, a general partner, an investment adviser and special-purpose LLCs. Political-spending rules attach to the entity whose funds are used, so “the firm” is not a sufficient legal description.
Partnerships and partnership-taxed LLCs
The Federal Election Commission says a partnership, or an LLC treated as a partnership for federal tax purposes, may make contributions to influence federal elections, subject to the applicable limits (FEC guidance, C1). An LLC that makes no IRS classification election is generally treated as a partnership for this purpose; an LLC that elects partnership tax treatment is treated the same way.

A partnership contribution is attributed to the participating partners. The attributed amounts count against those partners’ applicable contribution limits, so the firm cannot use its own balance sheet to create an additional, untracked pool of giving capacity.
Corporate-taxed LLCs and corporations
An LLC that elects corporate tax treatment, or has publicly traded shares, is treated as a corporation for federal contribution purposes (FEC guidance, C1). Corporate-taxed LLCs are generally barred from contributing directly to candidate committees. They may, however, use permitted political routes such as a separate segregated fund or contributions to independent-expenditure-only political committees (FEC guidance, C4).
The tax election should therefore be confirmed from the entity’s records, not inferred from its name or the fact that it is organized as an LLC. A contribution approved for a partnership-taxed entity may be impermissible from a corporate-taxed affiliate.
How attribution works for partners and members
Attribution is the compliance mechanism that connects a firm contribution to the people whose contribution limits and eligibility matter. The firm should identify the partners or members participating in the contribution, record each attributed amount, and notify them when required by its internal policy and applicable law.
Corporate partners cannot receive an attributed share
The FEC states that a partnership or partnership-taxed LLC with corporate partners or members may not attribute any portion of the contribution to those corporate partners (C2). The firm must adjust the attribution among eligible individual participants rather than passing a share to a corporate owner.
Foreign-national partners cannot receive an attributed share
No portion of a partnership or LLC contribution may be attributed to a foreign-national partner or member (C2). The screening must cover indirect ownership and membership information, not just the person who signs the payment instruction. Separate foreign-national restrictions also prohibit foreign nationals from directing, controlling or participating in decisions about U.S. election-related spending.

Keep personal and firm money separate
A partner may make a personal contribution when the firm itself is barred or when the partner wants to use individual contribution capacity. The payment must come from the partner’s personal funds and be recorded as personal activity; reimbursing it with firm money can turn an otherwise lawful personal contribution into an impermissible corporate or partnership contribution.

Federal-contract restrictions can change the answer
A partnership or LLC that is negotiating a federal contract, or performing an incomplete federal contract, is prohibited from making contributions (C2). The restriction applies to the entity’s contribution, even if the entity otherwise qualifies as a partnership for federal election purposes.
An individual partner may still contribute personal funds rather than money drawn from the firm’s account (C2). Because contract status can change during negotiations and performance, the firm should include a current federal-contract certification in its pre-clearance process and refresh it before recurring contributions.
Choose the recipient and route carefully
“Political spending” covers different recipients with different rules. The compliance review should identify whether the payment is to a candidate committee, political party, traditional PAC, or independent-expenditure-only PAC.
| Route | What the evidence establishes | Main control question |
|---|---|---|
| Candidate committee | Partnerships and partnership-taxed LLCs may contribute within applicable limits. Corporate-taxed LLCs are generally prohibited. | Is the payer partnership-taxed, and are all attributed participants eligible? |
| Political party | Availability and limits depend on the entity, recipient and current election-cycle rules. | Which FEC limit and party account apply to this election? |
| Traditional or nonconnected PAC | A PAC can involve registration, contribution limits, attribution and periodic reporting. | Will activity exceed the FEC political-committee threshold? |
| Independent-expenditure-only PAC | A corporate-taxed LLC may use this permitted route, subject to the applicable rules. | Is the spending genuinely independent, with no prohibited coordination? |
Contribution limits change by election cycle and recipient. The firm should use the current FEC limit tables at the time of approval rather than rely on a saved spreadsheet or a prior election’s figures.
When a firm’s own PAC becomes a regulated political committee
A nonconnected PAC becomes a political committee when it raises or spends more than $1,000 in a calendar year to influence federal elections, according to current FEC guidance (C5). Crossing that threshold brings registration and periodic FEC reporting obligations.

Before launching a PAC, the firm should budget for a treasurer, bank-account controls, contribution-limit monitoring, donor and attribution records, report preparation, and retention of receipts. A PAC is not simply a pass-through account: its governance, solicitation practices and public filings create continuing administrative duties.
The $1,000 figure is a calendar-year threshold for the activity described by the FEC. It is not a universal safe harbor for every political payment, and state PAC rules may use different thresholds or definitions.
SEC investment-adviser pay-to-play rules
Federal campaign-finance legality does not resolve the separate question of whether a contribution jeopardizes an adviser’s government business. SEC Rule 206(4)-5 applies to registered investment advisers, certain exempt reporting advisers, firms soliciting clients or investors for covered advisers, and covered associates.
The Tool Desk
Outbyte Driver Updater FREEFix the driver behind crashes, sound loss and screen glitchesFind Drivers →Outbyte PC Repair FREERepair Windows errors before they cause bigger problemsFix Now →The two-year advisory-services time-out
After certain contributions by a covered person to a government official or candidate, the rule can prohibit an adviser from providing compensated advisory services to a government client for two years (SEC Rule 206(4)-5 and FAQ, C3). For a venture firm managing public-pension, municipal or other government money, that consequence can be more significant than the campaign contribution itself.
The rule’s definition of “contribution” is broad. The SEC describes it as including gifts, loans, debt payments and other things of value, not merely a conventional campaign check (C3). The review therefore must cover non-cash support and payments made through intermediaries.
Solicitation and coordination restrictions
Rule 206(4)-5 also restricts an adviser and covered associates from soliciting or coordinating contributions or payments to certain government officials, candidates and related parties. A partner who is not the named donor can still create risk by asking a client, portfolio executive or colleague to give, bundling donations, or arranging a payment.

Proposed SEC rescission is not a repeal
On September 3, 2026, the SEC announced a proposal to rescind its pay-to-play rule (SEC press release, C6). The announcement is a proposal, not a final repeal. Until the SEC publishes a final action and its effective date, firms should verify the operative rule text and any transition provisions before changing their controls. State and local pay-to-play laws can continue independently even if the federal rule is eventually rescinded.

States, cities and public pension systems can impose their own contribution bans, cooling-off periods, disclosure requirements, lobbyist restrictions and contractor rules. A contribution that is lawful under federal law can still affect eligibility for a state investment mandate or municipal contract.
The jurisdictional review should follow the government client, the official receiving the payment and the place where the adviser or fund is soliciting business. For a multi-state fund, a single national policy with jurisdiction-specific addenda is safer than assuming the home state’s rule controls everywhere.

- Map the entities. List every fund, management company, adviser, general partner, LLC, partnership and corporation connected to the proposed payment.
- Confirm tax status. Pull the IRS classification and election records for the actual payer. Record whether it is partnership-taxed, corporate-taxed or publicly traded.
- Screen ownership and contracts. Identify corporate partners, foreign-national owners or members, and any federal contract being negotiated or performed.
- Define the recipient. Classify the payment as candidate, party, traditional PAC, independent-expenditure-only PAC or another political expenditure.
- Check attribution and limits. Identify eligible individual participants, calculate each attributed amount, and apply the current election-cycle limit for the recipient.
- Run the adviser test. If the adviser seeks or holds government-client business, check covered-associate status, the two-year consequence, solicitation and coordination restrictions, and applicable state or local laws.
- Approve the source of funds. Separate firm-account spending from personal contributions. Require written approval and retain the payment instruction, receipt and attribution record.
- Assess PAC obligations. If the activity could raise or spend more than $1,000 in a calendar year to influence federal elections, determine registration, treasurer and reporting requirements before activity begins.
- Monitor changes. Recheck contract status, ownership, government-client relationships and the SEC rule’s status before recurring or bundled contributions.
Common failure modes and fixes
Relying on the word “LLC”
Failure: treating every LLC as eligible to give to a candidate. Fix: verify the federal tax election and apply the corporate-taxed restriction where it applies.
Attributing money to the wrong owner
Failure: assigning a share to a corporate partner or foreign-national member. Fix: maintain an ownership schedule and exclude prohibited participants before calculating individual shares.
Recommended Free Tools
Ignoring a pending federal contract
Failure: approving a firm contribution while contract negotiations or performance are underway. Fix: require a current contract-status certification and route any personal giving through the individual’s own funds.

Treating the SEC proposal as effective
Failure: deleting pay-to-play controls solely because of the September 2026 announcement. Fix: confirm final SEC action, effective date and transition terms, while continuing state and local review.
What records should a VC firm keep?
A defensible file should connect the payment to the legal entity and the rule analysis. Keep the entity chart, tax-classification evidence, ownership and citizenship screening, federal-contract certification, recipient classification, limit calculation, partner attribution and notice, approval record, bank statement, receipt, and any FEC filing or PAC report.

For advisers, add covered-associate determinations, government-client and solicitation assessments, contribution searches, exception analysis if permitted, and the date on which any time-out begins and ends. Records should be retained under the firm’s compliance-retention policy and be retrievable by fund, payer, recipient and election.
How to make a defensible decision
The safest decision framework has six gates: entity classification, source eligibility, recipient route, attribution and limits, registration/reporting burden, and government-client pay-to-play exposure. A “yes” at one gate never cures a “no” at another. If any gate is unresolved, hold the payment until political-law counsel or the firm’s compliance officer documents the answer.
