That breadth can diversify revenue, but it does not remove the company’s shared exposure to medical costs, government reimbursement, regulation, litigation, cybersecurity and execution. Investors should treat the company’s reported second-quarter 2026 results and raised full-year outlook as a snapshot and management forecast—not proof that these risks have passed.
The latest figures covered here are for the quarter ended June 30, 2026. Before investing, check for subsequent filings because later medical-cost experience, legal developments or regulatory actions could change the risk picture.

Medical costs, pricing and reserve estimates
Premiums can lag actual care costs
UnitedHealth prices health benefits using assumptions about the number of services members will use, provider reimbursement, labor and supply inflation, the health profile of members and the timing of claims. If utilization or unit costs exceed those assumptions, the company may have to absorb the difference until it can reprice benefits or renew contracts. Repricing can protect margins, but it may make products less competitive, reduce benefits or cause members to leave.

In its second-quarter 2026 Form 10-Q, UnitedHealth said medical-cost trends remained above historical levels. The filing specifically cited higher provider reimbursement associated with the No Surprises Act and greater service and coding intensity in commercial business. Those pressures can affect both insurance operations and Optum businesses that deliver or manage care.

What the second-quarter ratio does—and does not—show
The company reported an 86.7% medical care ratio for the second quarter of 2026, compared with 89.4% in the second quarter of 2025. UnitedHealth attributed the year-over-year decrease to benefit design and pricing discipline, member mix and cost-management initiatives. It also reported $860 million of net medical reserve development in the quarter.
A lower ratio is favorable for that reporting period, but it is not a promise that future ratios will improve. A quarter can benefit from timing, a favorable mix of members or claims that have not yet emerged. Investors should examine the ratio alongside enrollment, underlying utilization and the company’s comments about current trends.
Reserve development can flatter or depress a period
Insurers estimate the cost of claims incurred but not yet reported. When later claims are lower than expected, the company releases part of those reserves and records favorable prior-year development; when claims are higher, it records unfavorable development. UnitedHealth reported $1.25 billion of favorable prior-year medical-cost reserve development for the six months ended June 30, 2026. The filing attributed it to a favorable respiratory-illness season and other individually insignificant factors.
Recommended Free Tools
That favorable development improves reported earnings for the period but may not recur. A future respiratory season, treatment pattern or provider-price change could produce the opposite result. Compare current results with both reported earnings and earnings excluding unusual reserve movements.
Provider reimbursement and the No Surprises Act
The No Surprises Act can change the amount insurers ultimately pay for certain out-of-network services. UnitedHealth’s filing identifies higher provider reimbursement under the law as one contributor to elevated medical-cost trends. Disputes over payment amounts, arbitration outcomes and changes in provider negotiating power can therefore affect claims costs after a premium has already been set.
Government reimbursement and membership
Medicare Advantage exposure
UnitedHealthcare and Optum serve substantial numbers of people through Medicare-related products. Revenue and margins depend on government benchmark rates, risk-adjustment scores, quality ratings, medical utilization and audit outcomes. A lower payment rate, a change in the risk-adjustment methodology or weaker quality ratings can reduce revenue per member. Higher-than-expected utilization can raise costs even when rates are unchanged.

CMS audits and validates diagnosis data used for risk adjustment. Retrospective adjustments can require a plan to repay money associated with unsupported or improperly documented diagnoses. The company’s second-quarter filing says CMS and the Office of Inspector General selected certain local plans for risk-adjustment data-validation audits. The filing does not provide a final outcome for those reviews.
Medicaid rate and acuity mismatch
Medicaid economics vary by state. State agencies set rates within federal requirements, and contracts often adjust for the acuity of the enrolled population. If rates do not keep pace with provider costs or the actual health needs of members, margins can suffer. A membership mix that is sicker than expected can raise costs faster than revenue.
UnitedHealth said in its 2026 second-quarter filing that it had experienced Medicaid rate and member-acuity mismatches and anticipated some Medicaid membership losses in 2026. Losing members can reduce revenue and make fixed operating costs harder to cover, while retaining members with higher care needs can increase claims expense.
Membership changes across businesses
The filing described fewer people served through Medicare Advantage, commercial risk-based offerings and Medicaid, as well as fewer Optum Health patients covered by value-based arrangements. Lower enrollment may reflect deliberate exits from unattractive contracts, pricing discipline or market conditions. It can still affect scale, provider relationships and the spread of administrative costs.
Government policy changes can also alter which products are available, how benefits are designed and whether UnitedHealth chooses to participate. Management guidance incorporates assumptions about rates, risk scores, membership and utilization; those assumptions can change before the next renewal cycle.

Medicare risk-adjustment False Claims Act case
UnitedHealth’s second-quarter 2026 filing describes a False Claims Act case pursued by the Department of Justice. A whistleblower originally filed the case in 2011. In March 2025, a court-appointed Special Master recommended summary judgment for UnitedHealth. In April 2025, the DOJ asked the court to reject that recommendation. The filing says the company cannot reasonably estimate the outcome given the procedural status.

The Special Master’s recommendation is not a final court judgment, and the DOJ’s position is not a finding that UnitedHealth violated the law. The financial risk includes a possible judgment, settlement, legal expense, compliance costs and changes to business practices. The ultimate timing and amount, if any, remain uncertain.
DOJ requests concerning Medicare participation
In a July 24, 2025 statement, UnitedHealth said it had begun complying with formal criminal and civil DOJ requests relating to aspects of its Medicare participation. The company said it had full confidence in its practices and would cooperate with the Department, while also saying it could not predict the outcome. That statement describes the company’s position at that time; it does not resolve the investigations or establish that any allegation is proven.
CMS and OIG data-validation audits
Audits of risk-adjustment data can lead to retrospective payment adjustments. Even when an audit concerns selected local plans rather than the entire enterprise, findings can affect reserves, compliance procedures and the way diagnoses are documented. Watch for disclosures of audit scope, proposed adjustments, appeals and any changes to prior-period estimates.
IRS transfer-pricing notices
In March 2026, the IRS issued Notices of Proposed Adjustment concerning intercompany transfer-pricing transactions for 2017 through 2020. The agency could seek similar adjustments for later years. UnitedHealth disputes the proposed adjustments and says it intends to contest them. A proposed adjustment is not a final tax liability; the eventual amount could differ after administrative and judicial proceedings.
Cybersecurity, privacy and operating continuity
Lessons from the Change Healthcare attack
UnitedHealth’s 2025 Form 10-K records the February 21, 2024 cyberattack on Change Healthcare and its continuing financial effects. The company provided loans to healthcare providers affected by disruption and increased reserves by $799 million in the fourth quarter of 2025 for expected net collections on provider loans and other customer balances related to the incident.
The financial impact can extend beyond technical remediation. An attack may interrupt claims submission, payment, eligibility and pharmacy transactions; create privacy and notification obligations; increase litigation and regulatory costs; and damage relationships with providers and customers. Loan recoveries may also take longer or be lower than expected.

What the annual report’s risk statement means
As of December 31, 2025, UnitedHealth said it had not identified a cybersecurity risk that had materially affected, or was reasonably likely to materially affect, its business strategy, results of operations or financial condition. The same disclosure cautions that future cyber risks could materially affect the company. This is a point-in-time assessment, not a guarantee that systems are secure or that a future incident will be immaterial.
Investors should evaluate the company’s disclosure about controls, recovery capabilities, third-party dependencies, insurance coverage, incident costs and unresolved claims rather than relying only on whether a material weakness has been reported.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Execution, segment performance and restructuring
Diversification does not eliminate shared exposure
UnitedHealth reports four segments: Optum Health, Optum Insight, Optum Rx and UnitedHealthcare. Optum Health provides care, Optum Insight supplies data and technology services, Optum Rx manages pharmacy benefits, and UnitedHealthcare operates insurance products. The businesses can support one another, but they are not independent risk silos. A change in provider costs, government rules, data requirements or member behavior can affect several segments at once.
Strategic review and loss-contract reserves
UnitedHealth’s 2025 strategic review and restructuring included business exits, dispositions, workforce and real-estate actions, and a loss-contract reserve for anticipated 2026 losses in certain Optum Health value-based-care businesses. Restructuring can reduce costs over time, but it can also create severance, impairment, contract-exit and other one-time charges. Exiting a market may improve economics while reducing scale or future growth opportunities.
The second-quarter 2026 filing described continued elevated medical-cost trends and fewer Optum Health patients under value-based arrangements, alongside improved earnings from cost management and favorable reserve development. The central execution question is whether savings, repricing and operating changes produce durable improvement after temporary benefits fade.

Guidance, cash flow and balance-sheet considerations
Raised guidance remains a forecast
UnitedHealth reported second-quarter 2026 revenue of $112.0 billion and earnings from operations of $8.0 billion. On July 16, 2026, it raised its full-year adjusted earnings-per-share outlook to $19.50–$20.00. Management said the outlook reflected progress in simplifying operations, improving affordability and the healthcare experience, and applying modern technology.
Chief executive Stephen Hemsley said the results and outlook reflected “the continuing progress in our work to simplify how we operate, improve both affordability and the healthcare experience for patients and care providers, and apply modern technology to create real improvement for people.”
The guidance depends on assumptions about medical costs, membership, government rates, reserve development, legal expenses and execution. The same quarter’s filing said current medical-cost trends remained above historical levels. A higher forecast therefore should be tested against the possibility of adverse utilization, reimbursement or regulatory developments.
Debt and operating cash flow
UnitedHealth reported debt-to-capital of 41.2% at June 30, 2026 and $11.1 billion of operating cash flow for the second quarter. These figures provide liquidity and leverage context, but neither is a standalone measure of safety or value. Cash flow can be affected by claims timing, working capital, provider-loan collections and other temporary factors, while debt capacity depends on interest costs, maturities and the stability of future earnings.
Valuation can magnify operating disappointments
Even a well-managed company can be a poor investment if its share price assumes earnings growth that does not materialize. The available information here does not include a current UNH share price or peer valuation multiples, so it cannot support a relative valuation conclusion. Investors should compare the purchase price with earnings that exclude unusual reserve releases, assess the durability of projected growth and allow for scenarios in which medical costs or legal expenses remain elevated.
How to compare UNH with other investments
| Comparison question | What to examine for UnitedHealth | Why it changes the risk |
|---|---|---|
| Government exposure | Share of revenue and profit tied to Medicare Advantage, Medicaid and other government-funded programs. | Greater exposure increases sensitivity to rates, risk adjustment, audits and policy changes. |
| Pricing power | Ability to renew premiums or contract rates when utilization and provider costs rise. | Weak pricing power leaves margins exposed; aggressive pricing can reduce membership. |
| Business balance | Contribution from insurance, pharmacy, care delivery and technology services. | Diversification may cushion a downturn, but common healthcare and regulatory risks remain. |
| Legal and cyber profile | Open investigations, audit activity, incident history, controls and potential liabilities. | Unresolved matters can create volatile costs that are difficult to model. |
| Valuation | Price relative to normalized, sustainable earnings and cash generation. | A high price leaves less room for execution mistakes or a lower earnings trajectory. |
A practical pre-purchase checklist
- Read the newest 10-Q and 10-K. Look for updated medical-cost trends, membership, reserves, legal contingencies, cyber incidents and debt maturities.
- Separate reported earnings from temporary effects. Identify favorable or unfavorable reserve development, restructuring charges, tax items and other adjustments.
- Track the medical care ratio by quarter. Ask whether changes reflect durable pricing and cost control or timing and member mix.
- Review government-program indicators. Follow Medicare Advantage rates and ratings, risk-adjustment audits, Medicaid renewals, state rates and enrollment.
- Map legal matters to possible financial outcomes. Distinguish allegations, agency requests, proposed adjustments, recommendations and final judgments.
- Stress-test cyber and operating disruption. Consider a multi-quarter outage, higher remediation costs and slower provider-loan collections.
- Test management guidance. Build scenarios for higher utilization, lower membership, adverse reserve development and delayed restructuring benefits.
- Check valuation independently. Compare the current price with normalized earnings and cash flow rather than relying on the raised outlook alone.
- Set a position size that reflects uncertainty. Concentrated exposure to one insurer can be unsuitable if a portfolio cannot tolerate regulatory, legal or medical-cost volatility.
UnitedHealth’s scale, multiple operating segments and substantial cash generation may help it absorb individual setbacks, but those strengths do not cancel the risks. The most important question before buying is whether the price compensates you for uncertain medical-cost trends, government reimbursement, unresolved legal matters, cyber exposure and the possibility that recent favorable reserve and cost-management effects will not repeat.
