What Rights Do Investors Get With a 26% Stake in an Infrastructure Project?

By TheFinanceBase Team 10 min read

A 26% stake does not come with one universal package of rights. Your actual position depends on the project company’s jurisdiction, share class, articles, shareholder agreement, financing documents and project contracts. Under a frequently cited English-law example, 26% can block special and extraordinary resolutions, but that is not an automatic veto over daily operations or every major decision.

The short answer: 26% can be influential, but the documents decide the rights

Owning 26% of an infrastructure project company usually makes an investor a substantial minority shareholder. That percentage may provide meaningful voting power, access to negotiated protections and a significant economic interest. It does not, by itself, guarantee a board seat, a dividend, a veto over operating decisions, protection from dilution, access to every record or an exit right.

The first distinction is between three sources of rights:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Statutory and constitutional rights: rights supplied by the company law of the relevant jurisdiction, the company’s articles and the terms of the shares.
  • Contractual shareholder rights: additional protections negotiated in a shareholder agreement, investment agreement or similar instrument.
  • Financing and project rights: obligations and restrictions in loan agreements, direct agreements, guarantees, concession documents and other project contracts.

UK government PFI guidance describes the project company as a special purpose vehicle and says its shareholder agreement addresses voting rights, dividend policy and investor dispute resolution. That structure is common in project finance, but the precise rights still depend on the executed documents and applicable law.

What the 26% threshold can do under English law

A 2006 Norton Rose Fulbright project-finance commentary states: “For example, under English law, a shareholding of 26% is strategically important because it permits the blocking of special and extraordinary resolutions.” In a typical voting structure, a holder with more than 25% can prevent the other shareholders from reaching a 75% supermajority if all shares carry equal votes and the resolution uses the full issued voting capital as its denominator.

This example must be applied cautiously:

  • The commentary is old and describes an English-law framework; current law and the company’s constitution should be checked for a live transaction.
  • The 26% must be measured against the votes that count for the particular resolution. Different share classes, non-voting shares, weighted votes, treasury shares, abstentions and quorum provisions can change the result.
  • A special-resolution blocking position is not the same as control of ordinary business. A majority may still pass ordinary resolutions, appoint directors, approve budgets or direct operations unless another document imposes a higher threshold.
  • Articles or contracts can modify default protections, add consent rights or set different thresholds for specified matters.

Therefore, the useful question is not simply whether an investor owns 26%. It is: 26% of which voting rights, in which class, subject to which threshold and which agreements?

Where to find the investor’s rights

Company law and the articles

Company legislation and the articles commonly establish voting procedures, shareholder meeting rights, dividend mechanics, share transfers, notice periods and the process for amending the constitution. The share terms may create preference dividends, liquidation preferences, enhanced votes or restrictions that make the economic percentage different from the voting percentage.

Shareholder or investment agreement

This agreement usually contains negotiated governance and minority protections. It may give a 26% investor a director nomination, board observer access, reserved-matter consent, information rights, pre-emption protection, anti-dilution adjustments, transfer rights or a deadlock process. A right is only useful if the agreement clearly states the trigger, voting threshold, notice procedure, remedy and governing law.

Financing documents

Project lenders can limit distributions, additional borrowing, security grants, asset sales, changes to the business plan and changes in ownership. Loan agreements may also require lender consent before a shareholder transfers its interest or before the project company makes a payment to equity investors. Direct agreements can give lenders cure, step-in or enforcement rights that operate alongside shareholder rights.

Project and concession documents

Concession agreements, availability-payment contracts, construction contracts and operating agreements can require approvals for changes in control, key subcontractors, project scope or ownership. A shareholder may have strong rights inside the company but still be unable to compel an action that would breach the project agreement.

Governance rights a 26% investor should check

Voting and meeting mechanics

Confirm which shares carry votes and whether the percentage is calculated on issued shares, voting shares present at a meeting or another denominator. Review ordinary and special-resolution thresholds, quorum requirements, written-consent rules and adjournment provisions. A 26% holder may block a 75% resolution yet lose practical leverage if the agreement permits decisions at a lower threshold with a small quorum.

Board appointment and participation

Ownership alone does not automatically create a board seat. The documents may instead provide a right to nominate one director, appoint an alternate, attend as an observer or participate in committees. Check whether the nominee must satisfy independence or qualification requirements, whether the nominee’s attendance is required for quorum and whether a conflicted nominee must abstain.

Board rights also carry responsibilities. UK PFI guidance states: “The directors of the PFI Co are legally required to act in the interests of the company and its shareholders.” A nominated director cannot simply follow instructions that conflict with the company’s legal duties.

Reserved matters

Reserved matters are decisions that require a specified shareholder or class consent before the company can act. A 26% investor has no automatic reserved-matter veto; it must appear in the governing documents. Common subjects include:

  • Amending the articles or changing share rights.
  • Issuing new shares, options or another share class.
  • Reducing capital, reorganizing the group or approving a merger.
  • Borrowing above an agreed limit, giving guarantees or granting security.
  • Approving or materially changing the annual budget or business plan.
  • Making a material acquisition, disposal or investment.
  • Declaring dividends or changing the distribution policy.
  • Changing the project’s business scope, concession or key contracts.
  • Starting liquidation, insolvency proceedings or a sale of substantially all assets.

A published Armenia project agreement illustrates how these subjects can be listed as board and shareholder reserved matters. A separate filed shareholder agreement shows that parties may choose supermajority thresholds for enumerated matters. Those documents demonstrate negotiated drafting, not a universal entitlement attached to 26%.

General company law may provide some inspection or meeting rights, but the breadth and frequency of reporting are often contractual. Financing covenants can also restrict what the company may disclose, particularly where lenders require confidential treatment.

Economic, dilution and transfer protections

Dividends and distributions

A 26% economic interest does not guarantee a 26% cash yield. Dividends may be unavailable while the project is under construction, may be subject to solvency tests or may be blocked by loan covenants. The shareholder agreement may set a distribution policy, but the board and lenders still have to comply with company law and financing restrictions.

New shares and dilution

The majority can dilute a 26% holder if the company issues new equity and the investor has no effective pre-emption or anti-dilution protection. Review whether the investor can participate pro rata in new issuances, whether certain strategic issuances are exempt, how the price is set and what remedy applies if the process is breached. A contractual right to buy new shares is different from an automatic veto over every capital raise.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Transfers and exits

Transfer provisions may include consent requirements, lock-ups, rights of first refusal, permitted-transfer categories, tag-along rights and drag-along rights. A tag right can allow the minority to sell on the same terms as a selling majority. A drag right can require the minority to sell in an approved transaction. Check valuation rules, notice periods, permitted transferees and whether lenders or the public authority must approve a change in ownership.

Funding obligations and the lender interface

Do not infer a future cash-call obligation from the 26% percentage. UK government financial-stress guidance says: “The shareholders (and lenders) do not usually have any obligation to put more money into the project company over and above their original investment.” A particular transaction can nevertheless require additional support through:

  • Committed equity contributions tied to construction milestones.
  • Shareholder loans or subordinated debt.
  • Cost-overrun undertakings and completion support.
  • Guarantees, letters of credit or reserve-account funding.
  • Funding obligations triggered by a covenant breach or delay.

Read the amount, timing, conditions, ranking, repayment terms and default consequences. Also identify what happens if another shareholder fails to fund: the agreement may permit a shortfall loan, interest, dilution or a forced transfer.

Lenders can affect the practical value of shareholder rights. Debt documents may block dividends until coverage tests are met, require consent for a transfer, or give lenders step-in and enforcement rights after a default. A shareholder approval right does not necessarily override a lender’s contractual remedy.

Does 26% amount to control?

Not automatically. For accounting purposes, AASB 10 application guidance states: “Power arises from rights.” The assessment asks whether the investor currently has the ability to direct the activities that significantly affect returns. Relevant rights can include voting rights, the power to appoint or remove key management, and rights to direct or veto significant transactions.

That is a facts-and-rights analysis, not a percentage test. A 26% investor with broad contractual vetoes or appointment rights might have significant influence or, in unusual circumstances, control. Another investor with 26% ordinary shares and no special rights may be only a minority participant. Accounting conclusions should be made under the applicable reporting framework using the executed documents.

A document-by-document review process

  1. Identify the legal perimeter. Confirm the project company’s jurisdiction, incorporation status, governing law, concession regime and applicable accounting framework.
  2. Map the capital structure. List every share class, voting right, preference, option, convertible instrument and shareholder percentage on both an issued-share and fully diluted basis.
  3. Calculate decision thresholds. For each ordinary, special and reserved matter, record the required vote, quorum and denominator. Test what happens if the investor votes against, abstains or is absent.
  4. Extract board rights. Record nomination, appointment, removal, observer, committee and quorum provisions, including any independence or conflict rules.
  5. Build a reserved-matters schedule. Match every consent right to its trigger, monetary threshold, notice requirement and remedy for breach.
  6. Trace information flows. Note each report, frequency, recipient, inspection right, audit right and confidentiality restriction.
  7. Model dilution and distributions. Check pre-emption, anti-dilution, dividend, reserve and lender-covenant provisions under realistic financing scenarios.
  8. Test funding exposure. List equity commitments, shareholder loans, guarantees, completion support, default funding and consequences of non-payment.
  9. Review transfer and deadlock remedies. Identify lock-ups, tag, drag, buy-sell, escalation, mediation, arbitration, valuation and time limits.
  10. Reconcile all documents. Resolve conflicts among articles, shareholder agreements, financing documents and project contracts before signing. Obtain advice under the governing law.

How to compare two proposed 26% investments

Comparison area Questions to ask Why it changes the outcome
Governing law and thresholds Which law applies, and what vote and quorum are required for each decision? The English-law 26% example concerns special and extraordinary resolutions; another jurisdiction or constitution may use different rules.
Board participation Is there a nomination, observer or committee right, and is attendance needed for quorum? A percentage alone does not create a board seat.
Reserved matters Which constitutional, financing, budget, asset, dividend and project decisions require consent? Contractual consent rights can provide protection beyond statutory voting.
Information What accounts, forecasts, project reports and inspection rights are delivered, and when? Monitoring quality affects the investor’s ability to detect risk and enforce rights.
Dilution and economics Are there pre-emption or anti-dilution rights, and how are dividends constrained? A 26% economic share can shrink or produce no distributions without these protections.
Funding and lenders Are there capital calls, guarantees or shareholder loans, and what lender consents apply? Future cash exposure and lender controls can materially change the investment.
Exit and deadlock Are tag, drag, transfer, buy-sell, mediation or arbitration mechanisms available? A minority stake is more usable when there is a defined path out of a dispute or sale.

Common mistakes to avoid

  • Treating 26% as a universal veto. It may block a specified supermajority resolution, but it does not automatically stop ordinary decisions or operations.
  • Ignoring share classes. Economic ownership and voting power can diverge.
  • Assuming a board seat. Appointment rights must be written and may be subject to qualification, removal and quorum rules.
  • Overlooking lender documents. A shareholder consent right may be ineffective against a lender’s step-in or enforcement rights.
  • Assuming no further funding is ever required. General guidance describes the usual position, while transaction documents can impose binding support obligations.
  • Relying on an old legal example without updating it. The 2006 English-law commentary is a useful threshold illustration, not a substitute for current local advice.
  • Failing to define remedies. A consent right without notice rules, deadlines, escalation and enforcement may not prevent a disputed action.

Bottom line for a 26% infrastructure investor

A 26% stake is potentially powerful because it can cross a supermajority-blocking threshold in some legal systems, including the English-law example commonly cited in project finance. Its real value, however, comes from the complete rights package: voting denominator, board access, reserved matters, information, distributions, dilution protection, transfer and exit terms, funding commitments and lender constraints. Review the articles, share terms, shareholder agreement, financing documents and project contracts together. Only that document-specific analysis can establish what the investor may approve, block, receive, inspect or be required to fund.
