A token that represents a security can trigger securities registration or an exemption, intermediary licensing, trading-venue rules, custody obligations, investor-protection requirements and anti-money-laundering controls.
The answer depends on the token’s legal design, where the issuer and investors are located, where transactions and custody occur, and which services are provided. The United States, European Union, United Kingdom and Singapore apply different perimeter tests, so a project needs a jurisdiction-by-jurisdiction analysis before it is issued or marketed.

Start with the legal rights, not the blockchain
Tokenization is a method of recording or transferring an asset-related interest digitally. It does not create a regulatory category that overrides existing law. The U.S. Securities and Exchange Commission’s staff statement of January 28, 2026, explains that stocks, bonds, notes, investment contracts and other securities can be represented by crypto assets. It also states: “The federal securities laws may apply to various activities, depending on the particular facts and circumstances.”
That analysis covers both the offering and the surrounding services. Issuing tokens, promoting them, matching buyers and sellers, providing custody, operating a trading venue, advising investors and managing a fund can each raise separate authorization questions.

Three common token structures
| Structure | What the holder may receive | Main legal question |
|---|---|---|
| Issuer-sponsored | A token recorded by, or under an arrangement with, the issuer of the underlying stock, bond or other instrument. | Does the token itself evidence the security, and are the issuer’s records, transfer process and disclosures legally effective? |
| Custodial | A claim connected to an intermediary that holds the underlying asset with a custodian. | What enforceable rights does the holder have if the intermediary or custodian fails, and who is responsible for safeguarding and reconciliation? |
| Synthetic | Contractual economic exposure to an asset’s price, income or other performance without ownership of the underlying instrument. | Is the contract a security, derivative or another regulated product, and does the holder have no direct rights against the underlying issuer? |
Investor.gov identifies tokenized stocks, bonds and real-estate fund interests and distinguishes these issuer-sponsored, custodial and synthetic models. A synthetic holder may have exposure to performance without voting, redemption, dividend or enforcement rights against the company or fund whose value is referenced. Marketing that says “shares” or “property ownership” is not enough; the governing documents and operational records control.
United States: SEC registration, exemptions and regulated intermediaries
In the United States, a token representing a stock, bond, note, investment contract or another security can remain subject to federal securities laws even when ownership records, transfer instructions or settlement occur on a blockchain. The SEC’s January 2026 statement emphasizes that the format does not determine whether those laws apply. State securities and other state laws may also govern the parties and transactions.
Offering and issuer obligations
An issuer generally must determine whether the token offering requires registration or can rely on an available exemption. That decision depends on the instrument, the manner of offering, investor eligibility, resale restrictions, disclosure and the facts of the distribution. An exemption from registration does not automatically remove broker-dealer, trading-venue, custody, disclosure, anti-fraud or state-law obligations.
Offering documents should identify exactly what is transferred: legal title, a beneficial interest, a debt claim, a fund unit, a revenue share or only synthetic exposure. They should also explain voting, distributions, redemption, default, insolvency treatment, transfer restrictions, valuation, fees and conflicts. A smart contract cannot replace a legally enforceable ownership and transfer framework.

Intermediaries, venues and custody
Any firm that solicits or effects transactions, provides investment advice, operates a marketplace, holds customer assets or performs related functions may need a registration, membership or exemption appropriate to that activity. The relevant analysis is fact-specific: a platform can have several regulated roles at once, and outsourcing a function does not necessarily remove responsibility.
FINRA states that crypto-asset activities of its member firms can trigger securities-law and FINRA obligations. A member firm may need to notify FINRA, obtain approval for a new or materially changed business line, and demonstrate supervision and compliance controls. Controls should cover communications, order handling, conflicts, books and records, customer protection, cybersecurity and business continuity.
U.S. questions to answer before launch
- What security or contract is represented, and who is the legal issuer?
- Which registration or exemption route applies to the initial offer and later resales?
- Which entity is the broker, adviser, fund manager, exchange or custodian, if any?
- Does a FINRA member need a notification, approval or revised supervisory procedures?
- Which states’ securities, money-transmission, property, consumer-protection and tax rules apply?
- How are wallets, lost keys, forks, corporate actions, redemptions and insolvency handled?
European Union: classify before choosing a MiCA pathway
The Markets in Crypto-Assets Regulation (MiCA) creates a harmonized framework for qualifying crypto-assets and related services. Its financial-instrument boundary is decisive: a token that is already a financial instrument remains outside MiCA’s financial-instrument regime and must be analyzed under the European Union’s existing securities framework.

Consequently, a tokenized share or bond cannot be placed into a MiCA category simply because it is issued on a distributed ledger. The project must first test whether the token is a transferable security, a unit or interest in a collective investment arrangement, a derivative or another financial instrument under EU law. If it is, the applicable prospectus, trading, investment-services, market-abuse, settlement and custody rules may arise through the existing securities framework, with implementation details varying by member state.
If the token is not a financial instrument and otherwise falls within MiCA, the project then needs to identify the relevant crypto-asset classification and the obligations for the issuer and each crypto-asset service provider. Those obligations can differ according to the token type and service. A platform should document its classification reasoning rather than relying on labels such as “security token,” “digital share” or “utility token.”
EU classification file
- Describe the holder’s legal and economic rights in the token terms and any off-chain agreement.
- Test transferability, dividends or interest, redemption, governance, pooling of assets and exposure to an issuer’s profits or losses.
- Determine whether the result is a financial instrument under EU law or a qualifying crypto-asset within MiCA.
- Map the issuer, offeror, admission-to-trading venue, custody provider and other service providers to the permissions each needs.
- Check the member state’s supervisory expectations and any national rules that supplement the EU framework.
United Kingdom: FCA perimeter and specified investment cryptoassets
In the United Kingdom, FCA PERG 18 identifies tokenized shares and tokenized debt securities as possible specified investment cryptoassets. The classification turns on legal and economic substance, not on terminology or the technology used to issue the token.
Rank #4
Activities that may fall inside the regulated perimeter include dealing, arranging deals, advising, managing, operating relevant services and safeguarding. A business may therefore need FCA authorization or must establish that a specific exemption applies. The answer can change when the same token is offered directly by an issuer, traded through a venue, held by a custodian or promoted by an adviser.

- Whether the activity is an issuance, secondary dealing, arranging, advice, portfolio management or custody.

- Whether financial-promotion restrictions limit who may be approached and what claims may be made.
- How transfer restrictions, investor eligibility and complaints are enforced in practice.
A white-label technology provider does not automatically become outside the perimeter. The FCA analysis follows the service actually performed and the economic substance of the arrangement.
Singapore: capital-markets licensing, offers and disclosure
Singapore’s Monetary Authority of Singapore (MAS) capital-markets framework includes licensing for capital-markets services, registration of offers of investments and disclosure requirements. A token representing shares, debt, a fund interest or another capital-markets product should be assessed through those pathways.

Blockchain use alone does not make a token a payment token or remove capital-markets obligations. The issuer and each service provider should determine whether the product is an offer of investments, which capital-markets service is being conducted, and whether the relevant licence, exemption, prospectus or disclosure document is required. Custody, dealing, arranging, advisory and platform functions should be analyzed separately.
Tokenized real estate is a description, not a licence category
“Tokenized real estate” can describe very different legal arrangements. A token may represent equity in a property company, an interest in a real-estate fund, a debt claim secured by property, a contractual share of rental revenue or synthetic exposure to a valuation index. Investor.gov expressly includes tokenized real-estate fund interests among tokenized securities.

Before coding or marketing a real-estate token, map the property title, ownership entity, cash-flow waterfall, governance, valuation method, transfer restrictions, custody arrangement and investor remedies. Then test securities, collective-investment, property, tax, AML and consumer-protection requirements in every relevant jurisdiction. Local land-registration rules may determine whether a blockchain entry has any effect on legal title; a token may instead represent only an interest in an entity that owns the land.

Practical compliance roadmap
- Write a rights matrix. State exactly what each token holder can claim, from whom, on what date and through which legal document.
- Identify every participant. List the issuer, offeror, investors, broker, venue, adviser, fund manager, custodian, registrar, payment provider and technology operators.
- Map jurisdictions. Include incorporation, assets, management, investor residence, marketing audience, servers, custody and trading locations.
- Classify the instrument. Analyze securities, derivatives, fund interests, payment instruments, property interests and contractual claims before selecting technology or terminology.
- Choose the offer route. Determine registration, prospectus, notification or exemption requirements and the conditions attached to each route.
- Check permissions. Verify broker, dealer, adviser, fund, venue, exchange, custody, safeguarding and capital-markets-service requirements for every activity.
- Build investor controls. Implement identity and beneficial-owner checks, sanctions screening, eligibility gates, suitability or appropriateness controls where required, and jurisdiction blocking.
- Secure the asset and code. Document key management, segregation, reconciliations, smart-contract testing, upgrade authority, incident response, recovery and corporate-action processing.
- Prepare disclosures. Explain rights, fees, valuation, liquidity, conflicts, technology and cyber risks, loss scenarios, redemption limits, tax treatment and the absence of rights in synthetic structures.
- Maintain evidence. Keep ownership, transaction, communications, compliance, custody and governance records so the issuer can demonstrate who owned what and when.
- Obtain local advice. Use counsel and tax specialists in each jurisdiction where the product, service or property creates a legal connection.
Common failure points
- Calling a security a utility token: regulators examine rights and economic substance, so a new label does not change the analysis.
- Assuming MiCA covers every EU token: financial instruments remain outside MiCA’s financial-instrument boundary.
- Promising property ownership: a token linked to a property company or fund may not transfer land title or provide direct rights to the building.
- Treating custody as a technical detail: insolvency, lost keys, commingling and unauthorized transfers can determine whether investors receive anything.
- Launching globally from one approval: authorization and exemptions are territorial and activity-specific.
- Marketing before classification: public claims can create financial-promotion, disclosure and anti-fraud exposure before the first sale.
- Ignoring secondary trading: resale, matching and settlement can create separate venue, broker, dealer or safeguarding obligations.
What investors should verify
Before buying a tokenized stock, bond or real-estate interest, obtain the legal terms and ask who owes you performance, what happens if the platform fails, whether you own the underlying asset, how transfers are restricted, how valuation is set and which regulator or dispute forum applies. Confirm the issuer, custodian and venue independently, and treat claims of guaranteed liquidity, direct property ownership or regulatory approval as requiring documentary proof.
The decisive question is not whether a project uses blockchain. It is what legal claim the token creates, which regulated activities surround it, and whether the issuer and intermediaries are authorized or exempt in every place they serve.
