Earnings guidance is management’s publicly stated forecast for a company’s future financial or operating performance. It usually gives a range for the next quarter or fiscal year, such as revenue, earnings per share (EPS), operating margin, capital spending, free cash flow, deliveries or subscribers. Because share prices reflect expectations about future profits, a new outlook can move a stock sharply—even when the company has just beaten estimates for the quarter that ended.
What earnings guidance means
Reported earnings describe what happened in a completed period. Guidance describes what management expects to happen next. A company might report second-quarter revenue of $2.0 billion and then guide third-quarter revenue to $2.05 billion–$2.15 billion. It could also provide a full-year EPS range, an operating-margin target or a capital-expenditure budget.

Guidance is a forecast, not a promise or a guarantee. The range reflects assumptions about demand, pricing, costs, currency, production capacity and other factors. Management may update, narrow, raise or withdraw it when those assumptions change. Schwab describes guidance as covering both financial results and business-specific operating measures, so investors should read the entire outlook rather than focus on EPS alone.

| Metric | What it tells investors | Questions to ask |
|---|---|---|
| Revenue | Expected sales for a quarter or year | Is growth accelerating, stable or slowing? Is the midpoint above the analyst consensus? |
| EPS | Expected profit per diluted share | Are margins, buybacks or share-count changes driving the outlook? |
| Operating income or margin | Expected profit from core operations | Are wages, input costs, pricing or product mix changing profitability? |
| Capital expenditures | Planned spending on factories, equipment, data centers or other assets | Will the spending support growth, reduce near-term cash flow or both? |
| Free cash flow | Cash expected after operating expenses and capital investment | Does the forecast support debt repayment, dividends or reinvestment? |
| Operating metrics | Measures such as deliveries, subscribers, bookings or production volume | Do these indicators support the revenue and profit assumptions? |
Why guidance can move a stock price
Investors continually estimate a company’s future cash flows and profit growth. Guidance is a fresh information signal. Analysts may revise their models, and investors may change the price they are willing to pay for each expected dollar of future earnings.

The relevant question is not whether guidance sounds positive in isolation. It is whether the outlook is better or worse than the expectations already embedded in the stock price. A result that looks strong historically can still disappoint if investors were positioned for an even stronger outcome. Conversely, modest guidance can lift a stock when the market had feared something worse.
Three comparisons that matter
- Guidance versus consensus. Compare the company’s range—and especially its midpoint—with the published analyst estimate for the same period. An outlook below consensus often signals that analysts’ models are too optimistic.
- New guidance versus the prior guide. Determine whether management raised, maintained, narrowed or cut its previous range. A range can move higher while still remaining below what investors expected.
- Guidance versus the stock’s valuation. A highly valued growth stock may require exceptional growth to justify its price. “Good” guidance may be insufficient if it does not support the assumptions behind that valuation.
Why a company can beat earnings and still fall
Suppose analysts expected quarterly EPS of $1.00, the company reports $1.10, but management guides next quarter to $0.90–$0.95 while analysts had expected $1.05. The historical beat is positive, yet the forward shortfall changes the expected path of profits. Investors may sell immediately as models are revised.
Future guidance can also imply slower revenue growth, weaker margins or heavier spending. Schwab notes that investors may punish projected capital expenditures judged too high, even when management says the investment is intended to support long-term growth. The market is weighing the timing, risk and return of that spending, not merely accepting the stated purpose.

What “raising,” “lowering” and “maintaining” guidance mean
| Management action | Typical meaning | Possible market interpretation |
|---|---|---|
| Raise guidance | Increase the expected range or midpoint for a future period | Positive if the increase exceeds consensus and informal expectations; disappointing if investors expected an even larger raise |
| Maintain guidance | Leave the prior range unchanged | Reassuring when uncertainty was high; negative when the stock price assumed an upgrade |
| Narrow guidance | Reduce the width of the range while keeping the likely result more precise | May signal better visibility, but the midpoint and direction still determine the reaction |
| Lower or cut guidance | Reduce the expected range or midpoint | Usually negative because expected future revenue, profit or cash flow has fallen |
| Withdraw or suspend guidance | Stop providing a previously issued forecast | Can be neutral in an unusually uncertain environment, but investors may infer greater risk or weaker fundamentals |
“Lowered guidance” does not automatically mean the business is shrinking. It means management now expects less than it previously forecast. A company can still report year-over-year growth while reducing its outlook because growth is slower than planned, costs are higher, or a major project is delayed.
Guidance, analyst estimates and the whisper number
Management guidance versus analyst estimates
Management guidance comes from the company and generally reflects information available to executives about orders, costs, capacity and internal plans. Analyst estimates are independent forecasts built from public information, company meetings and analysts’ own assumptions. Analysts can publish a single estimate or a range; the average of those estimates is commonly called consensus.
Neither figure is automatically correct. Management may set a conservative range to create room for execution, while analysts may model a more aggressive outcome. The market compares both with the result investors had anticipated, not with a universal standard of “good” or “bad.”

What the whisper number is
The whisper number is an unofficial expectation circulating among investors, traders or analysts. It can be higher or lower than published consensus, particularly for widely followed growth companies. A company may raise its official guidance and still disappoint if the whisper number was higher. Because whisper figures are informal and their methodology is not standardized, treat them as a measure of market positioning rather than a verified forecast.
Is earnings guidance legally required?
No. U.S. public companies are generally not required to issue quarterly or annual earnings guidance. Guidance is voluntary, and a company may provide it regularly, provide only annual targets, give qualitative commentary, or stop issuing it altogether.
Harvard Law School Forum on Corporate Governance, as reported by Charles Schwab in 2026, noted that 50% of S&P 500 companies provided quarterly guidance in 2004, compared with 19% in 2024. The decline reflects a broader debate about whether short-term forecasts help investors or pressure executives to manage for the next quarter.

Why companies issue guidance
- To meet analyst and investor demand for planning information.
- To set expectations and potentially reduce surprise-driven volatility.
- To make the company’s strategy and operating assumptions more transparent.
- To reduce the likelihood of shareholder activism by explaining near-term performance targets.
- To improve transparency that may support lower borrowing costs, according to Schwab’s summary of the practice.
Why companies reduce or stop guidance
- Forecast error: Economic, geopolitical or industry shocks can make a precise target unreliable.
- Short-term pressure: Executives may cut productive investment or make other decisions simply to hit a quarterly number.
- Legal and reputational exposure: Repeated misses can trigger investor lawsuits, criticism or a loss of credibility.
- Competitive concerns: Detailed targets can reveal demand, pricing, capacity or investment plans to rivals.
- Uncertainty: During an unusually unstable period, management may believe a range would mislead investors.
Withdrawing guidance is not automatically positive or negative. In a clearly uncertain environment, investors may welcome an explanation that management cannot responsibly forecast. If peers continue to provide targets and the company offers little detail, however, the withdrawal may be read as a sign of weaker fundamentals or less confidence.

Regulation FD (Fair Disclosure) restricts selective disclosure of material, nonpublic information by public companies. The U.S. Securities and Exchange Commission states that if an issuer official privately tells an analyst that anticipated earnings will be higher than, lower than or the same as the analyst’s forecast, the company likely violates Regulation FD when that information is material and nonpublic.

1Fix the driver behind crashes, sound loss and screen glitches2Repair Windows errors before they cause bigger problems3Scan for outdated or missing drivers - takes under a minuteThe rule matters because guidance must reach investors on an equal basis. Companies commonly use earnings releases, public conference calls, investor presentations or regulatory filings rather than private one-on-one updates. The SEC also explains that confirming an old forecast can convey new material information when enough time has passed or intervening events have changed what a reasonable investor would infer. Regulation FD itself does not create a general duty to update every forecast.

How to analyze guidance after an earnings release
- Find the exact period and metric. Identify whether the outlook covers the next quarter, the full fiscal year or a specific segment. Note whether figures are GAAP, adjusted or nonfinancial operating measures.
- Calculate the midpoint. For a range of $100 million–$110 million, the midpoint is $105 million. Compare that number with consensus, the prior midpoint and the same period last year.
- Read the assumptions. Look for comments on pricing, volume, foreign exchange, labor, input costs, taxes, product launches and customer demand. The assumptions explain why the range changed.
- Check profitability and cash investment. Revenue growth may come with lower margins or a large capital-spending program. Review operating income, free cash flow and planned capital expenditures together.
- Examine operating indicators. Deliveries, subscribers, bookings, backlog or utilization can reveal whether the revenue target depends on a realistic business driver.
- Review management’s record. Schwab recommends tracking consistency and momentum: has management generally met its own ranges, or repeatedly revised them? A forecast from a consistently accurate team may carry more weight than one from a team with frequent reversals.
- Compare the market reaction with the expectation gap. A large price move does not prove that investors were irrational. It may reflect a large difference between the new outlook and what the stock price had already assumed.
Worked examples
Beat with a cut
A retailer reports revenue above consensus and EPS above the prior forecast. It then lowers full-year margin guidance because promotions are increasing and freight costs are rising. Investors may focus on the lower future profit stream, sending the shares down despite the reported beat.
Raise but disappoint
A software company raises annual revenue guidance by 3%. Published consensus rises by 2%, but traders had positioned for a 5% increase based on a strong whisper number. The official raise is positive relative to the old guide but negative relative to the expectation that mattered to the market.
High spending, uncertain payoff
A manufacturer maintains revenue guidance while increasing capital expenditures to build a new plant. If investors believe demand will justify the plant, the stock may hold or rise. If they fear excess capacity, delayed returns or lower free cash flow, the same spending announcement can pressure the shares.

- Do not treat a range as certainty. The high and low ends represent different outcomes, and actual results can fall outside the range.
- Do not compare mismatched definitions. Adjusted EPS, GAAP EPS, fiscal quarters and calendar quarters are not interchangeable.
- Do not ignore the midpoint. A narrower range can sound more confident while leaving the expected result unchanged or lower.
- Do not isolate one metric. Revenue, margins, capital spending, free cash flow and operating measures can point in different directions.
- Do not assume every price move is caused by guidance. Interest rates, industry news, competitors’ results and broad market conditions can affect the same session.
- Do not mistake silence for reassurance. If a company stops guiding, determine whether it explained the uncertainty and whether investors had been relying on a prior target.
Warren Buffett has said he likes quarterly reports but not guidance because it can lead to harmful short-term behavior. Jamie Dimon has similarly warned that issuing guidance can make management feel obligated to deliver a number and take actions it otherwise would not. Those criticisms highlight the trade-off: guidance can improve transparency, yet it can also encourage decisions aimed at a forecast rather than long-term value.
The practical takeaway is to treat guidance as a probability-bearing signal. Compare the new range with consensus, the prior range and the expectations implied by the valuation; then test whether the operating assumptions, margins and spending plan support it. That framework explains why a beat can produce a decline and why a cautious-looking forecast can sometimes lift a stock.
