A Super PAC is a federal independent-expenditure-only political committee. It can raise unlimited sums from permitted U.S. donors—including individuals, corporations, labor organizations and other political committees—and spend that money on communications expressly supporting or opposing a clearly identified candidate. The legal condition is that the spending must remain independent: the committee cannot make the communication in consultation, cooperation or concert with the candidate, campaign or political party.
That structure gives Super PACs a powerful way to amplify campaign messages without being part of a candidate’s formal committee. It does not let them donate unlimited money directly to candidates, accept money from every possible source, or avoid disclosure. This article describes the federal framework; state election laws can use different definitions and requirements.

What a Super PAC is in simple terms
Think of a Super PAC as a separately organized political committee that buys its own campaign advertising. The committee may collect very large contributions, then pay for television, digital, print, direct-mail and other communications that clearly tell voters to support or oppose a named candidate. The candidate’s campaign cannot direct the purchase, approve the message or coordinate the communication with the committee.
The Federal Election Commission (FEC) calls this type of organization an “independent-expenditure-only political committee.” The word independent has a precise legal meaning here. It refers to the absence of coordination with a candidate, campaign or party—not to donors being politically neutral or to the committee having no relationship with a political movement.

How Super PAC spending works
What counts as an independent expenditure
An independent expenditure is spending for a communication that expressly advocates the election or defeat of a clearly identified candidate. “Clearly identified” can mean the candidate is named, pictured or otherwise unmistakably identified. “Expressly advocates” covers an explicit call to vote for or against that candidate, rather than merely discussing a policy issue without an electoral message.
The expenditure must also be made without consultation, cooperation or concert with the candidate, campaign or party. If the legal independence disappears, the spending can be treated as an in-kind contribution to the candidate or party. Contributions are subject to statutory limits and other rules, so a communication that was lawful as an independent expenditure can create a compliance problem when coordination is involved.

A Super PAC’s account can pay vendors for advertising production, media placement, polling used to shape an independent message, direct mail, digital promotion and related political activity. The committee is outside the candidate’s campaign committee, so the candidate does not receive the money in the ordinary sense. The committee’s influence comes from paying to put its own message in front of voters at scale.
The FEC summarizes the key financial distinction this way: “Independent expenditures are not contributions and are not subject to limits.” That statement applies only when the spending meets the independence requirements and comes from a lawful source. It does not make every payment by a politically active group unlimited or exempt from reporting.

Super PACs versus other political committees
The label matters because different committees have different fundraising and spending permissions. The federal comparison below uses the categories recognized in FEC guidance.

Can a Super PAC donate directly to a candidate?
No. A Super PAC cannot write a direct contribution check to a candidate’s committee while operating as an independent-expenditure-only committee. Its permitted activity is independent spending and other independent political activity. A traditional PAC can make direct candidate contributions within statutory limits. A hybrid PAC maintains separate accounts so that its candidate-contribution account follows contribution limits while its independent account follows Super PAC rules.
Who can fund a Super PAC?
Permitted contributors
Super PACs may solicit and accept unlimited contributions from individuals, corporations, labor organizations and other political committees, provided the source is otherwise permitted under federal law. “Unlimited” describes the amount a permitted donor may give to the committee; it does not mean that every entity or person may give.
Prohibited sources
Federal rules bar several sources from contributing to a Super PAC. The prohibited categories identified in FEC guidance are:
- Foreign nationals
- Federal government contractors
- National banks
- Federally chartered corporations
Source screening remains important even when the committee is raising money for independent advertisements. Unlimited fundraising does not override these prohibitions.

Super PACs and other outside groups
A Super PAC is not the same legal category as a 501(c)(4) organization sometimes described in public debate as “dark money.” The rules governing tax-exempt groups, donor disclosure and political activity depend on the organization and the applicable law. The Super PAC rules discussed here concern an FEC-regulated political committee that reports its independent expenditures; they should not be generalized to every outside group.

Independence is tested by how a communication is planned, created and paid for. A campaign cannot supply the committee with a media plan and then have the committee purchase the same plan while claiming the purchase is independent. Likewise, a committee cannot coordinate message details, timing or targeting with the candidate’s staff and preserve the legal status of the expenditure simply by paying the bill itself.
When spending is coordinated, regulators can treat it as an in-kind contribution. That classification brings contribution limits and reporting obligations that do not apply to a genuinely independent expenditure. The practical result is that campaigns and Super PACs need separate decision-making, personnel safeguards and documentation showing who made strategic choices.
Disclosure and registration requirements
Independent-expenditure reports
Super PACs disclose independent expenditures to the FEC, including on Schedule E. Depending on the amount and when the expenditure is made, the committee may have to file an expedited report within 24 or 48 hours. These rapid filings are designed to make major late-campaign spending visible while voters can still see the communication.
When a group must register
A group whose major purpose is federal campaign activity generally must register as a political committee after raising or spending more than $1,000 in a calendar year. The threshold is expressed as “more than $1,000,” not a blanket exemption for every group that spends exactly that amount. Once registration and reporting duties apply, the committee must follow the FEC’s filing schedule and identify its financial activity as required.

Disclosure tells the public who financed the committee and how the committee spent the money. It does not by itself show whether an advertisement was persuasive or changed votes; those are separate empirical questions.
How Super PACs developed legally
The Citizens United decision
On January 21, 2010, the Supreme Court decided Citizens United v. FEC. The case addressed federal restrictions on corporations and labor unions using treasury funds for independent political speech and electioneering communications. The judgment affirmed in part, reversed in part and remanded.
“As amended by §203 of the Bipartisan Campaign Reform Act of 2002 (BCRA), federal law prohibits corporations and unions from using their general treasury funds to make independent expenditures for speech that is an ‘electioneering communication’ or for speech that expressly advocates the election or defeat of a candidate.” — Supreme Court syllabus, Citizens United v. FEC
Citizens United was a central decision in the legal development that allowed corporate and union treasury-funded independent expenditures. It did not, by itself, create every feature of today’s Super PAC system. The current framework also rests on FEC classifications, reporting rules and related case law. The result is a committee that can accept unlimited contributions for independent spending while remaining subject to source prohibitions and disclosure.

How Super PACs influence elections
Amplifying and framing messages
The principal influence channel is paid communication. A well-funded committee can place a message on television, streaming and digital platforms, in print, through direct mail or across several media at once. That reach can amplify a candidate’s favorable narrative, define an opponent through attacks, or force an issue into the center of campaign discussion.

Because a Super PAC can accept an unlimited contribution from a permitted donor, one individual, corporation, labor organization or other committee can provide substantial resources for a particular message. The committee’s separate legal account lets it spend heavily without adding the money to the candidate’s formal contribution total.
Operating outside the campaign’s formal structure
The separation can produce both flexibility and tension. A candidate’s campaign may know that a friendly committee exists and may publicly express general views, but the committee must make its own spending decisions without prohibited coordination. The committee can choose different timing, audiences or themes, which may broaden the campaign conversation beyond the candidate’s official advertising.
What the legal evidence does—and does not—prove
FEC rules establish the capacity to raise money and distribute independent messages. They do not establish that a particular advertisement changed votes, increased turnout or determined an election. Measuring those effects requires election-specific evidence, such as spending data, ad exposure and voting outcomes. It is accurate to say that Super PACs can amplify, define, attack and defend; it is not accurate to claim a guaranteed vote effect from their legal spending power alone.
Common misconceptions
“Unlimited money means no rules.”
Unlimited contributions apply to permitted sources and independent political activity. Foreign nationals, federal contractors, national banks and federally chartered corporations remain prohibited sources, and the committee must disclose spending.
“A Super PAC is part of the candidate’s campaign.”
It is legally separate. Coordination can convert an expenditure into an in-kind contribution, which is why a Super PAC cannot operate as the campaign’s unrestricted advertising arm.
“Citizens United created Super PACs overnight.”
The January 21, 2010 decision was pivotal, but the modern category also depends on FEC rules and related legal developments. Describing the decision as the sole source of every current Super PAC feature oversimplifies the doctrine.

- Identify the sponsor. Check the disclaimer and FEC filings to see which committee paid for the communication.
- Check the message. Determine whether it expressly supports or opposes a clearly identified candidate or is only an issue discussion.
