What Is a Record Date for Dividends, Bonus Shares and Stock Splits?

The record date is the date a company or registrar checks its shareholder records to decide who qualifies for a declared dividend, bonus-share issue or stock split. It is not always the last day you can buy the security. The practical trading deadline is usually the ex-date: the first session on which the security trades without the announced benefit. To qualify, you generally need to buy before the ex-date and satisfy the applicable settlement cycle.

Terminology and timing differ by market. U.S. investor guidance focuses on the ex-dividend date and the company’s books, while Indian exchanges commonly publish cum-date, ex-date and record-date information together. Always use the issuer’s latest NSE or BSE corporate-action notice because holidays, settlement rules and action-specific instructions can change the sequence.

Record date, ex-date and cum-date: the three dates you must distinguish

These dates describe different parts of the same eligibility process.

Term Meaning What it means for a buyer
Record date The company’s books are checked to identify shareholders entitled to the declared action or communication. Your position must be eligible under the applicable settlement rules so that you appear in the records for this date.
Ex-date The first trading date on which the security no longer carries the dividend, bonus or split entitlement. A purchase on or after this date generally does not qualify for the next benefit.
Cum-date The last trading date on which the security trades with the benefit attached. Indian exchange explanations use this term. Buying by the end of the cum-benefit session is generally the route to eligibility, subject to settlement.

Investor.gov’s explanation for dividends states that a company sets a record date “when you must be on the company’s books as a shareholder to receive the dividend.” It also says that buying on the ex-dividend date or later means you will not receive the next dividend. Those statements describe the books-based test and the trading cutoff together, but they do not make the record date itself a universal buy deadline.

In Indian market terminology, the cum-date is followed by the ex-date. The exchange adjusts the security for the corporate action on the ex-date, while the issuer’s record date determines which settled holdings are included. The exact number of days between those dates depends on the settlement cycle, weekends, holidays and the notice for that security.

Why the ex-date and settlement cycle matter more than the record date for a buyer

When you place a buy order, ownership is not necessarily reflected in the company’s records immediately. The trade must settle under the market’s settlement timetable. The exchange therefore sets an ex-date early enough that trades completed before it can be included in the eligible population for the record date.

For example, suppose an issuer publishes a hypothetical sequence with Monday as the last cum-benefit session, Tuesday as the ex-date and Wednesday as the record date. A purchase completed on Monday may qualify; a purchase made on Tuesday normally will not. If Monday is a market holiday, the exchange may move the relevant session, so a generic calendar cannot replace the issuer’s notice.

U.S. terminology and Indian implementation should not be blended. Investor.gov describes the ex-dividend rule for U.S. investors, whereas Indian exchanges and regulators publish action dates within their own settlement framework, including T+1 or T+2 processes where applicable. Check the market, exchange and security before applying any example.

How the rule works for dividends

What the record date identifies

A dividend record date identifies the shareholders entitled to a declared cash distribution. The board or other approving body announces the amount, record date and payment arrangements. The registrar or depository then uses the eligible holdings for that date to process the payment.

When you normally need to buy

  1. Read the issuer’s announcement and note the record date, ex-date or cum-date, dividend amount and payment date.
  2. For a purchase, use the published ex-date as the critical cutoff. Buying before the ex-date is generally required; buying on or after it generally means the next dividend will not follow the trade.
  3. Confirm that the trade settles under the relevant market timetable. A late, failed or unsettled transaction can produce a different entitlement from the one you expected.
  4. Keep the corporate-action notice and your trade confirmation until the payment or a clear non-entitlement determination appears in your account.

What happens to the price

On the ex-date, the market commonly adjusts the share price downward by approximately the distributed dividend, all else being equal. This is a mechanical adjustment, not a guarantee of the day’s market movement. News, supply and demand and broader market conditions can move the price by more or less than the dividend amount.

When the money arrives

The dividend payment date is separate from the record date. The cited BSE/NSE explanatory framework allows up to 30 days for dividend payment after approval. An issuer may pay sooner, and a delayed or exceptional process may be described in its filing, so do not treat 30 days as a promise of payment on the thirtieth day.

How bonus-share eligibility works

The ratio determines the additional shares

A bonus issue gives eligible holders additional shares in a stated ratio. In a 1:1 issue, an eligible holder receives one additional share for each share held; in a 1:2 issue, the holder receives one additional share for every two held. The issuer’s notice controls the ratio, rounding treatment and record date.

The record date still uses the eligible position

The record date identifies which holders receive the allotment. A purchase made on or after the ex-date normally does not carry the bonus entitlement. A purchase before the ex-date can qualify only if it settles and is included under the exchange’s published process.

Why a bonus does not automatically create value

Bonus shares increase the number of shares but do not, by themselves, increase the holder’s economic value. If a company issues one bonus share for every existing share, a theoretical price of 200 per share could adjust toward 100 while the holder’s share count doubles. The actual market price can differ because prices move continuously, but the exchange adjustment is designed to preserve the relative position value as far as possible.

Current Indian trading rule cited for bonus shares

SEBI Circular No. 122, dated 16 September 2024, enables T+2 trading of bonus shares where T is the record date. This concerns when the newly issued shares become available for trading; it does not change the earlier eligibility cutoff. Read the issuer’s notice for the specific credit and trading dates.

How stock-split eligibility works

What a split changes

A stock split subdivides existing shares according to an announced ratio and reduces the per-share denomination or price proportionately. In a 2-for-1 split, one old share becomes two shares; in a 1-for-5 reverse split, five old shares become one share. The precise ratio and treatment of fractional entitlements come from the issuer’s filing.

The record date and exchange adjustment

The record date identifies the holders whose positions are adjusted. NSE’s adjustment framework lists splits among stock benefits and states that adjustments are made after trading hours on the last day the security trades on a cum basis, with the objective of preserving position value as far as possible. That adjustment changes share count and denomination; it does not guarantee a particular future price.

Illustrative example

If you own 100 shares at a theoretical price of 300 before a 3-for-1 split, the post-split position may be 300 shares at a theoretical price near 100. The market can open above or below that level, and brokerage, tax and fractional-share treatment depend on the applicable rules and account provider.

How to verify an issuer’s current dates

  1. Open the company’s latest corporate-action filing on the relevant exchange, such as the current NSE or BSE notice for an India-listed security.
  2. Confirm the action type: dividend, bonus, split or more than one action. Separate actions can have different dates.
  3. Record the record date, ex-date and, where provided, cum-date. Do not infer a date from an old announcement or a generic calendar.
  4. Check the settlement convention, market holidays and any instruction about positions held through a depository, broker or registrar.
  5. For dividends, note the payment date separately. For bonus shares and splits, note the expected credit, adjustment and first trading date.
  6. Recheck the filing if the issuer publishes an amended notice. Corporate-action dates can change before the event.

Indian listed entities are summarized under NSE Regulation 42(2) as having to give at least three working days’ advance notice of a record date for dividend, bonus or rights actions, excluding the intimation date and the record date. That notice requirement helps investors plan, but it does not eliminate the need to check the final exchange filing.

Common situations and what they mean

“If I buy on the record date, will I get the benefit?”

Do not assume so. A purchase on the record date is generally too late if that date follows the ex-date, because the security is already trading without the benefit. Eligibility depends on the published ex-date and settlement outcome, not simply the date shown as the record date.

“What if I buy before the record date but after the ex-date?”

That trade is normally ex-benefit. The record date may still appear in the notice, but the buyer is not expected to receive the dividend, bonus or split entitlement attached to the earlier cum period.

“What if I sell after the ex-date but before payment or credit?”

The ex-date separates the entitlement from later trading. If your position qualified under the issuer’s and exchange’s rules, the later payment or credit is normally processed separately from the subsequent sale. Check the broker or registrar if the account record does not match the official notice.

“Why did the share price fall even though I received shares or cash?”

Corporate actions are reflected in the security’s trading terms. A dividend removes cash from the company and commonly produces an ex-date price adjustment. A bonus or split increases share count while reducing the per-share basis. The adjustment is intended to keep the position’s relative value broadly comparable, not to provide an automatic gain.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

“Why are the new bonus or split shares not tradable yet?”

Eligibility, credit and trading are separate stages. The shares may need to be allotted, credited through the depository and admitted for trading. For Indian bonus issues, the cited SEBI rule enables T+2 trading where T is the record date, but the issuer’s notice remains the controlling source for the specific event.

Practical checklist before placing a trade

  • Identify the market and exchange; do not mix U.S. and Indian date conventions.
  • Find the latest issuer filing, not a third-party calendar.
  • Write down the ex-date or last cum-benefit session before considering the record date.
  • Allow for the applicable settlement cycle, weekends and holidays.
  • Confirm the action’s ratio or cash amount and distinguish payment or credit dates from eligibility dates.
  • Keep transaction records and contact the broker or registrar if the entitlement is missing after the published processing window.

Bottom line

The record date is the company’s books-based eligibility cutoff, while the ex-date is the trading cutoff that usually determines whether a new buyer receives the benefit. For dividends, the benefit is cash; for bonus issues, additional shares; and for splits, a changed share count and denomination. Buy before the published ex-date, verify settlement and use the issuer’s latest exchange filing rather than relying on the record date alone.
