What Is a Construction Joint Venture and How Do Buyouts Work?

A construction joint venture (JV) is a project-focused collaboration in which two or more contractors combine money, people, equipment, bonding capacity and expertise, then share the project’s risks and potential profit. The JV can be a contract between the firms or a separate company, partnership or limited-liability partnership (LLP); “joint venture” is not one legal entity with one set of rules.

One partner can sometimes be bought out before the work is finished, but only if the JV agreement, prime contract, financing documents, bonding arrangements and applicable law allow it. A workable buyout needs a defined trigger, valuation method, payment terms, required consents and a transition plan. A partner’s exit is different from dissolving the JV: the remaining partner or an approved replacement may continue the project.

What a construction joint venture is

Construction JVs let contractors pursue work that may be too large, risky or resource-intensive for one firm. Each participant contributes agreed resources and receives an agreed share of costs, losses, management fees and profit. The collaboration is usually tied to a particular project or program rather than being a permanent combination of the firms.

The legal form matters. A contractual JV leaves the parties operating under a detailed agreement. A corporate JV, partnership or LLP may hold the project assets and contracts in its own name. The form changes ownership, liability, tax treatment, financing, governance and what happens when someone wants to leave. The project owner’s contract can impose obligations that are different from the parties’ internal allocation.

Why contractors use a JV

  • To combine capital, labor, specialist skills, equipment or geographic capacity.
  • To satisfy a project’s bonding, guarantee or financial-strength requirements.
  • To spread construction, performance and payment risk among participants.
  • To bid work that one contractor could not prudently undertake alone.
  • To share any resulting profit according to negotiated participation percentages.

What the owner sees

The owner generally expects one coordinated delivery team, not a collection of unrelated subcontractors. The International Chamber of Commerce (ICC) construction JV model is designed for parties acting as joint operators on major projects. In that model, the operators share non-payment risk and commonly accept joint-and-several liability to the employer. That means the owner may pursue either operator for the full amount of an obligation even if the JV agreement later allocates the cost between them.

How a construction JV operates from bid to completion

1. Define scope and contributions

Before bidding, the parties should state exactly what each will provide: cash or other capital, personnel, equipment, offices, estimating and project-management services, warranties, guarantees and bonding support. The agreement should identify each participant’s work package and the standard for performing it. It should also explain who prepares the bid, who signs the prime contract and how bid costs are shared if the project is not won.

2. Set ownership, economics and capital calls

Participation percentages do not automatically answer every financial question. The agreement should separately state each party’s share of direct costs, overhead, management fees, losses and distributions. It should establish the bank accounts, books, accounting period, tax reporting and audit rights. A capital-call procedure should specify the notice, funding deadline and evidence supporting the amount requested.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

A missed capital call needs a defined consequence. Common drafting provides for loss of voting or distribution rights while the defaulting participant remains liable for its share of JV liabilities. The clause should also explain interest, cure periods and whether another participant may fund the shortfall and obtain reimbursement or a larger economic interest.

3. Create governance that works under pressure

A management committee commonly sets policy, approves budgets and exercises reserved voting rights. The agreement should identify a managing partner or project manager, the decisions that person can make alone and the matters requiring committee approval. Reserved matters often include material contract changes, major settlements, borrowing, guarantees, subcontractor changes, claims strategy and a new capital call.

Voting thresholds must be precise. A clause requiring unanimity for every decision can create a deadlock; a clause allowing one manager to act without limits can leave the other participant exposed. The parties should specify escalation steps, then mediation, adjudication or arbitration where appropriate, and finally a buyout or winding-up route if the deadlock cannot be resolved.

4. Keep project and JV records separate

Separate books and bank accounts make it possible to calculate a buyout and prove which costs belong to the project. Reporting should cover progress, cost-to-complete, committed subcontract value, change orders, claims, retainage, cash flow, insurance, safety and compliance. Audit rights should continue long enough to verify final accounts and surviving liabilities.

Can one partner be bought out before the project is finished?

Usually, yes, if the agreement provides a transfer or buyout route and the necessary third-party approvals are obtained. A buyout transfers a participant’s interest to the other participant or an approved third party while the JV or project contract continues. It is not the same as terminating the JV.

Typical buyout triggers

  • Unresolved governance deadlock.
  • Material breach that is not cured within the agreed period.
  • Insolvency, administration, bankruptcy or a similar financial event.
  • Failure to fund a valid capital call.
  • Inability or refusal to perform the participant’s assigned work.
  • Change of control that the agreement treats as a transfer.
  • A negotiated voluntary exit.

Pinsent Masons advises planning the exit during initial negotiations, including a mechanism for one party to take direct control of the works if the other cannot perform. Without that provision, the owner may face a disrupted project while the partners argue about authority.

How the buyout process works

  1. Confirm the trigger. Identify the contractual event, collect the required evidence and check any cure period. A financial difficulty that is not yet an insolvency event may not activate the same rights as a formal filing.
  2. Serve notice correctly. Follow the agreement’s method, address, timing and content requirements. Notice should state the trigger, proposed remedy and deadline for response.
  3. Check who may buy. The clause may grant a put right, call right, first-refusal or pre-emption right, or allow a permitted transferee. It may exclude competitors or require the other participant’s consent.
  4. Obtain project consents. Review the prime contract, lender documents, bonding documents, insurance policies and public-procurement rules. Obtain owner, lender, surety or regulator approval where required before treating the transfer as effective.
  5. Calculate the interest. Apply the agreed formula or appoint the independent valuer specified in the contract. The calculation should use current project records and identify disputed assumptions.
  6. Agree payment and security. State whether payment is cash or instalments, when economic ownership changes, what security protects deferred payments and whether the buyer may set off documented amounts owed by the seller.
  7. Execute transfer documents. Transfer the JV interest, contracts, equipment rights, records and relevant intellectual property. Obtain releases or indemnities where appropriate, while preserving obligations that must survive.
  8. Complete the transition. Notify the owner and project team, replace authorized signatories, transfer personnel and equipment, update bonding and insurance, and document responsibility for open claims and warranty work.

How to value a JV interest

The valuation date and the treatment of unfinished work are often more important than the headline ownership percentage. A clause should state whether value is measured when notice is given, when the transfer agreement is signed or when all required consents are obtained.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The calculation should address work in progress, approved and disputed change orders, cost-to-complete, contingencies, retainage, unpaid capital calls, guarantees, pending claims, defects exposure, taxes, subcontractor liabilities and other obligations. It should also say whether the interest is valued on a going-concern basis or after an assumed project termination. Those choices can produce very different results late in a difficult project.

Valuation or transfer mechanism What it does Drafting points to settle
Agreed formula Uses a price or calculation set in the JV agreement. Define the accounting inputs, valuation date, treatment of contingencies and the process for resolving calculation disputes.
Independent valuation Places the calculation with an independent expert when the parties cannot agree. Specify appointment method, expert qualifications, scope, information access, binding effect and allocation of fees.
Put or call option Gives one party the right to require a sale or purchase after a stated trigger. Set exercise window, notice, price mechanics, funding deadline and consequences of non-payment.
Pre-emption or first refusal Requires an existing participant to receive the opportunity to match a proposed transfer. Define the offer information, response period, permitted buyer and what happens if the right is declined.
Tag-along or drag-along Coordinates transfers so minority or majority holders can participate in, or be required to join, an approved sale. Address sale price, same terms, notice, required approvals and the effect on the project contract.

An independent valuer can calculate numbers, but cannot cure an incomplete clause. The agreement should specify who bears valuation costs, what happens while the number is disputed and whether undisputed amounts are paid on account.

Transfer restrictions and timing risks

A transfer valid between the partners can still breach the project contract. Changes may be direct, such as selling the JV interest, or indirect, such as changing control of an upstream holding company. The transfer clause should therefore be checked against the prime contract, lender rights, bonding documents and public-owner approval rules.

Federal Highway Administration guidance for project concessions illustrates the concern: ownership changes may be restricted through the defects-liability period, generally described there as two to five years after substantial completion. The reason is practical—an incoming investor could disrupt delivery or weaken the developer’s ability to meet obligations and provide owner recourse. A construction contract may impose a different period, so the project documents control.

What happens if a JV partner becomes insolvent?

Insolvency can trigger a buyout, suspension, replacement or termination clause, but the result depends on the agreement and governing law. The owner may still enforce the prime contract against the JV operators, including joint-and-several obligations where the contract provides them. An internal promise that the insolvent partner will bear a particular cost does not necessarily limit the owner’s remedies.

The agreement should allow the solvent participant to protect the works: take direct control of the insolvent partner’s assigned activities, access project records, use specified equipment or personnel, appoint replacement subcontractors and draw on agreed security. It should also coordinate with sureties and lenders, because an unauthorized change can jeopardize bonding or financing.

Any insolvency transfer must be screened for restrictions on assignments, creditor rights, fraudulent-transfer rules and public-contract eligibility. Legal and accounting advice is essential before exercising a remedy.

When the JV ends and how it is wound up

A project JV commonly ends when the work is completed or its agreed term expires. Early termination may follow material breach, insolvency, illegality, prolonged deadlock or mutual agreement. Ending the JV does not erase obligations to the owner, subcontractors, employees, tax authorities or lenders.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Winding up should include:

  • A final account and reconciliation of capital, distributions, claims and retainage.
  • Payment or reservation for known and contingent liabilities.
  • Treatment of ongoing contracts, employees, warranties and defect claims.
  • Disposition of equipment, materials, records, intellectual property and confidential information.
  • Collection of receivables and release of permitted security.
  • Distribution of any surplus under the agreed waterfall.

Assets transferred into a corporate JV generally belong to that JV unless the governing documents provide a buy-back or return mechanism. A partner selling its interest does not automatically recover assets contributed to the entity.

Before signing: a construction JV buyout checklist

  • Identify the legal form and confirm who owns the prime contract and project assets.
  • Match participation percentages to capital, work, bonding and guarantee obligations.
  • Define management authority, reserved matters and a deadlock escalation path.
  • Set capital-call rules and remedies for a missed payment.
  • Choose triggers, put and call rights, pre-emption and permitted transferees.
  • State the valuation date and treatment of unfinished work, claims, contingencies, guarantees and unpaid calls.
  • Specify cash or instalment payment, security, set-off and the date economic ownership changes.
  • List owner, lender, surety, insurer and regulator consents and notice requirements.
  • Provide for direct control or replacement if a partner cannot perform.
  • Address surviving indemnities, confidentiality, warranties, records and dispute procedures.
  • Plan final accounting, asset ownership and distribution if the JV winds up.

There is no universal JV or buyout formula. Governing law, entity form, prime-contract language, public-procurement requirements, tax treatment and bonding arrangements can change the outcome. Parties should have construction counsel and qualified accounting and surety advisers review the agreement before signing and before exercising an exit right.
