A bitcoin treasury company makes bitcoin a core reserve asset rather than a short-term trading position. It raises money—through common shares, preferred stock, convertible notes or other debt—uses the proceeds to buy bitcoin, and then manages the resulting holdings and financing obligations. Shareholders gain a security whose value depends on bitcoin, the company’s liabilities and operating business, and whether the stock trades above or below the value of its bitcoin per share.
The structure can increase bitcoin exposure per share when new financing is accretive, but it also adds dilution, interest, refinancing, custody, accounting, regulatory and forced-sale risks. Strategy (formerly MicroStrategy) is the best-documented example, but the same framework applies to other public companies adopting a bitcoin-reserve policy.

What a bitcoin treasury company actually is
A treasury company deliberately places bitcoin at the center of its balance sheet. It may retain an operating business, but the investment case is increasingly tied to the amount of bitcoin it owns, how that amount changes per share, and how the holdings are financed.

The balance-sheet transformation
The company’s balance sheet typically contains a large bitcoin position alongside cash, operating assets and a capital structure that can include secured or unsecured debt, convertible notes and preferred securities. Bitcoin is not a deposit or a guaranteed reserve. Its market value can change sharply while interest, maturities, dividends and operating costs remain payable in dollars or other fiat currency.
Why investors buy the shares
Public-company shares can provide bitcoin exposure to investors who cannot, or do not want to, hold bitcoin directly. The stock may also offer leverage: if liabilities and other assets are small relative to the bitcoin holdings, a change in bitcoin’s value can produce a larger percentage change in the common equity. That leverage works in both directions and is not the same as owning spot bitcoin.
How the strategy works, step by step
- Adopt bitcoin as a reserve policy. Management sets bitcoin as a strategic treasury asset and explains how it intends to custody, finance and report the holdings.
- Raise capital. The company sells common stock, preferred stock, convertible notes or other debt, or uses another capital-raising transaction. Strategy’s SEC filing says its approach generally involves acquiring bitcoin with proceeds from debt or equity offerings and other financing.
- Purchase and custody bitcoin. The proceeds are converted into bitcoin held through institutional custody arrangements. The company must control private-key access, trading counterparties and operational procedures.
- Monitor per-share exposure. Management tracks bitcoin owned, bitcoin per diluted share, financing costs and the effect of new issuance. A purchase can be economically attractive only if the added bitcoin exposure outweighs the cost and dilution of the financing.
- Service obligations and preserve liquidity. Interest, principal maturities, preferred dividends, taxes, payroll and other expenses require cash. The company may raise more capital, use operating cash flow or sell assets—including bitcoin—when obligations come due.
How bitcoin treasury companies can make money
There is no single operating revenue stream called “treasury profit.” Potential returns come from several interacting sources, none of which is guaranteed.

Bitcoin appreciation
If bitcoin rises, the company’s holdings may become more valuable than their purchase cost. Common shareholders receive the residual value after debt, preferred claims and other liabilities. A decline has the opposite effect and can be amplified by leverage.

Accretive financing
Issuing securities can increase bitcoin per share when the transaction brings in enough capital, at a reasonable cost, to buy more bitcoin than the dilution or senior claims consume. For example, a hypothetical company with 100 bitcoin and 10 million shares has 0.00001 bitcoin per share. If it issues shares and buys bitcoin so that holdings rise proportionally faster than the share count, bitcoin per share increases. The calculation must include conversion features, preferred dividends, fees and any shares issuable under the deal.
Changes in the stock’s premium or discount
Shares can trade at a premium to, or discount from, the market value of the company’s bitcoin net of liabilities. A premium can make equity issuance less dilutive and help fund additional purchases. If that premium contracts, the stock can fall even when bitcoin is unchanged. Research on digital-asset treasury companies identifies premium compression as an acute downside risk.
Operating-business cash flow
An underlying software or other business may generate cash to pay interest and expenses. That cash flow can reduce the need to sell bitcoin during a downturn, but it does not remove market, financing or concentration risk.
What “BTC Yield” means—and what it does not mean
Strategy reports “BTC Yield” as a company-defined key performance indicator for acquisitions it believes are accretive to shareholders. Its February 5, 2025 release reported a 74.3% BTC Yield for fiscal 2024. The measure is not a standardized accounting return, and it is not the percentage gain on bitcoin’s market price. Investors should read the company’s definition and reconcile the numerator and denominator with diluted shares, convertible instruments and the period measured.

A useful analysis asks whether bitcoin per fully diluted share increased after all financing effects, not merely whether total bitcoin increased. Total holdings can rise while each share represents less bitcoin if issuance grows faster than the reserve.
Strategy’s reported scale and why dates matter
Figures reported for Strategy differ by measurement date and publication:
| Figure | Source and timing | What it describes |
|---|---|---|
| 713,502 bitcoin | Strategy 2025 annual report, filed in 2026; year-end 2025 | Reported bitcoin holdings at that year-end |
| More than $25 billion raised | Strategy 2025 annual report; calendar year 2025 | Capital raised during 2025, not a recurring annual amount |
| 471,107 bitcoin | Strategy press release dated February 5, 2025; December 31, 2024 | Holdings reported in that release |
| 582,000 bitcoin | Associated Press report published in 2025 | Holdings attributed to MicroStrategy/Strategy at the AP’s publication date |
| $90,000 average purchase price | Standard Chartered analysis reported by the AP in 2025 | Analyst estimate of average acquisition price, not a guaranteed cost basis for every coin |
The apparent differences are not necessarily contradictions: holdings change through purchases, sales or transfers, and an annual report, press release and news article can describe different dates. Always match a number to its reporting date before comparing it with today’s bitcoin price.
How the financing stack changes shareholder risk
| Instrument | How it funds bitcoin purchases | Main shareholder consequence |
|---|---|---|
| Common stock | Permanent equity capital with no contractual repayment | New shares dilute existing ownership; issuance may be attractive when the stock trades at a premium |
| Convertible notes | Debt that may convert into common shares under stated terms | Creates interest and maturity obligations; conversion can dilute holders later |
| Other debt | Borrowed money used to acquire bitcoin | Interest, covenants, collateral and repayment priorities can force difficult choices in a downturn |
| Preferred stock | Capital that ranks ahead of common equity and usually carries a stated dividend | Dividends and liquidation preference reduce the value available to common shareholders |
Debt and preferred securities can magnify a gain because common equity receives the residual after fixed claims. They also magnify a loss: bitcoin can fall while interest, dividends and principal remain unchanged. A company that must refinance when its stock price and bitcoin are depressed may issue many more shares or accept expensive terms.

Is a bitcoin treasury company safer than owning bitcoin?
Usually not. Direct bitcoin ownership has price and custody risks, but a treasury-company share adds layers of corporate exposure:
- Concentration: Strategy’s SEC filing warns that concentrating assets in bitcoin limits diversification and that a significant decline could have a pronounced effect on financial condition.
- Leverage and senior claims: Debt and preferred securities are paid before common equity.
- Dilution: New common shares, conversions, warrants or equity-linked programs reduce each existing share’s proportional claim unless purchases are sufficiently accretive.
- Premium/discount volatility: The stock can diverge materially from the value of its bitcoin and other assets.
- Corporate execution: Management, operating results, legal expenses, taxes and capital-market access affect the stock independently of bitcoin.
- Custody and counterparties: Exchange, custodian or technology failures can limit access to assets or create losses.
Direct ownership avoids corporate dilution and senior claims, but it requires the holder to manage keys, security, taxes and liquidity personally. Neither route is “safe” in the sense of preserving principal.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. What happens if bitcoin falls?
Immediate effects
The market value of the reserve falls. Under the fair-value accounting rules in ASU 2023-08, bitcoin is measured at fair value and gains and losses are recognized in net income each reporting period. That can make reported earnings highly volatile even when the company does not sell.
Pressure on the capital structure
Interest, preferred dividends and maturities continue. If operating cash flow is insufficient, management may need to issue equity at a depressed price, refinance at a higher cost, pledge assets where permitted or sell bitcoin. Selling into a falling market can reduce the reserve that supports the equity.

Forced-sale risk
The Associated Press quoted Standard Chartered digital-assets researcher Geoff Kendrick asking: “The question then becomes, how much pain can companies withstand before being forced to sell their BTC?” The answer depends on cash runway, maturity dates, covenants, collateral arrangements and access to new investors—not on bitcoin holdings alone.
Recovery is not automatic
A later bitcoin rebound helps only if the company retains enough bitcoin and equity value to survive the downturn. A distressed issuance or forced sale can permanently reduce bitcoin per share, so the stock may not recover in the same proportion as bitcoin.
Accounting, regulation and custody considerations
Accounting volatility
Fair-value accounting under ASU 2023-08 brings unrealized bitcoin gains and losses into net income each reporting period. Net income therefore does not equal cash generated, and investors should examine cash flow, debt schedules and diluted shares alongside the income statement.
Changing rules
Strategy’s filing notes that digital-asset laws are evolving and subject to interpretation and change. Regulation can affect custody, trading venues, disclosures, taxation, capital raising and whether a company’s activities trigger additional oversight. The effect depends on the company’s jurisdiction and the rules in force at the time.
Operational controls
Investors should look for disclosed custodians, authorization procedures, insurance limits, audit controls, wallet access policies and counterparty concentration. A quoted bitcoin balance is not by itself proof that every coin is immediately accessible or free of claims.
A practical way to analyze one of these stocks
- Verify the holdings date. Use the latest filing or release and note whether the figure is before or after a subsequent purchase.
- Calculate bitcoin per diluted share. Divide bitcoin holdings by common shares plus shares issuable on conversion, exercise or other equity-linked terms. State the assumption about preferred stock.
- Map every senior claim. List principal, interest rates, maturities, covenants, collateral and preferred dividends.
- Estimate liquidity. Compare unrestricted cash and recurring operating cash flow with at least the next 12–24 months of interest, dividends, expenses and maturities. The exact runway requires the company’s current filings.
- Compare market value with net asset value. Value bitcoin at a clearly stated market price, subtract liabilities and account for operating assets. Treat the resulting premium or discount as variable, not permanent.
- Read the accounting policy. Check fair-value treatment, tax effects, impairment history where relevant and the reconciliation of non-GAAP measures such as BTC Yield.
- Test a downturn. Model a substantial bitcoin decline, a higher refinancing rate, a lower stock premium and an equity issuance at that lower price. Then ask whether the company can meet obligations without selling bitcoin.
- Check custody and legal disclosures. Review counterparty, regulatory and access risks rather than assuming that a reported balance is risk-free.
Questions that distinguish a durable strategy from a fragile one
- Does bitcoin per diluted share rise after each financing, or only total bitcoin?
- Are purchases funded by long-dated, manageable obligations or by maturities clustered in a downturn-sensitive period?
- Can the operating business cover cash expenses without selling bitcoin?
- How much of the stock price is a premium to bitcoin net asset value, and what could cause that premium to disappear?
- Are preferred dividends cumulative, and what happens if they are deferred?
- What protections and disclosures surround custody, lending, collateral and counterparties?
- Which figures are audited accounting numbers and which are management-defined performance measures?
Bottom line for personal-finance investors
A bitcoin treasury company is a leveraged corporate wrapper around bitcoin, not a safer substitute for bitcoin itself. The upside comes from bitcoin appreciation, potentially accretive financing and a sustained stock premium; the downside includes dilution, fixed claims, premium compression, accounting swings, custody problems and forced sales. Strategy’s reported growth—from 471,107 bitcoin at December 31, 2024 to 713,502 at year-end 2025, alongside more than $25 billion raised during 2025—illustrates how quickly the model can scale, but the figures also show why dates, financing terms and per-share calculations matter. Evaluate the capital structure and survival plan before treating a treasury-company share as a simple bitcoin proxy.
