It lists specified holdings at the end of a quarter, including share counts and market values. Because the report can be filed up to 45 days after quarter-end, it is a historical snapshot—not a live portfolio, trade alert, or complete risk report.
What Form 13F reports
The SEC describes Form 13F as the reporting form filed by institutional investment managers under Section 13(f) of the Securities Exchange Act of 1934. The filing identifies the manager and, for each reportable security, provides the security name and class, CUSIP identifier, number of shares held at quarter-end, and total market value as of that date.

The report is useful for reconstructing an institution’s disclosed long exposure at a particular historical date. It does not explain why a position was held, what the manager paid, how much unrealized gain or loss exists, or how the position fits into the rest of the portfolio.

The $100 million threshold
Rule 13f-1 applies to an institutional investment manager that exercises investment discretion over at least $100 million in Section 13(f) securities. The threshold is tested on the last trading day of any month in a calendar year, not only at year-end. Once a manager meets the threshold, it must file four reports for that calendar year: a year-end report and reports for the quarters ending March 31, June 30, and September 30.

Types of managers covered
“Institutional investment manager” is broader than hedge fund. Investor guidance says the category can include investment advisers, banks, insurance companies, broker-dealers, pension funds, and corporations when they exercise investment discretion over qualifying securities.
When are 13F filings due?
The statutory rule is generally 45 days after the end of each calendar quarter. The SEC’s deadline table currently lists these 2026 dates:

| 4Q 2026 | December 31, 2026 | February 16, 2027 (Tuesday) |
Deadline calendars can change when weekends, federal holidays, or SEC scheduling conventions affect the due date. Check the SEC’s current Form 13F FAQ before relying on a date. A filing date and a period-of-report date are different: the period-of-report date is the quarter-end snapshot, while the filing date is when the public filing became available.
How delayed is a 13F?
At the maximum, a 13F becomes public 45 days after the quarter ends. A report filed on the deadline could therefore describe a portfolio that is six weeks old before anyone can read it. The manager may have bought, sold, hedged, or completely exited a position after the quarter-end date.
Use language such as “reported as of September 30” rather than “the manager currently owns.” Even a filing posted early in the 45-day window remains a historical record. It cannot establish the exact day a trade occurred, the sequence of purchases and sales, or whether a position remained open when the filing was submitted.

Which securities appear on a 13F?
The reportable universe is defined by Section 13(f) and the SEC’s quarterly Official List of Section 13(f) Securities. It primarily covers specified U.S.-listed equities, exchange-traded funds, closed-end funds, and certain options and convertible securities. The Official List can change, so the same security type should not be assumed to qualify forever.
A 13F is not a statement of every asset an institution owns. Securities outside the Official List are omitted even when they are economically important to the manager. A filing can therefore look concentrated while leaving out cash, many bonds, commodities, private investments, foreign instruments that do not meet the reporting definition, and other non-reportable exposures.
Can you see short positions in a 13F?
No. Form 13F does not provide a comprehensive view of short positions. It is primarily a disclosure of reportable securities held in the accounts over which the manager exercises discretion; it does not require a complete listing of short equity positions. It also does not reveal every derivative exposure or the offsetting positions that may change the risk of a reported holding.
A reported share count should not be interpreted as the manager’s net exposure. For example, a long position could be paired with a short position, put option, swap, or other hedge that is not fully visible on the 13F. Because the form omits those details, it cannot by itself show whether an institution is bullish, market-neutral, hedged, or taking a directional bet.
What a 13F cannot tell you
- Current ownership: The filing is tied to quarter-end, not to the day you read it.
- Trade timing: It does not identify the dates or prices of purchases and sales during the quarter.
- Investment rationale: No thesis, target price, mandate, or management commentary is required.
- Cost basis: Market value at quarter-end is reported, but the manager’s purchase cost is not.
- Complete risk: Short positions, many derivatives, leverage, cash, and non-13(f) securities may be absent.
- Beneficial ownership context: The form is not a complete balance sheet or a substitute for other regulatory filings.
These limits matter when someone presents a single new position as a current recommendation. A 13F can support historical research and exposure analysis, but it cannot prove that a trade remains open or that copying it would produce the same result.

How to read a 13F filing
1. Confirm the manager and filing type
In the SEC’s EDGAR system, verify that the submission is Form 13F and that the named institutional investment manager is the entity you intend to study. Large organizations may have related advisers or subsidiaries, so check the filer name rather than relying only on a familiar brand or fund name.

2. Check the period of report
Find the period-of-report date, such as March 31, June 30, September 30, or December 31. Record the separate filing date as well. The gap between those dates is the reporting delay and should be considered before comparing the filing with market prices or news.
3. Open the Information Table
The Information Table contains one row per reportable security. Review the issuer name, title of class, CUSIP, number of shares, and market value. Confirm that you are comparing the same share class and security identifier; a company’s common stock, preferred stock, warrants, and convertible securities can have different rows.
4. Examine position size and concentration
Sort or calculate each holding’s percentage of the disclosed 13F value. Concentration can reveal whether a change in a small position is economically meaningful or merely a rounding-level adjustment. Remember that the denominator covers disclosed reportable securities, not necessarily the manager’s entire portfolio.
5. Classify changes carefully
- New position: No row was reported in the prior comparable quarter, but a row appears now.
- Exited position: A prior row is absent in the new filing. An amended filing or confidential-treatment history may change that conclusion.
- Increased or reduced position: Compare share counts, not only market values. Price movements can change market value even when share count is unchanged.
- Unchanged share count: A different market value may reflect the stock price, currency effects, or valuation conventions rather than a trade.
6. Look for amendments and omissions
Check whether the submission is an original filing or an amendment. An amendment generally restates the affected quarter and identifies itself as an amendment. Review the amended Information Table instead of combining rows from the original and amended versions.
How to compare two 13F filings correctly
Use matching periods and a consistent method. Comparing a newly released filing with an older filing without accounting for the 45-day lag can create a false impression of simultaneity.
| Comparison item | What to check | Why it matters |
|---|---|---|
| Period of report | Same quarter-end date or clearly identified sequential quarters | Prevents mixing a current-looking release with a stale snapshot |
| Share count | Number of shares for the same class and CUSIP | Separates buying or selling from price-driven value changes |
| Market value | Quarter-end value reported for each row | Shows disclosed dollar exposure at that historical date |
| New and exited rows | Rows appearing or disappearing between comparable filings | Highlights possible entries and exits, subject to amendments and omissions |
| Concentration | Holding value as a percentage of disclosed 13F value | Shows which changes could have mattered most to the reported book |
| Security identity | Issuer, class, and CUSIP | Avoids treating different securities from the same issuer as one position |
| Filing status | Original, amendment, or confidential-treatment notation | Explains why data may have changed or why a position is temporarily absent |
Confidential treatment and later disclosure
Section 13(f) allows confidential treatment in limited circumstances. The SEC FAQ describes an indefinite personal-holdings exemption when applicable and time-limited commercial treatment for qualifying strategies, such as an open risk-arbitrage program or an ongoing acquisition or disposition program.

A public filing can indicate that information was omitted under confidential treatment; omission is not proof that no position existed. If the SEC denies a request or the confidential period expires, the filer must amend the affected report. The SEC FAQ says that amendment is due within six business days after the denial or expiration. This is one reason a later amendment can reveal information that was not visible in the original filing.
Filing format and the XML Information Table
Since May 20, 2013, the SEC has required the online Form 13F and an XML Information Table rather than the former text-only format. The structured format is intended to improve data usability and help filers avoid common transcription and formatting mistakes.
For readers, XML means that holdings can be downloaded and analyzed consistently, but automated data is not automatically correct. Always reconcile the accepted EDGAR filing with the Information Table, the period-of-report date, and any amendment notice.
Common 13F mistakes—and how to avoid them
Calling a quarter-end holding “current”
Fix: State both dates: “The manager reported 100,000 shares as of June 30; the filing was submitted on August 14.” Do not imply that the position was still open on the filing date.
Treating market-value changes as trades
Fix: Compare share counts and market values together. A price increase can raise reported value without any purchase.

Assuming a 13F shows shorts or net exposure
Fix: Describe the result as disclosed reportable holdings and qualify any exposure analysis as incomplete.

Ignoring the Official List
Fix: Check the relevant quarter’s Official List of Section 13(f) Securities before concluding that a missing asset was not owned.
Missing an amendment
Fix: Review later submissions for the same period and use the amended table when one exists.
Comparing mismatched periods
Fix: Compare quarter-end dates first, then account for the release lag before drawing a trend.
Recommended Free Tools
Failing to reconcile identifiers
Fix: Verify CUSIP and class, especially after stock splits, conversions, reorganizations, or when an issuer has multiple listed securities.
Assuming the filing is complete because it is accepted
Fix: Check manager information, quarter-end date, share counts, market values, and table completeness. Acceptance confirms submission, not that every economic exposure is disclosed or every entry is error-free.
What happens when a filer finds an error?
The manager should promptly amend the filing. An amendment generally restates the affected quarter and identifies itself as an amendment, allowing users to distinguish corrected data from the original submission. Readers performing historical analysis should retain the filing date and amendment status so that a later correction is not mistaken for a new quarter’s trading activity.
Errors can involve the manager’s name, period of report, security identifier or class, share count, market value, or a missing or duplicated Information Table row. Rechecking the accepted filing after an amendment is more reliable than relying on an unchanged third-party database record.
When a 13F is useful—and when it is not
Useful applications
- Studying an institution’s historical disclosed equity exposure.
- Tracking multi-quarter changes in share counts and concentration.
- Generating questions for deeper research into an issuer or strategy.
- Comparing managers’ disclosed positions for the same quarter-end date.
- Checking whether a previously reported position was later amended or omitted under a stated confidentiality process.
Unsuitable uses
- Following a manager’s portfolio in real time.
- Inferring a complete long-short or derivative strategy.
- Copying a trade without considering the delay, price, sizing, and omitted hedges.
- Using one filing as proof of investment intent, conviction, or expected return.
A practical 13F review checklist
- Identify the legal filer and confirm it is the manager you mean to study.
- Record the period-of-report date and the separate filing date.
- Confirm the quarter’s Section 13(f) Official List when a security’s eligibility is uncertain.
- Download or open the XML Information Table.
- Match issuer, class, and CUSIP before comparing rows.
- Compare share counts before interpreting market-value changes.
- Calculate concentration using disclosed 13F value, while noting that it is not total portfolio value.
- Search for amendments and confidential-treatment indications.
- Label every conclusion as historical and quarter-end specific.
- Do not infer short, derivative, cash, or non-reportable exposure from the table alone.
Bottom line
Form 13F is a standardized quarterly window into an institutional manager’s reportable Section 13(f) holdings. Its value is transparency about historical positions; its central weakness is timing and incompleteness. Read the period-of-report date, not just the publication date; compare share counts as well as values; check amendments and confidentiality notices; and treat the result as research evidence rather than a current portfolio or investment recommendation.
