They authorize, clear and settle transactions, while banks and other participants usually issue cards, extend credit, acquire merchants and manage customer accounts. That division of labor determines where revenue is earned and who bears credit, fraud, regulatory and operating risk.
For investors, the key question is not simply how many payments a company processes. It is which roles the company performs, which relationships it controls, how easily participants can route around it, and how regulation or a system failure could change the economics.

Where a payment network fits in a card transaction
A card payment involves several distinct participants:
- Cardholder: the person presenting a card or credential.
- Merchant: the business accepting the payment.
- Issuer: the bank or other institution that issues the card and generally manages the account-holder relationship.
- Acquirer: the institution that enables the merchant to accept cards and receives the transaction for processing.
- Processor: a technology provider that may handle authorization, routing, settlement or related services for an issuer or acquirer.
- Network: the organization supplying transaction switching, technical standards and operating rules so the other parties can interoperate.
Mastercard describes its network operation as switching transactions by “authorize, clear and settle” functions and says its franchise model establishes common standards and ground rules. Its fiscal 2025 Form 10-K explains the business description in detail (Mastercard fiscal 2025 Form 10-K).

Authorization is the real-time decision process that checks whether a transaction can proceed. Clearing exchanges the transaction details needed to calculate obligations among participants. Settlement moves the money between those participants. The network’s rules also cover matters such as message formats, dispute procedures, security requirements and participation standards. Those rules are what allow a card issued in one banking relationship to be accepted through a different acquiring relationship.
The network’s role should not be confused with the entire price a merchant pays. A merchant discount can include acquiring, processing, network and other components; an issuer may separately receive interchange income; and an issuer can charge an account holder interest or fees. The reviewed filings do not provide a directly comparable fee breakdown that would support a single industry-wide percentage or a ranking of economics.
Network-focused economics: the Mastercard example
Mastercard states that it is “not a financial institution.” In its described model, it does not issue cards, extend credit, determine the interest rates or other fees an issuer charges an account holder, or set the rates an acquirer charges a merchant. Financial institutions generally own the cardholder relationship and perform those activities (Mastercard fiscal 2025 Form 10-K).
That structure makes the network primarily a coordinator and service provider. Its commercial value comes from connecting a large set of issuers, acquirers, merchants and processors under one set of technical and contractual rules. The network can provide switching and related services without funding card balances itself. As a result, an investor analyzing a network-focused operator should separate:
- payment switching and other network services;
- value-added services such as security, data or consulting offerings when reported by the company;
- activities performed by partner banks, including lending and account servicing; and
- merchant acquiring and processing activities performed by other institutions.
This separation also shapes risk. A network-focused company generally does not carry the same direct card-loan exposure as an issuer, but it remains dependent on the financial health and technology of the institutions connected to it. Its results can also be affected if a major customer moves volume to a competing network, a processor bypasses the network, or rules governing routing and fees change.

Integrated economics: the American Express model
American Express describes a platform that combines card issuing, merchant acquiring and operation of a card network (American Express 2025 annual report). That is structurally different from a company whose principal role is to provide a network between separately owned issuers and acquirers.
An integrated operator can have direct relationships with card members and merchants, rather than relying on independent institutions for every link in the chain. It may therefore have greater control over product design, underwriting, merchant acceptance and customer experience. The trade-off is a broader set of obligations and exposures: issuing brings credit and funding risk, acquiring brings merchant and acceptance responsibilities, and the network still requires reliable authorization, clearing and settlement.

American Express also identifies the need to expand merchant acceptance and the possibility that alternative payment methods or open-banking initiatives could steer transactions away from its platform. Those are company-specific disclosures, not proof that every network faces the same magnitude of exposure.
How payment networks make money
The exact revenue mix must be taken from each company’s latest audited filing because companies define reportable revenue categories differently. A useful analytical map is:
- Network or switching services: charges associated with routing, authorizing, clearing and settling transactions.
- Additional network services: security, fraud tools, data, consulting or other services, where the company reports them separately.
- Issuing income: interest, annual fees, late fees or other account economics when the company itself issues cards.
- Acquiring and merchant services: revenue from signing merchants, processing their transactions or providing related services when the company performs those functions.
- Other activities: products and partnerships that may not be comparable across companies.
Do not label the network’s revenue as the merchant’s entire card cost, and do not treat an issuer’s interchange income as network revenue. Before comparing two companies, read the revenue-recognition note, segment definitions and management’s description of which entity performs each service. If a filing does not provide a comparable measure, record it as not stated rather than filling the gap with an industry average.

Business-model comparison for investors
| Question | Network-focused operator | Integrated issuer-acquirer-network |
|---|---|---|
| Primary role | Connects independent issuers, acquirers and merchants through switching and common rules. | Combines network operation with at least some issuing and acquiring activities. |
| Cardholder relationship | Usually managed by a financial-institution issuer. | May be managed directly by the company. |
| Merchant relationship | Usually managed by an acquirer or processor. | May be managed directly, giving the company a direct acceptance obligation. |
| Credit exposure | Generally sits with the issuer rather than the network operator, subject to the company’s own activities and contracts. | Can include direct card-member credit and funding exposure. |
| Core economic dependency | Maintaining broad participation, reliable switching and attractive rules for ecosystem members. | Balancing card-member demand, merchant acceptance, underwriting, acquiring economics and network usage. |
| Key competitive threat | Direct processing, rival networks, customer exclusivity and routing around the network. | Alternative payment methods, open banking, loss of acceptance and pressure on issuing or acquiring economics. |
The table describes structural differences, not a conclusion that one model is superior. Compare companies only after confirming their current activities and segment definitions in their own filings.

Fees and operating rules are central regulatory pressure points. Mastercard lists regulation, legislation and litigation involving interchange rates and surcharging among factors that could affect results. Visa’s fiscal 2025 annual report discusses increased scrutiny of interchange reimbursement fees, merchant discount rates, operating rules, risk-management protocols and related practices (Visa Annual Report 2025).
For an investor, the mechanism matters more than the headline. A rule could change the amount a participant may charge, require different routing choices, alter contractual arrangements, or impose additional compliance and monitoring costs. A change that reduces a fee may benefit merchants while reducing revenue for one or more participants; a routing requirement may shift volume between networks; a new liability standard may move fraud costs from one party to another.
Annual-report risk factors describe exposure, not a forecast or an established legal outcome. A filing may mention proposed legislation, investigations or lawsuits without establishing whether a measure will take effect, when it will take effect or what the final financial impact will be. Check the latest filing and the relevant court or regulator record before treating a proceeding as resolved or quantifying its effect.
Cybersecurity, data and operational resilience
Mastercard warns that attacks or breaches affecting its own systems, third-party providers, merchants or payment processors could interrupt service, damage reputation, create additional costs and financial losses, trigger litigation, or reduce use and acceptance of its products (Mastercard fiscal 2025 Form 10-K).

The risk is distributed across the ecosystem. A network can operate its own infrastructure correctly and still face disruption when a processor, merchant, issuer or service provider is compromised. Investors should therefore look beyond a company’s internal security description and examine how it manages third-party access, incident response, redundancy, recovery testing, data retention and notification obligations.
Operational resilience also has an economic dimension. A brief outage can delay authorization and settlement, while a prolonged or repeated failure can cause merchants or issuers to route transactions elsewhere. Remediation spending, contractual claims, regulatory penalties and lost trust may appear in different periods, so a single quarter’s operating expense may not capture the full consequence.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Competition, disintermediation and alternative rails
Mastercard identifies the possibility that merchants or third-party processors could try to bypass the network and process transactions directly between acquiring institutions and issuers. It also notes that some customer relationships may be exclusive or nearly exclusive to competitors (Mastercard fiscal 2025 Form 10-K).
American Express identifies alternative payment methods and open-banking initiatives as potential sources of steering or disintermediation (American Express 2025 annual report). These mechanisms could reduce a network’s role in a transaction, change bargaining power or force investment in new connectivity. They do not demonstrate that card networks will be displaced. The relevant investment question is whether a company can preserve acceptance, security, convenience and economics as merchants, consumers, banks and technology providers gain more routing options.

Acceptance and ecosystem dependence
A payment product is useful only when cardholders can use it where they shop and merchants can accept it at a workable cost. American Express specifically says performance may be affected by its ability to expand merchant acceptance and by card members’ experience of acceptance. That disclosure illustrates a broader network effect, but the exact exposure varies by company model.

When reviewing an issuer-acquirer-network combination, ask whether acceptance growth requires incentives, new acquiring relationships, technology investment or changes to merchant pricing. For a network-focused operator, ask whether issuers and acquirers continue to regard its rules and reach as valuable enough to maintain or expand participation. Do not infer a quantified acceptance advantage unless the company reports a clearly defined, current measure.
A practical investor due-diligence checklist
- Map the roles. Identify whether the company is acting as network, issuer, acquirer, processor or a combination in each material segment.
- Trace the customer relationships. Determine who contracts with cardholders, merchants, issuers and acquirers, and whether any relationships are exclusive or concentrated.
- Reconcile revenue labels. Read the latest filing’s revenue and segment notes; do not compare “network revenue” across companies until the definitions match.
- Locate risk ownership. Check who bears credit losses, fraud losses, chargebacks, data-breach costs, settlement obligations and compliance expenses.
- Test disintermediation scenarios. Consider direct issuer-to-acquirer processing, account-to-account payments, open-banking routing and merchant steering.
- Review resilience. Examine third-party dependencies, redundancy, incident history, recovery capabilities and disclosures about cyber events.
- Read regulation by mechanism. For each fee, routing or operating-rule issue, ask which participant’s price, volume, cost or liability would change.
- Use comparable figures carefully. If you collect payment volume, credentials, merchant locations, margins or market share, label the company, fiscal year, unit, definition and geography. The reviewed sources do not establish a clean three-company set of those figures.
What annual reports establish—and what they do not
Annual reports are useful for identifying a company’s role, stated revenue categories, contractual dependencies and management-described risks. They are not a substitute for a current legal docket, a regulator’s final rule or a standardized industry database. The three 2025 filings reviewed here do not support a reliable ranking of Mastercard, Visa and American Express by transaction volume, market share, margins, valuation or revenue mix.
Use the filings as the starting point, then verify later quarterly or annual reports and current regulatory or litigation developments before making an investment decision. Keep management’s risk language in its proper category: it identifies scenarios that could affect results, not outcomes that have already occurred.

Key takeaway
Payment networks earn their strategic value by coordinating a two-sided ecosystem, but the investment case depends on the role a company actually performs. A network-focused operator may avoid direct card lending while remaining exposed to rules, cyber incidents, customer relationships and competing rails. An integrated operator can control more of the customer experience while taking on broader credit, acquiring and acceptance responsibilities. Analyze the chain role by role, tie every revenue and risk claim to the company’s latest filing, and treat disruption scenarios as possibilities to test rather than predictions.
