Biotech stock dilution happens when a company issues new shares—or securities that can become shares—and an investor’s percentage ownership declines because the investor does not buy enough of the new securities to maintain it. The practical challenge is separating shares that have already been sold from securities a company is merely authorized to offer, then measuring warrants, options, proceeds and financing needs from the company’s filings.
A shelf registration or at-the-market (ATM) program shows a possible financing route, not completed dilution. Actual sales appear in prospectus supplements and subsequent Securities and Exchange Commission filings. Potential shares from warrants, pre-funded warrants and options require a separate analysis because they may never be exercised.

What dilution means for an existing shareholder
Your ownership percentage is your shares divided by the company’s outstanding shares. If you own 100,000 shares of a company with 10 million shares outstanding, you own 1%. If the company issues another 5 million shares and you do not participate, your 100,000 shares represent about 0.67% of the enlarged share count.

The economic effect also depends on the price at which the new securities are sold, how the company uses the proceeds and whether the financing prevents a more damaging liquidity crisis.

Instruments that can become stock create a second layer of exposure. A warrant or option is not automatically an outstanding common share. It becomes relevant to dilution if it is exercised under its terms. A pre-funded warrant generally represents an alternative way to obtain common shares, subject to its exercise provisions, so it belongs in the offering-specific share-count analysis rather than being treated as identical to a completed common-stock sale.
Why biotech companies rely on equity financing
Drug and platform developers can spend heavily on laboratory work, clinical trials, manufacturing and regulatory preparation before a product generates meaningful revenue. A company may therefore raise capital repeatedly as milestones approach. Equity financing can provide cash without scheduled principal repayments, but it increases the number of shares investors must evaluate.
Read dilution together with the company’s cash and investments, operating cash use, stated runway, upcoming milestones, debt obligations, collaboration funding and planned spending. A financing that appears highly dilutive in isolation may fund a value-critical trial; a smaller offering may leave the company needing another raise within months. Management’s runway is an estimate based on stated assumptions, not a guarantee.

Shelf registrations
A shelf registration lets a company register securities that it may offer over time under later offering documents. The registered dollar amount is capacity. It does not mean that the company has sold that amount, issued the corresponding shares or received the proceeds.

At-the-market programs
An ATM program permits sales into the existing market through an agent, subject to the program agreement and applicable offering documents. The company can often sell in smaller amounts over time instead of conducting one announced transaction. Market price, trading volume and the company’s ability to access investors determine how much can actually be sold.
To measure completed dilution, inspect the latest filing and each relevant prospectus supplement for:
- the number of common shares sold;
- gross proceeds and proceeds after commissions and expenses;
- the remaining dollar capacity;
- the period covered by the sales;
- any suspension, amendment or termination of the program; and
- the updated shares outstanding after the transactions.
BioXcel Therapeutics’ Form 10-Q for the quarter ended June 30, 2026, reports that its ATM program began in April 2025 and that the company sold 15,037,839 shares for approximately $38.1 million in gross proceeds through June 30, 2026. The same filing describes an amendment permitting sales up to an aggregate offering price of $80 million. The $80 million figure is the amended program’s stated capacity; it is not an additional $80 million of completed sales.
aTyr Pharma’s Form 10-Q for the quarter ended March 31, 2026, provides another illustration. It describes an ATM program allowing up to $215.0 million of common-stock sales, inclusive of $65.0 million sold before the amendment. The filing says the company did not use the program during the three months ended March 31, 2026, while also discussing sales in an earlier period. An investor must therefore reconcile usage period by period rather than assuming that an available program was continuously active.

How offering structure changes the share count
Common shares
A common-stock offering increases shares outstanding when the transaction closes. Compare the number issued with the latest pre-offering share count, and check whether the quoted price is per share and whether underwriting discounts, commissions or other expenses reduce the cash the company keeps.
Pre-funded warrants
Some offerings let investors buy common shares or pre-funded warrants. A pre-funded warrant may have a very small exercise price, but it is still governed by its own exercise, ownership-limit and settlement provisions. Count the instrument as potential dilution according to the offering documents, and distinguish it from shares already issued.
Common-stock warrants
Financings may attach warrants that allow investors to buy additional common stock at a stated exercise price during a specified period. Record the warrant quantity, exercise price, expiration, cashless-exercise provisions, adjustment clauses and registration conditions. A warrant that is out of the money may not be exercised, while a warrant with a low exercise price can become a more immediate source of additional shares if the stock rises.

Employee and director options can also create future shares. BioXcel’s filing warns that exercise of outstanding options or warrants would cause further dilution and could affect the stock price. That language is an issuer risk disclosure, not a prediction that exercise will occur on a particular date or at a particular price.

Altimmune’s 2026 prospectus describes an offering involving common shares or pre-funded warrants together with common-stock warrants and includes an offering-specific dilution discussion. Its closing announcement confirms that the transaction was completed. The structure demonstrates why investors should read the transaction documents themselves; the terms and quantities of one biotech financing are not a template for another.
A filing-based method for measuring dilution
- Start with the latest reported share count. Use the balance-sheet or cover-page figure in the most recent Form 10-Q or Form 10-K, then check for a subsequent offering or corporate action.
- Locate the transaction documents. Read the prospectus supplement, underwriting or placement agreement and any issuer closing announcement. Identify whether the company sold common shares, pre-funded warrants, common-stock warrants or a combination.
- Separate completed shares from potential shares. Put issued common shares in one line. Put unexercised warrants, pre-funded warrants and options in separate lines with their exercise terms.
- Reconcile cash raised. Compare gross proceeds with commissions, discounts, legal fees and other expenses. Net proceeds are the amount available to fund operations.
- Check the remaining capacity. For an ATM or shelf, determine how much authorization remains and whether the program was amended, suspended or unused during the reporting period.
- Read the liquidity section. Note cash and investments, operating cash burn, management’s stated runway, debt maturities, trial milestones and expected capital requirements.
- Update after every filing. Biotech share counts, warrant terms, cash balances and financing capacity can change quickly. A calculation based on an older quarter can be misleading.
Useful comparison metrics
No single percentage identifies a good or bad financing. Compare the transaction across the dimensions the filing actually discloses.

Illustrative ownership scenarios
The following arithmetic is hypothetical and is not a forecast for any company. Assume an investor owns 100,000 shares and the company initially has 10 million shares outstanding.

If the investor buys a proportional portion of the new offering, the percentage ownership can be maintained, but the investor must commit additional cash and accept the offering’s price and terms. If the financing includes warrants, run a second scenario that adds the warrant shares only if the stated exercise conditions are met. Do not add every authorized share or every unexercised instrument to the issued share count.

Financing need and the ability to sell shares
An ATM balance is not guaranteed financing. aTyr’s 2026 first-quarter filing says market volatility or a depressed stock price may reduce its ability to generate cash through the ATM program. When a stock trades at a low price or in thin volume, selling enough shares to fund operations may require substantial dilution, may take longer or may not be practical under the program’s terms.
BioXcel’s filing similarly states that future equity issuance, including under its existing ATM program or in strategic transactions, could further dilute holders and could adversely affect the market price and the company’s ability to raise capital on favorable terms. This is the company’s stated risk, not a claim that a specific price move will occur.
For each issuer, ask whether the announced proceeds cover the next identifiable financing need. A company approaching a major trial readout may have a different capital plan from one funding routine operations. Debt, licensing payments, collaboration funding and milestone receipts can alter the amount of equity that must be sold, so include those sources and obligations in the same cash-flow review.

Common mistakes and how to avoid them
- Counting shelf capacity as issued stock: verify actual sales in later filings.
- Adding warrants to shares outstanding automatically: list them as potential shares until exercise occurs.
- Using gross proceeds as usable cash: subtract commissions, discounts and expenses.
- Ignoring pre-funded warrants: read their exercise and ownership-limit provisions in the offering documents.
- Comparing percentage dilution without a time period: label every share and proceeds figure by filing date and reporting period.
- Assuming an ATM will be fully used: consider price, volume, volatility and any company disclosure about market access.
- Calling a financing good or bad from dilution alone: weigh the cash raised against runway, milestones, terms and the probability of another raise.
- Relying on stale data: recheck the latest 10-Q, 10-K, prospectus supplement and material-event filings.
What is not established by these examples
The issuer examples do not establish a sector-wide average dilution rate, a universal acceptable percentage or a financing structure that is best for every biotech investor. BioXcel’s share sales, aTyr’s ATM capacity and Altimmune’s offering terms are company-specific and period-specific. Use them to understand how disclosures work, not as benchmarks for the entire biotech industry.
Bottom line
Measure biotech dilution in layers: start with shares actually issued, add potential shares only under the relevant warrant or option terms, and compare the resulting share base with the cash the company needs and can realistically raise. A shelf or ATM authorization is an option, not proof of issuance. The most reliable answer comes from reconciling the latest SEC filings and offering documents each time the company finances its operations.
