Property held for one year or less is generally short-term. Count from the day after acquisition through the day you dispose of the investment. For securities traded on an established market, use the purchase and sale trade dates, not settlement dates.
This holding-period test tells you whether a gain or loss is short-term or long-term. It does not, by itself, decide whether something is a capital asset or determine the tax rate. Inherited property, certain service-related partnership interests, digital assets that are section 1256 contracts, gifts, options and other transactions can use different rules.

The ordinary federal rule: more than one year
The Internal Revenue Service describes the general long-term period as more than one year. The corresponding short-term period is one year or less. This is the rule normally used for stocks, bonds, mutual-fund shares and other investment property acquired in an ordinary purchase and sale.
The IRS Instructions for Form 8949 state that “The holding period for long-term capital gains and losses is generally more than 1 year.” The word more matters: reaching an anniversary is not automatically enough if the actual acquisition and disposition dates do not produce a period longer than one year. See the 2025 Instructions for Form 8949.

The rule is a classification rule. Once the transaction is classified, the applicable tax treatment follows the rules for short-term or long-term capital gains and losses. The holding period alone does not establish that the property is a capital asset, calculate your basis, or select a tax rate.
How to count the holding period on a calendar
For ordinary investment property, the IRS counting method is specific:
- Identify the date you acquired the property.
- Start counting on the day after the acquisition date.
- Include the date you sell, exchange or otherwise dispose of the property.
- Compare the resulting period with the “more than one year” threshold.
Publication 550 summarizes the method this way: “To determine how long you held the investment property, begin counting on the date after the day you acquired the property. The day you disposed of the property is part of your holding period.” Read the IRS explanation in Publication 550 (2025), Investment Income and Expenses.
The IRS anniversary example
Suppose you buy an investment on January 31, 2024. A sale on January 29, 2025 has not crossed the more-than-one-year threshold. A sale on February 6, 2025 has. The dates, rather than a rounded “365-day” shortcut, control the result.
This is especially important around leap years and month-end dates. Do not assume that waiting a particular number of hours or simply reaching a calendar anniversary produces the desired classification. Use the actual acquisition and disposition dates and the IRS counting convention.

What counts as the disposition date
The final day is the day you dispose of the property—the sale or exchange date for the transaction. Keep records that show the relevant date, the property sold and the transaction that ended your holding period. If a transaction has a special rule, its applicable guidance may define the dates differently.
Stocks and other exchange-traded securities: use trade dates
For securities traded on an established securities market, the holding period begins the day after the purchase trade date and ends on the sale trade date. The settlement date does not control this calculation. A brokerage statement can show both dates, so use the trade dates when deciding whether the position was held more than one year.

Likewise, the date the sale is executed—not the later settlement date—is the disposition date. This prevents a settlement delay from moving a transaction into a different holding-period category.
Apply this trade-date rule to each tax lot when you sell shares acquired on different dates. A single sale can involve lots with different holding periods, so the purchase date for the particular shares sold matters. Your broker’s records and the information reported for the transaction should be checked against your own lot-selection records.
What the holding period answers—and what it does not
- It answers classification: whether a gain or loss is generally short-term or long-term under the federal rule.
- It does not answer asset status: holding an item for more than one year does not automatically make a noncapital item a capital asset.
- It does not set a rate: the applicable tax rate depends on the broader tax rules and your circumstances, not solely on the number of days held.
- It does not override a special rule: inherited property, gifts, partnership interests and specialized transactions can have their own holding-period treatment.
Keep those questions separate. A taxpayer can correctly count the days and still need a different rule because of how the property was acquired, the type of interest involved or the way the transaction occurred.

Important exceptions and special situations
Inherited property
Inherited property is generally treated as long-term when reported by the recipient, regardless of how long the recipient actually held it before selling. That special treatment means the ordinary purchase-date-to-sale-date count is not the deciding test for most inherited investments. Confirm the property’s inherited status and basis information using the applicable IRS guidance in Publication 550.

Gifted property can involve a carryover holding period or other rules tied to the donor’s history and the property’s basis. Do not simply count one year from the date the recipient received the gift. The donor’s records and the specific gift rules may determine whether the recipient’s eventual sale is short-term or long-term.
Applicable partnership interests connected with services
The general threshold is not universal for every partnership interest. The Form 8949 instructions identify a special rule under section 1061: for certain applicable partnership interests held in connection with services, the long-term period is generally more than three years. That exception applies only when the interest and transaction meet the detailed section 1061 requirements. It should not be extended to ordinary stock holdings or to every partnership investment. Review the Form 8949 instructions and the relevant section 1061 guidance for the facts of the interest.
Digital assets
The IRS digital-asset FAQ applies the more-than-one-year standard to digital assets, counting from the day after acquisition through the sale or exchange date. Q50–Q51 separately flag digital assets that are section 1256 contracts, because those contracts are subject to their own rules. Do not assume that every token, coin or digital-asset transaction is treated identically. See IRS digital-asset FAQ, questions 50–51.
Short sales, options, conversions and other specialized transactions
Publication 550 notes that short sales, options, conversions and other transactions can involve specific holding-period rules. In these situations, the date you opened a position may not be the only relevant date, and an exercise, assignment, delivery or conversion can affect the calculation. Use the rule for that transaction instead of applying the ordinary purchase-and-sale count mechanically.

Ordinary treatment compared with the main exceptions
| Asset or transaction | General holding-period treatment | Date or qualification to check |
|---|---|---|
| Ordinary investment property | Long-term when held more than one year; one year or less is generally short-term. | Count from the day after acquisition through disposition. |
| Security traded on an established market | Uses the same more-than-one-year threshold. | Use purchase and sale trade dates, not settlement dates. |
| Inherited investment property | Generally reported as long-term by the recipient. | The inherited status controls rather than the recipient’s actual days held. |
| Applicable partnership interest connected with services | Generally more than three years for the section 1061 rule. | Only applies when the detailed applicable-partnership-interest requirements are met. |
| Digital asset | Generally more than one year. | Count from the day after acquisition through sale or exchange; section 1256 contracts are separately flagged. |
| Gift, option, short sale or conversion | Specific rules can alter the ordinary calculation. | Use the applicable transaction guidance and relevant prior-owner or position dates. |
Worked date scenarios
A sale before the anniversary
You acquire ordinary investment property on March 10, 2025 and sell it on March 9, 2026. The period has not exceeded one year, so the result is generally short-term. The fact that the sale occurs only one day before the anniversary is decisive.
A sale after the anniversary
Using the same March 10, 2025 acquisition, a sale on March 11, 2026 is generally long-term. The count begins March 11, 2025, and the disposition date is included.
Shares bought and sold on market trade dates
You purchase shares in an executed trade on July 2 and the transaction settles on July 5. If you sell in an executed trade the following July 3, use July 2 and July 3 as the relevant dates. The later settlement dates do not extend the holding period.
An inherited position sold quickly
You inherit shares and sell them two weeks later. The ordinary two-week count would ordinarily be short-term, but inherited property is generally treated as long-term for the recipient. The inheritance rule, not the elapsed two weeks, controls the classification.

A service-related partnership interest
An interest that falls within section 1061 may need to be held more than three years to receive long-term treatment under that rule. A one-year holding period that would be sufficient for ordinary stock is not necessarily sufficient for this specialized interest.

Preparing the information for Form 8949
When reporting a sale, assemble the information needed to support the classification:
- the acquisition date for the specific property or tax lot;
- the disposition date, or the applicable trade dates for market-traded securities;
- the way you acquired the property, such as purchase, inheritance or gift;
- whether the property or transaction is subject to a special rule, including section 1061 or section 1256; and
- records supporting the dates and transaction details.
Form 8949 instructions distinguish short-term and long-term transactions. If a broker’s report and your records appear inconsistent, investigate the lot and date information before filing rather than changing the classification solely to reach a preferred tax result. A transaction that crosses the threshold should be reported according to its actual dates and applicable rule.
A practical checklist before you sell
- Identify the exact asset or tax lot. Shares bought on different dates may not share the same holding period.
- Write down the acquisition method and date. Note whether it was a purchase, inheritance, gift, option exercise, conversion or another transaction.
- Use the correct date convention. For exchange-traded securities, record trade dates. For ordinary property, begin the count the day after acquisition and include disposition.
- Check for a special rule. Review inherited-property, gift, partnership-interest, digital-asset, short-sale, option and conversion rules where relevant.
- Compare the period with the right threshold. The ordinary test is more than one year; the identified section 1061 partnership-interest rule is generally more than three years.
- Preserve documentation. Keep confirmations, statements and records showing the dates and how the property was acquired.
If a sale is close to the boundary, calculate using the actual calendar dates rather than an estimated day count. If the transaction involves a special acquisition method, a partnership interest connected with services, a digital asset that may be a section 1256 contract, or a complex position, obtain advice based on those facts before filing.

Bottom line for the ordinary investment
For an ordinary investment, more than one year is the federal long-term threshold. Count from the day after acquisition through the disposition date; for exchange-traded securities, use trade dates. A sale on the one-year anniversary may still be short-term, while a later sale can be long-term. Treat inherited property and specialized transactions separately because their rules can change the result.
