What Happens When the IRS Revokes a Nonprofit’s Tax-Exempt Status?

The result depends on how the IRS revoked the status. If a nonprofit missed three consecutive required annual filings, its federal exemption ends automatically by operation of law, effective on the original due date of the third missed filing. There is no appeal of that automatic revocation. The organization generally must apply for exemption again, pay the applicable user fee and, unless the IRS grants limited retroactive relief, operate as taxable from the application date forward. A separate examination-based process starts with a written proposed revocation, reasons and an opportunity to request consideration by the IRS Independent Office of Appeals.

The rules below are federal. Loss of federal exemption can trigger additional state or local consequences, but those depend on the jurisdiction.

The two IRS revocation pathways

“Revoked” does not describe one single procedure. First identify the pathway because the effective date, appeal rights and remedy are different.

Question Automatic revocation for nonfiling Examination-based proposed revocation
Trigger Three consecutive years without a required annual return or notice. An IRS examination or other information indicating that the exemption determination should be revoked or modified.
When status ends By law, on the original due date of the third missed return or notice. After the IRS reaches a final determination; some actions can be retroactive in specified circumstances.
Can the organization protest? No appeals process exists for the automatic revocation itself. The IRS sends a written proposal and reasons and provides a route to request Appeals consideration.
How status is restored A new exemption application and user fee; retroactive treatment is conditional. Follow the protest instructions and deadline in the IRS letter; the final consequences depend on the case.

These distinctions come from IRS guidance on automatic revocation, the lack of an appeal for automatic revocations, and examination consequences.

How automatic revocation happens

The three-year filing trigger

Most tax-exempt organizations, other than churches and certain church-related organizations, must submit an annual information return or notice. Depending on the organization, that filing may be Form 990, Form 990-EZ, Form 990-PF or the electronic Form 990-N. Missing the filing for three consecutive years causes automatic revocation. The legal effective date is the original due date of the third missed return or notice, not the day the IRS later processes the case.

This is a statutory consequence rather than an IRS decision made after weighing the organization’s facts. The IRS may send notices, but an organization should not assume that a notice is what creates the revocation.

The Auto-Revocation List and dates

The IRS publishes an official Auto-Revocation List. It shows an organization’s effective revocation date and the date it was added to the list, and the list is updated monthly. Those dates can differ: the listing date is not necessarily the date the exemption legally ended. Keep both dates when assessing tax returns, donations and contracts.

What changes immediately for the organization

Federal income-tax treatment

After automatic revocation, the organization is no longer exempt from federal income tax. The IRS says it may need to file either Form 1120, U.S. Corporation Income Tax Return, or Form 1041, U.S. Income Tax Return for Estates and Trusts, depending on its legal form and circumstances. Form 1120 is generally due by the 15th day of the third month after the organization’s tax year ends; Form 1041 is generally due by the 15th day of the fourth month after year-end. These are possible filing obligations, not a ruling that every revoked nonprofit must use one form or owes a particular amount.

Taxable income, estimated-tax obligations, penalties and interest require a facts-and-figures review. A revoked organization should preserve books, payroll records, restricted-fund documentation and prior exemption filings while determining which federal returns were due for each affected year.

Donations and donor deductions

A revoked 501(c)(3) is no longer eligible to receive tax-deductible charitable contributions while revoked. The IRS explains that a donor may generally deduct a contribution made before the organization’s name appears on the Auto-Revocation List. Once the name appears, donors generally cannot rely on an earlier determination letter or prior IRS listing to claim that gifts are deductible. See the IRS guidance on deductibility of contributions.

The publication date matters for donor reliance, while the organization’s legal revocation date matters for the organization’s tax status. A charity should tell donors exactly what the IRS records show rather than promising deductibility during the gap.

State and local effects

Federal revocation can affect state charitable-solicitation registration, income-tax exemption, sales-tax treatment, property-tax exemptions or grant eligibility, but no single result applies nationwide. Each organization must check the rules and filing requirements of every state or locality in which it operates, solicits or owns property.

Reinstating status after automatic revocation

A new application is required

The IRS cannot simply restore a proper automatic revocation, and the organization cannot appeal the automatic action. It must apply again for recognition of exemption and pay the applicable user fee, even if it was previously exempt without filing an application. The form depends on the organization and Code section. IRS guidance identifies Forms 1023 or 1023-EZ for applicable 501(c)(3) applicants and Forms 1024 or 1024-A, or a letter in some cases, for other organizations. Current form instructions and fees control.

The IRS describes four reinstatement routes. Eligibility depends chiefly on the organization’s filing type, the length of the delay and whether it can establish reasonable cause. Read the current instructions at Reinstating tax-exempt status after automatic revocation and How to have tax-exempt status reinstated before selecting a route.

Streamlined retroactive reinstatement

Some organizations eligible to file Form 990-EZ or Form 990-N for all three missed years can use a streamlined procedure. One key requirement is filing within 15 months measured from the later of the revocation-letter date or the date the organization was placed on the Auto-Revocation List. The organization must satisfy the route’s other conditions and submit the required application and filings.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Routes requiring reasonable cause

Other procedures require a written reasonable-cause statement and submission of the missed returns or notices plus subsequent filings. For one route, when the application is made within 15 months, reasonable cause must cover at least one of the three missed years; after 15 months, reasonable cause must cover all three years. A separate postmark-date reinstatement route is also described by the IRS. The exact route, schedules and user fee should be confirmed against the current instructions because eligibility and filing mechanics are route-specific.

Reasonable cause is not a guarantee of approval. Explain the facts that prevented timely filing, the corrective controls adopted, who is responsible for future filings and why the failure was not willful neglect. Keep contemporaneous records supporting the statement.

Effective date and retroactive relief

In most cases, reinstatement begins on the date the IRS receives the new application. An organization can request relief back to the automatic-revocation effective date, but the IRS grants retroactive reinstatement only in limited circumstances. If approved, the IRS issues a new determination letter and updates its exempt-organization records.

Retroactive approval does not erase history: the organization remains on the Auto-Revocation List because that list records organizations that lost status for nonfiling. Remaining on the historical list therefore does not, by itself, prove that the organization is still revoked.

A practical response sequence

  1. Confirm the pathway and dates. Search the IRS records, locate any revocation letter and record the third missed filing’s original due date, the effective revocation date and the Auto-Revocation List date.
  2. Stop making unsupported tax claims. Review donation receipts and website language so the organization does not represent gifts as deductible while its status is revoked.
  3. Identify federal returns. Determine whether Form 1120 or Form 1041 applies and calculate filing, tax-payment, penalty and interest exposure for each affected year.
  4. Prepare missing filings. Gather the three missed annual returns or notices and any later filings required by the chosen reinstatement route.
  5. Select the reinstatement procedure. Check the 15-month measurement, filing-size eligibility, reasonable-cause standard and user fee in the current IRS instructions.
  6. Submit the exemption application and fee. Use the form that matches the organization’s Code section, and request retroactive relief only when the facts and route permit it.
  7. Address nonfederal obligations. Contact the relevant state charity regulator and tax agencies about registrations, exemptions, reports and reinstatement requirements.
  8. Build controls before approval arrives. Assign a filing owner, calendar every federal and state deadline, retain filing confirmations and arrange backup coverage for staff or board turnover.

How to verify whether status is current

Use the IRS Tax Exempt Organization Search and the applicable IRS records. Check the organization’s new determination letter and, when appropriate, its current Pub. 78 or Business Master File information.

Do not treat the Auto-Revocation List as a current-status list. An organization can remain on that historical list after reinstatement, and the IRS expressly says inclusion does not necessarily mean the organization is still revoked. Current status should be supported by the latest determination letter and current IRS search records.

What happens in an examination-based revocation

The examination can end in several ways

An IRS examination may produce no change, advice and follow-up, tax or penalties, revocation of the IRS determination that the organization is tax-exempt, or a foundation-status reclassification for organizations to which that classification applies. The IRS summarizes these possibilities in Potential examination consequences.

Why the IRS may propose revocation

Publication 557 explains that an exemption determination may be revoked or modified when an organization materially misrepresented facts, operated materially differently from what it represented when seeking recognition, or when the applicable law changed. Depending on the facts, the action may be retroactive.

Notice and Appeals opportunity

If the IRS concludes from an examination or other information that revocation or modification is warranted, it should notify the organization in writing of the proposed action and the reasons. The notice advises the organization of its right to protest through the Independent Office of Appeals. Follow the deadline, submission method and contact instructions in the organization’s actual letter; the general rules cannot replace those case-specific directions. Publication 557 (01/2025) provides the background at Tax-Exempt Status for Your Organization.

This proposed-action process is fundamentally different from automatic nonfiling revocation: the organization can present its position before a final examination-based determination, while an automatic revocation has no appeal process and requires a new exemption application.

When professional help is justified

Prompt advice from a nonprofit tax professional or attorney is especially important when the organization has substantial taxable activity, payroll, restricted grants, donor disputes, multiple states, a retroactive-relief request or an examination letter. Professional review cannot guarantee reinstatement, but it can help match the organization to the correct IRS route, document reasonable cause, correct delinquent returns and coordinate federal and state filings.
