What Happens to Your Stock Options When You Leave a Startup?

Leaving a startup does not automatically cancel every stock option, but it can end vesting and start a short contractual exercise clock. Your result depends on three separate questions: which options were vested on your applicable termination date, what the plan and award agreement say about post-termination exercise, and whether the grant is an incentive stock option (ISO) or a nonstatutory stock option (NSO).

Do not assume that “90 days” is a universal deadline. U.S. federal tax rules generally require continued employee status through the three-month period before exercising an ISO for favorable statutory treatment (one year in the disability case described by the IRS), while your company’s documents set the actual contractual exercise period. Read the plan and each grant agreement promptly, obtain the deadline in writing, and evaluate tax consequences before sending an exercise notice.

Start with the three questions that control your options

  1. What was vested when your employment ended? Unvested options commonly stop vesting at termination, but only the plan and award agreement establish what happens to your particular grant.
  2. What is the contractual post-termination exercise period? The plan may use a number of days, a specific date, or a rule tied to the original expiration date. It may also define “termination” differently for resignation, layoff, termination for cause, death, or disability.
  3. What tax classification applies? The grant may be an ISO or an NSO. The IRS treats statutory options, including ISOs, differently from nonstatutory options, and the tax result can change again when you sell the shares.

These questions are related but not interchangeable. Vesting determines how much of the grant you earned; the contract determines whether and when you can exercise; tax law determines how the exercise and a later sale may be treated.

What to do immediately after leaving

Use this sequence before making an exercise decision. Keep copies of every document and communicate in writing.

  1. Collect the governing documents. Obtain the equity incentive plan, every stock-option agreement, amendments, the latest capitalization or equity-portal statement, and any separation letter. A portal balance alone may not show the controlling post-termination language.
  2. Pin down the applicable termination date. Ask which date the company uses for vesting and exercise purposes. The date you stop working, the date notice is given, and the date payroll or benefits end may differ under the documents.
  3. Separate vested and unvested units for each grant. Record the grant date, option type, number vested, number unvested, exercise price, and original expiration date. Do not combine grants simply because they appear in one account.
  4. Locate the post-termination exercise clause. Note the deadline, any conditions, the required notice or form, payment methods, and what happens if the deadline falls on a weekend or holiday.
  5. Request written confirmation. Ask the company or its equity-plan administrator to confirm the vested count, final exercise date, exercise price, payment instructions, and whether any special rule applies to your departure.
  6. Model the cash and tax exposure. Exercise requires paying the exercise price and may create tax consequences. A later sale can produce a different result. A tax professional who handles startup equity can apply the rules to your dates, residence, and grant documents.

Vested and unvested options are treated differently

Unvested options

Unvested options generally do not continue vesting after employment ends unless the governing documents provide otherwise. Departure may therefore leave you with fewer exercisable options than the grant’s original headline number. Look for language covering acceleration, termination for cause, death, disability, or a board-approved exception; do not assume any of those provisions applies without reading the text.

Vested options

Vesting does not mean the shares are yours. It means the option has met the vesting condition and may be exercisable subject to the agreement. A vested option can still expire, become unavailable after a contractual deadline, or require a particular exercise procedure. Confirm the final date and process for every grant.

Question What establishes the answer
How many options were vested? The vesting schedule and the plan’s definition of the applicable termination date.
Do unvested options keep vesting? The plan and award agreement; there is no universal rule established by the cited sources.
Can vested options be exercised? The post-termination exercise clause, expiration date, and any stated conditions.

The exercise deadline is a contract issue, not a universal “90-day rule”

Many startup employees hear that they have 90 days after leaving. That number can appear in an award agreement, but it is not a universal deadline for every former employee or every option. Your documents may provide a different period, and the original expiration date can still matter.

The IRS describes a three-month employment condition for ISO tax qualification. In general, an ISO holder must remain an employee through the period ending three months before exercise; the IRS guidance describes a one-year period for the disability case it addresses. This is a statutory tax condition. It does not, by itself, grant a three-month contractual right to exercise, extend a company deadline, or preserve an option after the agreement says it has expired.

Read the documents for:

  • the event that starts the clock;
  • the exact number of days or calendar date;
  • different periods for resignation, termination without cause, termination for cause, death, and disability;
  • whether the period is shortened by the grant’s original expiration date;
  • notice, payment, withholding, and delivery requirements; and
  • the company’s stated method for submitting an exercise.

If the date is unclear, ask for a written answer before the deadline. An unanswered email or a verbal assurance is a poor substitute for confirmation from the plan administrator. Do not assume that a company will extend the period; an extension requires the company’s decision and must be consistent with the governing documents and applicable law.

ISO and NSO tax treatment are different

The IRS distinguishes statutory options, including ISOs, from nonstatutory options. The timing and amount of income can depend on the option type, the exercise, the sale, the holding periods, and your other facts.

Event ISO or other statutory option NSO
Grant The IRS states that no amount is included in income at grant. Separate federal rules apply; the result depends on the award and transaction facts.
Exercise The IRS states that no amount is included in regular income at exercise for statutory options, although your broader tax situation still requires professional analysis. Tax treatment follows nonstatutory-option rules and can differ from ISO treatment.
Later sale A sale can create taxable gain or loss. ISO holding periods determine whether the gain receives the treatment described by the IRS as capital treatment or whether some gain is treated as ordinary income. A sale can have consequences separate from those at exercise; analyze the complete transaction rather than assuming the ISO rules apply.

The table describes the IRS’s general federal framework, not an individual calculation. State, local, and non-U.S. taxes may differ, and the cited guidance does not determine your personal basis, valuation, withholding, or filing obligations.

The ISO employment condition

Section 422 of the U.S. Code contains statutory ISO employment and holding-period criteria. IRS guidance generally requires the holder to be an employee through the period ending three months before exercise, with a one-year period in the disability case described in that guidance. If you exercise outside the conditions for ISO treatment, the tax result may not be the same as a qualifying ISO exercise.

That rule should be kept separate from the company’s exercise deadline. Missing a contractual deadline is not merely a tax-classification change; the option may no longer be exercisable. Conversely, a contract that allows exercise for longer does not guarantee that every later exercise will retain ISO tax treatment.

Records after an ISO exercise

The IRS states: “If you exercise an ISO during 2025, you should receive Form 3921, or a statement, from the corporation for each transfer made during 2025.” — Internal Revenue Service, Publication 525 (2025), Taxable and Nontaxable Income. Keep that form, the exercise confirmation, payment record, grant agreement, and later sale documents with your tax files.

Compare grants before deciding whether to exercise

If you have several grants, evaluate them separately instead of treating the account as one balance.

Comparison point Why it matters
Vesting status Only options vested under the applicable termination rule can generally be considered for post-departure exercise.
ISO versus NSO The IRS tax framework differs by classification, including the treatment of exercise and later sale.
Contract deadline and expiration The earliest applicable end date controls whether an exercise can be accepted.
Exercise price You need enough cash, or an approved payment method, to exercise the number of options you choose.
Tax timing Exercise and sale are separate events, and ISO holding periods can affect the character of later gain.
Jurisdiction The cited material is U.S. federal guidance; your state, local, or foreign rules may add different requirements.

A practical decision is often to exercise all, some, or none of the vested options before the deadline. The right choice depends on the cash required, the company’s current value information, your risk tolerance, your expected holding period, and the tax consequences. Do not treat a financing price for preferred stock as your common-stock value or as an individual tax valuation; the cited material does not establish those equivalences.

Questions to send the company or plan administrator

  • What termination date is being used for vesting and post-termination exercise?
  • How many options in each grant were vested on that date?
  • What is the final exercise date for each grant, and does the original expiration date shorten it?
  • Is each grant classified as an ISO or an NSO?
  • What exercise form, notice, payment method, and delivery instructions are required?
  • Are there special rules for disability, death, termination for cause, or another separation category?
  • Will the company provide written confirmation of acceptance and the number of shares issued?

Request answers grant by grant. A single equity-portal total can conceal different deadlines or tax classifications.

Common departure scenarios

You leave before a vesting date

The portion that had not vested by the applicable termination date may stop accruing. Check the schedule and any acceleration language; do not count future installments unless the documents say they vest.

You leave with vested options

You may have a contractual opportunity to exercise, but only within the stated post-termination period and subject to the original expiration date and exercise procedure. Calculate the cash requirement and tax implications before submitting the exercise.

The company says “you have 90 days”

Ask the company to identify the exact clause and date in your agreement. The statement may be accurate for that grant, but the IRS’s three-month ISO employment condition is not proof of a universal contractual window.

You have a disability-related separation

Check the plan’s definition and notice requirements. IRS guidance describes a one-year employment period for the disability case relevant to ISO qualification, but the contract still controls whether and how long the option remains exercisable.

You hold several grants

Create a separate record for each grant’s vested count, option type, exercise price, deadline, and expiration. Exercise decisions can differ across grants.

When professional advice is warranted

A tax professional familiar with startup equity can evaluate ISO and NSO treatment, exercise and sale timing, holding periods, and the interaction of federal and state rules. An attorney familiar with equity compensation can interpret ambiguous plan language, disputed termination dates, or a company’s refusal to confirm the deadline. Bring the complete plan, award agreements, separation documents, exercise records, and your residence and work-jurisdiction information.

The governing documents answer the contract question; IRS guidance answers the general federal tax framework. Neither source, by itself, determines the result for your specific grant.

Bottom line

Leaving a startup can end vesting and begin a deadline for exercising vested options, but there is no one outcome for every employee. Identify the vested portion, read the post-termination clause and final expiration date, distinguish ISO tax conditions from contractual rights, and review exercise-and-sale consequences before acting. Treat the three-month ISO employment rule as a tax qualification condition—not as an automatic 90-day promise.
