A two-for-one split, for example, turns 100 shares at a $100 reference price into 200 shares at a $50 reference price. The arithmetic changes, but your percentage ownership and the company’s total equity do not change because of the split itself.
A reverse split does the opposite: it combines shares, such as converting 10 old shares into one new share. Either type of split can affect displayed cost basis, dividends per share, fractional entitlements and the way your broker posts the transaction. The company’s transaction notice and your broker’s corporate-action instructions control the details for your account.

What a stock split changes—and what it does not
A stock split changes the number of units into which a company’s equity is divided. It does not, by itself, add cash to the company, increase the value of the business or give existing holders a larger percentage of the company. The U.S. Securities and Exchange Commission (SEC) explains the distinction this way: “Unlike issuing new shares, a stock split does not dilute the ownership interests of existing shareholders.”

How a forward stock split works
Share count and reference price
In a forward split, the ratio tells you how many new shares replace each old share. Multiply your pre-split shares by the first number in the ratio, then divide the old per-share reference price by that same number. In a two-for-one split:
| Before split | After split (mechanical adjustment) | |
|---|---|---|
| Shares | 100 | 200 |
| Reference price per share | $100 | $50 |
| Total market value at that instant | $10,000 | $10,000 |
The $10,000 total in this illustration is unchanged only at the instant of the arithmetic adjustment. Once trading continues, the market determines a new price, and the position’s value can rise or fall.
Ownership percentage
Every existing holder’s share count and the company’s total shares outstanding increase by the same ratio. Your fraction of the company therefore stays the same, assuming you do not buy or sell shares and no separate transaction occurs. A split is different from issuing new shares to raise capital, which can dilute existing holders.

Dividends per share
If the company pays a dividend, the dividend per share is normally adjusted in the opposite direction so that the declared dividend is expressed over the new share count. For example, a $1-per-share dividend could become $0.50 per share after a two-for-one split. The company can separately change its dividend policy, so the split does not guarantee that your future total cash dividend will remain identical. Check the issuer’s dividend announcement for the actual amount and record date.
How a reverse stock split works
Consolidating shares
A reverse split combines several old shares into fewer new shares. In a one-for-ten reverse split, 10 old shares become one new share. A holder of 73 shares would be entitled to 7.3 new shares before the company applies its treatment of the fractional 0.3 share.
| Feature | Forward split | Reverse split |
|---|---|---|
| Share count | Increases by the ratio | Decreases by the ratio |
| Mechanical per-share price adjustment | Falls proportionately | Rises proportionately |
| Typical example | 2-for-1: 100 shares become 200 | 1-for-10: 10 shares become 1 |
| Fractional entitlement risk | Usually arises when fractional ownership is already involved or the account cannot hold the resulting fraction | Common when your old share count is not divisible by the ratio |
| Possible stated purpose | Lower the trading price per share and broaden trading accessibility | Raise a very low quoted price or seek compliance with an exchange minimum-bid rule |
Those purposes describe why a company might choose a ratio; they do not establish that its business prospects improved. Investor.gov cautions that investors can lose money from price fluctuations after a reverse split.

Why a reverse split may end your share ownership
Some reverse-split plans pay cash for fractional entitlements instead of issuing a fraction. If your entire position is smaller than the ratio, the transaction could cash out all of your interest. A reverse split can also be part of a transaction that reduces the number of shareholders of record or supports a going-private plan, but that is not true of every reverse split. Read the company’s plan and notice rather than inferring the purpose from the ratio alone.

SEC guidance says owners of fractional shares participate in corporate actions such as splits and reverse splits. Whether your account can continue to display or hold the resulting fraction depends on your brokerage arrangement. Firms can differ in their treatment of fractional shares, including whether they support them, how they execute orders, what fees apply, whether fractions can be transferred and when cash is credited.
What to check in your account
- The company’s announced ratio, effective date and any record or payable dates.
- Whether the notice says fractional entitlements will be issued, rounded, sold or paid in cash.
- The broker’s stated cash-in-lieu price and the date used to calculate it, if applicable.
- Whether pending orders, options, automatic-investment instructions or transfer requests require adjustment.
- The post-action share count, cash entry and cost-basis records on your statement.
Do not assume that a displayed “0.5 share” will remain transferable or available for trading. Corporate-action processing can temporarily show an old balance, a new balance or a separate pending entry while the broker reconciles the event.

U.S. federal tax treatment and cost basis
The split itself generally is not taxable
The Internal Revenue Service (IRS) says that additional shares received in a stock split do not themselves create taxable income. Income is generally recognized when shares are later sold, subject to the facts of the transaction and the investor’s tax situation. This explanation is limited to U.S. federal tax treatment; state, local and non-U.S. rules can differ.
Allocate the same total basis over more shares
Your total basis for the original lot remains the same, but the basis per share changes. The IRS’s two-for-one example uses 100 shares with a $15 basis per share: the $1,500 total basis becomes 200 shares with a $7.50 basis per share.
| Before two-for-one split | After two-for-one split | |
|---|---|---|
| Shares | 100 | 200 |
| Basis per share | $15.00 | $7.50 |
| Total basis | $1,500 | $1,500 |
If you bought shares in multiple lots at different prices, allocate each lot’s basis separately across the shares produced from that lot. Keep the original trade confirmations and tax-lot records even when your broker updates the account automatically. A cash payment for a fractional share can have its own tax consequences, so retain the broker’s transaction detail and consult a qualified tax professional if the amount or transaction is unusual.

Reconciling a broker’s basis record
After the action settles, compare the broker’s new share count and per-share basis with the issuer’s tax notice and your records. A missing lot, an incorrect acquisition date or a cash-in-lieu entry can affect a later gain or loss calculation. Ask the broker to correct a discrepancy before selling if possible, and do not treat an account display as definitive when it conflicts with your original confirmations.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. What to do when a split is announced
- Read the issuer’s filing or corporate-action notice. Confirm whether the event is forward or reverse, the exact ratio, the effective date, and any treatment of fractions.
- Record each tax lot. Save the number of shares, acquisition date, total cost and adjusted basis information for every lot.
- Check your broker’s announcement. Look for its posting date, cash-in-lieu policy, fees, order restrictions and whether fractional shares are supported.
- Review open instructions. Verify standing orders, recurring purchases, dividend reinvestment and securities-lending settings. A split can change the number of shares or the price level at which an order should execute, while the broker’s terms determine whether an order is automatically adjusted.
- Wait for settlement and reconcile. Compare the final share count, cash credit, dividend amount and cost basis with the notice. Keep screenshots or statements showing the adjustment.
- Escalate unexplained differences. Ask the broker’s corporate-actions or tax-reporting team for a written explanation, then compare it with the issuer’s transfer-agent or investor-relations information if needed.
How a split affects trading and portfolio decisions
Lower price is not a cheaper valuation
A lower post-split quote can make a stock easier to buy in whole shares, but it does not make the underlying business less expensive relative to its earnings, assets or cash flow. Likewise, a higher quote after a reverse split does not prove that the company became more valuable. Evaluate the company using valuation and risk measures rather than the share count alone.
Options and other contracts
Exchange-listed options and similar contracts are normally adjusted by the relevant clearing and exchange rules, which can change the contract’s deliverable, strike price or number of contracts. Do not calculate an options adjustment from the common-stock ratio alone. Check the official contract-adjustment notice from your broker or the applicable exchange before trading.
Portfolio records
Performance software may briefly show an artificial gain, loss or return if it records the new share count before importing the corporate-action entry. Use adjusted historical prices and the broker’s finalized activity statement when reviewing performance. The split should not be mistaken for a deposit, withdrawal or realized investment return.
Forward versus reverse splits: practical differences
| Question | Forward split | Reverse split |
|---|---|---|
| What happens to your shares? | You receive more shares per old share. | You receive fewer shares per old share. |
| What happens to the quoted price? | It is mechanically reduced by the ratio. | It is mechanically increased by the ratio. |
| Does ownership dilute? | Not from the split itself. | Not from the consolidation itself, although cashing out fractions can end a small holder’s position. |
| What happens to total basis? | It remains allocated across more shares. | It remains allocated across fewer shares, subject to the tax treatment of any cash paid for a fraction. |
| Main account risk | Misreading the new per-share basis or dividend amount. | Unexpected cash-in-lieu treatment, a zero share balance for a small position, or confusion caused by a large price move. |
Common mistakes to avoid
- Calling the split a profit. More shares do not create a return by themselves.
- Assuming the old dividend per share continues. The per-share amount is normally adjusted, and the company can change its policy independently.
- Ignoring the ratio’s direction. “One-for-ten” is a consolidation; “ten-for-one” is an increase in share count.
- Discarding old tax-lot records. The total basis must be traced through the split and any fractional cash payment.
- Assuming every broker handles fractions identically. Policies on holding, selling, fees and transfers vary.
- Treating a reverse split as a buy or sell signal. The stated compliance or price objective says nothing by itself about future operating performance.
When the numbers do not look right
If your share count is wrong, first verify that the effective date has passed and that the broker has completed processing. Then compare the ratio in the issuer’s notice with the old and new balances. A difference equal to a fractional entitlement may appear as a separate cash entry rather than shares. If the count is correct but the basis is not, check whether the broker has posted the action while waiting for final tax-lot data. Preserve all statements and request a correction in writing.
For a tax question involving a non-U.S. account, retirement plan, partnership, employee award, merger-related split or other unusual transaction, use the issuer’s tax information and professional advice rather than relying on the general U.S. federal rule.
