What Happens to Your NBFC Loan After the Lender Surrenders Its RBI Licence?

Short answer: Your loan does not automatically disappear when an NBFC applies to surrender, or even when the Reserve Bank of India (RBI) cancels, its Certificate of Registration (CoR). First establish whether there is only a surrender application or an effective cancellation order. Then identify the current creditor or authorised servicer, obtain authenticated payment instructions, preserve every receipt, and check how the account is being reported to credit information companies.

The account-specific result depends on the cancellation order, your loan agreement, any transfer of the loan exposure, and whether the entity is entering a winding-up or another resolution process. Treat the regulatory change as a reason to verify the account—not as proof that the balance has been forgiven.

What “surrendering an RBI licence” can mean

In ordinary conversation, “the NBFC surrendered its licence” can describe two different events. An NBFC may apply voluntarily to surrender its RBI Certificate of Registration, or the RBI may later cancel that certificate under its statutory powers. Those are not the same date or legal event. The RBI’s Handbook on Indian Banking describes voluntary surrender as an application process and separately discusses cancellation by the regulator.

A company announcement, a notice in an app, or a call-centre statement that an application has been filed does not, by itself, establish that the CoR has been cancelled. Find the RBI notice or cancellation order for the specific entity and record its effective date. That date is the starting point for working out which reporting and servicing rules apply.

What you find What it establishes What it does not establish
Surrender application or proposed surrender The NBFC has asked to give up its CoR. That RBI has accepted the request, or that your loan is closed.
RBI cancellation order with an effective date The entity’s registration status has changed from that date. Automatic forgiveness, a zero balance, or the identity of your future servicer.
Transfer notice or new account statement Another institution may hold the loan exposure or administer payments. That every message from an unverified caller is genuine.
Winding-up or resolution action A separate process may control collection, claims, records, and servicing. The final treatment of your individual account without reviewing the order and contract.

Do you still have to pay an NBFC loan after cancellation?

Cancellation is a regulatory status change. The materials governing this question do not say that it automatically extinguishes contractual loan balances. Until you receive reliable, account-specific instructions showing a different outcome, treat the signed loan agreement and the recorded outstanding balance as operative.

That does not mean you should keep sending money to an old account number merely because it appears on a past statement. It means you should not stop or redirect instalments solely because the former lender’s website, app, branch, or telephone line is unavailable. A payment sent to an unauthorised account can create a separate dispute even if you were acting in good faith.

Use an authenticated instruction before changing the payment route

Ask the entity named in the RBI notice, an official transfer notice, or a verified statement to confirm in writing:

  • the legal name and role of the current creditor or authorised servicer;
  • your loan or account number and the date the instruction became effective;
  • the principal, interest, fees, and other components of the balance, with the calculation date;
  • the bank account, payment link, mandate, or other channel to use for each instalment;
  • how payments made around the transition date will be credited; and
  • the contact point for statements, complaints, and a no-dues or security-release document.

Independently verify the contact details through an official RBI notice or a previously authenticated channel. Do not rely on a new QR code, personal bank account, or messaging-app instruction that cannot be tied to the creditor or authorised servicer.

If instructions are missing or contradictory

Keep making a dated record of every attempt to obtain instructions: emails, letters, call logs, screenshots, delivery confirmations, and the responses received. Write to the last verified address and ask for a reconciliation of any instalment that could not be processed. The exact legal remedy for a disputed payment, default notice, or collection action depends on the contract and facts; a general explanation cannot determine that remedy for an individual borrower.

Can another company take over the loan?

Yes, a transfer of the loan exposure or a servicing arrangement may be involved. The RBI’s Transfer of Loan Exposures Directions, 2021 recognise transfers and servicing arrangements. A transferee may become the creditor of record, while a separate service provider may collect instalments and administer statements. The two roles should not be assumed to be identical.

The directions state that “The transfer of loans by transferor(s) must not contravene the rights of underlying obligors.” In practical terms, a change in the institution handling the account should not silently remove rights written into your loan contract. It also does not mean that a transfer has happened in your case; only account-specific documentation can establish that.

What to request from a transferee or servicer

  1. Request a notice identifying the transferor, transferee, or servicer, the legal basis for its authority, and the effective date.
  2. Request a complete statement showing the opening balance at transfer, every credit and debit, interest rate, fees, overdue amounts, and the closing balance.
  3. Ask whether the institution is the creditor, an agent collecting on the creditor’s behalf, or both.
  4. Confirm which contract terms, mandates, collateral records, insurance arrangements, and dispute contacts continue unchanged.
  5. Match the new statement against your own receipts before accepting a changed instalment or balance.

If the message identifies only a brand or collection agent but not the legal creditor, ask for the creditor’s name and authority in writing. A servicer’s ability to collect does not by itself prove that the underlying debt has been recalculated correctly.

How will your CIBIL or other credit report be updated?

RBI created a special post-cancellation reporting mechanism because a cancelled entity may no longer qualify as a credit institution for ordinary acceptance of credit information under the Credit Information Companies (Regulation) Act framework. Without a mechanism, a borrower could keep paying while the usual reporting path stopped updating.

The RBI notification on credit-information reporting after cancellation says that relevant institutions should continue reporting information for borrowers who were onboarded and reported before cancellation to all four credit information companies. Reporting continues through completion of the loan lifecycle or the credit institution’s winding-up, whichever occurs earlier. The credit information companies are to tag the affected cases using information on the RBI website or the cancellation order.

This is a reporting framework, not a promise that an individual report will refresh on a particular day. A missing update does not prove that your payment was rejected, and a collection message does not prove that the bureau entry is accurate.

A practical credit-report check

  1. Download a current report from each relevant credit information company after the transition, and save the report with its date.
  2. Compare the reported balance, days past due, account status, lender name, and last-payment date with your receipts and statement.
  3. If an instalment, corrected balance, closure, or settlement is missing or wrong, send a written correction request to the current creditor or servicer and the credit information company.
  4. Attach the agreement, statement, payment proof, cancellation or transfer notice, and a short timeline identifying the exact field that is incorrect.
  5. Keep the acknowledgement, reference number, and final response. If the response does not resolve the discrepancy, repeat the request with the missing evidence and use the grievance channel stated by the institution.

What records should you preserve?

Create one chronological file before access to the old app or portal disappears. The file should contain:

  • the sanction letter, loan agreement, schedules, and every referenced enclosure;
  • statements showing the balance immediately before and after the regulatory change;
  • the RBI cancellation notice, surrender-related communication, and any transfer or resolution notice;
  • bank statements, receipts, mandate confirmations, and failed-payment messages;
  • emails, letters, call notes, complaint acknowledgements, and delivery proofs;
  • dated copies of each credit report; and
  • no-dues, foreclosure, settlement, charge-release, or security-return documents.

Save files in more than one location and keep the original dates and message headers. A screenshot without the account number or date may be difficult to connect to a particular payment later.

What happens to collateral and security after repayment?

For a secured loan, repayment and release of security are separate administrative steps. RBI’s Fair Practices Code guidance for NBFCs says that securities should be released after repayment of all dues or realisation of the outstanding loan, subject to legitimate rights or liens for other claims. If a set-off is asserted, the borrower should receive particulars explaining the remaining claim.

When the loan is fully paid, ask the responsible creditor, liquidator, or authorised servicer in writing for the applicable release documents and charge-release process. Keep proof of delivery. If the institution says another claim permits retention, ask for the legal and account-specific basis, the amount claimed, and the documents required to challenge or satisfy it.

What protections still matter during recovery?

The Fair Practices Code guidance says loan amounts, terms, and annualised interest should be communicated in writing and that the loan agreement and referenced enclosures should be furnished. Changes to terms or charges should be notified, and changes in interest and charges should operate prospectively. The guidance also calls for a grievance mechanism and says recovery should not involve undue harassment.

It states that NBFCs should “refrain from interference in the affairs of the borrower except for the purposes provided in the terms and conditions of the loan agreement.” The cited circular is older, so check the current directions applicable to your loan and the entity’s present status. Nevertheless, keep any threatening, excessive, or contradictory recovery communication and raise it through the institution’s written grievance channel.

How to work out which situation applies to you

Question If the answer is yes Next document to obtain
Has RBI issued an effective cancellation order? Use the order date when reviewing reporting and servicing events. Full cancellation notice or order.
Was only an application to surrender announced? Do not treat the announcement as a completed cancellation. RBI decision or confirmation of status.
Does a new institution identify itself as transferee? Reconcile the transferred opening balance and payment route. Transfer notice and account statement.
Does the new institution say it only services the loan? Keep the creditor and collection roles distinct. Servicing authority and creditor details.
Is the account missing or wrong on a credit report? Use receipts and statements to request a correction. Written dispute acknowledgement and corrected report.
Is collateral involved and all dues paid? Request release and charge-closure documents. No-dues confirmation and security-release paperwork.

When to obtain individual advice

General guidance cannot decide whether a particular instalment is legally due, whether a transfer complied with your contract, or how an insolvency or winding-up order affects enforcement. Obtain advice suited to your facts if you receive a possession or enforcement notice, a demand for a balance that conflicts with your records, a refusal to recognise payments, or a dispute over collateral or a personal guarantee. Give the adviser the complete chronological file rather than relying on a verbal summary.

For most borrowers, the safest immediate sequence is factual: establish the RBI status, authenticate the current account handler, reconcile the balance, preserve payment evidence, and monitor the credit report. Those steps protect your position without assuming that cancellation either erased or confirmed the debt.
