When an Indian mutual-fund scheme merges, your existing units normally move into a surviving or consolidated scheme under the terms in the fund house’s notice. You receive replacement units according to a scheme-specific allocation formula; you do not necessarily receive the same number of units, and the two schemes’ NAVs do not have to be equal.
You can usually choose to leave during the notice’s exit window at the prevailing NAV without an exit load. Staying through a qualifying consolidation may preserve your cost of acquisition and holding period for tax purposes, while redeeming or switching out can create a taxable capital gain or loss. The notice controls the dates, process, recurring-investment treatment and exact terms.

What a mutual-fund scheme merger means
A scheme merger, also called consolidation, combines one mutual-fund scheme with another. The scheme that disappears is commonly described as the merging or transferor scheme; the continuing fund is the surviving, transferee or consolidated scheme. Your investment does not simply vanish. If you remain invested, the fund house records your entitlement in the surviving scheme using the allocation basis disclosed to unitholders.
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
The practical result is a change in the legal scheme in which you hold units. The surviving scheme’s objective, asset mix, risk profile, costs and operating features may differ from those of the fund you originally selected. That is why a merger notice is an investment decision document, not merely an administrative announcement.

SEBI’s framework generally treats consolidation as a change in fundamental attributes. The asset-management company and trustees must consider unitholder interests, obtain the required board approvals, submit the proposal and scheme documents to SEBI, and communicate material information to affected investors.
What happens if you stay invested
You receive units in the surviving scheme
The notice must explain how units in the consolidated scheme will be allotted. The formula uses the relative values of the two schemes on the relevant date, so the number of replacement units can be higher, lower or otherwise different from your old unit count. A change in unit number does not by itself mean that value has been lost or gained; the NAV per unit also changes as part of the conversion.
Do not assume a one-for-one exchange or that the old and new NAVs will match. The exact ratio is specific to the schemes, valuation date and notice. Keep the allotment statement and the original account statement so you can reconcile the number of units and the value transferred.

After the effective date, returns and risk are determined by the consolidated scheme’s portfolio and rules. Before deciding to continue, compare:
- Investment objective and permitted instruments.
- Equity, debt, cash and other asset-allocation ranges.
- Credit quality, concentration limits and other risk information.
- Benchmark, plan and option structure, where changed.
- Fees, exit-load provisions and other material features stated in the notice.
SEBI’s June 23, 2003 circular specifically calls for disclosure of the new scheme’s investment objective, asset allocation and principal features. It also calls for a numerical illustration of the unit-allocation basis and information about non-performing assets and illiquid assets in the individual and consolidated schemes. Use those disclosures to decide whether the surviving fund still fits your goals and risk tolerance.
Consent may be inferred if you do nothing
Many notices state that investors who do not redeem during the exit period will be treated as continuing in the surviving scheme. A 2023 notice from Groww, for example, specified a record date and exit window, explained that non-redeeming holders would continue in the surviving scheme, and set out the redemption process. Those dates applied only to that transaction; they are not a template for a current merger.

Your no-exit-load choice
What the option allows
SEBI’s consolidation framework provides an exit opportunity at the prevailing NAV without an exit load. In the specific case covered by the March 20, 2026 SEBI Master Circular—where a change in control of the asset-management company results in consolidation or merger—the exit period must run for at least 30 calendar days from communication of the proposal. That minimum should not be presented as the deadline for every merger. Your own notice controls the start date, end date and transaction mechanics.

Find and replace yours safely.Free scan · under a minute“Without exit load” means the fund house will not deduct the scheme’s normal exit charge for a qualifying election made within the stated window. It does not guarantee a particular NAV, prevent market movement, or eliminate income-tax consequences. The NAV used can depend on when a valid instruction is received and processed under the notice and applicable rules.
How to exercise the option
- Obtain the full notice-cum-addendum. Use the communication sent by the asset manager, registrar or exchange and confirm that it covers your exact scheme, plan and option.
- Mark every relevant date. Record the announcement date, exit-window opening and closing dates, final transaction cut-off, record date and effective date. These dates can differ.
- Check the permitted transaction. The notice may require a redemption, a switch to another scheme or another specified instruction. Follow its stated channel, form, online route and identity requirements.
- Submit and retain proof. Save the acknowledgement, transaction reference, bank-credit details and the final account statement.
- Verify settlement. Confirm the NAV applied, units cancelled or transferred, applicable taxes or charges and the status of any recurring instruction.
If you miss the window, you may remain invested in the surviving scheme and later redeem under its ordinary rules, which can include an exit load and the NAV applicable on that later transaction.
Tax treatment: staying is different from cashing out
Qualifying consolidation can be tax neutral
Fund-house materials describing qualifying consolidations state that exchanging units of the old scheme for units of the consolidated scheme is not treated as a taxable transfer when statutory conditions are met. The new units generally inherit the old units’ cost of acquisition, and the previous holding period is included in the holding period of the replacement units. The Groww notice and a UTI scheme document describe this carryover treatment.
This treatment depends on the transaction meeting the applicable legal conditions and on the way the particular merger is structured. It is not a blanket promise that every scheme change is tax-free.

If you choose to redeem or switch out instead of continuing, the transaction may create a capital gain or loss. The holding period, scheme type, cost records, transaction date and your tax status can affect the result. A no-exit-load redemption can still be taxable because an exit charge and a tax are separate matters.

Use the notice’s tax section as a starting point, then obtain advice based on your residence, folio history and the current law before making a large redemption or switch. Preserve purchase confirmations, dividend or reinvestment records and the merger allotment statement; they may be needed to establish the carried-over cost and holding period.
What happens to your SIP, STP and SWP
A merger does not have one universal rule for systematic facilities. The notice may say that future SIP, systematic transfer plan (STP) or systematic withdrawal plan (SWP) instructions continue in the surviving scheme, are stopped, are converted, or must be cancelled and re-registered.
A BSE notice concerning an Aditya Birla Sun Life AMC merger stated that certain existing SIP, STP and SWP registrations would continue in the surviving scheme for holders who did not exit. Its no-exit-load period ran from October 27 through November 25, 2025; those dates have passed and illustrate only how one notice handled recurring instructions.
Check the exact treatment of each facility:
- Whether the registration number, amount, frequency and bank mandate carry over.
- Whether an installment due near the record or effective date is accepted, rejected or processed in the old scheme.
- Whether an STP destination or SWP schedule changes because the surviving scheme has different options.
- Whether you must submit a fresh mandate, folio form or online registration.
- Whether a cancelled instruction requires a new start date or minimum balance.
Do not rely on an assumption that “the SIP will continue.” Confirm the instruction after the effective date and review your bank statement for the first post-merger debit or credit.
Dates and documents you must distinguish
| Item | What it means for you |
|---|---|
| Communication date | When the fund house sends or publishes the merger information; it may start the period used to calculate the exit window. |
| Exit-window dates | The opening and closing dates during which the stated no-exit-load redemption or switch can be submitted. |
| Transaction cut-off | The final time and channel requirements for an instruction to receive the treatment described in the notice. |
| Record date | The date used to identify holdings and calculate or register the replacement entitlement. |
| Effective date | When the surviving scheme becomes the operative scheme for the consolidation. |
| Allotment or account-statement date | When replacement units and the carried-forward records appear in your folio or statement. |
A notice can use different dates for each event. A historical date from another fund house cannot be used to infer the deadline for your account.
A practical decision framework
Continue when the surviving scheme still fits
Continuing can be reasonable when the consolidated scheme has an objective, asset allocation and risk level that remain appropriate, the costs and features are acceptable, and you are comfortable with the portfolio disclosed in the notice. Staying can also avoid an immediate voluntary redemption and may preserve the carried-over cost and holding period under qualifying tax treatment.

Exit when the mandate no longer matches your plan
Consider using the exit facility when the surviving scheme’s equity or debt exposure, credit quality, concentration, liquidity profile or other fundamental feature no longer suits your time horizon. Also consider leaving if the merger creates a portfolio you would not choose today. Compare the tax cost of exiting with the risk and opportunity cost of remaining invested.

Do not decide from NAV alone
A lower NAV in the surviving scheme is not automatically cheaper, and a higher NAV is not automatically expensive. The relevant questions are the units you will hold, the value represented by those units, the portfolio’s mandate and the costs and taxes attached to each choice.

- Treatment of SIP, STP, SWP and other standing instructions.

Common mistakes and how to avoid them
Assuming the number of units stays the same
Replacement units are calculated using the disclosed ratio. Reconcile the post-merger statement rather than expecting a one-for-one transfer.
Treating the no-exit-load period as tax-free
The waiver removes a scheme charge. It does not decide whether a redemption or switch is a taxable transfer.

Using another investor’s dates
Dates in a 2023 or 2025 notice are historical examples. Read the notice for your scheme and current transaction.
Ignoring recurring instructions
An SIP, STP or SWP can continue, stop or require re-registration. Confirm the first transaction after the effective date.
Comparing only past returns
The merger changes the mandate and portfolio. Examine objective, allocation, credit and liquidity disclosures rather than relying only on the old scheme’s performance history.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsWhat you should expect after the merger
Once the effective date has passed, obtain a statement showing the surviving scheme name, replacement-unit quantity, NAV or valuation used, and carried-forward transaction details. Check that your plan and option are correct, that any redemption was settled to the nominated bank account, and that systematic instructions behave as the notice promised. Raise discrepancies promptly with the asset manager or registrar and keep the written response.
The governing documents are the current SEBI requirements and your fund house’s live notice. Because no personal folio, current merger document or tax profile is available here, the exact replacement units, deadline, SIP treatment and personal tax result can only be determined from those documents and your records.
