There is no universal 30-, 60- or 90-day deadline. Before leaving, obtain the plan’s exact last-exercise date, confirm the exercise price and payment process, and understand the tax and transfer restrictions that could apply.
This explanation is India-focused. A grant from a foreign parent, a listed-company plan governed by different regulations, or your personal tax residence can produce a different result.

First, separate an option from a share
An employee stock option is a contractual right to buy shares at a predetermined exercise (or strike) price after specified conditions, such as vesting, are met. It is not itself a shareholding. The usual stages are grant, vesting, exercise and, if permitted, sale.

The Companies (Share Capital and Debentures) Rules, 2014 also generally restrict transferring an option to another person. These distinctions matter after resignation: a vested option is an opportunity to buy, not stock you already own.

What happens on the date your employment ends?
The relevant date is the resignation or termination date defined by your plan. It may be your last working day, the date your notice ends or another date specified in the grant documents. Ask the administrator to confirm the date in writing, because vesting that occurs after that date may not count.
| Option status at the employment-end date | Usual result under the cited Indian rule | What you must verify |
|---|---|---|
| Unvested | Expires on resignation or termination under Rule 12(8)(f). | Vesting calculation, effective end date and any plan-specific exception. |
| Vested but unexercised | Can generally be exercised only during the post-resignation period stated in the scheme and grant. | Last exercise date, exercise procedure, price, payment and restrictions. |
| Already exercised | You hold issued shares, subject to the plan, articles and securities-law restrictions. | Lock-in, transfer process, listing status, tax records and any company buyback rules. |
Do you lose unvested ESOPs when you leave?
For schemes governed by the Companies Rules cited here, yes. Rule 12(8)(f) states: “In the event of resignation or termination of employment, all options not vested in the employee as on that day shall expire.” An unvested option therefore does not continue to vest after your departure merely because you completed part of the vesting schedule.
Review the vesting statement as of your plan’s employment-end date. Check for cliff vesting, monthly or quarterly vesting, performance conditions, and any provision dealing with resignation during notice. A verbal estimate from a manager is not a substitute for the administrator’s written calculation.

How long can you keep vested ESOPs after resignation?
There is no single statutory exercise window for every employee in the material cited. For an unlisted-company scheme, Rule 12(1)(l) requires the scheme to specify the period in which vested options may be exercised after proposed termination or resignation. Your plan and grant letter therefore control the deadline.
Do not assume that every employer gives the same period or that the clock starts on the day you submit your resignation. The documents may define a fixed number of days, a date tied to termination, separate deadlines for each tranche, or a different treatment for resignation, retirement, termination for cause and death. Obtain the calculation for every grant.
How to identify the real deadline
- Locate the signed grant letter, the complete ESOP scheme, amendments and any employee handbook incorporated into the grant.
- Find the clauses headed “cessation of employment,” “resignation,” “exercise period,” “lapse” or similar language.
- Ask the plan administrator to state the last date and time for a completed exercise, not merely the date by which you must begin an application.
- Confirm whether the deadline is different for each vesting tranche and whether weekends, holidays or portal downtime change the effective cut-off.
- Request written confirmation of what happens if you resign during a notice period or the company places you on garden leave.
A plan may require payment, tax withholding and delivery of all documents before an exercise is considered complete. Leaving the request in a portal as “submitted” may not be enough.
What exercising a vested option involves
Exercise normally requires you to pay the exercise price multiplied by the number of options exercised. The company then issues shares, subject to its corporate and plan procedures. Some plans allow partial exercise; others require a minimum lot or all options in a tranche. A cashless or net-settlement facility exists only if the plan and company expressly provide it.

Exercise checklist
- Obtain the vested and unvested count as of the confirmed employment-end date.
- Record the exercise price for each grant and calculate the cash needed, including any applicable withholding.
- Confirm the accepted payment method, bank details, currency and cut-off time.
- Check whether the portal requires identity, bank, demat or tax documents from former employees.
- Submit the exercise notice and retain the acknowledgement, payment proof and share-issuance statement.
- Verify the number of shares actually issued and the date on which ownership is recorded.
The option is not transferable simply because it is vested. If you die, become disabled or are terminated rather than resigning, a different clause may apply; do not apply the resignation rule to those events without checking the plan.
Tax: why exercise is not just a purchase decision
SEBI’s investor guide describes taxation at two stages: exercise of the option and later sale of the shares. The Income Tax Department’s employee-benefits material gives the general perquisite valuation as the fair market value of the shares on the exercise date minus the amount recovered from the employee for those shares. Your employer may withhold or report tax according to the applicable rules.
For example, if the company’s applicable fair market value on exercise is higher than your exercise price, the difference can create a taxable employment benefit even though you have not sold the shares or received cash from a sale. The calculation is not a personal tax assessment: tax year, residence, employer and issuer structure, valuation method, and other income can change the result.
A later sale is a separate event that may create a capital-gains consequence. The amount and timing depend on the shares, holding period, applicable tax law and your facts. Ask the company for the fair-market-value basis it used, the amount recovered, and any withholding or reporting details. An India-qualified tax adviser can determine your individual treatment.

The Companies Rules permit a scheme to specify a lock-in period for shares issued on exercise. A lock-in can prevent a sale or transfer for a stated period. Even without a formal lock-in, an unlisted company may have no readily available market, buyer or company-led liquidity event.
Before exercising, determine whether the issuer is listed, whether the shares can be credited to your demat account, and whether the articles, shareholder agreement or plan impose a right of first refusal, board approval, holding period or transfer notice. An exercise decision can require cash and trigger tax before you know when, or whether, you can sell.
Listed and unlisted plans are not identical
SEBI’s investor guide identifies the SEBI (Share Based Employee Benefits and Sweat Equity) Regulations, 2021 as the relevant framework for listed companies and the Companies Act, 2013 and related Rules for unlisted companies. The post-resignation result still depends on the governing plan and grant terms.
For an unlisted-company scheme, the cited Rules expressly require an exercise period for vested options after proposed termination or resignation and expressly provide for expiry of unvested options. A listed-company plan may contain different administration, disclosure and exercise provisions. Read the issuer’s current plan rather than importing the rule from another employer.

Foreign parent or cross-border grants
If your employer granted options in a foreign parent, the plan may be governed by another country’s law and administered through an overseas broker or trustee. The Indian rule summary above may not determine vesting, the post-termination window or the exercise mechanics.
Identify the plan’s governing law, issuer, settlement currency and account requirements. Cross-border exercise can also raise foreign-exchange, securities, employment and tax questions. Obtain advice from professionals familiar with both jurisdictions before sending funds or allowing a deadline to pass.
A company-specific example is not a universal rule
A SEBI-hosted 2016 company filing describing an ESOP Scheme 2000 said that employees who resigned could exercise options vested before resignation while unvested options lapsed. The filing also described a jurisdiction-specific decision to reinstate deferred options in one jurisdiction but not others. This illustrates why the governing document and jurisdiction matter; it does not create a general right to reinstatement or establish a standard exercise period.
How to compare multiple grants or tranches
Do not treat all options as one balance. Build a grant-by-grant record using these fields:
| Comparison point | Question to answer |
|---|---|
| Vesting | How many options were vested on the defined employment-end date? |
| Deadline | What is the last completed-exercise date for this grant or tranche? |
| Cost | What exercise price and total cash payment apply? |
| Tax | What fair-market value and withholding basis will the company use? |
| Liquidity | Are the resulting shares listed, transferable and saleable? |
| Restrictions | Is there a lock-in, approval requirement or right of first refusal? |
| Jurisdiction | Which issuer, governing law and tax rules apply? |
What to request before your last day
- The signed grant letter, complete plan and every amendment.
- A written vesting statement effective on the plan-defined end date.
- The last exercise date for each vested grant and the rule used to calculate it.
- The exercise price, payment instructions and whether partial or cashless exercise is permitted.
- The company’s fair-market-value basis, expected withholding and tax reporting documents.
- Details of lock-in, transfer approvals, listing status and any known liquidity process.
- A named contact who can process an exercise after your corporate account is disabled.
Save copies outside your work email and test access to the exercise portal before departure. If the company does not answer, send a dated written request and keep proof of delivery; a missed deadline may not be reversible.

Common mistakes and safer alternatives
Assuming vested means owned
Vesting creates an exercise right. It does not issue shares or guarantee a profit. Confirm issuance before treating the asset as stock.
Using a “standard” 30-, 60- or 90-day rule
No such universal period is established by the cited sources. Use the deadline in your plan and obtain the administrator’s written calculation.
Ignoring the tax cash requirement
Exercise may require the strike price and tax at the same time. Model both amounts and ask how withholding is collected.
Exercising without checking restrictions
A lock-in or transfer approval can leave you holding illiquid shares. Review those terms before paying.
Relying on a colleague’s experience
Different grants, dates, issuers and jurisdictions can produce different outcomes. Apply the documents for your own grant.
Bottom line for a departing employee
Under the India-focused rule cited here, unvested options expire when employment ends. Vested options are not automatically lost, but they survive only for the exercise period written into the applicable scheme and grant documents. The practical decision is whether exercising before that deadline makes sense after counting the purchase price, tax, liquidity and restrictions. Get the numbers and deadline in writing, preserve your records, and use qualified tax or legal advice for cross-border or personal situations.
