When bitcoin falls, Strategy Inc. (formerly MicroStrategy) stock usually comes under greater pressure than a direct bitcoin holding because the company combines a large bitcoin treasury with debt, convertible notes, preferred securities, equity issuance and a software business. The relationship is not fixed, however. MSTR can decline less than bitcoin, track it closely, or fall substantially more depending on its valuation premium, financing conditions, dilution, liquidity and investor sentiment.
Strategy reported holding 471,107 BTC on December 31, 2024. Its own risk disclosure says that a bitcoin decline could materially hurt its financial condition, results, and the market price of its listed securities. That makes bitcoin the central driver of MSTR, but not the only one.

Why a bitcoin decline affects MSTR
The treasury loses market value
Strategy’s stated strategy is to acquire bitcoin with equity and debt capital and maintain a leveraged position in its bitcoin holdings. When the market price of bitcoin drops, the market value of that treasury drops as well. Investors generally reflect the lower asset value in the company’s equity valuation, even if Strategy does not sell any coins.

Strategy reported 471,107 BTC held at December 31, 2024, in its 2024 results release issued in 2025. The exact holding changes as the company buys, sells, or otherwise accounts for bitcoin, so a current analysis must use the latest filing rather than assume that figure remains current.

The stock’s premium can shrink
MSTR is not simply the market value of its bitcoin. Its share price can trade at a premium or discount to the value of the bitcoin treasury plus the software operation and other assets and obligations. During a bitcoin selloff, investors may pay less for the expectation that Strategy will raise capital, buy more bitcoin, or increase bitcoin per share in the future. A falling premium can add a second source of decline on top of bitcoin’s own percentage loss.
The reverse is also possible. If investors expect successful financing or renewed bitcoin accumulation, the premium can expand and partly offset a bitcoin decline. The premium or discount is a market measure that changes continuously; it should be calculated from current holdings, liabilities and share counts, not copied from an old article.
Debt and preferred obligations amplify concern
Strategy has funded purchases through common-stock issuance, debt, convertible notes and preferred stock. These instruments create claims that sit alongside the common equity. As bitcoin falls, investors may question whether the treasury will remain large enough to support those claims and whether the company can meet interest, maturity and preferred-dividend obligations during a prolonged downturn.

Lower MSTR prices can also make future equity financing more dilutive. If the company issues shares at a depressed price, each new share represents a larger portion of the outstanding equity, and existing holders own a smaller percentage of the company. Debt or preferred financing may become more expensive or harder to arrange when lenders and investors view bitcoin collateral and the equity cushion as weaker.
Financing access can deteriorate
Strategy states that its ability to obtain equity or debt financing depends partly on bitcoin’s value, investor sentiment and the strength of its value proposition. A sharp, sustained decline can therefore affect both the value of assets already held and the company’s ability to raise money for future purchases or refinancing. That financing channel is one reason MSTR can move more than bitcoin over some periods.
The software business is a separate, smaller driver
Strategy still operates an enterprise analytics software business. Software revenue, operating costs and cash generation can influence the company’s valuation and its ability to service obligations. Those results may cushion a bitcoin decline if they are strong, or add pressure if they weaken. The company’s disclosures nevertheless identify bitcoin value and the bitcoin strategy as material drivers of its listed securities.

What a bitcoin selloff looks like in the financial statements
Fair-value accounting increases reported volatility
Under Accounting Standards Update 2023-08, qualifying crypto assets are measured at fair value, with changes recognized in net income. A decline in bitcoin can therefore produce a large reported loss even when Strategy has not sold bitcoin and no cash has left the company because of that price move.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problemsStrategy’s 2024 Form 10-K warned that the fair-value model can create larger losses in falling markets than the impairment model used previously. The accounting result is important for reported earnings, retained equity and covenant analysis, but it should not be treated automatically as proof that the company sold bitcoin or suffered the same amount of cash loss.
Reported earnings and cash flow answer different questions
An unrealized fair-value loss answers, “What is the bitcoin worth at the reporting date compared with its previous carrying value?” Cash-flow statements and debt disclosures answer, “How much cash did the company generate, spend, raise or owe?” During a downturn, read both. A large net loss can coexist with unchanged bitcoin units and limited operating cash impact, while interest, dividends, maturities and capital-raising costs still require actual cash.

Can MSTR fall more than bitcoin?
Yes, but there is no permanent multiplier. A study of 39 corporate bitcoin firms found average bitcoin beta of 0.62 and identified Strategy among firms with beta above 1 in its sample through April 2025. That result shows that sensitivity varies across companies and time; it is not a rule that MSTR moves two times bitcoin.
MSTR can underperform bitcoin when several effects arrive together:
- Treasury markdown: the underlying bitcoin value falls.
- Multiple compression: investors reduce the premium they had paid for future bitcoin-per-share growth or financing skill.
- Balance-sheet stress: debt, convertibles and preferred obligations receive greater attention.
- Dilution expectations: investors anticipate that new shares may be issued at lower prices.
- Liquidity repricing: lenders and equity investors demand more compensation or withdraw from financing.
It can outperform bitcoin when the premium expands, when investors expect accretive financing, or when stock-specific demand overwhelms the underlying move. Those outcomes are market-dependent and cannot be inferred from bitcoin’s daily percentage change alone.

| Consideration | Direct bitcoin exposure | MSTR common stock |
|---|---|---|
| What you own | Bitcoin itself or an instrument designed to track it | Common equity in a company that owns bitcoin and runs an analytics software business |
| Bitcoin sensitivity | Primarily the bitcoin price, subject to the instrument’s fees and tracking | Bitcoin price plus changes in the company’s valuation premium or discount |
| Capital structure | No corporate debt or preferred claims attached to the coins you hold directly | Debt, convertible notes, preferred securities and dividends can affect common equity |
| Dilution | Your units are not diluted by a company issuing new shares | New common-stock issuance changes each holder’s ownership percentage and bitcoin per share |
| Accounting visibility | Depends on the wrapper or custody structure | Fair-value bitcoin changes flow through Strategy’s reported net income under ASU 2023-08 |
| Financing risk | Not dependent on a corporate treasury raising money to keep its position | Access to equity and debt markets can affect purchases, refinancing and liquidity |
| Operating business | No Strategy software operations | Software revenue, costs and cash generation can influence valuation |
This is why purchasing MSTR is not equivalent to purchasing the same dollar amount of bitcoin. The stock adds corporate claims, management decisions, market multiples and operating-company risk to the bitcoin exposure.
How to analyze MSTR during a bitcoin drop
- Measure the bitcoin move and the stock move over the same interval. Use closing prices and specify whether you are comparing one day, one week or the full drawdown. Different windows can produce very different apparent relationships.
- Use the latest filing for bitcoin units and share counts. Calculate the market value of the treasury at the current bitcoin price, then compare it with MSTR’s market capitalization. Include cash, software-related assets and liabilities rather than treating the bitcoin total as the company’s equity value.
- List every senior claim. Review debt maturities, interest rates, convertible terms, preferred dividends and any security that ranks ahead of common stock. A downturn becomes more consequential when obligations mature before the company can reasonably refinance them.
- Check recent capital raising. Identify shares, convertibles or preferred securities issued since the last filing. Determine whether the proceeds bought bitcoin, funded operations, repaid debt or paid other obligations. Issuance can increase the treasury while still reducing bitcoin per share if the terms are unfavorable.
- Estimate the premium or discount. Compare the market capitalization with the value of bitcoin, other assets and liabilities. A shrinking premium can drive underperformance even if bitcoin itself stabilizes.
- Separate accounting from liquidity. Read the income statement for fair-value gains or losses, then read the cash-flow statement and liquidity notes for cash, restricted cash, maturities, interest and preferred dividends.
- Review the software operation. Look for revenue trends, operating margins and cash generation. The software business does not remove bitcoin risk, but it can affect the resources available to meet obligations.
- Stress-test a prolonged decline. Model lower bitcoin prices, a lower valuation premium, reduced financing access and continued interest or dividend payments. The purpose is to see which assumption breaks first, not to predict a precise share price.
Common mistakes when interpreting a bitcoin crash
- Assuming a fixed two-for-one relationship: Historical beta changes with leverage, premium, dilution and sentiment.
- Counting bitcoin without counting claims: The treasury is not available solely to common shareholders; debt and preferred securities affect the residual value.
- Treating an accounting loss as a sale: Fair-value losses can be unrealized.
- Ignoring dilution: More bitcoin on the balance sheet does not automatically mean more bitcoin per share.
- Using old holdings or premiums: Both the treasury and the stock price can change materially between filings.
- Looking only at one trading session: A daily move can reflect options activity, index flows, short covering or broad equity-market risk rather than a lasting change in fundamentals.
The company’s own downside warning
Strategy’s 2025 Form 10-Q risk disclosure states: “If bitcoin prices were to decline or our bitcoin strategy otherwise proves unsuccessful, our financial condition, results of operations, and the market price of our listed securities would be materially adversely impacted.” That warning describes direction and materiality, not a guaranteed percentage decline. The practical implication is that bitcoin weakness can affect asset values, reported earnings, financing terms and the common stock at the same time.
