The result depends first on whether the legal entity named in your agreement remains the contracting party. In a stock purchase, it usually does. In an asset sale, merger into a new entity, or transfer of a security-services business, the contract may need an assignment, novation, customer consent, or replacement agreement. Your change-of-control, assignment, termination, subcontracting, security, audit, insurance, and data-processing clauses then determine what the buyer can change and what remedies you have.
That distinction matters whether the provider monitors an alarm, guards a site, operates a security operations center, stores video, manages credentials, or processes incident records. Review the signed agreement and governing law before assuming that a buyer can raise your price, or that you can walk away without an early-termination charge.

The transaction type determines the starting point
“Acquired” can describe several legally different transactions. Identify the form announced by the provider and compare it with the exact entity name, registration number, and address in your contract.

For U.S. federal contracts, Federal Acquisition Regulation (FAR) Subpart 42.12 states that “A novation agreement is unnecessary when there is a change in the ownership of a contractor as a result of a stock purchase, with no legal change in the contracting party.” That rule describes federal procurement and is a useful illustration, not a universal rule for private customers.

Assignment and novation: when a new signature matters
Assignment
An assignment transfers contractual rights, such as the right to receive payment. Many security agreements prohibit assignment without written consent, or allow it only to an affiliate or a successor that acquires substantially all relevant assets. Some clauses distinguish rights from duties: a provider may not transfer performance obligations unless the customer agrees.
Novation
A novation replaces one contracting party with another and generally transfers both benefits and obligations. It normally requires the customer, outgoing provider, and buyer to sign a deed or agreement. Ask the document to state that the buyer assumes service levels, confidentiality, indemnities, warranties, incident duties, record-retention obligations, and liabilities that arose before closing where the original contract requires them.
Consent is not always implied
A notice saying “your provider has been acquired” is not the same as consent to a new contracting entity. If the agreement requires approval, do not treat continued use or payment as an intentional waiver without checking the governing law and the notice language. Obtain a written response from the provider identifying the legal basis for the transfer and the date it becomes effective.

Clauses that control your rights
Read the whole agreement and incorporated schedules, not only the headline service description. The following provisions commonly decide whether you can object or exit.

Can the new owner raise the price or change the terms?
Ownership alone does not normally amend a signed agreement. A buyer inherits the contract as it exists, subject to its governing law and any valid change mechanism. A provider may have a scheduled annual increase, an index formula, a pass-through for taxes, or a right to change services on advance notice. Those mechanisms remain available to the buyer only within their stated limits.
A proposed change is different from an automatic change. Compare the notice with the amendment clause: check the delivery method, lead time, effective date, and whether silence counts as acceptance. If the proposal removes a service, weakens response times, narrows an indemnity, changes the data controller, or adds a new minimum term, ask for a tracked amendment or novation rather than relying on marketing language.

If the buyer cannot perform the original scope, the issue may be breach rather than a permissible price update. Document missed patrols, monitoring outages, delayed alerts, staffing gaps, or failure to meet incident-reporting times. Follow the contract’s notice-and-cure procedure before withholding payment or terminating.

What happens to your security data and logs?
An acquisition can involve customer names, access credentials, alarm events, CCTV or body-camera footage, visitor records, incident reports, employee details, and threat-monitoring data. The UK Information Commissioner’s Office says, “You may need to share personal data with another organisation as part of a takeover or other situation involving a change in organisational structure such as an acquisition, merger or insolvency.” That does not make every transfer lawful automatically.

- Which entity is the controller, joint controller, or processor after closing.
- The lawful basis and purpose for transferring each data set.
- Where systems and backups are hosted and which subcontractors can access them.
- Encryption, privileged-access, logging, segregation, and breach-notification controls.
- Retention, deletion, legal-hold, and return obligations when the contract ends.
- The wording and timing of notices to employees, residents, customers, or site visitors where the controller changes.
ICO guidance emphasizes due diligence, documented decisions, lawfulness, fairness, transparency, and notice when the controller situation changes. Ask who will answer data-subject requests and security incidents during the transition; an unclear handoff can leave alerts or evidence inaccessible when you need them.

Financial services
The Financial Conduct Authority (FCA) requires a person acquiring or increasing control of an authorised firm to notify it and obtain approval before completion. Current FCA guidance describes a 60-working-day assessment after a complete notification. The FCA’s 2025 submission guidance describes an assessment period of 60 business days, which can be interrupted for up to 30 business days when the FCA requests information. This is a regulatory approval timeline, not a guaranteed deadline for your private contract.
In a sector-specific investment-business example, the FCA says firms acquiring clients through a transfer or takeover generally must provide each acquired client with the new firm’s terms and obtain evidence of consent. That requirement should not be generalized to every security supplier or every jurisdiction.

Defence and national security
UK government guidance says DEFCON 566 requires defence-supply-chain companies, including relevant subcontractors, to give the Ministry of Defence prior notice of a contractor change of control. The UK National Security and Investment regime can separately require notification before completion for qualifying acquisitions. Check contract security classifications, personnel clearances, approved facilities, and any government consent condition before access is transferred.
Government procurement
Public buyers may have a contractual right to review whether a transaction changes the provider’s objectives, creates conflicts, or threatens delivery. NSW Communities and Justice, for example, says it reviews those effects and may terminate when it reasonably believes the change materially affects performance. Canadian federal privacy procurement guidance recommends requiring advance notice of ownership or control changes so information, privacy, and security impacts can be assessed.
A practical review sequence for customers
- Identify the legal event. Obtain the transaction name, closing date, buyer’s full legal name, registration details, and whether the deal is a share purchase, asset transfer, merger, or subcontracting change.
- Match the entity to the agreement. Compare the contract party, invoice issuer, data-processing addendum, insurance certificate, and service-level schedule. Similar trading names are not proof of the same legal entity.
- Collect every controlling document. Include order forms, renewals, statements of work, security schedules, acceptable-use rules, privacy notices, and incorporated policies. Search for assignment, change of control, termination, subcontracting, audit, insurance, confidentiality, and data clauses.
- Request a continuity plan. Ask who will staff the account, hold clearances, operate the tools, respond to incidents, maintain monitoring coverage, and manage subcontractors. Require dates for system migration and a named escalation contact.
- Confirm required approvals. Determine whether your written consent, a novation deed, replacement terms, regulator approval, government notice, or customer notice is required before the buyer performs.
- Validate controls and coverage. Obtain current insurance certificates, security certifications or assessment reports required by the contract, penetration-test or audit commitments where applicable, and confirmation that response-time and availability metrics remain unchanged.
- Document data responsibilities. Record controller and processor roles, transfer basis, access permissions, retention, deletion, breach contacts, and notice wording for people whose data is monitored.
- Preserve remedies. Put any reservation of rights, consent conditions, cure deadlines, price dispute, or termination notice in writing and use the delivery method specified in the agreement.
When can you cancel?
You may be able to terminate when the contract grants a change-of-control right, prohibits the proposed assignment, makes consent a condition and consent is refused, or the buyer commits a material breach. A general dissatisfaction with the new owner is usually not enough unless the agreement says otherwise.

Check practical consequences before sending notice: minimum-term charges, transition-assistance fees, prepaid amounts, equipment removal, data export, key and badge return, evidence preservation, and replacement-provider lead time. If monitoring protects a home, business, or regulated facility, maintain overlapping coverage until the replacement is tested and live.

Questions to put to the provider and buyer
- Which legal entity is responsible on the day after closing, and who remains liable for pre-closing failures?
- Does the transaction trigger a notice, consent, novation, or termination right under my agreement?
- Will rates, renewal dates, service levels, response times, staffing, tools, or subcontractors change?
- Where will my logs, recordings, credentials, and backups be stored, and who can access them?
- What regulator, government customer, clearance, or insurance approval is required?
- What is the tested fallback if systems, monitoring, or incident response fail during migration?
Because notice periods, consent thresholds, and cancellation rights are contract- and jurisdiction-dependent, have counsel review the agreement when the transaction affects a regulated service, sensitive personal data, critical infrastructure, or a large termination liability.
