What Happens to GST Input Tax Credit When a Business Owner Dies?

For an Indian sole proprietorship, unutilized GST input tax credit (ITC) is not automatically lost when the proprietor dies. If a successor takes over and continues the business, the remaining balance in the deceased proprietor’s electronic credit ledger can be transferred to the successor through Form GST ITC-02. The transfer must include a specific provision making the successor responsible for the business’s liabilities, and the successor must file ITC-02 before the legal heirs apply to cancel the deceased proprietor’s GST registration.

If the business is shut down instead, the successor-transfer route does not apply. The legal representative can remain liable for the deceased person’s GST, interest and penalties from the estate, but only to the extent that the estate can meet those dues.

First, identify the legal structure

The death-specific guidance discussed here applies to an Indian sole proprietor—a business operated under the proprietor’s own legal identity. It should not be applied automatically to a partnership, private company, limited liability partnership, trust, or a company director’s personal affairs. Those structures have different ownership, registration and succession rules.

The principal guidance is Central Board of Indirect Taxes and Customs (CBIC) Circular No. 96/15/2019-GST, dated 28 March 2019. It explains that a “transfer or change in the ownership of business” includes a change caused by the death of a sole proprietor when another person continues the business.

The outcome depends on whether the business continues

Situation What happens to unutilized ITC Who bears the deceased proprietor’s GST liabilities
A successor continues the business The successor may receive the unutilized electronic-ledger ITC through Form GST ITC-02, subject to the statutory conditions and portal acceptance. The person continuing the business is liable under section 93(1)(a) of the CGST Act. In a business transfer, section 85 also provides for joint-and-several liability of transferor and transferee for outstanding tax, interest and penalty.
The business is discontinued The CBIC death-specific successor-transfer route does not describe a transfer of the unused credit to a person who is merely winding up the business. Under section 93(1)(b), the legal representative is liable from the deceased person’s estate, limited to the extent that the estate can meet the GST charge.

This distinction should be settled before anyone files a cancellation application. Continuing to trade through a successor and closing the business are legally different events, with different consequences for both ITC and old liabilities.

Why the successor can receive the credit

Section 18(3) of the Central Goods and Services Tax Act, 2017 allows unutilized ITC to move when the constitution of a registered person changes because of a business transfer, provided the transfer includes a specific provision for transferring liabilities. Rule 41 prescribes the electronic procedure.

CBIC interprets the death of a sole proprietor as a transfer or change in ownership when another person succeeds to and continues the business. The credit is therefore not a cash inheritance or an automatic refund. It is a ledger transfer to the successor’s GST registration, and only the amount specified and accepted through the prescribed process is credited.

Required sequence after the proprietor’s death

The order matters. The successor should be registered and the ITC transfer initiated before the deceased proprietor’s GSTIN is cancelled.

  1. Confirm the successor and the transfer terms. Decide who will continue the business and document that the transfer includes a specific provision for transfer of liabilities. The agreement, succession instrument or other business-transfer document should clearly allocate the deceased proprietor’s GST obligations as well as the assets and operations being taken over.
  2. Obtain the successor’s GST registration. CBIC states that the successor is liable to register from the date of transfer or succession. The successor applies in Form GST REG-01 and selects or states death of the proprietor as the reason for registration. The successor’s registration is separate from the deceased proprietor’s GSTIN.
  3. Prepare the ITC transfer information. Identify the unutilized balance in the deceased proprietor’s electronic credit ledger and the inputs and capital goods that are moving with the business. Rule 41 ordinarily requires the transferor to submit a certificate from a practicing chartered accountant or cost accountant confirming that the transaction contains a specific provision for transfer of liabilities.
  4. File Form GST ITC-02. In the death-specific procedure, the transferee or successor files ITC-02 for the registration that will be cancelled because of the proprietor’s death. CBIC expressly requires this filing before the cancellation application. The form identifies the transferor registration, successor registration and the credit proposed for transfer.
  5. Accept the transfer on the common portal. The successor reviews the ITC-02 details and accepts them electronically. Once accepted, the specified credit is credited to the successor’s electronic credit ledger.
  6. Account for transferred assets. The transferee must account in its books for the inputs and capital goods received through the transfer. Keep the ledger calculations, asset records and supporting transfer documents together with the GST filings.
  7. Apply to cancel the deceased proprietor’s registration. After the transfer step, the legal heirs may apply in Form GST REG-16 to cancel the deceased proprietor’s GST registration. The application identifies the transferee’s GSTIN so the two registrations can be linked. Registration rules treat the legal heirs’ application for a deceased proprietor as if it had been filed by the proprietor.

The GST portal’s visual screens and field labels can change. The controlling requirements are the forms, the order of filing, the linked successor GSTIN and acceptance of the credit transfer; verify the current fields when making the filing.

What “specific provision for transfer of liabilities” means

The ITC transfer is conditional, not a stand-alone request to move a balance. Section 18(3) and Rule 41 require the business transfer to contain a specific provision for transferring liabilities. In practical terms, the succession or transfer documentation should state that the successor assumes the relevant GST liabilities connected with the transferred business.

That provision protects the tax administration when the credit moves to a new registration. A document that transfers only stock, premises or goodwill, while saying nothing about GST debts, may not satisfy the condition. Obtain professional advice on the wording and scope of the transfer instrument, particularly where the estate, several heirs or multiple businesses are involved.

Who is responsible for old GST dues?

When the business continues

Section 93(1)(a) makes the legal representative or another person continuing the business liable for tax, interest or penalty due from the deceased under the GST Act. CBIC’s circular states that, in the business-transfer situation, the transferee or successor is liable for the deceased transferor’s outstanding tax, interest and penalty. Section 85 also contains a joint-and-several liability rule for a transferor and transferee in a business transfer.

This liability is the counterpart to receiving the unused ITC. The successor should investigate pending returns, departmental notices, assessments, mismatches, unpaid tax and interest before accepting the transfer. The ITC balance should not be treated as an asset that can be separated from the obligations attached to the transferred business.

When the business is discontinued

If the proprietor’s business stops, section 93(1)(b) applies a different rule. The legal representative is liable for the deceased person’s GST, interest or penalty from the estate, but only to the extent that the estate can meet the charge. This is an estate-based liability and is distinct from the continuing-business route under which a successor registers, accepts the ITC-02 transfer and carries on operations.

Does the family receive a cash refund of the ITC?

No. The procedure described by CBIC transfers eligible unutilized credit from one electronic credit ledger to the successor’s ledger. It does not convert the deceased proprietor’s balance into an automatic cash payment to heirs. The successor uses the credited amount subject to the normal GST rules governing utilization of ITC against eligible output tax.

If the business is being closed, do not assume that filing a cancellation application creates a right to withdraw the ledger balance. The death-specific guidance establishes a transfer mechanism for a successor who continues the business; it does not establish a general cash-refund route for a discontinued sole proprietorship.

Documents and checks to complete before filing

  • Death certificate and documents establishing who may act for the estate.
  • The succession, transfer or takeover document identifying the successor and stating the specific transfer of GST liabilities.
  • The successor’s GST registration obtained from the date of transfer or succession.
  • The deceased proprietor’s GSTIN and the successor’s GSTIN.
  • Electronic credit-ledger statement showing the unutilized ITC proposed for transfer.
  • Input and capital-goods records, including the amounts that will be recorded in the successor’s books.
  • The practicing chartered accountant’s or cost accountant’s certificate required under Rule 41 for the liability-transfer provision, as applicable to the filing.
  • Copies of filed returns, payment challans, notices, orders and reconciliations needed to identify outstanding liabilities.
  • Authority documents for the legal heirs who will submit REG-16.

Reconcile the credit before submitting ITC-02. A balance can be affected by pending returns, reversals, blocked credits, amendments or departmental action. The amount entered in the form should be supported by the ledger and the transfer records rather than by an estimate of what the business expects to claim later.

Common mistakes and how to avoid them

Applying for cancellation first

The most important sequencing error is filing REG-16 before ITC-02. CBIC’s death-specific instruction is that the successor files ITC-02 before the cancellation application. Complete the transfer request and successor acceptance first.

Using the wrong registration date

The successor is liable to register from the date of transfer or succession, not merely from the date on which the heirs happen to submit paperwork. Establish the effective succession date in the transfer documents and ensure the REG-01 application reflects it.

Leaving liabilities out of the transfer document

A document that mentions only assets or inventory may fail the specific-liability-provision condition. State clearly which GST liabilities move with the business and retain the professional certificate required by Rule 41.

Treating the ledger balance as final cash value

ITC is a tax credit, not a bank balance. It remains subject to eligibility, reversals and utilization rules. The successor should record the transferred inputs and capital goods and use the credit only in accordance with GST law.

Assuming the circular covers every business owner

The circular addresses death of a sole proprietor. A director’s death does not itself transfer a company’s GST registration, and a partner’s death raises partnership and succession questions that are not answered by this sole-proprietor procedure. Confirm the entity type before using these forms.

Ignoring old notices and returns

Receiving ITC does not erase earlier non-compliance. Review the deceased proprietor’s return history and correspondence, and arrange for the successor or estate representative to respond to outstanding proceedings within the applicable timelines.

A worked example of the sequence

Assume a sole proprietor dies while the business has an unutilized electronic credit-ledger balance and inventory that an heir will use to continue trading. The heir documents the succession, accepts the GST liabilities, registers from the succession date through REG-01 and files ITC-02 against the deceased proprietor’s GST registration. The heir accepts the form on the portal, and the specified credit moves into the heir’s electronic credit ledger. The legal heirs then submit REG-16, identify the heir’s GSTIN and request cancellation of the deceased proprietor’s registration.

If the heir instead sells the assets and permanently closes the shop, there is no continuing successor operating the transferred business. The heir should address final returns, tax and other liabilities and the estate-limited rule in section 93(1)(b), rather than assuming the continuing-business ITC transfer applies.

What the official guidance does—and does not—settle

CBIC Circular No. 96/15/2019-GST settles the core death-of-sole-proprietor question: a successor who continues the business may receive the unutilized ITC under section 18(3) and Rule 41, using ITC-02, with the liability-transfer condition and the prescribed acceptance process.

The guidance does not provide a universal answer for every family arrangement, disputed succession, multiple successors, partial business transfer or entity other than a sole proprietorship. It also does not guarantee that a particular portal screen, validation message or processing time will remain unchanged. Those cases require review of the transfer documents, the registration facts and any current instructions from the GST authorities.

Practical takeaway for heirs and successors

Preserve the deceased proprietor’s records, decide promptly whether the business will continue, document the transfer of liabilities, register the successor from the effective succession date, file and accept ITC-02, and only then seek cancellation of the old GSTIN through REG-16. If operations stop, handle the estate’s GST obligations separately; do not assume that unused ITC can simply be withdrawn or inherited as cash.
